<p> AMERICAN NURSES ASSOCIATION</p><p>CONFIDENTIALITY AND INTELLECTUAL PROPERTY AGREEMENT</p><p>NAME OF PROJECT: </p><p>The information developed through this above-referenced ANA Project [e.g., NDNQI®, Reference Committee] is for ANA’s ownership and use. To clarify your role in this ANA Project, ANA asks you to review and sign this agreement.</p><p>For and in consideration of the general professional benefits of participation in the work of the American Nurses Association, including public recognition for my contribution to the profession of nursing, the undersigned agrees: </p><p>1. To support ANA as the primary and principal author and developer of this Project; to support ANA as the owner of all work done related to this Project, including but not limited to any standards, indicators, data and database, evaluation process, reports, marketing information, financial information, business plans, facility or vendor submissions, and other information that is either identified as or is reasonably viewed as confidential or proprietary.</p><p>2. To irrevocably transfer any right, title or interest I may have as a developer, author, creator or inventor of any aspect of this ANA Project, including but not limited to, Project standards, indicators, data and database, evaluation process, marketing information, business plans or any other material or inventions developed by and through the Project.</p><p>3. To retain in confidence all information received pertaining to this Project, its standards, indicators, data and data base, evaluation process, financial information, marketing information, business plans, facility or vendor submissions, or such other information that is identified as or is reasonably viewed as confidential or proprietary, and to not disclose such information to any individual, company, or organization without express written approval from ANA’s CEO. This confidentiality agreement is binding during my tenure on this Project and thereafter, until such information has been released by ANA to the general public.</p><p>4.
