<p> WAIVER AND INDEMNITY WHEREAS:</p><p>1. The Undersigned has requested the right to use space in Northgate Centre Shopping Centre, Edmonton, Alberta (“Northgate Centre”) for the purpose of: Setting up a display to raise awareness of service on ______2003, and 2. Northgate Centre has agreed to allow the undersigned to use space as requested.</p><p>THEREFORE KNOW ALL MEN BY THESE PRESENTS that in consideration of forgoing the Undersigned and it officers, directors, shareholders, employees and their successors, heirs, executors, administrators and assigns do hereby agree to waive, release and hold harmless First Capital Realty (Northgate) Inc, CentreCorp Management Services Ltd. and Northgate Centre (“The Mall”) from all manner of actions, causes of actions, suites, debts, dues, accounts, bonds, covenants, contracts, claims, or demands that the Undersigned has had, has or may have of any kind or nature whatsoever as at the date of the execution of this agreement or hereinafter, and without restricting the generality of the foregoing, wit respect to all matters arising out of the use by the Undersigned of the said space in or at Northgate Centre. </p><p>In addition, the Undersigned and it officers, directors, shareholders, employees and their successors, heirs, executors, administrators and assigns do further hereby undertake and agree to fully indemnify Northgate Centre (inclusive of any legal fees or disbursements incurred by Northgate Centre on a solicitor and his own client basis) with respect to any and all actions, causes of actions, suites, debts, dues, accounts, bonds, covenants, contracts, claims, or demands that might be made against Northgate Centre by any Third Party arising of or in any way connected with the use by the Undersigned of the said space in or at Northgate Centre.</p><p>IN WITNESS WHEREOF the undersigned has caused this Agreement to be duly executed this ____ day of ______, 2003 by (where the undersigned is a Corporate entity) hereunto affixing its corporate seal attested to by the hands of its duly authorized officers in that regard or alternatively, (Where the undersigned is a non-corporate entity) by the hand and seal of the Undersigned.</p><p>Non-Profit Organization</p><p>Name/Signature Witness</p><p>Phone Number</p><p>CENTRECORP MANAGEMENT SERVICES LIMITED Witness As Manager For: First Capital (Northgate) Corporation </p>
