<p> Co-op oversight Committee Minutes #10 04/23/04</p><p>I. Meeting called to order at 8:32 II. Introductions: III. Approval of Minutes: a. Minutes are approved by consensus. IV. Elections a. Kate Pillon has accepted a nomination for the new chair. b. No other nominations c. Kate is the new chair of the co-op oversight committee by vote of 5-0-0. V. Reports a. Justin: Took Co-op budget to UCAB. We discussed it, but UCAB didn’t have quorum, but there was a straw poll saying that UCAB probably would not support the proposed budget. b. Carol: I presented the budget to UCAB, and whatever budget is acceptable is okay. I need to find out about the stipends for the new chair as well as the secretary. c. Carol: I also received a letter from Jeremy Cogan basically saying it is the amendment would alter the meaning of the position, and what the position entails. d. Carol: The Guardian contacted me to talk about the MOU and MSA renewals. VI. MOU Timeline Discussion a. Carmen: received requests from Lee and wanted to give answers to the committee. Considered the MOU to have expired, gave stipulations of the document, options because doc was expired: maintain current status, give written notice of termination, give negotiations for document. Working on negotiations, no significant progress made. Propose to have the MSA signed, or to work on other 3 alternatives mentioned previously b. Dana: Difficultly of the MSA document agreement was that it never mentioned the renewal options and I would like to know Carmen’s opinions about the renewal. Wants to accept the agreements have already settled on, and wonders what other agreements Carmen wants to make before the MSA doc is signed. c. Lee: answer to Dana’s questions is in the budget document d. Carmen: Clarifies her stand that “we” agreed on negotiations but I believe that it is expired because (under section MOU IX.A.1) California civil code Sec.45-46, sp. 46, agreement for state elapses for a month-to-month…something and MSA sec.2.02 pg.2 Article two payments e. Dana: hard to understand how an agreement of a 2 year renewal term after the document has been expired would have an effect. Reference to California Civil Code- how does it have anything to do with argument? f. Carmen: MSA is connected to the MOU by reference, and the MOU is the relationship between student life and the AS and GSA and in addition it has waivers to the PPMs. The MSA is a lease agreement so the MSA does not refer back to the MOU, the MOU references back to the MSA. g. Eric: Do we need to be prioritizing reinstating the MOU before we worry about the MSA? Agrees with Gary’s changes on the MSA. h. Bree: Renewing the MSA renews the MOU (sec. 24 of MOU) states that there are the renewal options and Paragraph 9 of the MSA states the 2-year renewal agreement. VII. MSA mutually acceptable agreement a. Carol: two proposals: A and B b. Carmen: clarification of email sent out by Justin- needs a week’s review of documents: met with Justin on the 21st, and does not believe that she caused the delay for the proposal B. c. Gary: Tries to enter into good-faith negotiations between vendors and administration whenever obstacles arise, which is basically what he is trying to do with the MSA/MOU document. Suggestions for the MSA renewal agreement: have the extension be 3 years instead of 2, clarification of understanding of how funds should be used, expansion of the student center and the general store and it should be sufficient enough that (the goal:)textbook selling will be done in their own space, rules and regulations for the student center and Ché facility (will apply to all rent-paying centers at the student center eg. To porters as well as co-ops), clarification of the responsibilities of the centers and to indicate the process that AS and GSA would go about for submitting a work-order request, addition of clarification on timeframe that we would respond for a work-order request, alterations in repairs- want to make sure its clear that AS, GSA or operators want to make an improvement or expansion, it is their financial and legal responsibility and not ours. d. Max: could be helpful to have changes in the format where the old ways are compared to the new options for renewal. e. Carol: Still have problem that the current MSA expires before next co-op oversight meeting and wants to leave with some sort of agreement on the document. f. Dana: Suggest that we should renew the document under the agreements given by Gary g. Justin: Propose a month-to-month agreement and have changes and look at it every month h. Gary: i. Dana: Feels like we should come to the agreement without being forced or rushed j. Carol: Wants to take a straw poll whether we should (a) sign it now (with a rent update) or (b) proceed with a month-to-month agreement and consider changes or (c) something else. Agreement a: 8, agreement b: 3, agreement c: 1. k. Max: Enter the month-to-month but the university centers could agree that if no agreement was made by May 29th, give the body a month to look it over. Should not enter an indefinite period of month-to-month agreement. l. Dana: clarify Max’s proposal m. Max: n. Kate: Does not want an indefinite month-to-month period. Believes that having a one- month extension to be the most informed about the agreements is in good faith but having an indefinite month-to-month period would be bad. o. Bree: Would they be willing to sign the MSA now or be willing to set a goal date that if we don't have an agreement by then, we would sign the existing document. p. Jason: Does not feel comfortable signing the existing document q. Gary: agrees with Jason r. Lee: Would be reasonable to expect that the first opportunity that the GSA would have to renew the MSA would not be until the June meeting, which is why I voted for option B because we are already in a situation where we are going month-to-month with the agreements in the document. s. Carmen: Feels like the 3-year extension would provide the co-op with greater stability and it is good business practice to have a new, signed lease agreement. Not productive to start another year with the conflict of the MSA agreement renewal. t. Dana: Fallback option to have the terms that we have now if we do not settle on an agreement by the end of the quarter. u. Max: Question directed to Gary and Justin- would you be willing to (between now and the end of the year) sign some MSA document and then continue the arguments of the agreements. v. Jason: No, does not want to sign an agreement that they have not settled upon. w. Kate: Because the two signatories say that they will not sign the MSA, it will go month- to-month. Straw poll to make the deadline may 29th. x. Dana: what is the point of having the deadline may 29th y. Kate: the deadline would be an informal one so that the group can be at a place where they can be at a decision and if no decision is made then the current MSA will continue as is. Yields to question from Gary z. Gary: Does not want to have the deadline because it forces you to sign an agreement that you do not agree with. The month-to-month forces you to sign the document when you agree on the stipulations. Not worried about new committee’s arguments over document because the MSA should be lucid enough to make sense to anyone. aa. Kate: Informal deadline of May 29th. Wants tract changes by Tuesday sent to the oversight list serve. And by next meeting devote to the changes of the document. bb. Carol: My problem is that the current MSA expires before next meeting, so wants to extend the expiration until the co-op can meet until next time, or suggest a special meeting next Friday. cc. Meeting agreed upon for next Friday April 30th, same time, 8:30-10am to discuss the changes in the document. Cancelled because it is the day after the expiration date. dd. Gary: it is an expiration of the TERM, not the AGREEMENT. ee. George: have never received anything from Gary/Justin, and wants them to give him a deadline for the agreements. Likes the changes overall ff. Gary: gg. Bree: Good idea to have co-op oversight meetings every week. Likes the May 29th deadline but wants to commit to an agreement that if nothing is agreed upon by the end of the year, to make a deadline for October. hh. Marcia: why are we having a discussion if nothing is going to be signed until June? ii. Lee: Can offer personal policy agreements up until May 29th, but nothing official can be done until June. jj. Kate: new speaker’s list kk. Veronica: nothing is going to be acted upon by the GSA until June, but the goal of May 29th would be helpful to settling upon an agreement. ll. Justin: likes the weekly meetings, Kate confirms that they will happen. mm. Bree: would prefer to have the version that’s signed be an amendment that’s a separate document but would be helpful to have two documents to compare the tract changes. nn. Carmen: oo. Lee: question for Gary and Carmen: in 2000 there was an MSA with a 5-year lease which was torpedoed by Dr. Watson’s office, wondering if this is a possibility again pp. Carmen: have considered a longer lease agreement but a 3-year would be better because it would allow for the new students to be involved without getting lost. qq. Frida: if we had procedural processes established, then it would lessen a lot of the confusion. rr. Max: no compromise is being established ss. Gary: tt. Kate: will be tract changes by Tuesday, informal deadline for this committee of May 29th to have changes to the MSA that we want to see, and those will be in a separate amendment to the document that exists, weekly 8:30-10 meetings, meeting on Friday 8:30-10. VIII. Recommendations…Anything else? a. Settle the budget with UCAB b. Bylaws for informal resolution c. Timeline for adjournment MOU, MSA d. Look into getting a recorder e. Marcia: Certificate of liability: have received all certificates by all members: general stores is in and expires Feb. 24, 2005, food coop expires Oct. 28th 2004, Groundworks expires oct.5 2004, Ché café expires march 1st, 2005 IX.
