ENHANCED ACCESS MASTER AGREEMENT Agreement dated as of January 1, 2021 (the “Agreement”) between John Wiley & Sons, Inc., a New York corporation, 111 River Street, Hoboken, New Jersey 07030 (“Wiley US”, and with its affiliates Wiley Periodicals LLC, John Wiley & Sons, Ltd, John Wiley & Sons Australia, Ltd, John Wiley & Sons A/S and Wiley-VCH GmbH (“Wiley Affiliates”), collectively “Wiley”), and Iowa State University, 701 Morrill Road, Ames, IA 50011-2142 (the “Customer”). 1. DEFINITIONS The following terms shall be deemed to have the meaning as set forth below: 1.1. Account Discount - means the discount on the APC based on the size of the Advance Payment if any; 1.2. Accepted Articles – primary research and review articles that have been accepted for publication in a Wiley Gold or Hybrid Journal by Corresponding Authors who are authorized by the Customer to submit the article to Wiley for publishing under the terms of this Agreement. 1.3. Advance Payment - means the amount a Customer pays in advance to cover the APCs published by Authorized Users, if applicable; 1.4. Agreement – This Agreement between Wiley and the Customer that sets out the terms and conditions under which Wiley will provide the Customer with access to the Electronic Products and Services subscribed to by the Customer as specified in the Appendices and Schedules signed by the parties, which are incorporated herein by reference. Each of such Appendices and Schedules is governed by the terms of this Agreement. In the event of any conflict between the terms of an Appendix, Schedule, or any Invoice Agreement Letter (or a written equivalent thereof), on the one hand and the terms of this Agreement on the other hand, the terms of the Appendix, Schedule, Invoice Agreement Letter (or written equivalent thereof) will govern. 1.5. Article Publication Charge - (APC) means the charge levied by Wiley on the acceptance of primary research material and review articles for publication in Gold or Hybrid Journals, the amount of which is dependent on the publication in which such material is published, and the negotiated fee specified herein; 1.6. Authorized Users –Those persons who are authorized by the Customer to have access to the Licensed Electronic Products. Authorized Users must be: 1.6.a. current full- and part-time faculty members, students, researchers, staff members, librarians, scientific staff, other executives or employees of the Customer, or 1.6.b. contractors engaged by the Customer, provided such contractors have been informed of, and agree to abide by, the Terms and Conditions of Use set forth herein and they access Wiley Online Library (or other platforms designated by Wiley) and the Electronic Products via the Customer’s Secure Network. 1.6.c. Patrons not affiliated with the Customer, who are physically present at Customer’s site(s) (“Walk-ins”) and using the Customer’s authentication methods and parameters to access the Licensed electronic Products through the Customer’s Secure Network. 8546. Transitional Master Agreement 1 1.7. Commercial Use –Use for the purposes of monetary reward by means of sale or resale. For the avoidance of doubt, charging administrative fees to cover the costs of making permitted copies is not prohibited. Use by the Customer, or by an Authorized User of the Electronic Products in the course of research funded by a commercial organization, is not Commercial Use. 1.8. Corresponding Author - Authorized User (excluding contractors and Walk-in-Users) 1.8.a. who is responsible for manuscript submission, correction, proof reading, whole correspondence during the paper submission, handling the revisions and re-submission of revised manuscripts up to the acceptance of the manuscripts by Wiley, provided, however, the author may not have undertaken all such article administration tasks, one or more of which may have been delegated, 1.8.b. who is named as the Corresponding Author on the final published article, and 1.8.c. whose affiliation with the Customer has been verified according to the internal control procedures of the Customer. 1.9. Customer –The customer named above, as further defined in Schedule 1, which has authorized the signing of this Agreement, provides access via its Secure Network for its Authorized Users as defined in this Agreement, and is responsible for the payments specified in the attached Appendices and for the implementation of the Agreement. Schedule 1 will include information on the specific authentication method and valid parameters for the Secure Network which are covered by this Agreement. 1.10. Electronic Products - All products, services and content available in Wiley Online Library (or other platforms designated by Wiley) shall be deemed included within the definition of Electronic Products. Details specific to the type of electronic products or services licensed hereunder as well as pricing and the Customer’s access rights are provided in the appropriate Appendix. These products and services are defined as follows: 1.11. Licensed Electronic Products - The electronic (online) editions of Wiley journals and other publications and the content therein, including but not limited to major reference works, Current Protocols laboratory manuals and databases which the Customer has licensed hereunder as specified herein and in the appropriate Appendices. Licensed Electronic Products are listed in the Appendices as follows: Appendix B - Online Journals Appendix C - Journal Backfiles Appendix D - Online Reference Works Appendix E - Online Books Appendix F - The Cochrane Library Appendix G - Current Protocols Appendix H - Databases Appendix I - Essential Evidence Plus Appendix J - ArticleSelect Appendix K - AnthroSource Appendix L - Digital Archives Appendix N – ClinMicroNow Open Access details are listed in the Schedules as follows: Schedule 2 – Fees Schedule 3 – Open Access publishing Fees 8546. Transitional Master Agreement 2 1.11.a. Licensed Electronic Services – The electronic features and services in Wiley Online Library (or other platforms designated by Wiley) available to the Customer and its Authorized Users, as follows. 1.11.a.i. EarlyView – publishes peer reviewed, fully citable articles online as soon as they are ready, before the release of the compiled journal issue. 1.11.a.ii. Saved Title Alerts – allows Authorized Users to request and receive via e-mail the tables of contents from any of the journals available online in Wiley Online Library (or other platforms designated by Wiley) and to receive notification of articles newly published which match specified search criteria. 11.1. Hybrid Journals: Subscription journals published by Wiley that also offer authors the option to publish papers on an open access basis listed at https://authorservices.wiley.com/asset/WileyJournal-APCs-OnlineOpen.xlsx. Wiley may change the URL at its sole discretion. 11.2. Gold Journals – Open access journals published by Wiley that publish all papers on an open access basis listed at https://authorservices.wiley.com/asset/Wiley-Journal-APCs-OpenAccess.xlsx. Wiley may change the URL at its sole discretion. 1.12. Intellectual Property Rights - These rights include, without limitation, patents, trademarks, trade names, design rights, copyright (including rights in computer software), database rights, rights in know-how and other intellectual property rights, in each case whether registered or unregistered, which may subsist anywhere in the world. 1.13. Institutional Account Holder - means the Customer, an Institution that has a WOAA; 1.14. Institutional Account List - means the list of Institutional Account Holders Wiley publishes on on https://authorservices.wiley.com/author-resources/Journal-Authors/licensing- openaccess/openaccess/institutional-funder-payments.html; 1.15. Secure Network - The network which provides access to Wiley Online Library (or other platforms designated by Wiley) for Authorized Users via the specific Customer’s authentication method and valid parameters. 1.16. The Site - means the Internet Site at the URL https://authorservices.wiley.com/authorresources/Journal-Authors/licensing-open-access/open- access/institutional-funder-payments.html; 1.17. Wiley Online Library - The online service (or any successor thereto) available from Wiley including all products, services and features offered via the service. Certain products and services under this Agreement may be delivered from other platforms as noted in the Appendices. The terms and conditions hereof are equally applicable to those products and services. 1.18. WOAA - means the Wiley Open Access Account held by the Customer for the purposes of administering open access workflows in Wiley’s Hybrid and Gold Journals.
