THE TREY SONGZ “Chapter V Flyaway” CONTEST — OFFICIAL RULES The Trey Songz “Chapter V Flyaway” Contest (the "Contest") is sponsored by Atlantic Recording Corporation, 1290 Avenue of the Americas, 28th Floor, New York, NY 10104, (sometimes referred to herein as “Atlantic” or "Sponsor"), and promoted and operated through Atlantic recording artist Trey Songz’ website located at www.treysongz.com/fanfivelive (the "Contest Site"). The Contest begins on July 23, 2012 at 5:00 p.m. Eastern Time ("ET") (the "Start Date"), and ends on August 20, 2012 at 12:00 p.m. ET (the "End Date") (such period, the "Contest Period"). BY ENTERING OR OTHERWISE PARTICIPATING IN THE CONTEST, ALL ENTRANTS AND OTHER PARTICIPANTS AGREE TO ABIDE BY THESE OFFICIAL RULES, WHICH ARE FINAL AND BINDING ON ALL MATTERS PERTAINING TO THIS CONTEST. 1. ELIGIBILITY AND REGISTRATION TO PARTICIPATE IN THE CONTEST. a. Eligibility in General. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS CONTEST. The Contest is open to any individual who is, as of the Start Date, (i) a legal resident of one of the fifty (50) United States or the District of Columbia, EXCLUDING ARIZONA AND COLORADO, and excluding Puerto Rico, U.S. Virgin Islands, and all other United States territories (the "Eligibility Area") and (ii) are at least the age of 21years of age. VOID OUTSIDE OF THE ELIGIBILITY AREA AND WHERE OTHERWISE PROHIBITED BY LAW (certain states may impose additional eligibility restrictions). Misrepresentation of age, upon discovery by Sponsor, will disqualify the applicable participant. Employees, officers, directors, shareholders, agents, and representatives of Sponsor, Warner Music Inc., and their respective affiliates (including without limitation, for Sponsor and Warner Music Inc., their respective labels and artists (including the Atlantic Records label)), licensors, and advertising and promotional agencies (the foregoing entities, the "Contest Entities") and the immediate family members and members of the same households of any such employees, officers, directors, shareholders, agents, and representatives, are not eligible to participate in the Contest in any manner except as otherwise expressly provided herein (e.g., as non-Entrant individuals judging Entries during specific stages of the Contest) or to win any prize. Sponsor reserves the right, at any time and in its sole discretion, to refuse to allow any individual to participate or continue to participate in the Contest, or to disqualify any individual it suspects to be tampering with the entry process or the operation of the Contest, or the Contest Site; to be in violation of any terms and conditions governing the use of the Contest Site (collectively, "Terms of Use") or any privacy policies governing the submission of information through the Contest Site (collectively, "Privacy Policy"); to be in violation of these Official Rules; to be acting in bad faith, or in a non-sportsmanlike or disruptive manner; or to be annoying, abusing, threatening, or harassing any other person. ANY ATTEMPT TO DELIBERATELY DAMAGE THE CONTEST SITE OR TAMPER WITH OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF THESE OFFICIAL RULES AS WELL AS CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY RESPONSIBLE PARTICIPANT(S) TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING WITHOUT LIMITATION CRIMINAL PROSECUTION. By participating in the Contest in any manner, you agree to be bound by these Official Rules and by all decisions of Sponsor, which decisions shall be final and binding in all respects. Sponsor reserves the right to disqualify any Entrant (as defined herein) if, in Sponsor’s sole discretion, such Entrant is ineligible, unable, or unwilling to continue his or her participation in the Contest. b. How to Participate in the Contest. Individuals must post a picture on Instagram that incorporates the theme of Atlantic recording artist Trey Songz’ album “Chapter V,” including the hashtags “#ChapterV @treysongz” in the description, to be eligible to enter the contest. Beginning on the Start Date, individuals may log on to the Contest Site, read the Contest rules and instructions, and fill out a form which allows individuals to submit their Instagram photo URL and requires individuals to provide their name, birthday (including year of birth), zip code, country, email address, and telephone number (the “Opt-in Form”) as instructed to enter the Contest (each such participant, an “Entrant”). When submitting the Opt-In Form, Entrants must check a box to confirm they agree to the official rules. By submitting an Opt-in Form, the Entrant is confirming he or she has read and agrees to comply with these official rules and all other contest requirements. Each participant who wishes to enter the Contest will, in order to be 1 eligible to participate in the Contest as an Entrant, be required to comply with the instructions on the Contest Site. For the avoidance of doubt, an entry shall not be deemed to be submitted to the Contest unless and until the applicable Entrant has completed the Opt-in Form. By participating in the Contest, an Entrant is affirmatively indicating his or her acknowledgement and acceptance of these Official Rules, and all other terms and conditions governing the Contest Site, at the time of participation. Joint entries are not accepted. Participants may submit as many entries as they desire. In the event of a dispute as to the origin of an Entry, the authorized account holder of the Instagram account used to participate as the applicable Entrant will be deemed to be the Entrant. Potential Winners (defined below) may be required to show proof of being the authorized email address account holder, as determined by Sponsor in its sole discretion. 2. THE CONTEST. a. Determining the Winner. On or about August 20, 2012, Sponsor and/or its designees (who may or may not include Trey Songz, subject to availability) (the "Judges") will review all eligible Entries for conformity to the rules and the Judges will choose, in their sole discretion, based criteria including without limitation, creativity, originality, and aesthetic value, one (1) Entry to be deemed the potential winner (the “Potential Winner”). Once the Potential Winner completes the Clearance Process (including submitting a fully completed Affidavit of Eligibility and Release) the Potential Winner will be named the winner (“Winner”). The Potential Winner will have 24 hours to respond in order to be deemed the Winner. The Winner’s Entry may be made available for public viewing via the Artist’s Official Website at any time after the Winner’s Entry is selected, in Sponsor’s sole discretion. In connection therewith, no amounts or other consideration shall be due to Entrant for any exploitation of the Winner’s Entry. The Winners will be awarded their respective Prizes (described below). NO ENTRANT WILL BE DEEMED TO BE A WINNER, OR WILL BE AWARDED ANY PRIZE, UNLESS AND UNTIL SUCH ENTRANT'S ELIGIBILITY HAS BEEN VERIFIED BY SPONSOR IN ITS DISCRETION, ENTRANT HAS BEEN NOTIFIED THAT SUCH VERIFICATION IS COMPLETE, AND ENTRANT HAS COMPLIED WITH ANY SPONSOR REQUIREMENTS (INCLUDING WITHOUT LIMITATION THOSE SET FORTH IN SECTION 2(b) BELOW). Notwithstanding the foregoing, Sponsor reserves the right to select less than one Potential Winner if there is not a sufficient number of Entries that meet the Entry requirements as determined in Sponsor’s sole discretion. As such, Sponsor reserves the right to not award any prize if, in its sole and absolute discretion, it does not receive a sufficient number of eligible and/or qualified Entries. Sponsor may, in its sole discretion, contact each Potential Winner and require any such Potential Winner to submit to a background check to help ensure that such Potential Winner's continued participation in the Contest will not, in Sponsor’s sole discretion, damage the Contest or otherwise reflect adversely on the Contest Entities; require such Potential Winner to answer additional questions or participate in additional screening procedures; require such Potential Winner to sign consent forms, releases; and/or disqualify any Potential Winner who is unable or unwilling to do or provide any of the foregoing (“Clearance Process”). Without limiting the foregoing and only if applicable, each Potential Winner who is a minor in his or her state of residence will be required to have his or her parent or legal guardian affirm in writing such Potential Winner's acknowledgement and agreement to the Official Rules, in order to continue to participate in the Contest. Sponsor reserves the right to provide an independent third party (the "Auditing Entity") with all Entries submitted by each Potential Winner in order that such Auditing Entity may examine such Entries and confirm, subject to its and Sponsor's discretion, that the Entries comply with these Official Rules. In the event that any Potential Winner elects to end his or her participation in the Contest, is unable to participate further in the Contest for any reason, or is, in Sponsor’s sole discretion, deemed to be ineligible to participate, Sponsor reserves the right to select alternate Potential Winner(s) in its sole discretion. b. Prize. PLEASE REVIEW THIS PARAGRAPH FOR IMPORTANT INFORMATION ON MINORS AND INDIVIDUALS UNDER 18. Prize for each Winner (the "Prize"): The Winner will receive the following: two (2) tickets to Trey Songz show (the “Concert”)in Atlanta, GA at a venue to be determined: Approximate Retail Value (“ARV”) $0; roundtrip airfare determined solely by Sponsor for Winner and one (1) guest to Atlanta, GA on August 26, 2012: ARV $1,500; ground transportation for Winner and guest to and from the airport determined solely Sponsor: ARV $200; a two (2) night stay for Winner and guest at a hotel determined solely by Sponsor: ARV $300; and an in person interview with 2 Trey Songz about “Chapter II” of his life: ARV $0.
