CORPORATE GOVERNANCE Report of the Board of Directors on corporate governance This section presents the report of the Board of Directors on corporate governance as required by article L. 225-37 of the French Commercial Code. It describes, in the context of the preparation of the financial statements for FY20, the conditions governing the preparation and organisation of the work performed by the Board of Directors and its Committees, the powers entrusted to the Chairman and CEO, the principles and rules used to determine compensation and other benefits granted to the corporate officers, the compensation policies applicable to the Chairman and CEO and to the corporate officers, in accordance with articles L. 225-37-2 and L. 225-37-3 of the French Commercial Code, as well as other information pursuant to articles L. 225-37 et seq. of the French Commercial Code. This report was prepared on the basis of the work carried out by several different departments of the Company, in particular the Legal Department, the Group’s Internal Audit Department and the Human Resources Department. This report was approved by the Board of Directors on 1 September 2020, following the examination by the Board’s Committees of each section relating to their area of competence and was shared with the Statutory Auditors. CORPORATE GOVERNANCE Duties performed by the Directors 2.3 Duties performed by the Directors MR ALEXANDRE RICARD Chairman and CEO Strategic Committee (Chairman) Mr Alexandre Ricard is a graduate of ESCP Europe, the Wharton School of Business (MBA majoring in finance and entrepreneurship) and the University of Pennsylvania (MA in International Studies). After working for seven years outside the Group, for Accenture (Strategy and Consulting) and Morgan Stanley (Mergers and Acquisitions Consulting), he joined the Pernod Ricard Group in 2003 in the Audit and Development Department at the Headquarters. At the end Age: 48 years old of 2004 he became the Chief Financial and Administration Officer of Irish Distillers Group, and then Chief Executive Officer of Pernod Ricard Asia Duty Free in September 2006. In July 2008, he was appointed as Chairman and CEO of French Irish Distillers Group and became a member of Pernod Ricard’s Executive Committee. In September 2011, he joined the Citizen Group General Management as Managing Director, Distribution Network and became a member of the Executive Board.
