Swann Keys Civic Association Comcast Use / Easement Agreement Information Community Update – April 12, 2021 Background On June 23, 2011, Dianna Shade, then President of Swann Keys Civic Association (SKCA), with the Board of Directors approval entered into a 10 year agreement with Comcast of Delmarva, Inc. “Comcast” to allow the company to use SKCA property to maintain and/or install cable services to the community. The agreement extended an easement for use to Comcast for SKCK common areas, roads and property. The agreement also gave Comcast the exclusive rights to market Cable, Internet and Voice Services to the community. Verizon being the service provider of most telephone services at the time was not impacted and remains a vendor in the community and will so for the future. Verizon does not have an easement agreement but continues to utilize SKCA property per prior authority. This will not change with the new Comcast Agreement. On March 21, 2021, after the regular Board of Directors Meeting, the SKCA President, Jeff Markiewicz was notified by Carol Harper and Wilma Denton that Mr. Chuck Derr remembers the 2011 contract with Comcast and we should follow-up on a renew. Immediately, Jeff Markiewicz, researched the contract and found a signed copy was filed with the offices of David Hutt, the SKCA attorney and the SKCA office. The 2011 agreement had a payment of $73,375.00 made to SKCA. With this information, Jeff engaged Executives of Comcast and Verizon to begin negotiations of a new easement contract. Verizon Fios did not enter into contract negotiations with Jeff Markiewicz since their Engineering Team does not have any current or future plans to install Fios fiber optic cable in Swann Keys or adjacent communities. No date or plans to install Fios are currently in the plans. After several weeks of intense negotiations and numerous teleconferences, Comcast came to an agreement with Jeff Markiewicz on behalf of SKCA. The SKCA Board of Directors were engaged and provided regular updates on the negotiation status and provided input into the process throughout. The contract and agreement were presented to Board of Directors via email on April 12, 2021 and a comment period was opened. The Board of Directors will vote to accept or reject this agreement on April 18th, 2021. Contact Foundation & Provisions Current Market Conditions: 1. SKCA continues to be viewed by telecommunication services vendors as a “Seasonal” community. 2. A significant number of Cable Customers have and continue to eliminate costly cable services. 3. Most customers are switching to “internet only” options to reduce cost. 4. Comcast revenues generated in Swann Keys continues to decline. 5. Satellite TV and Internet Services are not prevalent but are present in the community. 6. Fios is not an option for land based internet and TV services. 7. Verizon will continue to operate POT’s (Plain Old Telephone) based services to the community. 8. “Per Unit Compensation” (PUC) is the amount that a service provider pays to an organization to use their property to run wires, deliver services and install connectivity devices. PUC fees are also used to establish Exclusive Marketing Rights to a community. 9. The PUC fee that Comcast is typically paying today is approximately $100.00 per unit. 10. SKCA has 606 units and would be entitled to $60,600.00 under the current PUC structure. Page 1 of 3 Contract Terms Negotiated: 1. Comcast would pay SKCA a $125.00 PUC fee for 606 units in the community. Total: $75,750.00 2. Comcast would also provide significant services (allowed under Law) to SKCA at no cost. 3. No Charge / Gratis Services include: (for 10 years) a. Establishment of Common Areas Wi-Fi Hot Spots for the Pool, Community Center and Club House. b. Install the very latest High Speed Access Point (AP) hardware at no charge to the community. 5 AP’s (value $2,500/each – Total value $12,500.00) would be installed and supported for 10 years. c. Five Access Points Distribution: i. 1x installed in Club House – 50 concurrent users ii. 2x installed in the Community Center - 100 concurrent users iii. 2x installed in the Pool area – 100 concurrent users d. The Wi-Fi would fully supported by Comcast. SKCA is not involved in this. e. Comcast customers and non-Comcast customers can use the services. f. Wi-Fi service would be load balanced and performance engineered. g. 5 Complimentary Extended Cable Television connections and cable boxes. (Non-Premium Channels) h. Improved internet speed for SKCA Office – 400x faster than today and a new router. i. Reduced monthly fee for SKCA Office Internet. (Comcast cannot offer at no charge due to regulations) 4. Total Value of Package / Contract: Page 2 of 3 Summary: 1. The SKCA Board has negotiated an EXCELLENT deal for the Community. 2. Free Wi-Fi for Community Areas is an excellent asset for the community. 3. Free TV with almost all channels in the Community Center and Club House is a real community asset. 4. Reduced fees for SKCA Office internet helps reduce our costs. 5. Improved speed of SKCA computers helps us save time and money. 6. Installing the Public Wi-Fi is as a time consuming task. An engineering study will be done by Comcast at their expense. The exact placement and coverage areas of AP’s will need to be worked out. This can take several months to do, even if we start today. You want a well-planned and professionally installed system that will work for years to come. These things take time to do correctly. 7. Swann Keys is coming into the 21st Century, making money off of the deal and improving the quality of the community at no additional cost. 8. The SKCA Board continues to deliver for Swann Keys. Thank them for their time and commitment.
