I. National Projects 1. National Project for the Development of Canal General Authority for Investment and Free Zones Region Region represents a new chapter of economic development by enhancing all investment opportunities in all economic sectors, including industrial and logistic services as per the best global standards and creating a conducive environment to encourage foreign and local investors to invest in the region and make use of all benefits and incentives specified in the law. The projects seeks to develop four main areas: - Ain Shokhna - East - West Qantara - Technology Valley 1. Region: Project Description: Suez Canal Region is the main axis of economic development in . The project targets to develop more than 162.5 thousand square meters to establish one of the largest industrial complexes and ports globally By increasing the capacity of ports and quays in Sokhna and Adabia Ports, providing main logistic services and establishing some navigational maintenance activities such as bunkering andshipbuilding andrepair,creating morethan85thousand jobs. In addition to the establishment of an integrated urban plan in Ain Sokhna and New Suez City, serving more than 60,000 people. 1. East Port Said Region: East Port Said region is a promising area, which targets to create an integrated economic entity for East Port Said port through: I. East Por Said Port Development: By transforming the port into a hub for reshipment in addition to creating logistics centers II. Integrated Housing Area in East Port Said: Establishment of a new integrated urban scheme in East Port Said and Bardawil City, accommodating 250 ,000 people. III. Industrial Area at East Port Said: It is a unique investment opportunity to establish a large industrial area in East Port Said over a total area of 16 million square meters. Action is underway to develop Phase One of the project over 4million square meters. National Project for the Development of Suez Canal General Authority for Investment and Free Zones Region (Cont.) • Investment Incentives: • Zero % tax on all machines, equipment, tools and raw materials for export products. • Zero % tax revenues of bonds, loans and credit facilities. • Zero % tax on profits resulting from the merger, division or any change in the legal form of companies in addition to the imposition of a competitive income tax on net profits. • A competitive tax rate on wages, salaries, bonuses and incentives. • The area is one of the current best opportunities to have access to MENA region or expand business in these markets. • The area is a hub for regional export to African and Arab countries through the benefits of WTAs signed between Egypt and these countries, allowing investors the ability to sell their products for competitive prices. • The project is located with the boundaries of East Port Said. • Project Description: it is the administrative center of the Suez Canal Region. The idea came to alleviate pressureon theold capital, which is one of the most crowded cities globally; it hosts 18 million people. Investment and Free Zones •Infrastructure Projects: - The New Urban Communities Organization assigned Concord Company and a consortium between Orascom, Hassan Allam's Sons, Arab Contractors and the Holding Company (Al Abd, Nasr Public, Egico, Egyptian Contracting, Misr for Concrete Cement) the Designer advisory Officer will be: Consortium of Urban Development office (+5) and the implementing advisory office : Utilizer office - In order to implement infrastructure of water, sanitation, irrigation, roads, electricity and communications for the residential district, money and business district, ministries district and around Al Masa Hotel in addition to utilities and tunnels of Bin Zayed North and South Roads - Implementation was initiated in April 2016 and is scheduled to be completed in September 2017; part of the road and drainage works was completed for part of the R3 residential area and the business and financial district. - As for Bin Zayed Southern Road, all tunnels have been completed for utilities and tunnels for electricity and communications networks in addition to tunnels No. 1 and 3. Tunnel No. 2 is still underway. As for Bin Zayed Northern Road, 12 utility tunnels have been completed (out of 16) and digging has been suspended for six tunnels and the main tunnel until planning and intersections have been completed. - Main road networks are implemented by the Engineering Authority for the Armed Forces. • Situation of Offering Lands of Phase One of the New Administrative Capital: - Some 105 thousand acres have been offered for investment (urban activity), divided into 15 adjacent land plots after theRegionalRingRoadinareasstartingfrom50acresupto500 acres; preparations are underway to offer other lands for different uses (administrative, commercial and service). 2. - Sale will be concluded through the sealed envelopes auction (technical and financial envelopes). The bidder should be an existing company with an experience in the field or an under-construction company related to an existing company; incorporation should be completed within one month from the award date. The bidder may establish a new company to develop the project, consiting of the bidding company and others provided that the former's share in the under- constructioncompanyisnotlessthan51%anditpledgestomaintain the same share throughout the implementation of the project. The company's capital and financial solvency will beassessedaccordingtotheopinionoftheAdministrativeCapital Companyfor UrbanDevelopment. • Special Terms for Bidders: - Biddingcompaniesmaynothaveamongitsfoundersapublicservantorgovernmentemployeeaccording tothelaw. - Thefinancialsolvencydocumentshould beproportionalto thevolumeofinvestmentonthelandoffered. - Theexperiencedocumentshould beprovidedinproportionaltotheareaofthelandofferedforauction. • Procedures of offer and cancellations: - Technical offers shall be opened in a public session attended by bidding companies; then owners of the technically accepted bids will be notified of the date and place of the commission which will open the sealed financial offers. Award shallbemadefor eachland to thehighestpriceper squaremeters, meetingall terms. This price should not be less than the basic value identified by competent commissions. In case of providing equal prices, a public auction will be held on the highestpaymentofadvancepayment.Incaseofequality,apublicauctionwillbeheldonthehighestpricepersquaremeter tobereached.Thetimeelementisadecisiveone(timeprogram) - The auction shall be cancelled before award finally abandoned or for public interest or if it does not reach its basic value. General Authority for Administrative Capital (Cont.) Investment and Free Zones • Commitments required from the implementing company: - Taking necessary procedures and providing documents specified in the Book of Terms. - Observing financial terms and the method of payment according to the financial terms specified in the Book of Terms. - Implementing the project according to the timetable adopted by the company according to the total period of implementation, which shall be calculatedfrom thedate of issuing thefirst ministerial decree to adopt the planning and division and the time program shall be calculated as of the date of the report of receiving the location. - The land may not be used for other purposes than those specified in the Book of Terms . - Observing technical and planning specifications and no item may be amended or objected to. - The winning company shall obtain approvals of competent authorities. - The winning company may not waive the contract or use it as an in-king contribution into any project before taking the approval of the Administrative Capital Company for Urban Development. In case of the violation, the Administrative Capital Company for Urban Development may cancel the contract withouthavingtoissueanoticeorwarningorhaveajudgment. - If the winning company violated the implementation obligation and the timetable of implementation, the Administrative Capital Company for Urban Development may cancel the allocation and contract without having to issue a notice or warning or have a judgment. - Both parties, the winning company and the Administrative Capital Company for Urban Development, shall abide by any amendments introduced or suggested by the State Council to the contract when revised. 3. General Authority for Egyptian Countryside Investment and Free Zones

•Project Description: • It is part of the reclamation of 4million acres project, which seeks to create new urban communities depending on agriculture and agricultural manufacturing to reduce pressure on cities, withdraw population intensity and provide such strategic crops as wheat and medical plants used in the production of drugs in order to reduce export and provide hard currency. The source of irrigation includes surface water and groundwater. The project is implemented by the Egyptian Reef Company with contributions from the New Urban Communities Organization, the General Authority for Reclamation Projects and Agricultural Development and the Ministry of Finance to manage the project, reclaim Phase One and offer it to investors and individuals. • The project provides investment opportunities in such other fields: agricultural mechanization, marketing, logistics, storage and refrigeration, agricultural manufacturing, infrastructure (water - electricity - sewage). • Each village in the project has a school, health unit, shopping center, agricultural bank, police department, mosque and church.

General Authority for Egyptian Countryside Investment and Free Zones

•Infrastructure : The Egyptian Reef Development Company is responsible for delivering utilities to investors.

•Price : From EGP 25,000 to 65,000 per acre.

•Method of Allocation: Sale (an investor shall approach the company to obtain the Book of Terms, which indicates all information on lands offered, requirements of technical and financial qualification (Technical and financial solvency) and required documents. An investor would obtain a copy of the Book of Terms from the Egyptian Reef Company after payment of an amount of EGP 50 ,000 into the Company's account. The Company will refund the value of the Book of Terms of unqualified bidders after deducting 20 % of the paid amount. 4. National Project for Furniture City General Authority for Investment and Free Zones

•Project Description: • An area specialized in the furniture industry and ancillary industries under the system of clusters. It has more than 1,500 workshops and plants and several industrial, service and marketing activities to promote the furniture industry. • Theprojectseekstodevelopandimprovethefurnitureindustry and attract further investments to this leading sector in order to increase Egyptian exports and competition in global markets.
