We firmly believe in our responsibility to play a proactive and leading role in advocating for distinctive policy solutions to support a next-generation health system – a system that ensures every person has access to high-quality, affordable health care that meets their unique needs. It is critically important that we represent our company’s perspectives through bipartisan and meaningful engagement with Federal and State policy-makers, serving as a trusted and solutions-oriented voice for policy-makers, our employees and customers, and all our stakeholders across the health care system. Through our 2020 U.S. Political Contributions and Related Activity Report, we seek to provide transparency into the company’s advocacy activities, including political contributions through UnitedHealth Group’s bipartisan Political Action Committee – the UnitedHealth Group PAC – which is funded by voluntary contributions from approximately 1,100 employees. The PAC is managed by a robust governance process, which includes thorough review and approval of each contribution by UHG External Affairs Leadership and public disclosure of all PAC contributions, and is guided by our mission and values. We are committed to ensuring that our political giving strategy embodies the values of UnitedHealth Group – integrity, compassion, relationships, innovation, and performance. On behalf of our shareholders and the communities and people we are privileged to serve, we advance policy solutions that focus on: • Achieving Universal Coverage • Enhancing the Health Care Experience • Improving Health Care Affordability • Driving Better Health Outcomes ADVOCACY ACTIVITIES POLICIES, PRACTICES, AND PRIORITIES UnitedHealth Group participates in activities to advocate for our positions on public policy issues with elected officials and other stakeholders at the International, Federal, State, and Local levels – issues that affect our company, shareholders, employees, customers, and consumers. Our legislative and advocacy priorities are set forth in The Path Forward, our comprehensive, actionable and timely policy solutions that seek to achieve a next-generation health system; and our Sustainability Report, which highlights actions we’re taking to build a health system that works better for everyone. PROCEDURES AND BOARD AND MANAGEMENT OVERSIGHT Advocacy activities are led by UHG External Affairs with participation throughout and across our businesses, and are subject to oversight by the Executive Vice President of Corporate Affairs and the Public Policy Strategies and Responsibility Committee of our Board of Directors. In addition to overseeing our advocacy efforts, the Public Policy Strategies and Responsibility Committee assists the Board of Directors in fulfilling its responsibilities relating to our public policy, health care reform and modernization activities, political contributions, government affairs, community and charitable activities, third party activities (including trade associations and industry groups), sustainability, and corporate social responsibility, and is responsible for overseeing the risks associated with these activities. The Committee receives regular reports from our leadership on these matters, oversees our policies, and reviews the purposes and benefits of these activities at each meeting. The Committee provides reports of its activities to our Board of Directors at each meeting. Our activities include the work of educational outreach and promotion, campaign contributions, and, in certain instances, lobbying and other related activities. These activities are reviewed by legal counsel in addition to the Public Policy Strategies and Responsibility Committee and are included in the total annual fiscal budget, which is subject to the approval and oversight of our Board of Directors. UnitedHealth Group made no independent expenditures in 2020. All UnitedHealth Group PAC and corporate political contributions are made in accordance with applicable election laws. The Public Policy Strategies and Responsibility Committee adopted a political contributions policy which we have made available on our website at www.unitedhealthgroup.com/About/CorporateGovernance.aspx.
