In this scheme:

"the charity" means the charity identified at the beginning of this scheme.

"the charitable objects" means the objects of the charity.

"the trustee" means De Morgan Trustee Company Limited (6914254)

"works" means paintings, ceramics and other works of art and archive material.

"charity property" means any real property belonging to the charity.

ADMINISTRATION

2. Administration

The charity is to be administered in accordance with this scheme. This scheme replaces the former trusts of the charity.

3. Name of the charity

The name of the charity is the De Morgan Foundation.

OBJECTS

4. Charitable Objects of the charity

The charitable objects of the charity are

(a) The provision and maintenance of a collection open to the public of paintings, ceramics, and other works of art and, in particular, of works of art made by William de Morgan and his associates, paintings by Evelyn De Morgan and other works belonging to the charity at the date of this scheme; and

(b) The promotion of the appreciation of art and education in art and allied subjects.

TRUSTEE

5. Trustee

De Morgan Trustee Company Limited (6914354) acting in accordance with its usual practice is the trustee of the charity.

PATRONS

6. Patrons

2 Reference Number: 181/1011 Case Number: C-236046-41FZ (a) The trustee may from time to time invite any person or persons who support the work of the charity to be Patrons of the charity for such period or periods as the trustee may determine. The office of Patron is not subject to the duties, responsibilities and liabilities of trusteeship.

(b) The trustee may at any time by notice in writing terminate the appointment of a Patron. A Patron may resign by written notice to the trustee.

POWERS OF THE TRUSTEE

7. Powers

In addition to any other powers which they have, the trustee may exercise the following powers in furtherance of the charitable objects.

(1) to raise funds. (The trustee must not undertake any permanent trading activity giving rise to charges to tax)

(2) to sell or exchange or lend any of the works belonging to the charity, subject in the case of sale or exchange or works, to Clause 10 of this Scheme.

(3) to allow all or any of the works to be exhibited in any part of the world;

(4) to acquire or hire property and to maintain and equip it for use. (The property must be needed to further the objects of the charity.)

(5) to sell, lease or otherwise dispose of all or any part of the charity property. (The trustee must comply with the restrictions on disposal imposed by section 36 of the Charities Act 1993, unless the sale, lease or disposal is excepted from these restrictions by section 36(9)(b) or (c) or section 36(10) of that Act.)

(6) to borrow money and to charge the whole or any part of the property belonging to the charity as security for repayment of the money borrowed. The trustee must comply with sections 38 and 39 of the Charities Act 1993, as amended by the Charities Act 2006, if they wish to mortgage land owned by the charity;

(7) to co-operate with other charities, voluntary bodies and statutory authorities. The trustee may exchange information and advice with them.

(8) to establish or support any charitable trusts, associations or institutions formed for any of the charitable purposes included in the charitable objects.

(9) to enter into any partnership or joint venture arrangement with any other charity formed for any of the charitable objects.

(10) to delegate the performance of any act, including the exercise of any power or discretion, to a committee consisting of any two or more of the directors of the company which is the trustee. (The trustee must exercise reasonable supervision over the committee ad the committee must promptly report their acts and.proceedings to the trustee.) The committee must not incur

Reference Number: 181/1011 Case Number: C-236046-41FZ expenditure on behalf of the charity except in accordance with a budget previously agreed by the trustee.

(11) to appoint staff (who must not be directors of the company which is the trustee) and pay them reasonable remuneration, including pension provision for them and their dependants.

(12) To do any other lawful thing that is necessary for the achievement of the charitable objects.

8. Costs and expenses of the trustee

The trustee shall be entitled to its reasonably and properly incurred expenses in the administration and execution of the trusts provided the directors of the company which is the trustee receive no payment reward or remuneration from the trustee except:

(1) A reasonable rate of interest on money lent to the company;

(2) Reasonable rent for property let to the company;

(3) Expenses to any officer, employee or member of the company; or

(4) Premiums on the indemnity insurance referred to in clause 4.16 of the company's Memorandum of Association

CHARITY PROPERTY

9. Transfer of property

The title to the land described in part I of the schedule to this scheme is transferred by this scheme to the trustee.

10. Sale of works

(1) The trustee may not sell any of the works except in accordance with the powers in this clause and provided the trustee considers sale is in the best interests of the charity.

(2) The trustee may sell the works listed in part 2 of the schedule in accordance with the provisions of this clause of the scheme provided the charity has multiple examples of that mechanically reproduced work and provided sufficient examples of each particular design are retained for the effective study and appreciation of the work by the public.

(3) The trustee may sell the works listed in part 3 of the schedule in accordance with the provisions of this clause.

(4) Before making any decision that it is in the best interests of the charity to sell any work or works the trustee must:

Reference Number: 181/1011 Case Number: C-236046-41FZ (a) Obtain and consider a written report on the proposed disposition from a suitably qualified person acting exclusively in the interests of the charity.

(b) Advertise the proposed disposition for such period and in such manner as the suitably qualified person advises in his report.

(c) Decide they are satisfied having considered the report that the terms on which the disposition is proposed to be made are the best that can reasonably be obtained for the charity.

(5) The proceeds of sale must be applied in accordance with clause 11 of this scheme.

11. Use of income and capital

(1) The trustee must firstly apply:

(a) the charity's income; and

(b) if the trustee thinks fit, expendable endowment; and

in meeting the proper costs of administering the charity and of managing its assets.

(2) After payment of these costs, the trustee must apply the remaining income in furthering the charitable objects of the charity.

(3) The trustee may also apply for the charitable objects of the charity:

(a) expendable endowment; and

(b) permanent endowment, but only on such terms for the replacement of the amount spent as the Commission may approve by order in advance.

GENERAL PROVISION

12. Questions relating to the Scheme

The Commission may decide any question put to it concerning:

(1) the interpretation of this scheme; or

(2) the propriety or validity of anything done or intended to be done under it.
