At least 40 days before an AGM (or such other timeframe as the Board may agree) a Debenture Playing Member only (paying a Debenture Playing Member’s membership fee) may propose a qualifying candidate, or qualifying candidates, as first proposer and any category of Member (paying their appropriate membership fee) must second such proposal by email to the Company Secretary. All Members will be notified of the proposed candidates at least 14 Clear Days prior to the AGM. The full list of Board members, existing and proposed, will be listed on a ballot; Members elect their full Board from this list. In the case of two or more candidates receiving an equal number of votes, the successful candidates shall be determined by lot. The newly elected Board shall select a Chairman from among its number. 1.1. In the event of a vacancy on the Board the Board shall have the power to appoint any Member of the Club to fill such vacancy but the proceedings of the Board shall not be invalidated in consequence of there being less than the prescribed number. Such appointee shall serve until the next Annual General Meeting and shall be eligible for election by the Members.
