FINDINGS AND RECOMMENDATIONS REGARDING MINING COMPANIES’ COMPLIANCE WITH KRS 337.200

The recent bankruptcy of Blackjewel has been devastating to mining families in Kentucky, Virginia, and West Virginia. Wages were clawed back from miners’ accounts, child support was deducted, but not paid and the miners still have not been paid for several weeks of their labor. Under KRS 337.200, the miners’ wages should have been protected. Under that law, Blackjewel was required to secure and file a performance bond with the Kentucky Labor Cabinet that would have covered four weeks of wages for all workers. However, a story published in the Lexington Herald-Leader on July 31, 2019 revealed that the Labor Cabinet had not secured the bond, leaving the miners unprotected. In response to this failure, the Labor Secretary claimed the law was “self-policing,” and that he had no means of enforcing it. Given this concerning response, the Attorney General instructed this Office to determine whether other miners are at risk, and to evaluate the Labor Secretary’s claim that he could not have enforced the law.

Based on this request, the Office of Attorney General has determined that:

(1) nearly 1,000 employees may be working for mining companies that should – but do not – have performance bonds protecting their wages;

(2) as many as 30 licensed mining companies may not have secured or filed the necessary performance bond;

(3) the Labor Cabinet was aware of its duty to enforce the law because it unsuccessfully attempted to repeal the law in 2018; and

(4) the Labor Cabinet had ample means to enforce the law that range from publicly available information posted online by the Commonwealth to the Labor Secretary’s ability to seek information from other Cabinets, such as the Energy and Environment Cabinet (“EEC”), to the use of the Labor Cabinet’s subpoena power. Kentucky Law Requires Performance Bonds.

Under KRS 337.200, all employers “engaged in construction work, or the severance, preparation, or transportation of minerals,” and who have been doing business in the Commonwealth for fewer than five consecutive years, must post a performance bond with the Labor Cabinet. The purpose of the bond is to ensure “the payment of all wages due from the employer,” and it must be equal to four weeks’ payroll at the employer’s full capacity. KRS 337.200. Any employee may then recover “wages, liquidated damages, and attorney’s fees as provided by law” from the bond by presenting a court order to the Labor Cabinet. Id. The employer may terminate the bond with the approval of the Labor Cabinet after swearing that it has ceased doing business in Kentucky and has paid all outstanding wages. Id.

The Labor Cabinet is tasked with enforcing the law. It is empowered to fine companies and their officers if they violate KRS 337.200. Specifically, KRS 337.994 provides, in part, that “[a]ny employer who violates KRS 337.200 shall be fined not less than one hundred dollars ($100) nor more than five hundred dollars ($500). Each day that the employer violates KRS 337.200 shall constitute a separate offense and penalty.”

A Performance Bond Should Have Been Secured To Protect The Blackjewel Miners’ Wages.

On July 1, 2019, Blackjewel, LLC, and four affiliated companies filed for bankruptcy in the United States Bankruptcy Court for the Southern District of West Virginia. Blackjewel was formed on March 1, 2017, and filed for authority to transact business in Kentucky on July 27, 2017. At the time of its bankruptcy, Blackjewel employed at least 400 miners in Kentucky. Those miners received paychecks three days before Blackjewel declared bankruptcy, but those paychecks were clawed back by the company, leaving miners unpaid for weeks of their work.1

When Blackjewel filed for bankruptcy, it had been operating in Kentucky for less than three years. As a mining company, Blackjewel was plainly “engaged in . . . the severance, preparation or transportation of minerals.” Accordingly, Blackjewel should have had a performance bond on file with the Labor Cabinet, to ensure that Blackjewel would pay its employees’ wages even if Blackjewel became insolvent. Had the Labor Cabinet ensured that Blackjewel was in compliance with KRS 337.200, the employees would be able to recover their wages from the bond filed with the Labor Cabinet.

The Labor Cabinet Has Failed To Secure A Single Performance Bond For Mining Companies Under KRS 337.200.

In light of the revelation that the Labor Cabinet had failed to ensure compliance with the performance bond requirement for Blackjewel, the Attorney General directed this Office to examine whether other mining companies subject to KRS 337.200 had been permitted to operate in Kentucky without posting performance bonds.

The Office conducted its review by accessing a snapshot of publicly available information, including the list of mining licenses granted in 2019 by the Energy and Environment Cabinet. That list is available to anyone – including the Labor Cabinet – by simply visiting the EEC website.2 The Office then accessed the publicly available filings of each licensee at the Secretary of State’s website – again, information that is available simply by visiting the Secretary’s website and conducting a search.3 The Office then compiled a list of licensed mining companies that EEC authorized to operate in Kentucky and that had been doing so for fewer than five consecutive years. This includes companies that registered in Kentucky fewer than five years ago, companies that were dissolved and then re-registered within the past five years, and companies that otherwise became “inactive” or in “bad” standing with the Secretary of State.

Based on these sources, this Office believes that there are as many as 30 mining companies that have been authorized to operate in Kentucky and have been operating in this state for fewer than five years.4

Next, the Office used the EEC Division of Mine Safety 2018 Annual Report to estimate how many miners may work at the mines operated by the licensees who should have bonds on file with the Labor Cabinet.5

The EEC 2018 annual report indicates that the total number of miners in mines operated by these companies was 932.6

Simultaneously, the Office sent an open records request to the Labor Cabinet pursuant to the Kentucky Open Records Act on August 12, 2019 for all bonds as required under KRS 337.200. The Cabinet finally complied with that request on August 26, 2019, after a delay that it attributed to the need to be “thorough in its comprehensive review of all materials contained within the Cabinet.” The response showed that the Labor Cabinet had failed to secure a single performance bond for any mining company.7 In other words, every identified mining company

Our review concluded that none of those bonds were filed by the currently licensed mining companies. 3 doing business in Kentucky for fewer than five consecutive years is operating without the required protections for their employees’ wages as required by KRS 337.200.

Accordingly, we estimate that as many as 932 miners are employed by mining companies that should have performance bonds on file with the Labor Cabinet, but do not. This estimate does not include workers in other industries covered by KRS 337.200, such as construction companies or companies involved in the transportation of minerals.8

The Labor Cabinet Had The Means To Enforce KRS 337.200.

The Labor Secretary has claimed in public statements that he is unable to determine whether companies operating mines in Kentucky have complied with their obligations to post bonds. Specifically, he has asserted that “there’s no apparatus whereby we would know” that a company is operating a mine in Kentucky and should post a bond.9 He has described this law – which plainly empowers him to fine violators – as a “self-policing” rule.10

The Labor Secretary’s claims that he cannot enforce KRS 337.200 are both false and unacceptable. The information needed to enforce the law is publicly available. In fact, it is posted online by the Commonwealth of Kentucky itself. Moreover, the Labor Cabinet claims broad subpoena powers and a duty to use those powers to investigate labor law violations, as it has repeatedly argued in recent court documents. In other contexts, the Labor Secretary has avowed that he “has a duty” to investigate the violation of any labor laws and to “hold people accountable” if the laws are violated, and stated that “Kentucky law compels [him] to act” if he finds any such violation.11 He has also claimed that his “interest and duty, first and foremost, is upholding and enforcing Kentucky law.”12

The Labor Cabinet can use its subpoena powers to gather information from private companies in order to enforce the clear requirement that such companies be bonded pursuant to KRS 337.200. Specifically, KRS 336.060(1) provides that the Labor Secretary “may issue subpoenas to compel the attendance of witnesses and parties and the production of books, papers, and records competent and relevant to the matter under investigation.” If a company fails to comply with a subpoena, the Labor Secretary may bring an action in state court to enforce it. KRS 336.060(2).

In addition to its subpoena power, the Labor Cabinet can simply ask or coordinate with other government agencies – including the EEC and the Transportation Cabinet – to identify companies engaged in industries that may be subject to KRS 337.200.13

The Labor Secretary’s claim that he cannot enforce this law – an essential and explicit protection for workers – is at odds with the facts and the law.

The Labor Cabinet Knew It Had A Duty To Enforce KRS 337.200, But Refused.

Nor can the Labor Cabinet claim that it was unaware of KRS 337.200. In the 2018 Regular Session, Representative Tipton introduced a bill – 2018 HB 382 – that would have amended KRS Chapter 337 to repeal KRS 337.200, the requirement that companies obtain bonds to protect workers’ wages, and KRS 337.994, the provision empowering the Labor Cabinet to fine employers who do not obtain the bond. At the March 1, 2018 meeting of the House Standing Committee on Economic Development & Workforce Investment, Labor Cabinet Deputy Secretary Mike Nemes and Labor Cabinet Chief of Staff Brooken Smith testified in favor of the bill. While 2018 HB 382 was voted out of committee, it did not receive a vote on the floor of the House of Representatives. Accordingly, these statutes – requiring employers to obtain bonds to protect workers ’wages and empowering the Labor Cabinet to fine those employers who do not comply – remain in effect, despite the Labor Cabinet’s public opposition to those worker protection laws.

While the Labor Cabinet may prefer that these laws be repealed, it has a duty to enforce them while they remain on the books. The Labor Cabinet should do so, using the many tools we have identified that are available to it.

CONCLUSION

Kentucky law requires certain companies, including mining companies, to post a bond with the Labor Cabinet to protect their employees’ wages. This Office’s review of information available to the public, including the Labor Cabinet, indicated that nearly 1,000 Kentucky miners may be working for companies that have not posted the required bond. The Labor Cabinet has been aware of this law, but has refused to enforce it. This failure has worsened the situation for the Blackjewel miners. The Cabinet should use tools available to it to ensure that companies have filed the required bonds. Its failure to do so threatens the wages that hard-working Kentuckians have earned. The Labor Cabinet should act in a way that guards against what has happened to employees of Blackjewel from ever happening again.

The Labor Cabinet can obtain from EEC – or EEC can provide directly to the Labor Cabinet – information about any mining licensee that is delinquent in its taxes. Such companies may be insolvent, and are at much greater risk of going out of business. The Labor Cabinet could focus its efforts on ensuring the employees of those at-risk companies are protected by performance bonds. 5

The House Standing Committee on Economic Development & Workforce Investment held its 4th meeting of the 2018 Regular Session on March 1, 2018, at 8:00AM, in Room 129 of the Capitol Annex. The Chair called the meeting to order, and the secretary called the roll.

Members Present: Representative , Chair; Representative Daniel Elliott, Vice Chair; Representatives , McKenzie Cantrell, Jim DeCesare, Jr., Joni L. Jenkins, , , Jerry T. Miller, , , Rob Rothenburger, Diane St. Onge, , , and Scott Wells.

Following is a summary of committee action on the bills that were considered:

HB 382 -AN ACT relating to the Labor Cabinet.

Representative James Tipton, sponsor; Deputy Secretary Mike Nemes, Labor Cabinet; and Brooken Smith, Chief of Staff, Labor Cabinet, explained and spoke in favor of the bill. Bill Finn, State Director, Kentucky State Building and Construction Trades Council and Larry Roberts, Legislative Agent, Kentucky Pipe Trades Association, spoke in opposition of the bill.

HB 382 amends KRS 12.020 to remove the Division ofWorkers' Compensation Funds from the Department of Workers' Claims and remove the Occupational Health and Safety Standards Board; amend KRS 224.20-320 to remove the OSH Standards Board and insert the Labor Cabinet secretary; amend KRS 336.015 to remove the OSH Standards Board; amends KRS 336.020 to remove the Division of Workers' Compensation Funds from the Department of Workers' Claims; creates a new section in KRS Chapter 336 to set forth the authority of the inspector general including subpoena power; amend KRS 338.015 to remove the OSH Standards Board from the definitions; amends KRS 338.061 to remove the OSH Standards Board and give the Labor Cabinet secretary its authority; amends KRS 342.120 to give the Kentucky Workers' Compensation funding commission the authority as formerly possessed by the Division of Workers' Compensation Funds to be responsible for the special fund claims and records; amends KRS 342.232 to require the funding commission and KEMI to report on the CWP fund annually instead of quarterly; amends KRs 342.265 to conform; repeals KRS 337.200 and 337.994 pertaining to performance bonds for wages from employers engaged in construction work or the severance, preparation, or transportation of minerals, KRS 338.051 abolishing the OSH Standards Board, and KRS 342.23 5 relating to travel expenses for the Department of Workers' Claims staff.

A motion on HB 3 82 was made by Representative Kim King and seconded by Representative Jim DeCesare. A roll call vote was taken with 14 members voting yes and

HB 388/LM- AN ACT relating to the Kentucky Workers' Compensation Funding Commission.

Representative James Tipton, sponsor; Deputy Secretary Mike Nemes, Labor Cabinet; Brooken Smith, Chief of Staff, Labor Cabinet; and Reuben Jones, Executive Director, Kentucky Workers' Compensation Funding Commission, explained and spoke in favor of the bill. Prentice Harvey, Legislative Agent, American International Group (AIG), spoke in opposition of the bill.

HB 388 amendsKRS 342.0011 to defme "deductibleprogramadjustment" and specify items to be considered on policies with provision for deductibles; amends KRS 342.122 to require all assessments to be remitted electronically beginning on January 1, 2020; amends KRS 342.1221 to clarify that interest is paid for late payment of expenses; amends KRS 342.1231 to change the term "taxpayer" to "assessment payer"; sets a 7-year limitation from the date of the quarterly premium report or amended quarterly premium report for assessments; requires records to be preserved for audits, explain when payment is final, and when a refund should be returned; amends KRS 342.1242 to require KEMI to reimburse for expenses to collect the coal assessment; amends KRS 342.1243 to clarify when assessments for the coal workers' pneumoconiosis fund cease and when the fund is abolished.

A motion was made to adopt proposed committee substitute 1 to HB 3 8 8 by Representative Daniel Elliott and seconded by Representative Jason Petrie. The committee substitute was adopted by voice vote.

A motion on HB 388 as amended by committee substitute 1 was made by Representative Jim DeCesare and seconded by Representative Jason Petrie. A roll call vote was taken with 14 members voting yes, zero voting no, and three members voting to pass. HB 3 8 8 as amended by committee substitute 1 was reported with the expression of opinion that the same should pass.
