CARISSA COZE, Partner Carissa Coze is chair of Jenner & Block's Sports and Gaming Practice and a co- chair of the firm's Corporate Practice. She is an experienced dealmaker who focuses on M&A, joint ventures and strategic partnerships in the sports, gaming, esports, mediatech and entertainment industries. Ms. Coze provides sophisticated and strategic advice on complex, game-changing transactions that help content providers, technology companies and brand holders establish new ways to develop and exploit their intellectual property and engage in new business in a rapidly evolving content, media and entertainment ecosystem. Ms. Coze also counsels public companies and their boards of directors on M&A transactions, fiduciary duties, insider trading compliance, corporate governance and securities matters. Sports Business Daily called the transaction “the boldest step taken by a US media company in the sports gambling space.” Tubi Acquisition Represented Fox in its $440 million acquisition of Tubi TV, a leader in the free ad-supported streaming category. The transaction was announced in March 2020 and closed in April 2020 amid the COVID-19 pandemic. MLB In-Market Streaming Rights Advised Fox Sports Net and its regional sports networks in the acquisition from Major League Baseball Advanced Media (MLBAM) of rights to stream to mobile devices live telecasts of local MLB team games via Fox Sports Go and other authenticated platforms Sports Rights and Networks Regularly advises media companies on strategic joint ventures, rights agreements and related arrangements with professional sports teams, leagues and collegiate conferences. Reflecting her deep and historical involvement in this area, Ms. Coze advised on four of the five new deals identified by Forbes as “MLB’s Biggest Cable Deals,” and half of the deals identified by Forbes as “MLB’s Most Valuable Television Deals.” Production Company Investment Represented a private investor group in its investment in Media Rights Capital, an independent film financing and production company whose titles include the Netflix series “House of Cards” and the movie franchise “Ted.” The investment included a complex corporate and debt restructuring with existing investors including Goldman Sachs, ABRY Partners, AT&T and advertising company WPP. Media-focused Investment Bank Represented Stella Advisors, a UK-based investment bank, which focuses exclusively on media, Internet and media- related technology businesses, on its expansion to the United States. Esports Transactions Advises on transactions involving the rapidly expanding esports industry, including a joint venture that formed Caffeine Studios to produce content for the esports and social broadcasting platform Caffeine. Big Ten Network Represent Fox Sports Net in the creation, development and operations of the Big Ten Network, a 20-year joint venture with an affiliate of the Big Ten Conference. The Big Ten Network was the first collegiate conference sports network to offer a full-time channel to cable systems nationwide, with programming 24 hours per day, 365 days per year.
