THE ESSENTIAL ROLES OF AGENCY LAW Gabriel Rauterberg* This Article suggests a fundamental shift in how we think about agency. The essential function of agency law lies not only in enabling the delegation of au- thority, as is widely suggested, but as significantly in its effect on creditors’ rights through asset partitioning. There is an increasing temptation in legal scholarship to treat agency law as a sideshow confined to the first day of cor- porations class. This is because much of what agency law does in commerce could simply be accomplished through standard-form contracts that provide default terms for the relationships among firms, their managers, and third parties. Even agency’s much-vaunted fiduciary duties can easily be altered or waived by contract—and often are. This Article identifies the essential roles of agency law, which parties could not contractually replicate, and the im- portant efficiencies that flow from them. Agency’s essential roles in commercial enterprise are twofold: first, to permit one person to attribute the legal significance of his or her acts to another, and second, to facilitate asset partitioning. Just as limited liability partitions off the assets of a firm’s owners from the assets of the firm itself, agency law par- titions off the assets of a firm’s managers from the firm’s own assets. Recog- nizing this function reframes the usual staging of contractual disputes in agency as a zero-sum balancing act between the interests of third parties and of principals. Whether owners or managers should be liable for a firm’s un- paid contracts is not just a win-lose distributional question—pitting the firm’s creditors against insiders—but rather can be socially efficient. Through simplifying and specializing asset pools, asset partitioning lowers the cost of monitoring the firm’s assets and thus the cost of credit. To illustrate the asset partitioning role of agency law, I unearth two doctrines ignored by scholar- ship—the “veil piercing” doctrines of agency. Understanding agency’s asset partitioning role has extensive implications for theory and practice. In addition to providing a unifying account of agency law, the analysis resolves current disputes in the interpretation of its doctrine. Most importantly, recognizing the essential roles of agency demonstrates its ongoing significance to commercial and corporate law. * Assistant Professor of Law, University of Michigan Law School. Every large firm manages its business activities through a dizzying array of agents who carry out the firm’s affairs and bind it by the contracts they enter.1 Di- rectors, CEOs, managing partners—all are agents authorized to transact on some firm’s behalf. As the Supreme Court noted in Hobby Lobby, “[c]orporations, ‘separate and apart from’ the human beings who own, run, and are employed by them, cannot do anything at all.”2 Given the im- portance of agency law, the Supreme Court and federal circuit courts pre- dictably remain preoccupied with disputes over the interpretation of its doctrine.3 Yet, scholarly understanding of agency law has not kept pace with its continuing significance to commercial and corporate activity. In fact, the most noticeable feature of the scholarship addressing agency law is how little there is. Ever since Oliver Wendell Holmes, Jr., attacked agency doctrine a century ago as “the resultant of a conflict between logic and good sense,” ac- ademics have almost universally neglected the topic in both law and eco- nomics.4 While a sophisticated literature explores the economic concept of “agency costs,” the concepts of agency law have often been neglected.5 Though there has been a renewed theoretical focus on the functions of legal 1. The study of commercial law can be divided into four basic ca- tegories: (a) individuals (natural persons); (b) objects of commerce; (c) legal instruments and (d) administrative and legal procedures. Business relations bet- ween individuals and business entities requires significant legal documentation, including atypical or nonstandard business contracts. A central feature of all business transactions is the “legal entity”, used by organizations worldwide to conduct business. In order for many businesses to carry out routine activities, they must have many of the same legal rights and responsibilities as natural persons. In a word, these entities require “legal personhood”. Which leads us to the question of Legitimation. The most widely used legal instruments are nons- tandardized business contracts. In essense, this is the delineation of contracting parties as entities with well-defined rights and obligations. This authority de- pends, in turn, on the legitimacy of the “personhood” of the contracting parties, which is often a point of dispute in business relations. Regardless of whether one accepts the use of terms “legal entity” and “legal personhood”, they often give rise to immeasurable and diverse conflicts domestically, regional and at global level. This had led to efforts to improve the rules of the International Chamber of Commerce and improve legal models that provide guidance to di- verse nations.

Feldbrugge Emeritus Professor of East European Law University of Leiden, Faculty of Law We talk about private law and public law as if everybody knew what was meant when these words are being used about law. This probably holds true for lawyers and even law students, but not for the general population. Most people will have some sort of idea about labor law, or bankruptcy law, but the distinction between private law and public law, considered as most fundamental by most lawyers, means next to nothing to the man or woman in the street. Is the problem perhaps avoidable, do we actually need the public/ private law distinction? If we do not, the matter could be left to those inclined to such intellectual pastimes. Unfortunately, the distinction between public and private law entails practical consequences, at least in continental legal systems, so it can- not be referred to the convenient and already very large file of problems that do not need a solution. To start at the simplest and most practical level: our law happens to be divided into two boxes; some of it has been put into the box marked “public law”, and the rest into the box marked “private law”, and the contents of these two boxes are treated somewhat differently. For the law student and the humble practitioner this may be enough to know. But the more discerning lawyer would of course like to know why some law goes into one box and some into the other. Two thousand years of jurisprudence—because the distinction goes back at least as far as the Romans—have produced a vast body of literature containing answers to this question.

    BAD AGENT, GOOD CITIZEN? Claire Hill,* Brett McDonnell** & Aaron Stenz*** INTRODUCTION Lawyers are agents for their principals—their clients.1 The Restatement (Third) of Agency sets forth an agent’s duty: “[A]n agent has a fiduciary duty to act loyally for the principal’s benefit in all matters connected with the agency relationship.”2 A good agent is a loyal agent. The Restatement also sets forth several important components of the duty: “An agent has a duty not to acquire a material benefit from a third party in connection with transactions conducted or other actions taken on behalf of the principal or otherwise through the agent’s use of the agent’s position.”3 Further, “[a]n agent has a duty not to deal with the principal as or on behalf of an adverse party in a transaction connected with the agency relationship.”4 A lawyer who violates these duties is a bad agent, in breach of her fiduciary duty of loyalty to her principal.5 Lawyers also have professional obligations to the broader society. Notably, they cannot help their clients commit crimes, nor can they be party to their client’s concealment of crimes.6 Even consistent with those obligations, and certainly in gray areas (such as avoiding inconvenient knowledge),7 whether they are being good agents or bad agents for their clients, lawyers can help—or harm—the broader society.8 * Professor and James L. However, it fails to reconcile Islam with universal human rights, especially insofar as it considers Sharia law as its sole source of reference and does not recognise certain rights. The committee is therefore concerned that three Council of Europe member States – Albania, Azerbaijan and Turkey – are signatories to the 1990 Cairo Declaration, as are Jordan, Kyrgyzstan, Morocco and Palestine, whose parliaments enjoy partner for democracy status with the Parliamentary Assembly. The committee considers that where human rights are concerned there is no room for religious or cultural exceptions. Member States and partners for democracy should bolster religious pluralism, tolerance and equal rights of all. Bridges of understanding between Sharia law and the European Convention on Human Rights should be created, on the prior condition of acceptance that the Convention is an international instrument binding on all States Parties. [Federal] It is a popular maxim that silence implies assent, or as Oliver Goldsmith once stated, "silence gives consent."u Since the development of the contract as a legal instrument, there have been repeated attempts to gain contractual advantages by asserting as a comparable legal rule that failure to express a rejection of an offer may constitute an accept- 3 ance of it.2 The recent case of Russell v. The Texas Company stands as one of the relatively infrequent instances in which this contention has been upheld in the courts.
