December 17, 2020, at 3 p.m. Central Deadline to conduct self-directed brokerage transactions in/out of your Schwab PCRA account This is the last day to conduct transactions between Transamerica and your Schwab PCRA account before the transition.

You will have limited access to your account(s). This “blackout period” will give us time to transfer your plan’s administrative records to Empower Retirement (see the Important notice section of this document for details). Payroll deductions will continue during the blackout period and any scheduled Januar y 1 automatic increases to your contribution rate will take effect with the first pay period in Januar y.

As part of the transition to Empower, your account(s)will remain invested in the same funds in which you are currently invested. If you would like your account(s) to transfer differently, simply change the elections for your current balance and your future contributions by contacting Transamerica at 800-755-5801 between now and 3 p.m. Central time on December 23, 2020. The temporary blackout period begins at this time and will end the week of January 10, 2021 during which time you will not be able to make investment or other changes to your account. You will be able to make changes after the transition is completed the week of January 10, 2021.

Electronic statement election If you have made an electronic statement election with Transamerica, your election will transfer to Empower. If you would like to elect to receive electronic statements and have not already done so, contact Transamerica prior to the start of the transition period on December 23, 2020, or wait until your account is available with Empower the week of January 10, 2021.

Your account statements Transamerica will provide a final statement that reflects the closing of your account in January 2021. Your first statement from Empower, will show you the amount transferred into your new account.

Important information for current Schwab Personal Choice Retirement Account® (PCRA) holders

As communicated, your Essentia Health Retirement plan 401(k) and Essentia Health 403(b) Plan are transitioning to Empower Retirement. As a result, transfers between your Schwab Personal Choice Retirement Account® (PCRA) and the core funds in the Essentia Health Retirement Plan 401(k), Essentia Health 403(b) Plan, and/or the Essentia Health 457(b) Deferred Compensation Plan account will be restricted beginning at 3 p.m. Central time on December 17, 2020 and ending the week of January 10, 2021.

Through your continued use of the PCRA, you agree that you are a knowledgeable investor and understand the fees and risks associated with investments in the PCRA. You are solely responsible for determining those investments which are suitable to you and for any losses to your Plan account. You, on behalf of yourself, your heirs, successors and assigns, will not hold your employer, the PCRA provider or any of your Plan’s service providers liable for any negative consequences resulting from your use of the PCRA.

Core and Transfer Minimums • Once your PCRA is administratively transferred under the new recordkeeping system, you will be required to maintain a minimum balance of $500 in the core funds. • If you wish to make transfers into PCRA from your core funds, an initial transfer minimum of $500 will apply with subsequent transfer minimums of $1. • Monies will be transferred first into the Schwab Bank Sweep for Benefit Plans , the cash feature within your PCRA. You may then access your account to make trades from the monies in your Schwab Bank Sweep for Benefit Plans.

If you have Roth money in your PCRA • A separate Roth PCRA will be established for you during this blackout period. During this blackout period, money will be moved into this separate account and transfers and trades will be prohibited. During this period, you will also see your overall PCRA balance overstated by one business day as the assets are moved from the non-Roth PCRA to the Roth PCRA. • To establish the new Roth PCRA, account assets equal to your Roth balance will be transferred to the new Roth PCRA. o If there is sufficient cash in your PCRA account, cash will be moved to your new Roth PCRA. o If there is not sufficient cash in your PCRA account the transfer will occur in the following order until the Roth PCRA is funded: . Cash . Mutual funds, in alphabetical order by fund name as listed by PCRA . Settled and exchange-traded funds (EFTs), in alphabetical order as listed by PCRA o NOTE: This transfer process may result in a security being split between the Roth and non-Roth PCRAs. • Account preferences such as systematic purchases or dividend elections that you’ve established in your PCRA account will not carry over to your new Roth PCRA. • If you want to have an all-cash transfer to the Roth PCRA, the amount of cash in your PCRA should be equal to or greater than your Roth balance in your PCRA. • You will need to call Schwab at 1-888-393-PCRA (7272) to make sure you have enough cash in your account. If you need to liquidate securities to raise more cash, you will need to place sell orders in your PCRA by 3 p.m. Central time on December 17, 2020.

If you do not want to have a separate Roth PCRA, you may transfer the cash back to the core funds in your Plan’s lineup from the Roth PCRA at Schwab after the blackout period has ended.

Annual Notice The Essentia Health Retirement Plan (401k) Effective January 1, 2021

The Essentia Health Retirement Plan (401k) (the "Plan") allows both the participants and ESSENTIA HEALTH, Inc. (“ESSENTIA”) to make contributions to the Plan. In order to allow you to make an informed decision on the level of your own contributions, if any, and to meet certain Internal Revenue Code nondiscrimination requirements, ESSENTIA must inform you of the type of contribution it will make to your Plan account. This notice is intended to meet that requirement for the Plan Year ending December 31, 2021.

Employee Contributions As explained more fully in the Summary Plan Description (SPD), if you are not an excluded employee, you are eligible immediately upon hire or if later, the first of the month following the date you turn age 18. If you are already a participant in this plan, you will continue to be a participant in this plan. Once eligible, you may contribute from 1% to 100% of your eligible pay on a before-tax basis or on an after-tax Roth basis. The maximum combined before-tax and after-tax Roth contribution permitted by law is $19,500 for 2021.

If you are age 50 or older, you may be eligible to make additional before-tax or after-tax Roth “catch-up” contributions beyond the limits described above, up to the maximum annual “catch up” contribution amount. The maximum catch-up contribution permitted by law is $6,500 for 2021.

Dollars you save as before tax contributions are excluded from your federal taxable income tax when contributed to the Plan, but these contributions, and the related earnings, are taxable when distributed. After-tax Roth contributions are included in your federal taxable income when contributed to the Plan, but, if you satisfy certain rules, no federal income tax would be owed on the earnings on the after-tax Roth contributions when distributed.

Automatic Enrollment and Automatic Increase Eligible Automatic Contribution Arrangement (EACA) applies to the plan. This type of automatic enrollment allows the plan administrator to automatically enroll eligible participants who have not previously elected to participate in the plan or declined to participate. If you do not affirmatively elect or decline plan participation within 30 days of notification of your eligibility, the plan administrator will automatically enroll you in the plan with a 4% pre-tax contribution rate. You may change or decline these elections at any time. In addition, within the first 90 days after you are automatically enrolled to participate in the Plan, you may elect to have the amount that was automatically contributed to the Plan (adjusted for investment earnings and losses) paid to you. Any amount that you elect to have paid to you within this period will not be eligible for matching contributions. Automatic Increase (AI) provisions applies to the plan. If you are automatically enrolled and contributing less than 10% of pay on a combined before-tax and Roth basis, you will automatically be scheduled for a 1% of pay increase to your contribution annually each January 1, until you reach a 10% of pay contribution rate on a combined before tax and Roth basis, unless you choose to increase or decrease your contribution percentage, or opt out of the Plan (by reducing your contribution percentage to “0”). The 1% of pay increase to your contribution will be done on a before tax basis.

Employer Contributions

As explained more fully in the Summary Plan Description (SPD), if you are not an excluded employee for match and non-elective benefits, you are eligible for match and non-elective benefits, the first of the month following the date you turn age 18 and complete a year of service (12 month period beginning on your date of hire or each anniversary of date of hire during which you worked 1,000 hours of service). If you are already a participant in this plan for match and non-elective benefits, you will continue to be a participant in this plan for match and non-elective benefits

If Match Eligible, ESSENTIA will make matching contributions every pay period and non-elective contributions annually. The matching contribution is 50% of your contribution up to 4% of your eligible compensation. This matching contribution applies whether you save using pre-tax contributions, Roth 401(k) contributions or a combination of both, and is subject to certain IRS limits on contributions.

If Non-Elective Eligible, ESSENTIA may make non-elective contributions annually (determined by ESSENTIA on a discretionary basis each year). For each Plan Year, a non-elective contribution of your eligible compensation will be made if you have worked at least 1,000 hours in that Plan Year and are employed on the last day of the Plan Year. Please see the SPD for any additional eligibility and allocations conditions that may apply in order to be eligible to receive these contributions.

Plan Compensation Your eligible compensation for Plan purposes generally is defined as your compensation that is reported as income on IRS Form W-2. Your eligible compensation also includes amounts you contribute to the Plan and amounts you use to pay for flexible and transit benefits on a pre-tax basis, but will exclude severance payments, payments from nonqualified 457(f) plan, sign-on bonuses, physician stipend compensation, reimbursements or other expense allowances, fringe benefits, moving expenses, deferred compensation, welfare benefits and compensation prior to eligibility. . Your eligible compensation will also include any tax gross-up payments you receive related to these amounts. Tax rules limit the amount of compensation that may be taken into account as plan compensation each year to $280,000 (for 2020). See SPD for additional information.

Rollover Contributions You can roll over to the Plan qualified cash distributions from an eligible retirement plan or IRA. Vesting Provisions Vesting means the portion of your accounts in the Plan that you are entitled to receive if you no longer are employed by ESSENTIA. Your paycheck contributions to the Plan (together with any investment gain or loss) are always fully vested. Contributions made by ESSENTIA that are subject to a vesting schedule are described in the SPD.

You will also be fully vested in your plan accounts when you reach the Plan’s normal retirement age, or if you leave employment due to disability or death. If you leave your employment for any other reason, you will be entitled to receive only the vested portion of the Plan accounts for other types of contributions.

Withdrawal Provisions Even if you are vested in your Plan account, Plan provisions dictate when you may withdraw your funds. These Plan provisions may be important to you in deciding how much, if any, to contribute to the Plan.

In general, amounts accumulated in your Plan account are available after you leave employment with ESSENTIA. Your beneficiary may withdraw any vested amount remaining in your Plan account after you die. You may also withdraw certain vested amounts from specified eligible money sources in your Plan account under the following circumstances (note that additional conditions may need to be satisfied): • when you reach age 59½. • when you reach Age 62 for the Money Purchase Pension account only. • if you have a financial hardship. Hardship withdrawals are only allowed for qualifying reasons. Check your SPD for what is considered a qualifying reason. There may be certain money sources that are available for withdrawal at any time. You can also borrow certain amounts from your vested Plan account.

There is generally a 10% early withdrawal penalty on taxable withdrawals taken before age 59½ unless another exception applies. You can also learn more about taxation and the early withdrawal penalty in the Internal Revenue Service (IRS) Publication 575, “Pension and Annuity Income” or by seeking guidance from a financial expert. Check your SPD for more information on your Plan’s withdrawal provisions.

With the plan transitioning to Empower Retirement it is important that if you want to change the amount of your employee contributions effective with the beginning of the 2021 plan year, you need to make these changes before the blackout period starts December 23, 2020 at 3:00 p.m. Central time with Transamerica at 800-755-5801 or online at essentiahealth.trsretire.com. Otherwise you will have an opportunity to make changes after the blackout period is scheduled to end during the week of January 10, 2021.
