Annexure - I

SOTR for CLEANING OF VEGETATION & GRASS CUTTING at RBD Unit

1. Cutting of grass, bushes, shrubs & Trimming Trees (as required) from areas within the premises of GRSE Ltd. of Rajabagan Dockyard Unit as per instruction / requirement of RBD unit including removal of cut grass, rimmed branches of bushes, & shrubs Trimmed branches of trees from working site of Rajabagan Dockyard Unit to keep the area clean, cutting & cleaning unwanted trees on the various buildings of Rajabagan Dockyard Unit are also to be cut as necessary.

2. Cutting tools & equipment and all other safety equipment etc. are to be arranged by the contractor. Temporary ladder / Scaffolding if required for cutting the tree growth on the buildings and branches of big trees is also to be arranged by the contractor.

3. The roads are to be always made clear and free from grass, loose material / cut trees branches plant or any vegetation. Any growth of the same should not be visible on road at any point of time during the period of contract. The height of grass is to be maintained in such a manner that at any point of time grass height should not obstruct any movement or visibility.

4. Inspection will be done by DM (Civil) at RBD or authorised GRSE’s representative in order to ascertain the quality of job carried out.

5. Area of work done to be measured in Square Meter (SQM) and only grass cutting area to be considered for measurement. One register to be maintained for physical measurement of grass cutting to be recorded weekly/ daily and to be signed by the authorised representative of GRSE. Payment will be made on the basis of actual work done on physical measurement basis.

6. The cut grass, jungle, bush & shrubs are to be removed from the working site of RBD Unit immediately after cutting by your men & under your own arrangement / supervision.

7. Contractor shall have to provide adequate number of gang leaders depending upon the total no. of men employed by him for supervision of the work of his men, employed for cutting &removal of grass, jungles, bushes & shrubs etc.

8. Any stoppage / suspension of work or delay in cutting / removal shall be treated as a breach of contract & Garden Reach Shipbuilders & Engineers Limited, reserves the right to deploy such number of labour to keep the premises of RBD Unit, GRSE clean & all cost / loss for such operation will be deducted from your bills.

9. Emergency requirement on demanded for cutting any vegetation growth in selected areas during VIP visits to be cleared within a specified time as directed time to time. If it is found at any time that some bushes are to be cleared on emergency basis the same will be intimated to the contractor and the contactor is to respond within 24 hours to such calls and carry out the above jobs.

10. GRSE shall review the performance of successful bidder every expiry of 2 months and any unattended area shall be completed in the subsequent month in addition to his present area of activity.

11. Each month target (activity) of work will be completed with time frame, in case of failure to attend grass cutting works as per scope of work or special demands of concerned officers of GRSE for the works at the said parts, penalty @ Rs. 1000/- per activity will be imposed on vendor and the same will be deducted from their bills.

12. Qualification Criteria:- a) The vendor shall provide documentary evidence (work order copy along with successful job completion certificate) for the similar type of work, contact details like name, address, telephone & fax numbers, email of the person under whose direct jurisdiction such works were executed etc.,) to prove that they have carried out such grass cutting works successfully in last five years period in any PSU / Industry / Construction company. However, GRSE’s registered vendors, those who successfully executed the grass cutting in recent past need not to submit the above qualification requirements. However, successful vendor need to submit the same as & when required during order validity on demand b) Vendors should have local office within Kolkata to execute the work. Address, telephone/fax number and contact person of local office to be furnished. c) The vendors who have failed to execute the job after placement of order in the last 3 years will be disqualified.

Annexure - II

STANDARD TERMS & CONDITIONS

1. Period of Contract: - One Year (12 months) tentatively from last week of December 2017.

2. Mobilization Time: - 07 days.

3. Tender Fee: Tender Fee will be Rs. 500/- non-refundable from Nationalized / Scheduled Bank other than Co-operative bank through DD in favour of Garden Reach Shipbuilders & Engineers Ltd. payable at Kolkata. Please scan the Draft copy and attach to General Documents part in e-procurement and send the DD to Dy. Manager, Purchase Department , Rajabagan Dockyard Unit, 44 Garden Reach Road, Kolkata 700044 before due date. Non-submission of tender fee will lead to offer rejection. MSME units / SSI units registered under single point registration with NSIC will be exempted from Tender Fee Deposit on submission of relevant valid registration certificate for particular product under tender. Scan copy to be attached with techno-commercial bid (Part-I).

4. Earnest Money Deposit: - E M D for Rs. 23,000/- in the form of Demand Draft (interest free) drawn in favour of Garden Reach Shipbuilders & Engineers Limited from any Nationalize Bank payable at Kolkata. Vendor should scan the DD and attach to General Documents part in E- Procurement and send the DD to Purchase Department, GRSE, RBD Unit, 44 Garden Reach Road Kolkata addresses to Dy. Manager before due date of submission. Non submission of EMD will lead to offer rejection. MSME units /SSI units registered under single point registration with NSIC will be exempted from Tender Fee Deposit on submission of relevant valid registration certificate for particular product under tender. Scan copy to be attached with techno-commercial bid (Part-I). EMD of successful bidder to be released on complete execution of the order against submission of application and original receipt issued by GRSE EMD of unsuccessful bidders will be returned after finalization of order against submission of application and original receipt issued by GRSE.

5. Security Deposit: The vendor will have to deposit security deposit by DD in favour of Garden Reach Shipbuilders & Engineers Ltd. or Bank guarantee from any Nationalized Bank /Scheduled Bank except Co-operative Bank at Kolkata (as per GRSE approved format) covering 5% of total order value within 10 days from the date of acknowledgement of order. SSI units registered under single point registration with NSIC for concerned job will be additionally be exempted from submitting the security deposit. However, this will be as per guidelines circulated by D.P.E. from time to time. Security Deposit amount would be returned back after successful execution of job duly certified by competent authority of GRSE against submission of application and original receipt issued by GRSE.

6. Payment Terms: - 100% payment will be made on progressive Bimonthly R/A bill of the value of actual work done on satisfactory completion, within 30 days through ECS from the date of submission of clear bill duly certified for payment by Competent Authority supported with satisfactory work done certificate issued by inspection authority and on compliance & clearance of labour laws. Payment will be made on the basis of actual work done on physical measurement basis

7. Forfeiture of EMD: - EMD will be forfeited in case of withdrawal of bid at any stage during negotiation prior to award of contract or non-submission of Security Deposit and non-performance or non-execution of the contract by the contractor.

8. Vendor should furnish the following details in their Techno-Commercial bid (Scan copy to be attached in General Documents in E-Portal):- i. Documentary evidence (PO Copy) by the Firm regarding their credentials for the subject work. ii. PAN No. iii. Copy of registration of the company. iv. Solvency certificate from Banker. v. Copies of registration with PF, ESI, and GST authorities. vi Audited annual accounts for last three years along with annual report. However Vendors registered with GRSE, need not to submit the documents (ii) to (vi) of above.

9. Rate of Taxes: Vendors to confirm the components & rate of tax in the matrix.

10. Liquidated Damage:-L.D. will be imposed @ 0.5% of the value of the unexecuted portion of the order per week or part thereof for which the job is delayed subject to a maximum of 5% of the total value of the order for delay in execution of work beyond the stipulated starting time.

11. Risk Purchase Clause: - If the order is not executed / completed within the stipulated time, GRSE reserves the right to terminate the contract and to get the order completed from alternate sources at the contractor’s risk, responsibility and cost. Differential cost incurred in the process of termination and getting the job done from alternative sources, will be recovered from you, from the Security deposit or pending bills and / or be recovered if necessary by due legal process.

12. Termination of Contract: In the event of non-performance or non-engagement of manpower for the execution of the job within the notice period, GRSE reserves the right to cancel the order in part or in full, and no compensation whatsoever will be entertained.

13. Validity of offer:-The offer shall remain valid for 90 days from the date of opening of bid.

14. The price will remain firm & fixed till tenure of the contract and satisfactory completion of entire work.

15. Ordering basis: Order will be placed on L1 bidder, to be decided individual item basis. Part order not accepted. As a general rule, Price Negotiation with L1 vendor will not be entered into as far as possible, unless warranted by unreasonable price quoted in the opinion of GRSE.

16. Individuality of the contract:- This contract should be treated as an individual contract and not related with any other contract of GRSE in respect of progress of work or of payment.

17. Supervision / Inspection Authority:-Work to be done under inspection of In-charge Yard Maintenance, RBD or his authorized representative and work done certificate to be obtained accordingly.

18. Safety precautions: - The contractor will arrange for all safety precautions / provisions for their employees deployed for the job as required and as per statutory rules and as per Annexure-III. In the event of any accident happening in this yard at site of work or elsewhere resulting in loss of lives or otherwise damage to any part of the property, the contractor shall be required to make good the loss to the GRSE and shall be responsible for all consequences that follow from loss and/or injuries to the persons involved in such accidents.

19. Secrecy of Information: - No information in respect of contract order shall be released to the national or international media or any one not directly involved in its execution.

20. Force Majeure Clause: - Standard Force Majeure condition at the contractor’s own work / establishment shall only be accepted. However, the failure of the Subcontractors of the vendor’s shall not be accepted as a Force Majeure Condition.

21. Foreclosure:-(i) For any reason whatsoever, if GRSE intends, not to carry out work of due diligence within the scope of this order, GRSE shall forward a written notice of foreclosure advising to stop all activities for implementation of this order forthwith. (ii) The contractor shall not be entitled to any compensation and / or damage for such foreclosure. However, all Costs incurred, as on the date of issuance of the notice of foreclosure and as would be reasonably determined on the basis of documents submitted, shall be paid within a period of 60 days from the date of determination of such cost after adjusting any amount paid to or lying with you. With regard to determination of such cost, the decision of the officer to be nominated by the Chairman & Managing Director of GRSE in this regard shall be final and binding upon the parties. Such matter in all respects shall be treated to be an “accepted matter and shall not be arbitrable in accordance with the Arbitration clause contained in this order”.

22. Police Verification:-Police verification certificate of character antecedent in respect of all employees of contractor / sub-contractors for operating in GRSE are required to be submitted to Security Department / Garden Reach Shipbuilders & Engineers Ltd. before processing of Gate Passes.

23. The contractor will have to abide by all labour laws / act regarding employment of his labour and the security regulations of GRSE for entry and exit for men and materials to and from GRSE signed Photo Passes in approved proforma are to be arranged for men working more than two weeks at a time. No accommodation for labours inside GRSE premises will be allowed.

24. Contract Labour (Regulation) Act 1970 and Contract Labour (R&A) Rules 1971 All Statutory obligations as per Contract Labour (R&A) Act, 1970 and Contract Labour (Regulation & Abolition) Central Rules, 197, ESI, PF, Contract License etc. under this Act will be complied, with failing which quotation may not be considered.

25.(i) Current document mainly for ESI, PF, Contract Labour License coverage as per requirement of Contract Labour (R & A) Act, 1970 and Contract Labour (Regulation & Abolition) Central Rules,1971 to confirm and submit in declaration Form Appendix- A- enclosed along with the quotation. (ii) The contractor is to contact the office of the Regional Labour Commissioner (Central), Nizam palace, Kolkata – 700 020 for obtaining / renewal of Labour License etc. in respect of contractual work executed by him at Garden Reach Shipbuilders & Engineers Ltd.

26. The contractor will have to pay all legal dues to the workmen engaged by him as per the laws in force. The relevant acts which are to be complied within the connection are Contractor Labour (R & A), P.F. Act 1952. Bonus Act 1948, W.B. House Rent Allowance Act 1974, Gratuity Act1972, Minimum wages Act 1948, Inter State Migrant workmen Act 1947, Equal Remuneration Act 1976 and Laws applicable to Women & Children. The minimum wages paid to the contractor’s workmen shall be in conformity with the Govt’s direction in this regard. In the event of failure of contractor to pay the contractor’s labour / workmen his legal dues, GRSE reserves the right to deduct each dues from any of the bill of contractor and arrange reimbursement to the concerned labour / workmen

27. GSRE shall not be liable under the workmen’s compensation Act of 1923, in case any employee or workmen receives injury while actually serving his employer in connection with the latter’s work inside the compound of GRSE Ltd. All existing applicable Laws such as ESI, PF, SERVICE, CONTRACT LABOUR, CHILD LABOUR etc. as applicable, shall be binding for the contract.

28. Document to be maintained by appointed Contractor:- One Hindrance Register to be maintained at site which is to be duly signed by Site in-charge or Departmental Head periodically to register site Hindrance, Instructions of GRSE and other important matter related to work.

29. Working Hours: The contractor’s normal working hours shall be in between 8 AM to 5 PM or as required by GRSE. However, in case of extreme urgency contractor may have to deploy workmen on extended hours and on holidays or Sunday on the specific advice of GRSE.

30. Arbitration: - Dispute if any, between Garden Reach Shipbuilders & Engineers Ltd. and the contractor shall be referred to the sole discretion / arbitration of CMD of Garden Reach Shipbuilders & Engineers Ltd. or his nominee and his decision shall be final and binding.

31. Jurisdictions: - All disputes arising out of the contract of required to be referred to a court of law, the jurisdiction of the case would be under Kolkata Court irrespective of the location of the vendor.

32. Bids shall be fully accordance with the specification. Any and all deviations, the bidder wish to make should be listed in the “Schedule of deviation” attached to their technical bid even though these deviations may be accepted or rejected, otherwise, it shall be deemed that the tenderer are in strict accordance with the requirement of this enquiry in case of deviation in tender Terms and Conditions are not furnished.

33. The submission of tender by a bidder implies that he/she has made himself/herself aware of the scope of work to be performed, local conditions and factors which may have a bearing on the execution of the work. After acceptance of contract, GRSE will not entertain any extra claim for any reason what so ever in case the bidder has found later and misjudge the site condition and the requirement.

34. General:- a) The contractors’ employees shall wear distinctly different type and colored uniform to enable them to be easily identified from other labours / employees of Garden Reach Shipbuilders & Engineers Ltd. b) Sub-contractor’s rep. should visit during normal working hours and at 4 PM at every afternoon for evening / night shift programme if any. c) All your personnel will be subject to route physical search and checking of Identity Cards at any time during the deployment. d) GRSE will have no liability for any outside disturbance whatsoever by anybody outside the premises of GRSE and the same will not be accepted as an excuse for delay in execution of job. e) Photo Identity Card / Gate Pass as required by GRSE will be arranged by the contractor. f) The contractor will ensure that no damage is caused to the materials, equipments or any other property of GRSE due to negligence and /or any reason whatsoever by the contractor’s men. g) For any reason deemed valid by GRSE reserves the right to suspend the work as required, without any compensation to the contractor. GRSE reserve the right to accept/reject or cancel the Tender without assigning any reason.

ANNEXURE –III

Safety Guidelines To Be Followed by the Contractors’ at GRSE

FIRE & SAFETY PRECAUTIONS: 1. General: The contractor will ensure fulfilment of conditions laid down by Safety Department of GRSE. The contractor will be governed by all the statutory requirements. The contractor will provide proper Personal Protective Equipments (PPEs) and tools & tackles to their workmen. GRSE reserves the right to impose penalty for any of the following reasons: (a) Unsafe practices being adopted by the party. (b) Serious accidents due to the fault of the party. (c) Non-compliance to safety norms and contract terms.

2. Safety Rules: (i) The Contractor shall abide by the safety regulations of the GRSE. He shall take all safety precautions and provide adequate supervision & control for his workmen in order to carry out the job safely. The Contractor shall report to the concerned Officer of executing Department as well as the Chief Safety Officer of Safety Department immediately on award of contract along with contract documents & job instructions from the contract awarding Department and shall obtain brief for the job and the safety rules & procedures to be followed. The Contractor shall obtain clearance from Safety Department before starting the job. The contractor shall engage workers or do the contract job only when he is satisfied that the unsafe conditions, if any, of gas/electricity/moving machinery etc are removed from the area of work. The Contractor shall supply required PPEs like safety shoes, helmets, hand gloves, safety goggles etc. and as promulgated by the Safety Department from time to time depending upon working condition. (ii) The use of proper tools and tackles / kits by contractor’s men is mandatory and the necessary safety precautions, proper tools and equipments including personal protective equipment for contractors’ men are to be arranged by the contractors for safety of the personnel employed by them. Site In-charge of the firm shall be accountable to the respective Officer of the executing Department in all matters related to safety of their personnel at work including all activities carried out by them. (iii) The Contractor shall take all reasonable precautions to prevent fire of any nature in the vicinity of his operations and shall be held accountable for all damages from fire resulting due to adopting unsafe practices by any one on behalf of the contractor’s firm. (iv) The Contractor shall follow the standard safety precautions as enumerated below: a) Personal Protective Equipments (PPEs): The contractor shall provide & ensure use of ISI marked Industrial Safety Shoes, Safety Helmets including other necessary Personal Protective Equipments (PPEs) and Boiler Suits while at work. b) Hot Work Safety (Gas Cutting, Welding etc.): i. Prior to commencement of hot work, surrounding areas (including other side of the bulkhead & deck) shall be inspected for the presence of any inflammable materials and no Hot Work shall be carried out without obtaining Hot Work Permit from GRSE. ii. Adequate ventilation must be arranged while working in confined spaces throughout the period of carrying hot work. iii. Damaged gas hoses & welding cables should not be used for gas cutting & welding job. Gas cutting hoses & copper welding cables must be ISI marked of reputed make. Use of Aluminium Welding Cable is prohibited during construction activities from fire safety point of view. iv. The gas cutting hose should be separated from welding cables & electrical cables. v. The welding holders, if energized, should not be left unattended. vi. All gas cutting torches shall be ISI marked of reputed make and must be fitted with standardized FLASH BACK ARRESTOR. vii. Full insulated welding holders (ISI marked) shall be used in construction jobs. viii. During recess period (Lunch time and at the end of day’s work) or when work is suspended for more than half an hour, the gas hoses shall be disconnected from the cylinder valves. ix. All gas equipment shall be subjected to “Water Dip” test daily, before taking those on board. A record of the testing to be maintained by the person carrying out such test. x. Electric power shall be cut off from welding transformer end during recess period, at the end of day’s work and whenever the work is stopped for at least half an hour. c) House Keeping i. All inflammable wastes like cotton waste, plastic, broken wooden planks / parts, jutes, cloths, papers/electrodes packets etc. should be removed by the contractors from the ship every day. ii. Gas cutting hose & welding cables shall not be used / laid on board in a haphazard manner and to be hanged properly on suitable hook / support towards avoiding fire & electrocution hazard. d) Electrical Safety i. Portable Safety Hand Lamp (maximum of 110 Volts) should be used on board vessel. ii. All electrical connections should be of permanent type as far as possible. iii. Industrial type Plug & Sockets shall be used for electrical connections. iv. Use of any electrical extension board without having top part of the KITKAT FUSE and plug & socket connection is prohibited. v. The 440 / 220 V supply lines should be provided with distinguishing mark & identified with red stickers at every metre distance. 440 Volt should be covered by M.S. Angle. e) Safety during Painting i. Painting work should not be undertaken, while hot work is in progress either in the compartments or in the adjacent areas. ii. A board indicating “Painting in Progress” in Hindi, Bengali & English be displayed near entrance of the compartment. iii. While painting, a safety hand lamp fitted with insulated handle, wire case and glass cover over the lamp shall only be used. iv. While painting in confined space / closed compartments, one person must be posted near the entry point for constant coordination with the person working inside the confined space. f) Safety during Grinding i. All grinding machines shall be provided with standardized & non-expired grinding wheels of reputed make and shall be fitted with protective metal guards during grinding job. ii. Use of oversize grinding wheel and chiseling / hammering of oversize grinding wheel is prohibited. iii. All grinding wheels shall be of reputed brand & make and shall be stored / handled carefully prior to taking into use. iv. Damaged grinding wheel shall be replaced forthwith for avoiding likely hood bursting of the wheel. g) Safety while working at height i. Damaged / defective wooden planks shall not be used for staging purposes. ii. Wooden planks are to be secured at both ends for preventing over turning of the planks. iii. Use of oil drums for staging purpose is strictly prohibited. The Steel Stools / staging materials are to be used for staging purpose and to be used in safe manner. iv. While working on ship’s mast or fragile roof or from where a person is likely to fall and injured, Full Body Harness with double lanyard shall be used with proper anchorage. h) Safety during erection of scaffolding structure i. The scaffold platform shall be provided with suitable railing, toe guard & waist guard on each open side and shall be secured at both ends for preventing over turning of the planks. ii. All personnel, engaged for erection of scaffolding structure, must wear safety belt. Page 1 of 3

3. Contractor’s liability for non-compliance of Safety Rules & Regulations: A. The executing department or the Head of Safety Dept, upon his satisfaction that the Contractor is not conforming to the safety requirement(s), may direct stoppage of work and require the Contractor to remedy the defects or supply the Omission/s as the case may be. The Contractor shall not proceed with the work until his compliance with such directions to the satisfaction of the executing department or the Head of Safety Department.

B. The Contractor shall be fully responsible for the accident caused due to his or his Agents or Workmen’s negligence or carelessness in regard to the observance of the safety requirements and be liable to pay compensation for injuries.

C. Without prejudice to the right conferred by the clause (A) above for stoppage of work for violating safety requirements, the Contractor shall be liable for a penalty as below:

Note: a) In case the safety rules are found to be violated more than 3 (three) times during the tenure of the contract, GRSE shall have the discretion to terminate the contract forthwith without assigning any reason and without any further intimation. Moreover, the defaulter contractor may be debarred from participating in future tenders for the next 1 (one) or more years depending upon the management discretion. b) In case of permanent disability / fatal accident during the execution of the contract, a penalty will be imposed on the contractor on the basis of recommendation of a committee constituted by competent authority of GRSE on case to case basis. In such case the penalty may be banning of business dealing with GRSE or deduction of upto 10% of contract value to a minimum of Rs 50000/- (fifty thousand) or both. c) The penalty amount shall be recoverable from any Bill / Security Deposit / Earnest Money Deposit or from other dues of the contractor. d) The above rules & procedures are only illustrative and not exhaustive.

4. ENERGY CONSERVATION: GRSE will provide power supply at free of cost for execution of job. You should ensure that the power during execution of job shall be used in a very economic way to save energy as per Energy Management System of ISO 50001: 2011.

5. ENVIRONMENT MANAGEMENT AND OCCUPATIONAL HEALTH & SAFETY: The vendor shall ensure compliance of Environment Management System (ISO14001:2004), Occupational Health & Safety (OHSAS 18001:2007) & Energy Management System (ISO 50001:2011) while carrying out their activity in the yard”.
