The membership ofthe Audit and Risk Management Cormittee was noted including the re∞nt aPPOintment ofa new extemal Chair, Ms Catherina Toh. The Chair advised that Catherina is supported by cormittee members, Ms Jemy Trethewey, Mr Roger Johnson (Charter Member), Mr Guy Mendelson (extemal member), Mr David E正ngton (extemal member), Ms Celia Gerreyn and Mr Tony NichoIson. The Finance Cormittee is led by Board Director, Mr Mike James W皿support from Ms Gayle Wilson (extemal member), the Hon. Rob Know賞es and Mr Tony NichoIson and when they meet with regard to investments, Mr Mark Dutton (extemal member), The Bishop noted his privilege of cha血g the Nominations Cormittee with Life Member, Mr Sandy Clark, and also the Remuneration Cormittee with fellow Board Directors, Ms Jemy Trethewey and Mr Tony NichoIson.

Members noted that in 201 0血e Board constituted a new Social EnteIPrise Committee led by Board Direetor, Mr Stephen Grant. Recently appointed extemal members of血e Comm誼ee include Mr Michael Tucker, Mr James Joughin, Mr John Mam and Mr Richard Amos.

Prior to the establishment of血e Social EnteIPrise Committee, the Mod- Committee of Management provided

extensive support and advice to BSL Social Enteaprises・ The Brotherhood is indebted to the outgoing Chair, Life Member, M Emest Barr and the two other members ofthe cormi請ee, Life Member, Mr Ian Reid and Mr Royce Jackson whose

expertise held the Brothe血ood,s Modstyle business in good stead. Their significant contribution is so greatly appreciated.

Copies of血e 2009/20 10 Financial Report were made available at the meeting, having been distributed to Charter and Life Members in advance of血e meeting as required by the Constitution.

In providing a reflection of瓜e work ofthe past year noting highlights and milestones for the Executive Team and the Board, Tony NichoIson recommended both reports to the membership for endorsement.

The motion accepting the reports was then proposed by Ms Elizabeth Loftus, Life Member and seconded by Mr Ian Reid, Life Member. All present were in favour.

4 Appomtment of A ud粧oIS

Archbishop Freier advised the meeting ofthe Audit & Risk Committee’s appreciation ofthe audit work calTied out by KPMG. In tum, the meeting expressed thanks for the strong support given by this Committee. As Chair ofthe meeting, Archbishop Freier asked members to ratify the re-aPPOinlment ofthe Auditors and delegate to the Board the matter of remuneration of auditors for the cunent financial year.

This motion was seconded by Mr Michael Feeney, Life Member and approved by血e members present.

The membership gratefu11y received the citation noted al)OVe and supported the resolution which had been provided to them by way ofpostal mail prior to the meeting.

The specific resolution being: `This Amual General Meeting, in marking the eightieth amiversary of the founding of Brotherhood of St Laurence, gives thanks for the life, Witness and visionary leadership of its Father Founder and Superior, Gerard Kemedy Tucker O.B.E. B.S.L.

It requests the President of the Brotherhood, aS Archbishop and Metropolitan of the , tO take

担rther]the necessary steps, in corjunction with the other ofthe Province, tO include the name of Father Tucker as a `Holy Person’in all appropriate Anglican Prayer calendars. Accordingly, it proposes that he be described as `Priest and Visionary; Founder of the Brothe血00d of St Laurence and Community Aid Abroad’and that his life and ministry be observed amually on May 24th to mark his date ofdeath in 1974.

Furthemore言t respect餌Iy requests the Archbishop, at the appropriate time, tO bring this proposal with supporting testimony to the General Synod ofthe Anglican Church of Australia’SO that Father Tucker’s name can be duly considered for inclusion, along with other Australian Holy Persons that are already observed in the national Anglican Prayer Calender.

Noting three further matters conceming membership, Archbishop Freier advised that assent would be sought at the

5.2 On the matter ofBoard Membershio it was noted that Mr Evan Thomley pursuant to Clause 32 (2) ofthe Constitution retired as Director ofthe Board after seven years of service. Evan will continue to serve as a Charter Member. Evan’s great contribution over so many years was noted with gratitude from the membership.

Hon. Rob Knowles having held the position ofBoard Director for five years, retired from the Board pursuant to

Clause 32 (2) ofthe Constitution and, being eligible for another tem, O鯖ered himself for re-election.

5・3 In consideration of Charter and Life membershiD a Change of category ofmembership for the Reverend Janet

Tuapie-Johnstone was noted. Janet continues her generous commitment to the Brothe血ood as non-Clerical Charter member.

Professor Jack Kea血g proposed the motion that the nominations to membership (as recorded above) be accepted. This was seconded by Sandy Cla庇| Life Member and accepted by the membership present.

Finally, members took a moment to reflect that since their last am脚l meeting, dear friend and co‖eague, Life Member Mrs Catherine Smith had passed away (December 1 5, 2009). Members recalled that a transcript of Catherine’s eulogy was dis正buted and an appropriate Bro血erhood tribute was relayed Australia wide through newspaper; as a mark ofrespect and appreciation for Catherine’s great ∞ntribution to血e Brotherhood over so many years. Catherine’s funeral was attended by many Life and Charter Members and Brotherhood staff and volunteers.

On behalf ofthose present the Archbishop noted deep appreciation for the life of Catherine Smith.

6 Other Business

The Arehbishop noted that the freely-given gift ofthe time and talents ofvol皿teers has con血ued to support and advan∞ the Brotherhood’s mission over血e past year. Members and guests expressed their appreciation ofthe work ofthe many

Brotherhood’s volunteers with warm applause.

7 Conclusion of FomaI Busmess

Archbishop Freier concluded血e fomal section ofthe Am脚l General Meeting o節ering appreciation to all invoIved in the PreParation ofthe meeting with special thanks to the Company Secretary, Ms Jemy Grayling and the Secretariat to the Life and Charter Members and Board Directors, Ms Laura Redgrave. The Archbishop invoked a blessing on all present.

The meeting concluded at l.45pm.

Following the meeting, Whilst erjoying light refreshments, Members viewed a newly la皿Ched DVD produced by the Brothe血ood showcasing children from the `Breckfast Club’programme smgmg as a choir - a heart-Warming and iuspiring medley incorporating the songs Ode to Joy and This Little Light ofMine, and the words `happy friends together’sung in Dinka, a major dialect spoken in southem Sudan.
