The company The Phoenix Holdings Ltd. (hereinafter: “The Phoenix”) delivered a notice to the Bank according to which the Bank of Israel had given on 17.10.10 to Mr. Itshak Sharon (Tshuva) ((hereinafter: “Mr. Tshuva”) a permit under Section 34(a) of the Banking (Licensing) Law, 5741-1981 to hold means of control of the Bank of up to 10%.

According to The Phoenix’s notice, in the framework of the permit conditions and reservations were prescribed which include, inter alia, conditions and restrictions in connection with the identity and percentage of the holdings of Mr. Tshuva in the corporations controlled by him. The total means of control of the Bank held on behalf of each of the corporations controlled by Mr. Tshuva was not to exceed 5%, irrespective of whether on behalf of their customers or on their own behalf. The total of the means of control of the Bank held by Mr. Tshuva, except for means of control held by customers, was not to exceed 5%. Should Mr. Tshuva’s holdings in any of the corporations controlled by him fall below 50.1%, the said permit would lapse in relation to such corporations and remain in force with respect to Mr. Tshuva and the rest of the corporations under his control.

The permit permits Mr. Tshuva and the corporation under his control to make use of the right to vote at general meetings of the Bank according to the percentage of the holding which they actually have of means of control of the Bank provided that with respect to any proposal, vote or appointment of directors of the Bank the right to use the means of control of the Bank held by them shall be restricted to 5% only.

The permit is valid until 31.12.2015, or until the end of two years from the time that no person no longer holds a permit of control of the Bank, whichever is the earlier.
