I feel delighted while presenting the 42nd Annual Report of the Maharashtra State Police Housing & Welfare Corporation Ltd. for the financial year 2015-16.

A year has witnessed inaugural ceremony of praiseworthy projects of Administrative Building for C. P. Brihanmumbai and 136 quarters at Worli. These projects were inaugurated by Hon’ble Chief Minister Shri. Devendra Fadnavis who’s keen to provide housing facility to the policeman of the State of Maharashtra, wholeheartedly appreciated the efforts taken by MSPH & WC Ltd.

It gives me pleasure to mention that MSPH & WC Ltd. has completed and handed over nine projects to the respective user agencies during the financial year 2015-16. Further, there are nine ongoing projects in the execution stage which includes hostel, administrative buildings, residential quarters; etc. and more than fifty projects are at planning stage.

Before I conclude, I would like to place on record the constant direction and timely support provided by the Board of Directors headed by the Additional Chief Secretary (Home), and appreciate team MSPH & WC Ltd. for their contribution and commitment.

“RESOLVED THAT the consent of members, MSPH & WC Ltd. is accorded for the re-designation of the post of General Manager as Joint Managing Director.”

RESOLVED FURTHER THAT, the re-designated post of a Joint Managing Director is hereby considered as one more director with effect from December 04, 2015 on the Board of the Company in terms of Section 161 of the Companies Act, 2013 and Article 90 (2) of Article of Association of the Company is hereby approved and appointed as a director of the company.”

EXPLANATORY STATEMENT PURSUANT TO SECTION 102 OF THE COMPANIES ACT, 2013 ITEM NO. 4 Re-Designation of the post of General Manager as Joint Managing Director 1) Pursuant to Board Resolution No. 118 dt. 18/06/1979, the Board has approved the proposal for creation of the post of General Manager (IPS Officer of the rank of .S P.).

2) Before 1980, MSPH & WC Ltd.’s role in the projects was of a liaison office only and the execution of the projects was done by the Public Works Department. Since 1981, gradually MSPH & WC Ltd. were started to execute the projects which resulted in increase in work volume.

4) It is seen that, since its inception the role and responsibility of the corporation has changed considerably from a liaisoning to an executive agency. In view of the increasing satisfaction gap of police housing in the state and proposed KRA to address it, responsibilities of the corporation in view of the Government’s expectation are increased manifold.

5) Similarly, roles and responsibilities of the key officers of the corporation have also been increased manifold. In line with this, the rank for the post of General Manager has been progressively upgraded from the rank of S.P. to DIGP, DIGP to SPL. IGP and SPL. IGP to Addl. DG of Police without re-designating the actual post.

6) In the view of the function and roles entrusted upon the post, it is proposed to re- designate the post of General Manager as Joint Managing Director. Further, it was approved by the Board of Directors, MSPH & WC Ltd. in its Board meeting held on 4th December, 2015 and recommended the same for member’s approval.

7) None of the Directors and Key Managerial Personnel of the Corporation or their relatives, except Joint Managing Director are in any way concerned or interested, financially or otherwise, in the said resolution.

Dear Shareholders, Your Directors have pleasure in presenting the Annual Report on the business and operations of the Corporation and Audited Statement of Accounts of the Corporation for the year ended 31st March, 2016.

GENERAL REVIEW The Corporation’s performance was satisfactory during the year. The Corporation has successfully completed 9 (Nine) projects and reached the completion stage of many projects during the year. Your Directors are hopeful that the Corporation shall be able to achieve its target of projects in the year to come. The future of the Corporation seems to be bright. There was no change in the nature of business of the Corporation during the year. DIVIDEND Directors have not recommended dividend during the year, in order to conserve the resources and build the net worth of the Corporation.

MATERIAL CHANGES AND COMMITMENTS, IF ANY, AFFECTING THE FINANCIAL POSITION OF THE CORPORATION WHICH HAVE OCCURRED BETWEEN THE END OF THE FINANCIAL YEAR OF THE CORPORATION TO WHICH THE FINANCIAL STATEMENTS RELATE AND THE DATE OF THE REPORT. No material changes and commitments affecting the financial position of the Corporation occurred between the end of the financial year to which this financial statement relate and the date of this report.

DISCLOSURE OF PARTICULARS WITH RESPECT OF CONSERVATION OF ENERGY, TECHNOLOGY ABSORPTION, FOREIGN EXCHANGE EARNINGS AND OUTGO The provisions of Clause (m) of sub-section (3) of Section 134 of the Companies Act, 2013 for

conservation of Energy, Technology Absorption and Foreign Exchange earnings and outgo are not applicable to the Corporation having regard to the nature of business of the Corporation.

STATEMENT CONCERNING DEVELOPMENT AND IMPLEMENTATION OF RISK MANAGEMENT POLICY OF THE CORPORATION The Corporation does not have any Risk Management Policy as the elements of risk threatening the Corporation’s existence are very minimal.

DETAILS OF POLICY DEVELOPED AND IMPLEMENTED BY THE CORPORATION ON ITS CORPORATE SOCIAL RESPONSIBILITY INITIATIVES The provisions of section 135 of the Companies Act, 2013 for Corporate Social Responsibility are not applicable to the Corporation. Therefore, the Corporation has not developed and implemented any Corporate Social Responsibility initiatives.

PARTICULARS OF LOANS, GUARANTEES OR INVESTMENT The Corporation has not made any investment and does not gives any loan or guarantee or provide any security in connection with a loan to any other body corporate or person or acquire by way of subscription, purchase or otherwise, the securities of any other body corporate under section 186 of the Companies Act, 2013 during the year and hence the said provisions are not applicable.

PARTICULARS OF CONTRACTS OR ARRANGEMENTS WITH RELATED PARTIES There was no Related Party Transactions made by the Corporation with Promoters, Directors, Key Managerial Personnel or other designated persons which may have a potential conflict with the interest of the Corporation as defined under section 188 of the Companies Act, 2013. Accordingly there are no transactions that are required to be reported in Form AOC-2 and as such do not form part of the Report.

AUDITORS AND AUDITOR’S REPORT M/s. M. M. Nissim And Co. Chartered Accountant, are re-appointed as Statutory Auditor of the Corporation. The said appointment is made by Comptroller and Auditor General of India vide letter no. CA. V/COY/MAHARASHTRA,MHPOLI(I)/1051 dated 31/07/2015.

COMMENTS ON QUALIFICATIONS, RESERVATIONS OR ADVERSE REMARKS OR DISCLAIMERS MADE BY THE AUDITORS AND THE PRACTICING COMPANY SECRETARY IN THEIR REPORTS There were no any qualifications, reservation or adverse remark or disclaimers made by the Statutory Auditor in their reports. The provisions of section 204 of the Companies Act, 2013 relating to submission of Secretarial Audit Report is not applicable to the Corporation.

CORPORATION’S POLICY RELATING TO DIRECTORS' APPOINTMENT, PAYMENT OF REMUNERATION AND DISCHARGE OF THEIR DUTIES The provisions of Section 178(1) of the Companies Act, 2013 relating to constitution of Nomination and Remuneration Committee are not applicable to the Corporation. However, as per Government Resolution no. emgC 10.15/à. H$. 65/gmC, ‘§Ìmb¶, ‘§w~B© - 400 032, {X. 21/01/2016 issued by Finance Department the board of directors constituted the samefor senior management and other employees in current financial year.

EXTRACT OF ANNUAL RETURN As provided under Section 92(3) of the Act read with Rule 12 of the Companies (Management and Administration) Rules, 2014, the details forming part of the extract of the Annual Return in Form MGT 9 is annexed herewith as Annexure-1.

NUMBER OF MEETINGS OF THE BOARD 8 (Eight) Board meetings were held during the financial year from st1 April, 2015 to 31st March, 2016.

DIRECTOR’S RESPONSIBILITY STATEMENT Pursuant to section 134 (3)(c) of the Companies Act, 2013 the Directors confirm that:- i. In the preparation of the annual accounts, the applicable accounting standards had been followed along with proper explanation relating to material departures; ii. The directors had selected such accounting policies and applied them consistently and made judgments and estimates that are reasonable and prudent so as to give a true and fair view of the state of affairs of the Corporation at the end of the financial year and of the profit and loss of the Corporation for that period; iii. The directors had taken proper and sufficient care for the maintenance of adequate accounting records in accordance with the provisions of the Companies Act, 2013 for safeguarding the assets of the Corporation and for preventing and detecting fraud and other irregularities; iv. The directors had prepared the annual accounts on a going concern basis and; v. The directors had devised proper systems to ensure compliance with the provisions of all applicable laws and that such systems were adequate and operating effectively.

SUBSIDIARIES, JOINT VENTURES AND ASSOCIATE COMPANIES The Corporation does not have any Subsidiary, Joint venture or Associate Corporation during the year.

DEPOSITS The Corporation has neither accepted nor renewed any deposits during the year.

DIRECTORS The changes in the Board of Directors were according to the Government Orders. The Corporation is not mandatorily required to appoint any whole time Key Management Personnel (KMP). However, as per Government Resolution no. emgC 10.15/à. H$. 65/gmC, ‘§Ìmb¶, ‘§w~B© - 400 032, {X. 21/01/2016. issued by Finance Department is required to appoint Key Management Personnel (KMP).

DECLARATION OF INDEPENDENT DIRECTORS The provisions of Section 149 for appointment of Independent Directors are not applicable to the Corporation.

ADEQUACY OF INTERNAL FINANCIAL CONTROLS WITH REFERENCE TO FINANCIAL STATEMENTS The Corporation has in place adequate internal financial controls with reference to financial statements. During the year under review, such controls were tested and no reportable material weaknesses in the design or operation were observed.

DISCLOSURE OF COMPOSITION OF AUDIT COMMITTEE AND PROVIDING VIGIL MECHANISM The provisions of Section 177 of the Companies Act, 2013 read with Rule 6 and 7 of the Companies (Meetings of Board and its Powers) Rules, 2014 is not applicable to the Corporation. However, as per Government Resolution no. emgC 10.15/à. H$. 65/gmC, ‘§Ìmb¶, ‘§w~B© - 400 032, {X. 21/01/2016 issued by Finance Department the board of directors re-constituted the same in the current financial year.

DETAILS OF SIGNIFICANT AND MATERIAL ORDERS PASSED BY THE REGULATORS, COURTS AND TRIBUNALS No significant and material order has been passed by the regulators, courts, tribunals impacting the going concern status and Corporation’s operations in future.

PREVENTION OF SEXUAL HARASSMENT The Corporation has zero tolerance for sexual harassment at workplace and has adopted a Policy on prevention, prohibition and redressal of sexual harassment at workplace in line with the provisions of the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013 and the Rules there under for prevention and redressal of complaints of sexual harassment at workplace. All employees are treated with dignity with a view to maintain a work environment free of sexual harassment whether physical, verbal or psychological.

To The Members of MAHARASHTRA STATE POLICE HOUSING & WELFARE CORPORATION LIMITED, MUMBAI

Report on the Standalone Financial Statements We have audited the accompanying standalone Financial Statements of MAHARASHTRA STATE POLICE HOUSING AND WELFARE CORPORATION LIMITED (“the Corporation”), which comprise the Balance Sheet as at 31st March, 2016, the Statement of Profit and Loss and the Cash Flow Statement for the year then ended, and a summary of the significant accounting policies and other explanatory information.

Management’s Responsibility for the Financial Statements. The Corporation’s Board of Directors is responsible for the matters stated in Section 134(5) of the Companies Act, 2013 (“the Act”) with respect to the preparation of these standalone Financial Statements that give a true and fair view of the financial position and financial performance of the Corporation in accordance with the accounting principles generally accepted in India, including the Accounting Standards specified under Section 133 of the Act, read with Rule 7 of the Companies (Accounts) Rules, 2014. This responsibility also includes maintenance of adequate accounting records in accordance with the provisions of the Act for safeguarding of the assets of the Corporation and for preventing and detecting frauds and other irregularities; selection and application of appropriate accounting policies; making judgments and estimates that are reasonable and prudent; and design, implementation and maintenance of adequate internal financial controls, that were operating effectively for ensuring the accuracy and completeness of the accounting records, relevant to the preparation and presentation of the Financial Statements that give a true and fair view and are free from material misstatement, whether due to fraud or error.

Auditor’s Responsibility Our responsibility is to express an opinion on these Financial Statements based on our audit. We have taken into account the provisions of the Act, the accounting and auditing standards and matters which are required to be included in the audit report under the provisions of the Act and the Rules made there under. We conducted our audit in accordance with the Standards on Auditing specified under Section 143(10) of the Act. Those Standards require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether the Financial Statements are free from material misstatement.

An audit involves performing procedures to obtain audit evidence about the amounts and the disclosures in the Financial Statements. The procedures selected depend on the auditor’s judgment, including the assessment of the risks of material misstatement of the Financial Statements, whether due to fraud or error. In making those risk assessments, the auditor considers internal financial control relevant to the Corporation’s preparation of the Financial Statements that give a true and fair view in order to design audit procedures that are appropriate in the circumstances. An audit also includes evaluating the appropriateness of the accounting policies used and the reasonableness of the accounting estimates made by the Corporation’s Board of Directors, as well as evaluating the overall presentation of the Financial Statements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion on the standalone Financial Statements.

Opinion In our opinion and to the best of our information and according to the explanations given to us, the aforesaid Financial Statements give the information required by the Act in the manner so required and give a true and fair view in conformity with the accounting principles generally accepted in India, of the state of affairs of the Corporation as at 31st March, 2016 and its profit for the year ended on that date.

Emphasis of Matter We draw attention to: a. Note No. 21(G) to the Financial Statements, which draws reference to reconciliation of project wise details of approval, budget/ fund allocation, amounts disbursed, utilization in earmarked projects or mobilization to other projects and balance of unutilized funds with the books of account. Our opinion is not modified in respect of the aforesaid matters.

Report on Other Legal and Regulatory Requirements As required by the Companies (Auditor’s Report) Order, 2016 (“the Order”) issued by the Central Government of India in terms of sub-section (11) of section 143 of the Act we give in the “Annexure A”, a statement on the matters specified in paragraphs 3 and 4 of the Order.

As required by Section 143(3), We are enclosing our report in terms of Section 143 (5) of the Act, on the basis of such checks of the books and records of the Corporation as we considered appropriate and according to the information and explanations given to us, in the Annexure B on the directions and sub-directions issued by Comptroller and Auditor General of India.

As required by Section 143 (3) of the Act, we report that: (a) We have sought and obtained all the information and explanations which to the best of our knowledge and belief were necessary for the purposes of our audit.

(b) In our opinion, proper books of account as required by law have been kept by the Corporation so far as it appears from our examination of those books. (c) The Balance Sheet, the Statement of Profit & Loss and the Cash Flow Statement dealt with by this Report are in agreement with the books of account. (d) In our opinion, the aforesaid Financial Statements comply with the Accounting Standards specified under Section 133 of the Act, read with Rule 7 of the Companies (Accounts) Rules, 2014. (e) On the basis of the written representations received from the directors as on 31st March, 2016 taken on record by the Board of Directors, none of the directors is disqualified as on 31st March, 2016 from being appointed as a director in terms of Section 164 (2) of the Act. (f) With respect to the adequacy of the internal financial controls over financial reporting of the Corporation and the operating effectiveness of such controls, refer to our separate report in “Annexure C”; and (g) With respect to the other matters to be included in the Auditor’s Report in accordance with Rule 11 of the Companies (Audit and Auditors) Rules, 2014, in our opinion and to the best of our information and according to the explanations given to us: i. The Corporation has disclosed the impact of pending litigations on its financial position in its financial statements – refer note 21 (A) to the financial statements; ii. The Corporation has made provision, as required under the applicable law or Accounting Standards, for material foreseeable losses, if any, on long contracts. The Corporation has not entered into any derivative contracts. iii. There were no amounts which were required to be transferred to the Investor Education and Protection Fund by the Corporation.

“ANNEXURE A” TO THE INDEPENDENT AUDITOR’S REPORT OF EVEN DATE ON THE FINANCIAL STATEMENTS OF MAHARASHTRA STATE POLICE HOUSING AND WELFARE CORPORATION LIMITED i) In respect of its Fixed Assets: a) The Corporation has compiled item-wise list of all its fixed assets, showing full particulars, including quantitative details and location of Fixed Assets; b) As explained to us, the assets purchased during the year have been physically verified by the management in accordance with a phased program of verification, which in our opinion is reasonable, considering the size and nature of its business. We are informed that there are no major discrepancies. c) According to the information and explanations given to us and on the basis of our examination of the records of the Corporation, the land has been allotted to the Corporation through Government Resolutions by the State Government. ii) The Corporation does not have any inventory. Accordingly, provisions of clause 3 (ii) (a) to (c) are not applicable; iii) The Corporation has not granted any loans, secured or unsecured to companies, firms or other parties covered in the register maintained under section 189 of the Act. Accordingly, provisions of para 3(iii)(a) & (b) are not applicable; iv) The Corporation has not granted any loan, neither made any investments, nor given any guarantee or security, during the year, covered by the provisions of Sections 185 and 186 of the Act. v) The Corporation has not accepted any deposit from public during the year. Accordingly clause 3 (v) of the Order is not applicable to the Corporation vi) According to information and the explanations given to us, the Central Government has not prescribed maintenance of cost records under section 148 (1) of the Act. vii) a) The Corporation is regular in depositing undisputed statutory dues, including Provident Fund, Employees’ State Insurance, Income Tax, Sales-Tax, Wealth Tax, Service Tax, Duty of Customs, Duty of Excise, Value Added Tax, Cess and any other statutory dues with appropriate authorities, where applicable. According to the information and explanations given to us, there are no undisputed amounts payable in respect of such statutory dues which have remained outstanding as at 31st March, 2016 for a period of more than six months from the date they became payable. b) According to the records of the Corporation, the dues outstanding of income-tax on account of any dispute are as follows:

ix) The Corporation has not raised any money by way of initial public offer or further public offer (including debt instruments) or term loans. x) On the basis of our examination and according to the information and explanations given to us, no fraud by the Corporation or any fraud on the Corporation by its officers or employees has been noticed or reported during the year. xi) The provisions of section 197 of the Companies Act, 2013 are not applicable to the Corporation, being a government company, Accordingly provisions of clause (xi) of Para 3 of the order are not applicable to the Corporation. xii) The Corporation is not a nidhi company and accordingly provisions of clause (xii) of Para 3 of the order are not applicable to the Corporation. xiii) On the basis of our examination and according to the information and explanations given to us, we report that all the transaction with the related parties are in compliance with Section 177 and 188 of the Act, and the details have been disclosed in the Financial statements in Note 21(T) as required by the applicable accounting standards. xiv) The Corporation has not made any preferential allotment or private placement of shares or fully or partly convertible debentures during the year and accordingly provisions of clause (xiv) of Para 3 of the Order are not applicable to the Corporation. xv) According to the information and explanations given to us and based on our examination of the records of the Corporation, the Corporation has not entered into any non-cash transactions with directors or persons connected with him. Accordingly provisions of clause (xv) of Para 3 of the Order are not applicable to the Corporation. xvi) The Corporation is not required to be registered under section 45-IA of the Reserve Bank of India Act,1934, and accordingly, provisions of Clause (xvi) of Para 3 of the Order are not applicable to the Corporation.

II. Sector - specific sub – directions. 1. Whether profit/loss mentioned in Audit Report is as per Profit & Loss Accounts of the Company? Yes, the profit is as per the books of the company.

2. Whether the system in vogue for identification of projects to be taken up under Public Private Partnership is in line with the guidelines/policies of the Government? Comments on deviation if any. Not Applicable, since the Corporation is not classified under Public Private Partnership.

3. Whether system for monitoring the execution of works viv-a-vis the milestones stipulated in the agreement is in existence and the impact of cost escalation, if any revenues/losses from contracts, etc., have been properly accounted for in the books. Based on the audit procedures performed by us during the course of our audit and according to information and explanation given to us, the corporation executes the work only after receiving administrative approval from the Board of Directors. Work in progress is accounted on the basis of the Running Account bills received from the contractors, approved by the project management consultants of the project. In the event of any change in project or cost escalation arises then it is accounted as extra item only after Board of directors’ approval. Once the project is completed, the cost of the project is adjusted against the grant received from the government.

4. Whether funds received/receivable for specific schemes from central/state agencies were properly accounted for /utilized? List the case of deviations. The Funds have been utilized properly and accounted for except for the following:

The Corporation has mobilized ` 2,00,00,000/- earmarked for projects to meet the immediate administrative expenses of the Corporation on a short term basis in F.Y.2014-15. Out of that, the Corporation has repaid or transferred an amount of ` 30,00,000/- to the respective projects account and ` 1,70,00,000/- is yet to be paid.

The Corporation during the F.Y.2014-15 received ` 1,15,00,000 as a composite amount from the official liquidator of Dadar Janta Sahkari Bank as compensation towards an oldfixed

deposit amounting to ` 48,00,000 and interest thereupon. The said fixed deposit was made out of idle funds earmarked for projects. The same were also utilized to meet the administrative expenses of the Corporation.

5. Comment on the confirmation of balances of Trade Receivables, Trade Payables, Term Deposits, Cash and Bank balances were obtained. Confirmations of balances in respect of Cash and Bank have been obtained. Term Deposits from the banks have been verified by deposit receipts. Balances included in Advance recoverable, Trade Creditors for works, deposits with Government bodies and Earnest Money/ Security Deposits received from contactors are subjected to confirmation.

6. Whether Provision for Doubtful debts has been shown under relevant heads separately as per schedule III of the Companies Act, 2013 and suitable provisions made for long outstanding debts? The Corporation does not have any long outstanding debts for which provision is required to be made.

7. Whether all expenditure on account of payment made to the Contractor for Capital Works which has been completed and put to use before 31 March has been capitalized in the Books of Account? The payments made to contractors are in respect of the projects executed by the Corporation and no payments are made in respect of Capital WIP of the Corporation. Hence this clause is not applicable.

We have audited the internal financial controls over financial reporting of MAHARASHTRA STATE POLICE HOUSING AND WELFARE CORPORATION LIMITED(“the Corporation”) as of March 31, 2016 in conjunction with our audit of the standalone financial statements of the Corporation for the year ended on that date.

Management’s Responsibility for Internal Financial Controls The Corporation’s management is responsible for establishing and maintaining internal financial controls based on the internal control over financial reporting criteria established by the Corporation considering the essential components of internal control stated in the Guidance Note on Audit of Internal Financial Controls Over Financial Reporting issued by the Institute of Chartered Accountants of India. We conducted our audit in accordance with the Guidance Note on Audit of Internal Financial Controls Over Financial Reporting (the “Guidance Note”) and the Standards on Auditing, issued by Institute of Chartered accountants of India and deemed to be prescribed under section 143(10) of the Act, to the extent applicable to an audit of internal financial controls, both applicable to an audit of Internal Financial Controls and, both issued by the Institute of Chartered Accountants of India. NOTES TO THE FINANCIAL STATEMENTS FOR THE YEAR ENDED MARCH 31st, 2016. Note-1: Significant Accounting Policies I. Nature of Business: MSPH&WCL is primarily engaged in construction of Administrative Buildings, Training Campuses & Service Quarters for employees of Government of Maharashtra in the Police, Jail, Home Guard & Civil Defence Department.

II. Significant Accounting Policies (a) Basis of accounting: (i) Accounting Convention: The accounts have been prepared on the accrual basis of accounting, under the historical cost convention, in accordance with the Companies Act, 2013 and the applicable accounting standards.

All assets and liabilities have been classified as Current or Non Current as per criteria set out in the Schedule III to the Companies Act, 2013. Based on the nature of activity carried out by the company and the period between the procurement and realisation in cash and cash equivalents, the Company has ascertained its operating cycle as 3 to 5 years for the purpose of Current – Non Current classification of assets & liabilities.

(ii) Use of Estimates: The preparation of financial statements in conformity with generally accepted accounting principles requires estimates and assumptions to be made that affect, the reported amount of assets and liabilities on the date of the financial statement and a reported amount of revenues and expenses during the reporting period. Difference between the actual expenses and estimates are recognized in the period in which the results are known / materialised.

(iii) Revenue Recognition: Project Execution Income: Centage Income relating to project execution is recognized as a percentage of the amount incurred on the said projects on approval from the concerned departmental heads.

Interest income on specified fixed deposits is recognized on a time proportion basis taking into account the amount outstanding and the rate applicable.

(b) Fixed Assets and Depreciation: Tangible Fixed Assets are stated at cost less accumulated depreciation and provision for impairment, if any. The cost includes expenditure incurred in the acquisition and construction / installation and other related expenses in bringing the asset to working condition for its intended use. In respect of qualifying assets, related pre-operational expenses including borrowing costs are also capitalised.

Intangible Assets are stated at acquisition cost and provision for impairment, if any.

Depreciation is provided on the revised useful life of assets and in the manner specified in Schedule II of the Companies Act, 2013 on straight-line basis in respect of all assets.

Value of land is not amortized.

Intangible assets are amortized over a period of three years.

Assets costing less than ` 5,000 are fully depreciated in the year of purchase.

(c) Impairment: The carrying amounts of assets are reviewed at each balance sheet date to determine if there is any indication of impairment based on external/internal factors. An impairment loss is recognized wherever the carrying amount of an asset exceeds its recoverable amount which represents the greater of the net selling price and "Value in use" of the assets. The estimated future cash flows considered for determining the value in use, are discounted to their present value at the weighted average cost of capital.

(d) Borrowing cost :- Interest and other borrowing costs, attributable to the acquisition of or construction of qualifying assets till such time the assets are substantially ready for their intended use, are capitalized. All other borrowing costs are charged to revenue.

(e) Construction Projects : i) Grants: - The Corporation acts as a channelizing agency for disbursement of grants under various schemes of Central and State Government. The Corporation receives the amount of such grants and disburses them to eligible parties in accordance with the terms of the grant. The whole of such grants as at the year-end are classified and disclosed under Non-Current Liabilities except to the extent of completed projects wherein the said grants are applied to the respective Work in Progress of relevant complete projects.

On application of such grants to the relevant completed projects, the excess/ short under the head grants is reflected as Non-Current Liabilities/ Assets.

The undisbursed grant funds are temporarily deposited with Public Sector Banks in Fixed Deposits and the Interest Earned is added to the grants received

ii) Construction Work in progress : Expenditure on construction work in progress is accounted on the basis of the bills booked for various projects on approval from the concerned departmental heads.

iii) Completed Work : Project completion is determined on the basis of “Taba Pavti” i.e. the receipt of handover. Consequent to the handing over, the cost of the project under the head Work in Progress is adjusted by the corresponding Grants received from the Government and the balance if any is shown as receivable/ payable from/ to the Government.

iv) Projects contributed out of Centage Funds: Centage Funds are utilized for repair/ renovation/ construction of specified projects for the use of the State Police employees welfare after due approvals from the Board of Directors. The amounts paid towards such projects are classified under Project Work in Progress during the period the work is being carried and appropriated from the Surplus in Statement of Profit & Loss upon completion.

(f) Retirement and other employee benefits :- Short term employee benefits are accounted in the period during which the services have been rendered.

The Corporation's contribution to the Provident Fund is remitted to the Regional Provident Fund Commissioner based on fixed percentage of the eligible employees' salary and charged to Statement of Profit & Loss.

The Corporation's liability towards Gratuity, being defined benefit plan and other long term obligations are accounted for based on Actuarial valuation done at the year-end using the Projected Unit Credit Method. Actuarial gains and losses are charged to Statement of Profit & Loss.

(g) Taxation: Income tax expense comprises current tax expense and deferred tax expense/credit.

Current Tax Provision for current tax is calculated in accordance with the provisions of the Income-Tax Act, 1961 and is made annually based on the tax liability computed after considering benefits admissible under the provisions of the Income Tax Act, 1961.

Deferred Tax Deferred tax assets/ liabilities resulting from “timing differences” between book and taxable profit is accounted for using the tax rates and laws that have been enacted or substantively enacted. Deferred tax assets are recognized and carried forward only to the extent that there is a reasonable certainty that the assets will be realized in future. However, in respect of unabsorbed depreciation or carry forward loss, the deferred tax asset is recognized and carried forward only to the extent that there is a virtual certainty that the assets will be realized in future. Deferred tax assets are reviewed as at each balance sheet date and written down or written-up to reflect the amount that is reasonably/virtually certain (as the case may be) to be realized.

Minimum Alternative Tax Minimum Alternative Tax credit is recognised as an asset only when and to the extent there is convincing evidence that the Corporation will pay normal income tax during the specified period. Such asset is reviewed at each Balance Sheet date and the carrying amount of the MAT credit asset is written down to the extent there is no longer a convincing evidence to the effect that the Corporation will pay normal income tax during the specified period.

(h) Earnings per Share (EPS) :

Basic EPS is computed by dividing the net profit or loss for the period attributable to equity shareholders by the weighted average number of equity shares outstanding during the year/ period. Diluted EPS is computed using the weighted average number of equity and dilutive equity equivalent shares outstanding during the year except where the results would be anti dilutive.

(i) Provisions, Contingent Liabilities and Contingent Assets: A provision is recognized, if as a result of past event, the Corporation has a present legal obligation that can be measured reliably, and it is probable that an outflow of economic benefits will be required to settle the obligation. Provisions are determined by thebest estimate of the outflow of economic benefits required to settle the obligation at the reporting date. Where no reliable estimate can be made, a disclosure is made as contingent liability.

A disclosure for a Contingent Liability is made when there is possible obligation or a present obligation that may, but probably will not, required outflow of resources. Where there is a possible obligation or present obligation where likelihood of outflow of resources is remote, no provision or disclosure is made.

Note-21: Other Additional/ Explanatory Information A. Contingent Liabilities: Claims against the Corporation not acknowledged as debts: ` 29,61,39,914/-Crores (P.Y. ` 7,55,49,317/-). It is not practical for the Corporation to estimate the timings of cash outflows, if any, in respect of the above pending matters. B. Estimated Amounts of Commitments other than Capital remaining to be executed (To the extent, information available with the Corporation): ` 109,22,62,000/-(P.Y. ` 56,95,39,000/-). C. There is no amount due and outstanding to be credited to Investor Education and Protection Fund. D. Micro, Small and Medium Enterprises to whom the Corporation owes dues which are outstanding at the Balance Sheet date to the extent such parties have been identified on the basis of information available with the Corporation amounted to ` 1,10,200/-(P. Y.1,09,200/-). This has been relied upon by the auditors. Other Information regarding MSME Creditors is not provided as the relevant provisions of the MSMED Act, 2006 are not applicable. E. F. The Corporation receives lump sum Grants from Government of Maharashtra, through D.G.P. Maharashtra. The flow of funds from the government is not in consonance with the project needs. Grants received for other projects are temporarily utilized for ongoing projects to avoid time and cost escalation. The Board of Directors vide Resolution No. 1226 passed in the 216th meeting held on 23/04/2015 has authorized the Managing Director to re-appropriate the idle and unutilized funds to the other projects as and when necessary, after approval of the ‘Re-appropriation Committee” formed for the purpose. G. The Corporation, a sin the previous year, has substantially reconciled the project-wise details of approval of project cost, budget/ fund allocation, amounts disbursed, utilized in earmarked projects and balance of unutilized funds with the books of account. Shortfall/ Deficit/ cost overruns in respect of grants received for certain old projects amounting to ` 4,46,47,291 have been adjusted against certain old credit balances amounting to ` 6,56,30,919 disclosed under Grants under the head “Other Long Term Liabilities” (Note No. 4). The transfer of funds between projects is in the process of reconciliation in respect of the balance amount of ` 2,09,83,628.

H. The Corporation has received an amount of ` 3,98,91,265/- against sale of 10 residential quarters and administrative office building of wireless station at Santacruz, to PAO DCPW (Director of Coordination, Police Wireless), New Delhi, as per instruction of Commissioner of Police, Brihanmumbai. The above property was constructed by MSPH & WCL and handed over to Commissioner of Police, Brihanmumbai in the last financial year. The above referred amount received against transfer of property, is reflected in our Grants account under Non- Current Liability head and the same will be utilized towards projects as per the instructions given by Commissioner of Police, Brihanmumbai. I. The Corporation has created a Centage fund as per the board resolution No. 1078 for the first time in FY 11-12, by charging Gross 7% (incl. of Architect and PMC) of the project cost. The Centage charges has been enhanced to Gross 10% (incl. of Architect and PMC) with effect from 1st April, 2015 in pursuance of the approval accorded by the Board of Directors vide its resolution no. 1205 dt. 25/06/2014. J. The Corporation has mobilized ` 2,00,00,000/- earmarked for projects to meet the immediate administrative expenses of the Corporation on a short term basis in F.Y.2014-15 . Out of that, the Corporation has repaid or transferred an amount of ` 30,00,000/- to the respective projects account and ` 1,70,00,000/- is yet to be paid. The Corporation during the F.Y.2014-15 received ` 1,15,00,000 as a composite amount from the official liquidator of Dadar Janta Sahkari Bank as compensation towards an oldfixed deposit amounting to ` 48,00,000 and interest thereupon. The said fixed deposit was made out of idle funds earmarked for projects. The same were also utilized to meet the administrative expenses of the Corporation. The said balance funds are expected to be replenished out of Centage receivable in subsequent years. K. The Corporation had received a notice of default of Rs 7,57,23,137/- dated 25.11.2014 from the TDS Central Processing Cell of the Income tax Department. This demand is for the financial years 2007-08 onwards on account of short deductions, short payments and interest/ penalties thereof as held by the department. The Corporation had erroneously deposited the TDS mentioning the PAN instead of the TAN and against self-assessment tax instead of TDS. For this reason, the TDS deposited was not adjusted against the TDS liability in the records of the Income-tax department. The Corporation has taken up the matter with the Income- tax department for rectification and also re-worked the net liability of the Corporation at Rs 20,12,985/- which amount has been provided for in the books of the Corporation. This amount comprises ` 7,30,883 towards short deduction of TDS and ` 12,82,102 towards interest thereon. L. The Corporation had issued Bonds amounting to ` 107.00 crores and ` 16.01 crores in the financial years 1999 and 2000. These had been repaid on maturity with interest to the respective investors. However, an amount of Rs 46 lakhs is being shown as outstanding in the records of NSDL due to non-completion of formalities with regard to redemption. The Corporation has now appointed a Registrar and Transfer agent to complete the formalities for extinguishment of the redeemed bonds from the NSDL site. Provision for fees payable to the

agent amounting to ` 7,76,199 has been made in the books of accounts. M. Previous year expenses comprises of ` 7,30,883/- in respect of short deduction of TDS (Refer note 21(K)) and professional fees payable to the Registrar and transfer agent ` 7,76,199 (refer Note 21(L)). N. The Corporation had availed of loans aggregating Rs 112.85 lakhs from the Housing& Urban Development Corporation Ltd in the years 1983, 1984 and 1988. These loans had been repaid but the process for satisfaction of the charge created on the assets of the Corporation had not been completed. The Corporation has taken up the matter with HUDCO. O. The Corporation had made provision for Income Tax for the year ended 31st March, 2013; at normal rates applicable for that year. In view of the carried forward losses, tax at normal rate was not payable and Minimum Alternate Tax was payable for which MAT credit was to be availed. Accounting entry in respect thereof has been passed in the current year. P. Share Capital Notes:- i. Government lands at Worli admeasuring 1,60,853 Sq. Yards valued at ` 6,03,19,875 was transferred (14-03-1974) to the Corporation as a part of share capital contribution. Out of this, 16,797 Sq. yards costing ` 62,98,875 was taken back (08-06-1988) by the Government of Maharashtra for allotment to other parties against alternate land at Ambivali (Andheri) and differential land price of ` 4,22,00,000 as intimated by the Government on 11-05-2005. Both the land and the difference amount in cash are yet to be received from the Government as at the Balance Sheet date. Pending the receipt of the same, the part of 78,274 equity shares are stated as issued for consideration other than cash. Refer Note 2. ii. Government lands at Wanawadi, Pune admeasuring 1,66,721 Sq. Yards valued at ` 6,27,000 was transferred as per G.R.no. LND-SRPF0179/2/POL-7 Dated 15.07.1981 to the Corporation as a part of share capital contribution. The above land was not transferred in name of Corporation by the Collector, Pune and the land is not in the possession of the Corporation. Out of the total area 83,241 Sq. yards was re-granted by the Minister of Revenue and Forest Department to the power of attorney holder of original owners on 03.06.2002. The matter has been taken up with the concerned department. Q. R. The Board of Directors as per resolution no.1309 and 1311passed in 222nd board meeting on 05.02.2016, accorded administrative approval for purchase of ready possession residential flats. As per the resolution, 49 flats at Hirawadi, Nashik at a cost of ` 15,94,06,800/- and 78 flats at Shrirampur, Ahmednagar at a cost of ` 18,45,39,600/-are to be acquired by utilizing the available funds from grants in the financial year 2015-16. As per payment terms approved by the board resolution, the Corporation has made an advance payment to MHADA amounting to ` 3,98,51,700 against 49 residential flat at Hirawadi, Nashik and ` 1,52,55,700/- for 78 residential flat at Shrirampur, Ahmednagar. The above properties will be owned by the police department, Government of Maharashtra and MSPH&WCL is providing technical and financial support for the above said property. S.
