Oligopoly and the Antitrust Laws: A Suggested Approach Richard A. Posner* This Article proposes for consideration a new approach' to a persistent and difficult problem of antitrust policy. The problem is: What rules and remedies are necessary to prevent supracompetitive prices in oligopolies, markets in which a few sellers account for most of the output? The heart of the suggested approach is a questioning of the prevailing view that mo- nopoly pricing by oligopolists, when unaccompanied by any detectable acts of collusion, constitutes an economically and legally distinct problem re- quiring new doctrines and new remedies for its solution. The interdepen- dence theory of oligopoly that underlies this view, in treating explicit and tacit collusion dichotomously, has obscured the similarities between the two kinds of anticompetitive behavior. I shall argue that both forms of collu- sion can be proceeded against under section i of the Sherman Ac2 as con- spiracies in restraint of trade. The employment of section i against purely tacit collusion would do no violence to the statutory language or purpose; and while difficult problems of proof and of remedy would be involved, I am not convinced that they would be insuperable. Part I of the Article summarizes the prevailing view in the economic and legal literature as to the distinctive character of the problem of oli- gopoly and notes the proposals to which this view has given rise; the focus is on the writings of Donald Turner, a distinguished scholar and former chief of the Antitrust Division. Part II explains my disagreement with Professor Turner's approach to suggests a reformulation of the problem of oligopoly that emphasizes the congruence between ordinary cartels, routinely dealt with under section i of the Sherman Act, and the special type of collusion that may arise under conditions of oligopoly. Rev. 1562 1968-1969 June x969] OLIGOPOLY AND ANTITRUST 1563 proving to the degree of certainty required by the courts that the de- fendants have tacitly colluded, and of eliminating violations once they have been proved; part III points out possible solutions to these problems. Part IV extends the analysis to some other approaches to the oligopoly problem, which differ from the section I approach in emphasizing the correction of market structure rather than behavior. Considered are proposed legislation that would authorize the dissolution of the leading firms in certain oligopo- listic markets; a suggested interpretation of section 2 of the Sherman Acts to forbid "oligopolizing"; and the recent Department of Justice Merger Guidelines,4 which strictly limit mergers that increase concentration. I. PROFESSOR TURNER ON THE INAPPLICABILITY OF SECTION I OF THE S-ERmAN ACT TO OLiGOPOLSTIC INTERDEPENDENCE The principal thesis of this Article is that section I of the Sherman Act, which prohibits "[e]very contract, combination in the form of trust or otherwise, or conspiracy, in restraint of trade," is an appropriate weapon to use against noncompetitive pricing in oligopolistic industries. That is not a popular view, partly because it is erroneously5 thought to be foreclosed by the famous dictum in Theatre Enterprises,Inc. v. ParamountFilm Dis- tributing Corp. that "'conscious parallelism' has not yet read conspiracy out of the Sherman Act entirely,"' and partly because it was forcefully denounced in an article written by Donald Turner in x962.' That article is a good place to begin discussion, although a rounded conception of Pro- fessor Turner's approach will require reference to some of his other writ- ings as well. At the heart of Turner's analysis is the theory of oligopolistic interde- pendence.8 The theory will be examined critically at a later point; for now, a brief summary will suffice. In a market of many sellers the individual seller is too small for his decisions on pricing and output to affect the mar- ket price. He can sell all that he can produce at the market price, and nothing above it. He can shade the price without fear of retaliation because the resulting expansion of his output at the expense of his rivals will divert an imperceptible amount of business from each. Rev. 1563 1968-1969 STANFORD LAW REVIEW [Vol. 21: Page 1562 of ioo sellers of equal size, an expansion in output of 2o percent by one will result in a fall of output of only about 0.2 percent for each of the others. Under these conditions a seller will not worry about rivals' reactions in making his pricing decisions. In contrast, in a market where sellers are few, a price reduction that produces a substantial expansion in the output of one will result in so substantial a contraction in the output of the others that they will quickly respond to the reduction. If, for example, there are three sellers of equal size in a market, a 20 percent expansion in the output of one will cause the output of each of the others to fall not by 0.2 percent but by io per- cent, a contraction the victims can hardly overlook. Anticipating a prompt reaction by his rivals that will quickly nullify his gains, the seller in a concentrated market will be less likely to initiate a price reduction than his counterpart in the atomized market. Oligopolists are thus "interde- pendent" in their pricing. They base their pricing decisions in part on anticipated reactions to them. The result is a tendency to avoid vigorous price competition. Professor Turner asks whether oligopolistic interdependence should be viewed as a form of agreement to fix prices that violates section i of the Sherman Act. The question has two parts: Is interdependence agreement? If so is it unlawful agreement? Turner is prepared to allow that, "[c]on- sidered purely as a problem in linguistic definition," interdependent pric- ing could be deemed a type of collusion.' But to him a more important consideration is that "the rational oligopolist is behaving in exactly the same way as is the rational seller in a competitively structured industry; he is simply taking another factor into account' (the reactions of his rivals to any price cut) "which he has to take into account because the situation in which he finds himself puts it there."" Since the oligopolist is behaving just like the seller in an atomized market, oligopoly pricing can be described as "rational individual decision in the light of relevant economic facts" as well as it can be described as collusion." Turner's decisive argument is that there is no effective remedy, fairly to be implied from section i, against oligopolistic interdependence. An in- junction that merely "prohibited each defendant from taking into account the probable price decisions of his competitors in determining his own price or output" would "demand such irrational behavior that full com- pliance would be virtually impossible."' 8 To be effective, the injunction would have to require that the defendants reduce price to marginal cost, and the enforcement of such a decree would involve the courts in a public- 9.Turner, supra note 7,at 665. io.Id. at 665-66. i. When competitors agree to fix prices, rig bids, or allocate (divide up) customers, consumers lose the benefits of competition. The prices that result when competitors agree in these ways are artificially high; such prices do not accurately reflect cost and therefore distort the allocation of society’s resources.

Most collusion cases can be classified into two established general categories.) Classic, or "Type I" collusion involves collective action to raise price directly? Firms can also collude to disadvantage rivals in a manner that causes the rivals' output to diminish or causes their behavior to become chastened.     "Application of Part IV of the Trade Practices Act to Local Government" Michael Cosgrave Regional Director - Melbourne Application of National Competition Policy to Local Government Seminar 30 July 1996 Introduction As you are no doubt all aware, from 21 July 1996 the Trade Practices Act 1974 ("the Act") was further extended under National Competition Policy. All States except Western Australia have enacted legislation conforming with the Competition Policy Reform Act, thus extending the ambit of the Act to now include many previously exempt business activities of Australian Local Governments. The application of the Act is important for every one of you here today. A message that I want to impart to you today is that each local government is now going to be responsible for its the competition effects of its actions.     CRIMINAL SANCTIONS FOR CARTEL BEHAVIOUR ANTHONY GRAY* I INTRODUCTION The Trade Practices Amendment (Cartel Conduct and Other Measures) Bill 2008 (Cth) controversially proposes the introduction of criminal sanctions for certain cartel behaviour. These measures were recommended by the Dawson Committee in its 2003 review, 1 and not surprisingly have the support of the Australian Competition and Consumer Commission (ACCC).2 In this article, I will introduce the proposed new rules, 3 before assessing whether cartel conduct should be criminalised, in terms of traditional conceptions of what behaviour should be considered to be criminal in nature, as well as the likely effectiveness of the new regime in terms of deterring cartel behaviour, and enforcing cartel provisions more generally.     9781405176323_4_014.qxd 10/19/07 8:12 PM Page 323 14 Price Fixing and Repeated Games In February 2007, the European Union Competition Directorate imposed their largest-ever fines on companies found guilty of colluding to fix prices. Five elevator manufacturers were fined a total of a992 million (approximately $1.4 billion) for operating a cartel that con- trolled prices in Germany, Belgium, Luxembourg and the Netherlands. ThuysenKrupp received the heaviest fine, of more than a479 million since it was judged to be a “repeat offender” by the Commission. Otis was fined a225 million, Schindler a144 million, Kone a142 million, and Mitsubishi’s Dutch subsidiary a1.8 million.1 The elevator case came just one month after another case involving gas insulated switch- gear projects in which the Commission imposed fines totally a750 million on 11 companies for their parts in a price-fixing cartel. In this case, the largest fine of a396.5 million was imposed on Siemens, Germany. This case is particularly interesting because it was broken open largely as a result of the Commission’s leniency policy. Under that policy, the first firm in a conspiracy to confess and “fink” on its co-conspirators gets a much reduced penalty. In fact, the finking firm in the switch-gear case, ABB Switzerland, was granted full immu- nity and paid no penalties in return for its confession and provision of information to the authorities. That reflects a considerable savings from the a215 million it would otherwise have had to pay as a repeat offender. Action to curb the activities of cartels has been equally active in the United States.2 The Department of Justice has recently imposed a total of more than $732 million on companies operating a cartel to control the pricing of dynamic random access memory (DRAM).

    A STRUCTURED OUTLINE FOR THE ANALYSIS OF HORIZONTAL AGREEMENTS by Thomas B. Leary* The antitrust principles applied to “horizontal” arrangements are difficult to summarize. The principles have evolved over an extended period of time and have been shaped by decisions that are often hard to reconcile. I do not claim that the structure outlined below is the only way to read cases or frame issues, but it is one that I believe is consistent with the most recent precedent and learning. I. Introduction An agreement between actual or potential competitors to restrain their rivalry in some respect is commonly called a “horizontal restraint.” This kind of agreement should be distinguished from so-called “vertical” restraints that govern the interface between supplier and customers (who may also be competitors in another capacity). The distinction is fundamental because horizontal and vertical restraints are analyzed in different ways.1 The most significant difference is that horizontal restraints are more likely to be deemed illegal per se and vertical restraints are more likely to be subject to the “rule of reason.” * Commissioner, Federal Trade Commission.     REGRESSION ESTIMATES OF DAMAGES IN PRICE-FIXING CASES MICHAEL 0. FINKELSTEIN* AND HANS LEVENBACHt In an antitrust price-fixing case, damages are measured by the difference between the prices paid by the plaintiff purchasers and the prices they would have paid in the absence of defendants' conspiracy. Even small variations in the deter- mination of these differences may become significant because plaintiffs are entitled by statute to receive three times their actual damages.' Moreover, in a class action there may be thousands of purchasers whose recoveries are based on an industry- wide overcharge formula. The difficulty of course lies in estimating the "but for" prices. An obvious idea is to assume that competitive prices during the conspiracy period would have been the same as they were before or after the conspiracy or in interludes of competition within the conspiracy period. Thus, the difference between the conspiratorial price and the actual price from other periods measures the damage. This estimate, however, meets the immediate objection that it is likely to be incorrect because changes in factors affecting price other than the conspiracy would have produced changes in competitive prices if there had been competition during the conspiracy period.
