Dear Ms. Bose:

Pursuant to Section 157.21(b) of the regulations of the Federal Energy Regulatory Commission (“FERC” or “Commission”),1 Algonquin Gas Transmission, LLC (“Algonquin”) hereby requests approval from Commission Staff to initiate the Pre-Filing Review Process for the proposed Access Northeast Project (“Access Northeast Project” or “Project”).2 Upon completion of the Pre-Filing Review, Algonquin will file an application with the Commission for authorization to construct the Project under Section 7(c) of the Natural Gas Act (“NGA”) and abandon certain facilities under Section 7(b) of the NGA.3 Algonquin representatives met with Commission Staff on October 8, 2015, to discuss the Project and Algonquin’s use of the Pre- Filing Review Process. This Project is proposed to upgrade and expand the Algonquin pipeline system and construct a Liquefied Natural Gas (“LNG”) storage facility in New England to deliver, on peak days, up to 925,000 dekatherms per day (“Dth/d”) of natural gas. The Project is designed to meet the capacity needs of natural gas fired electric generation as coal and nuclear generation resources retire. As such, Access Northeast will be implemented in phases, with the initial phase currently projected to be November 1, 2018.

Project Overview

The Access Northeast Project is designed to advance a customized solution to New England’s electric challenges. With the ability to directly connect with 60 percent of ISO-New England’s power plants off the Algonquin and Maritimes & Northeast Pipeline, L.L.C. systems, Access Northeast will provide critically needed natural gas pipeline capacity and market area storage to ensure the reliability of New England’s power generation fleet. Further, over 95 percent of the pipeline route for this Project will utilize existing pipeline right of way (“ROW’), utility corridors, roads and other existing ROW, thus minimizing impacts on the environment and communities.

Demand for natural gas has continued to grow in the Northeast as the region seeks additional access to an economic source of fuel that is domestically produced, clean-burning and efficient. Due to pipeline constraints, however, the supply of natural gas in New England is not adequate to meet the demand, particularly on the coldest winter or peak days. The lack of adequate “last mile” supply deliverability continues to drive the cost of electricity higher and threaten reliability. The Access Northeast Project is designed to further the goals of reducing the cost of electricity and increasing the reliability of the New England electric system to benefit electric distribution customers. Since electric generation has not been directly served by recent Algonquin expansion projects, this Project is intended to satisfy demand for firm natural gas transportation capacity that has not been previously addressed and has utility independent of other expansion projects.

Algonquin executed memoranda of understanding with seven electric distribution companies related to firm transportation service to deliver new natural gas supplies to the electric distribution companies’ service areas, with an initial project in-service date of November 1, 2018.4 These electric distribution companies are:

Eversource Energy (“Eversource”):  Light & Power Company doing business as (“d/b/a”) Eversource, a Connecticut corporation;  NSTAR Electric Company d/b/a Eversource, a Massachusetts corporation;  Public Service Company of New Hampshire d/b/a Eversource, a New Hampshire corporation; and  Western Massachusetts Electric Company d/b/a Eversource, a Massachusetts corporation.

National Grid:  Massachusetts Electric Company d/b/a National Grid, a Massachusetts corporation;  The Narragansett Electric Company d/b/a National Grid, a Rhode Island corporation; and  Nantucket Electric Company d/b/a National Grid, a Massachusetts corporation.

Additionally, Central Maine Power Company submitted a bid in the open season for the Access Northeast Project to secure firm transportation service to deliver new natural gas supplies on the same projected in-service date.5 Algonquin is also in discussions with a local distribution company (“LDC”).

Algonquin held an open season for the Access Northeast Project from February 18, 2015 through May 1, 2015 (“Open Season”). Additionally, Algonquin held a reverse open season for

the Access Northeast Project from October 2, 2015 through October 30, 2015, to ascertain whether current firm shippers were interested in releasing transportation entitlements that would reduce the scope of Algonquin’s facility requirements for the Project. Algonquin did not receive any offers to turnback capacity.

Algonquin respectfully requests that the Commission approve this request by November 13, 2015 to initiate the Pre-Filing Review Process. As demonstrated herein, Algonquin has engaged in extensive efforts in anticipation of filing its certificate application to ensure that the Project adheres to the timeline discussed below and meets the November 2018 target initial project in-service date. To further support its request, Algonquin submits the following in compliance with the Commission’s regulations in Section 157.21(d) and Commission Staff’s guidance for initiating the Pre-Filing Review Process.

1. A description of the schedule desired for the project including the expected application filing date and the desired date for Commission approval.

To meet the target date for initial project in-service, Algonquin requests that the Director of the Office of Energy Projects issue a notice approving use of the Pre-Filing Review Process by November 13, 2015. Algonquin intends to submit an initial draft of Environmental Resource Report No. 1 and a draft alternatives analysis within 30 days of the date that the notice authorizing use of the Pre-Filing Review Process is issued, and a draft of all Environmental Resource Reports no later than June 2016. Algonquin anticipates submitting the certificate application for the Project in November 2016. Algonquin is committed to addressing environmental and landowner concerns as part of the Pre-Filing Review Process and requests issuance of a final environmental document no later than October 2017 and a certificate order no later than January 2018.

Adhering to this timeline will allow for receipt of any remaining applicable permits and authorizations necessary for Algonquin to begin pre-construction activities, including the orderly mobilization of contractors and materials and the resolution of any outstanding landowner issues, and allow for construction to commence as soon as feasible in 2018. Timely commencement of these activities in early 2018 is critical to ensure an initial project in-service date of November 1, 2018.

2. Explain why the project sponsor needs/wants to participate in the pre-filing process.

Algonquin is seeking authorization to use the Pre-Filing Review Process to provide the necessary environmental information to Commission Staff for review at the earliest practicable time in order to expedite the processing of Algonquin’s certificate application.

Use of the Pre-Filing Review Process will benefit Algonquin, interested federal, state, and local agencies, and other stakeholders by:

 Assisting in the development of initial information about the Project and identifying affected parties;

 Facilitating issue identification and resolution;  Providing a process that accommodates site visits, meetings with federal, state, and local agencies and stakeholders, participation in public information meetings (e.g., open houses), and the examination of alternatives;  Providing interested federal, state, and local agencies and stakeholders with access to draft Environmental Resource Reports and other Project-related information;  Minimizing the number of Commission Staff environmental data requests and subsequent filings;  Maintaining a coordinated schedule for a thorough environmental impact review; and  Facilitating preparation of Environmental Resource Reports and other related documents.

3. Provide a detailed description of the project, including location maps and plot plans to scale showing all major plant components.

The Project includes the construction of approximately 123 miles of various pipeline facilities, modifications at seven existing compressor stations,6 the construction of one new compressor station, associated pipeline facilities including metering and regulating (“M&R”) stations and the construction of an LNG peaking facility (“Access Northeast LNG Facility”). These proposed Project facilities are located in New York, Connecticut, Rhode Island, and Massachusetts.7 The Project will consist of the following facilities:

Mainline Pipeline Facilities

Construction of approximately 96.6 miles of mainline pipeline and looping,8 comprised of the following:

 1.2 miles of “take up and relay” (the removal and replacement of existing pipeline with new, larger diameter pipeline) of 26-inch diameter pipeline with 42-inch diameter pipeline in Rockland County, New York upstream of Algonquin’s existing Ramapo Meter Station;  12.7 miles of take up and relay of 26-inch diameter pipeline with 42-inch diameter pipeline in Westchester and Putnam Counties, New York upstream of Algonquin’s existing Southeast Compressor Station;

 17.6 miles of take up and relay of 26-inch diameter pipeline with 42-inch diameter pipeline in Fairfield and New Haven Counties, Connecticut upstream of Algonquin’s existing Oxford Compressor Station;  13.5 miles of take up and relay of 26-inch diameter pipeline with 42-inch diameter pipeline in New Haven and Hartford Counties, Connecticut downstream of Algonquin’s existing Oxford Compressor Station;  13.3 miles of 36-inch diameter pipeline loop extension in Hartford and Tolland Counties, Connecticut downstream of Algonquin’s existing Cromwell Compressor Station;  9.4 miles of 36-inch diameter pipeline loop extension in Windham County, Connecticut downstream of Algonquin’s existing Chaplin Compressor Station;  3.0 miles of 24-inch diameter connector pipeline from Algonquin’s existing G-System pipeline to the Access Northeast LNG Facility in Bristol County, Massachusetts;

 21.7 miles of 30-inch diameter pipeline loop in Norfolk County, Massachusetts along Algonquin’s existing Q-1 System; and  4.2 miles of 30-inch diameter pipeline loop in Norfolk County, Massachusetts (“I-8 System Loop”).

Pipeline Lateral Facilities

 Construct 26.8 miles of 16-inch diameter pipeline lateral (“West Boylston Lateral”) in Middlesex and Worcester Counties, Massachusetts.

Compressor Station Installations

 Construct a new compressor station (“Rehoboth Compressor Station”) in Bristol County, Massachusetts.

Compressor Station Modifications

 Add additional compression and cooling at the following existing Algonquin compressor stations: o Stony Point Compressor Station, Rockland County, New York; o Southeast Compressor Station, Putnam County, New York; o Chaplin Compressor Station, Windham County, Connecticut; o Burrillville Compressor Station, Providence County, Rhode Island; and o Weymouth Compressor Station, Norfolk County, Massachusetts.9

 Restaging at the following existing Algonquin compressor stations: o Oxford Compressor Station, New Haven County, Connecticut; and

o Cromwell Compressor Station, Middlesex County, Connecticut.

Additional aboveground facilities including M&R stations, launcher/receivers and valve stations will be constructed or modified as needed to support the Project. Algonquin anticipates new M&R stations for the proposed Access Northeast LNG Facility, and the West Boylston Lateral; however, the location of these facilities, and the quantity and location of other aboveground facilities have not been determined at this time. Algonquin will provide additional information regarding these facilities and other proposed aboveground facilities in draft Resource Report 1.

LNG Storage

The proposed Access Northeast LNG Facility will be located on an approximately 210- acre site in Acushnet, Massachusetts. The site is adjacent to an existing Eversource-owned LNG facility and the property will be leased from Eversource under a long term lease. The proposed LNG facility will be run as a peaking facility to supply natural gas during peak periods of demand. The proposed LNG facility will be interconnected to the Algonquin G-System through which Algonquin will receive vaporized gas from the LNG facility during periods of peak demand and will deliver gas for liquefaction to fill the tanks year-round, but primarily outside of periods of peak demand. The proposed LNG peaking facility will not replace the existing Eversource facility tanks or be an expansion of the existing facility. No modifications to the existing LNG facility are proposed. Components of the Access Northeast LNG Facility may include:

 Two LNG storage tanks with a total combined capacity of 6.8 billion cubic feet (“BCF”);  Liquefaction and regasification capability;  An on-site pipeline that connects the proposed LNG facility to the proposed pipeline connecting to the Algonquin Mainline;  A new access road off Peckham Road to serve both construction and operation of the LNG facility; and  Other assorted on-site structures and equipment, as required to support the operation and maintenance of the proposed facility.

Please see Attachment 1 for Project mapping depicting the location of Access Northeast Project facilities. The attached maps identify the currently preferred route, which incorporates information gathered during document reviews, field work, and consultation.

In accordance with the Pre-Filing Review Process, Algonquin is committed to continuing review of the route alignment with stakeholders and working to address their concerns. As Algonquin continues these ongoing efforts to refine the route alignment, Algonquin will submit, in this docket, periodic updates of the Project route alignment to the Commission Staff.

4. Provide a list of the relevant federal and state agencies in the project area with permitting requirements. The filing shall include a statement indicating: (i) that those agencies are aware of the prospective applicant’s intention to use the pre-filing process; (ii) whether the agencies have agreed to participate in the process; (iii) how the applicant has accounted for agency schedules for issuance of federal authorizations; and (iv) when the applicant proposes to file with these agencies for their respective permits or other authorizations.

Algonquin began contacting federal and state regulatory agencies in New York, Connecticut, Rhode Island and Massachusetts in the second quarter of 2015 to discuss the relevant permitting requirements for the Access Northeast Project. More recently, Algonquin sent consultation letters to the resource and permitting agencies. These letters provided preliminary information regarding the Project, including a Project description, and overview mapping, and advised these agencies of Algonquin’s intent to use the Pre-Filing Review Process. A listing of the federal and state agencies that Algonquin has contacted to date along with a list of the anticipated environmental permits, reviews, and consultations are included as Attachment 2.

As Algonquin continues its outreach efforts and participates in meetings with the key permitting agencies, Algonquin is requesting that each federal and state agency agree to participate in the Pre-Filing Review Process. Attachment 2 includes a list of the agencies that to date have agreed to participate in the Pre-Filing Review Process and Algonquin will provide an update of that information to the Commission once it becomes available. Algonquin expects to file for the federal and the majority of the state authorizations at the same time as or prior to submitting their certificate application to the Commission, consistent with Order No. 687,10 and Algonquin will work with Commission Staff and the affected federal and state agencies to develop a schedule for issuance of applicable environmental clearances and approvals.

5. Detail other interested persons and organizations that have been contacted about the project.

Algonquin began advising potential stakeholders, government officials, and other interested persons in June of 2015 about the Access Northeast Project through letters and individual meetings. Algonquin has contacted officials at the federal, state, and local governments, including congressional delegations, state legislators, and local elected officials.

A listing of government officials is included as Attachment 3. Algonquin will continue its ongoing efforts to identify and contact other potential stakeholders and interested persons. Updates to Attachment 3 will be submitted to Commission Staff accordingly.

6. Detail what work has been done already, i.e. landowner contacts, agency consultations, engineering and route planning.

Landowner contacts: The proposed Project facilities will be located in portions of Rockland, Westchester, and Putnam Counties, New York; Fairfield, New Haven, Hartford, Tolland, and Windham Counties, Connecticut; Providence County, Rhode Island; and Norfolk, Bristol, and Worcester Counties, Massachusetts. The proposed Project will directly affect approximately 2,535 landowners or 3,244 tracts along the pipeline portion. These landowners have been contacted multiple times by Algonquin. These communications have included Project introduction letters, a letter requesting survey permission, individual discussions with Algonquin’s representatives, and site visits. To date, Algonquin has been granted survey permission on 74 percent (by landowner) of the proposed Project right-of-way tracts for which Algonquin needs survey authorization. The approximately 1,630 abutters (landowners within ½ mile of the compressors) to the seven Algonquin compressor stations at which modifications are proposed and to the one new compressor station have received Project notifications. At seven of the Algonquin compressor stations, the proposed modifications will be entirely within the existing footprint; no survey permission was requested because there are no Project survey activities planned outside of those facilities. Survey permission has been requested for the new Rehoboth compressor station in Bristol County, Massachusetts.

Additionally, Project introduction letters were sent to approximately 370 landowners that live within a ½ mile radius of the proposed Access Northeast LNG Facility in Acushnet, Massachusetts. The Access Northeast LNG Facility will be entirely located on the land that Algonquin will be leasing from Eversource. No survey permission was requested because there are no Project survey activities planned outside of the leased property for the LNG facility.

Consistent with the Commission’s desire for early input by potential stakeholders and with the Commission’s endorsement of the use of collaborative procedures in developing new pipeline projects, Algonquin has already made significant efforts to inform the public about the Project, particularly affected landowners during landowner informational meetings. In August, September and October 2015, Algonquin hosted 22 voluntary landowner informational meetings for affected landowners in the Ramapo, Somers, Carmel and Southeast areas of New York; the Prospect, Waterbury, Cheshire, Glastonbury, Hebron, Andover, Cromwell, Rocky Hill, Oxford, Southbury, Middlebury, Naugatuck, Eastford, Pomfret, Danbury, Bethel, Brookfield, and Newtown, areas of Connecticut; the Burrillville area of Rhode Island and the Medway, Bellingham, Franklin, Millis, Norfolk, Walpole, Sharon, Weymouth, Germantown, Quincy, Braintree, Milford, Medway, Upton, Grafton, Millbury, Sutton, Shrewsbury, Boylston, West Boylston, Canton, Stoughton, Acushnet, Freetown, New Bedford and Rehoboth areas of Massachusetts. Affected landowners and abutters were mailed notices inviting them to attend the respective meetings. The meetings held to date were set up as open houses with subject matter experts available for construction, environmental, regulatory, government relations, stakeholder outreach and right-of-way. Alignment sheets identifying impacted tracts by landowner were available to allow for site specific discussions between right-of-way agents and interested stakeholders. Attendees asked various questions about the Project scope, schedule,

noise, and safety, as well as land-owner specific questions concerning Project impacts. In addition to the landowner informational meetings, and at the request of local elected officials, Algonquin hosted an open house and panel discussion for residents of Acushnet, MA.

Agency consultations: Algonquin initiated informal consultation with the applicable federal and state resource and permitting agencies in the third quarter of 2015. Consultation letters will be mailed in the next few weeks following additional agency coordination. An example of such a letter is provided in Attachment 4. Among the agencies listed in Attachment 2, Algonquin made direct telephone contact with the United States Army Corps of Engineers (New England and New York Districts), the Environmental Protection Agency (Regions 1 and 2), the United States Fish & Wildlife Service (New York Field Office and New England Field Office), the National Marine Fisheries Service Northeast Regional Office, the New York State Department of Environmental Conservation, the Connecticut Siting Council, the Connecticut Department of Energy and Environmental Protection, the Rhode Island Department of Environmental Management, the Rhode Island Coastal Resources Management Council, the Massachusetts Executive Office of Energy and Environmental Affairs, the Massachusetts Energy Facilities Siting Board and the Massachusetts Department of Environmental Protection. Notification letters were submitted in August 2015 to respective State Historic Preservation Officers (“SHPOs”) and the Native American Tribes; follow-up cultural resource survey proposals were submitted to the respective SHPOs and emails to Native American Tribal representatives have been sent on a weekly basis coordinating ongoing archaeological fieldwork. Algonquin plans to continue contacting agencies and other stakeholders throughout the Pre- Filing Review Process.

Project Engineering and Route Planning: Algonquin has defined the facilities required to provide the Project transportation services that will meet the contractual commitments to the electric distribution companies and the LDC. With the exception of the new pipeline lateral, the new pipeline extending to the Access Northeast LNG Facility, the new compressor station in Massachusetts and the Access Northeast LNG Facility, the Project transportation facilities primarily involve the take up and relay of existing in-service pipeline and pipeline looping adjacent to existing Algonquin rights-of-way, which provided a starting point for route planning. Further, the new compression and modifications at existing compressor stations and minor facility modifications for the required upgrades at the existing compressor stations will be within the fence line of existing facilities, with the possible exception of additional temporary workspace needed during construction. Civil surveys commenced in August 2015 and are ongoing. Right-of-way workspace configurations will be further refined, as necessary, based on input from landowners, agencies, public officials and other stakeholders, as well as information obtained from field surveys. These activities will continue throughout the Pre-Filing Review Process.

Contractor Engagement: Algonquin and its in-house engineering group have been working with the following contractors to perform various engineering and project studies:

 Hatch Mott MacDonald: Assist Algonquin with project design and engineering of its proposed pipeline facilities;  Tibbetts Engineering Corp.: Complete civil survey (Access Northeast LNG Facility);  CH-IV International: Front-End Engineering and Design for the Access Northeast LNG Facility;  TRC Environmental: Prepare Environmental Resource Reports and obtain environmental permits & clearances;  Public Archaeological Laboratory: Prepare cultural resource reports and obtain Project clearances;  Trinity Consultants: Prepare air quality permit applications; and  Hoover & Keith: Prepare noise section of Environmental Resource Report No. 9.

Environmental and Cultural Surveys: The wetland delineation and cultural resources field surveys for the Project commenced in August and September 2015, respectively. The status of both survey efforts are summarized below.

As noted above, Algonquin has initiated informal consultations with federal and state agencies. Certain federal and state-listed species have been identified as potentially occurring in the vicinity of the Project facilities, including:

 Northern long-eared bat (threatened) – New York, Connecticut, Rhode Island, and Massachusetts;  Indiana bat (endangered) – New York and Connecticut;  New England Cottontail Rabbit (candidate) – New York;  Timber Rattlesnake (endangered/threatened) – New York and Connecticut;  Box Turtle (special concern) – Connecticut and Massachusetts;  Wood Turtle (special concern) – Connecticut and Massachusetts;  Bog-turtle (endangered) – New York and Connecticut; and  Short-nosed Sturgeon and Atlantic Sturgeon (endangered) – Connecticut River, Connecticut.

Algonquin will continue to consult with federal and state agencies on any required species-specific biological surveys for the Project.

Next Steps: Upon approval from the Commission to use the Pre-Filing Review Process, Algonquin will distribute letters to stakeholders that will include information about the FERC Pre-Filing Review Process as well as a detailed description of Project facilities and overview maps, similar to the information provided to the governmental agencies described in response to Item 4. Algonquin will continue to update stakeholders with mailers and will also post information on the Project website at, www.accessnortheastenergy.com and on the Algonquin company website at www.spectraenergy.com under “New Projects and Our Process – New Projects in U.S.”

7. Propose at least three prospective third-party contractors from which the Commission Staff may make a selection to assist in the preparation of the requisite NEPA document, or a proposal for the submission of an applicant-prepared draft Environmental Assessment as determined during the initial consultation.

On September 8, 2015, Algonquin issued a Request for Proposal to prospective third- party contractors to assist Commission Staff in the preparation of a final environmental document. Firms submitted proposals on October 2, 2015. Algonquin has contemporaneously provided Commission Staff with the three contractor proposals that Algonquin considers the best-qualified, for the Commission’s consideration.

8. Acknowledge that a complete Environmental Report and complete application are still required at the time of filing.

Algonquin acknowledges that a complete Environmental Report and a complete application under Section 7 of the NGA are still required for the Project and will be submitted to the Commission.

9. Detail a Public Participation Plan, which identifies specific tools and actions to facilitate stakeholder communications and public information, including establishing a project website and a single point of contact.

Algonquin has developed a comprehensive Public and Agency Participation Plan that outlines a commitment to engage actively with stakeholders throughout the life cycle of the Project and provides the steps Algonquin has identified to ensure successful ongoing communication with stakeholders, including establishing a Project website and a single point of contact. Algonquin’s Public and Agency Participation Plan is consistent with FERC’s The Suggested Best Practices for Industry Outreach Programs to Stakeholders. Algonquin will continue to meet with Project stakeholders to discuss the ongoing efforts associated with the Project. The Project’s Public and Agency Participation Plan is included hereto as Attachment 5. Appendix C to the plan includes privileged and confidential information comprised of a landowner list and is marked “CONTAINS PRIVILEGED INFORMATION – DO NOT RELEASE.”11 Privileged information should be treated as confidential and is for use by Commission Staff only and not to be released to the public. Access Northeast Project Public and Agency Participation Plan

1. Plan Purpose

The Access Northeast Project includes the expansion of the existing Algonquin Gas Transmission, LLC ( “Algonquin ”) pipeline system and the development of a new market area storage Liquefied Natural Gas ( “LNG ”) peaking facility. Since electric generation has not been directly served by recent Algonquin expansion projects, this Project is intended to satisfy demand for firm natural gas transportation capacity that has not been previously addressed and has utility independent of other expansion projects.

The purpose of this Public and Agency Participation Plan is to identify stakeholders and potential concerns related to the proposed Access Northeast Project ( “Access Northeast Project ” or “Project ”) early in the development process; determine appropriate and effective methods of communication with stakeholders; identify responsible parties and adhere to communication protocols, and document the public consultation process.

Algonquin is dedicated to seeking significant involvement from affected stakeholders early in the planning process so those who are interested may participate in the decision-making process throughout development of the Project.

Our goal is to achieve consensus among the stakeholders regarding project design. We believe early and collaborative stakeholder involvement leads to project designs and implementation plans that minimize impacts to landowners, communities and the environment while enabling us to develop more comprehensive applications for submission to regulatory agencies, including the Federal Energy Regulatory Commission ( “FERC ”).

2. The Access Northeast Project Team The Access Northeast Project team includes experienced representatives from multiple disciplines including engineering, right-of-way, legal, environmental, stakeholder outreach, public relations, government relations, operations, regulatory affairs, and business development.

2.1. The Access Northeast Project Team Experience

Affiliates of Spectra Energy, Eversource Energy and National Grid are the developers of the Access Northeast Project and bring a vast portfolio of experience in safely and successfully developing and operating natural gas pipeline and LNG facilities.

Pipeline, Compressor Station and Liquefied Natural Gas Experience Ø Eversource Energy transmits and delivers electricity and natural gas to more than 3.6 million electric and natural gas customers in Connecticut, Massachusetts and New Hampshire.

Ø National Grid is an electricity and natural gas delivery company that connects nearly seven million customers to vital energy sources through its networks in New York, Massachusetts and Rhode Island. It is the largest distributor of natural gas in the Northeast. Ø Spectra Energy and its predecessor companies have served North American customers and communities for more than a century. Spectra Energy’s operations in the U.S. and Canada include 22,000+ miles of natural gas, natural gas liquids, and crude oil pipelines; ~305 billion cubic feet of natural gas storage; 4.8 million barrels of crude oil storage; and natural gas gathering, processing, and local distribution operations.

Interstate Natural Gas Pipeline Experience Ø Spectra Energy owns and operates Algonquin which is an interstate pipeline system transporting up to 2.74 billion cubic feet per day of natural gas from major supply basins to New England, New York and New Jersey. Algonquin was established in 1949 and made its first delivery to New Bedford Gas & Electric on September 9, 1953. The Algonquin system extends 1,129 miles from the Greater Boston area in Massachusetts to Lambertville, New Jersey, northwest of Trenton. From the Greater Boston area, the Algonquin system travels southwest through Massachusetts, Rhode Island, Connecticut and New York, and into New Jersey. The system also includes 35 miles of offshore pipeline from Weymouth to Beverly, Massachusetts, referred to as HubLine.

LNG Experience Ø Eversource Energy and National Grid are long-time LNG operators. Eversource Energy has more than 40 years ’ experience in the liquefaction process and transporting LNG, and currently operates LNG facilities in Hopkinton and Acushnet, Massachusetts, and in Waterbury, Connecticut. National Grid operates multiple LNG facilities throughout the northeast, including the iconic rainbow tank alongside the Southeast Expressway in Boston. National Grid also has more than 40 years ’ experience in the liquefaction process and transporting LNG, and currently operates LNG facilities in downstate New York. Algonquin owned and operated an LNG facility in Providence, RI for approximately 30 years before selling the facility to National Grid.

3. Project Description The proposed Access Northeast Project will provide a customized solution to New England ’s energy challenges to help ensure energy reliability, economic competitiveness, and quality of life for New England. The Access Northeast Project includes the expansion of approximately 123 miles of the Algonquin pipeline system and various above ground facilities. The project also includes the development of a new market area storage LNG facility in Acushnet, MA. The Project will deliver up to 925,000 dekatherms per day of natural gas, the majority of which will be used for electric generation. The expansion of Algonquin ’s existing pipeline system, combined with the Access Northeast LNG facility, will

enable Access Northeast to meet the energy demands of generators and others during peak energy demand times.

According to the Independent System Operator for New England (“ISO-NE ”) 2015 Regional Electricity Outlook, approximately 3,500 mega-watts ( “MW ”) of mostly coal and oil fired power generation are coming off line within the next 3 years, and the ISO-NE estimates that several thousand megawatts more is at risk for retirement by 2020. The additional supply shortage will likely present reliability issues and cause consumers to pay significantly higher energy costs to heat and power their homes and run their businesses. The Access Northeast Project is intended to address reliability concerns raised by the ISO-NE, as it will supply enough gas each day to efficiently generate 5,000 MW of electricity; or enough electricity to power over 5 million American homes.

3.1. Values and Principles Our core values guide our stakeholder outreach programs and activities as well as the work of our employees and contractors.

Having established principles and knowing where, when and how to engage with external stakeholders is critical to our business success.

3.2. Management Commitment Overview Our stakeholder outreach activities are endorsed by our executive management team. We have communication plans that provide our employees the “who, what, where and when ” protocols when conducting business.

To ensure effective dialogue with our stakeholders, we rely on multiple means of communication including one-on-one discussions, face-to-face meetings, open houses, websites, legal notices, media outreach and individual letters sent via mail.

Project Development Stakeholder Outreach During project development, stakeholder consultation is critical because many people along the proposed and existing pipeline routes may not be familiar with natural gas pipelines or our company.

The key criteria inherent in implementing a successful stakeholder consultation plan are the ability and knowledge to explain a project ’s benefits and its potential impacts; to respond to questions, concerns and issues; and, whenever practicable, to mitigate potential impacts. In order to sustain a successful program, we seek, involve, inform and respond to stakeholders by implementing the planning process early, with open and collaborative activities. We execute our plans by engaging in and sustaining understandable, accurate and timely dialogue with our stakeholders. This process guides us toward building and maintaining win-win relationships.

The Access Northeast Project has evolved as market demands and our potential customers ’ needs change and will require federal, state, and local regulatory reviews and will be subject to government approvals.

Our mission is to work with Project stakeholders to refine an acceptable project design. Our vision is to involve affected landowners, other interested citizens, public officials and government agencies early in the Project planning process to determine the proposed route and location of Project facilities. It is imperative to us that our employees and Project team understand the importance of public participation. The underpinnings of this plan are to inform, listen to, and record stakeholders ’ ideas and knowledge of the area and environment. Our values and principles include a commitment to being honest and open and following through with stakeholders ’ concerns and issues.

We manage all projects and operations in a manner that protects the environment and the health and safety of employees, customers, contractors and the public. Protection of human life is of highest priority, and actions undertaken to protect the environment or our assets must reflect this philosophy. We rely on each employee and contractor to support and actively participate in our environmental, health and safety program.

4. Project Development

The Access Northeast Project team has been discussing the purpose and need for the Project with landowners, agencies, public officials and other stakeholders. We explain supply and demand, energy reliability, pipeline construction, operations and safety, and the need for the Project during opportunities such as individual meetings, voluntary landowner informational meetings, public open houses and other meetings that include multiple stakeholders (e.g., town meetings, homeowner association meetings, etc.). In identifying issues important to landowners and other stakeholders, we seek input from federal and state agencies and commissions, the U.S. Energy Information Administration and regional and local entities. In addition to sharing information about the benefits of the Access Northeast Project, we seek to understand stakeholder issues and concerns, such as, Project construction activity alignment with landowner, community and business activities, environmental needs, right-of-way requirements, etc.

As part of determining potential stakeholders for the Access Northeast Project ’s preliminary and proposed routes and the location of Project facilities, we identified and are continually communicating with the following:

· Federal, state, county and local public officials; · Federal, state and local environmental agencies; · Energy agencies; · FERC Staff; · Landowners; · Federal and state land managers; · Non-governmental organizations; and · Community and public interest groups.

We will continue to identify other stakeholders interested in the Project as the Project moves forward.

Proper documentation is made with regard to conversations, meetings, and phone/visitor logs so that tracking of calls, visits, emails and/or letters received as well as issue(s)/concern(s) raised from initial contacts are addressed and resolved. Our goal is to be responsive to all participating agencies, landowners and stakeholders.

4.1. Team Training All facets of the Access Northeast Project public outreach and consultation process are discussed with and supported by the Access Northeast Project team.

Our land agents and survey crews participate in Public Consultation Training. The training includes appropriate communication, participation and documentation practices with stakeholders.

All land agents are trained in project-appropriate research methods with regard to determining property ownership and legal descriptions. All have received training on negotiating skills that include effective listening. Effective listening skills are a vital part of the stakeholder/agent communication process. In addition, all land agents have extensive training in contracting and documentation, including fact checking and quality control.

4.2. Route/Corridor Planning The proposed pipeline route/corridor is selected based upon engineering, construction, environmental and stakeholder considerations that include:

· Maximizing use of existing corridors; · Utilizing streets, industrial/commercial parking lots, edges of properties; · Minimizing residential and business impacts; · Minimizing interference with future development; · Minimizing disruptions during construction; · Avoiding environmental impacts where practicable; and · Minimizing unavoidable environmental impacts.

The pipeline facilities will be installed is in accordance with U.S. Department of Transportation classifications and regulations.

4.3. Map

A Project Overview Map is included as Attachment 1 of the Request for Approval of Pre- Filing Review.

5. Public Participation

We believe public participation strengthens our connection with people living and working near the pipeline and Project facilities and is critical to the successful completion of the Project.

During the early development stages of the Project, we involve many landowners located within an initial “study corridor ” comprising the preliminary and alternate routes and the areas surrounding Project facilities. We mail landowners Project description letters and request survey permission; telephone landowners and follow up with face-to-face meetings. We hold

voluntary landowner informational meetings; host public open houses and meetings with community and civic organizations; and participate in FERC ’s National Environmental Policy Act (“NEPA ”) review. We also engage in extensive contact and outreach with local, state and federal public officials.

During these meetings, we respond to stakeholders ’ questions and for those questions that require research, we commit to responding in a timely fashion. We take care to respond in easy to understand terms and to provide stakeholders with comprehensive answers to their questions. We also provide a dedicated Access Northeast project toll free number, 1-888-331- 6553, and invite stakeholders to call at any time throughout the development process if new questions arise. All calls will be returned by an Access Northeast Project representative within 24 hours.

We also invite stakeholders to visit both the Spectra Energy and Access Northeast Project websites for the duration of the Project.

5.1. Public Outreach

Algonquin will be implementing and coordinating public outreach activities during the FERC Pre-Filing review process as well as following the filing of the Certificate application. There are a number of separate components to our stakeholder outreach efforts, including the following:

· Developing our philosophy of outreach and stating our commitment; · Ensuring landowner, government and agency participation; · Training company representatives and land agents; · Providing a toll free number and website for easy access; · Developing and implementing a Public and Agency Participation Plan; · Collecting data and responding to stakeholders; and · Having a plan for potential mitigation and compensation.

5.1.1. Identification of Issues Landowner Throughout the development, construction and operation of the Access Northeast Project, we emphasize the importance of landowner and community communications.

Algonquin has sent letters to landowners providing them with information on the Project and requesting permission to survey. Copies of those letters are provided to public officials in advance. We will also send letters to stakeholders informing them of the FERC Pre-Filing review process, including the assigned Project docket number and information on the Resource Reports, as well as the locations of libraries or other public buildings where the Resource Reports will be made available for viewing. This communication with affected stakeholders will continue once we submit our certificate application to FERC.

Further, we held 22 voluntary Landowner Informational Meetings in August, September and October 2015 in communities with proposed facilities. To announce the Landowner Informational Meetings, we mailed letters to landowners and public officials. In addition to the Landowner Information Meetings, and at the request of local elected officials, Algonquin hosted an open house and panel discussion for residents of Acushnet, MA.

Additionally, the Project has received coverage from local media outlets interested in the scope, schedule, permitting, potential stakeholder impacts and opportunities for engagement.

Sample letters are included in Appendix A.

See Appendix B for a list of voluntary landowner informational meetings. We will continue to provide updates to the meeting information as necessary.

Environmental The development and operation of pipeline projects typically involve working with agencies such as the U.S. Fish and Wildlife Service, U.S. Army Corps of Engineers, State Departments of Environmental Protection, State Departments of Natural Resources and the State Historic Preservation Offices. Knowing that developing the Access Northeast Project may result in impacts to resources, we engaged these and other state and regional agencies seeking guidance on specific issues early in the development process. Attachment 2 of the Request for Approval of Pre-Filing Review provides a list of federal, state, and local agencies contacted on the Access Northeast Project to date.

5.1.2. Resolution of Issues To date, stakeholder meetings and communications, which were designed to inform, communicate and listen to feedback, have resulted in several modifications to the proposed route.

Resolutions of issues are documented in our database and updated on an ongoing basis.

5.1.3. Response to Comments Project team representatives are documenting all comments and responding as appropriate.

5.1.4. Communication Protocol Pre-Filing and post-certificate application activities are part of a coordinated plan involving many facets of the Project. Stakeholder communication is coordinated on a weekly basis, or more frequently, as needed.

5.2. Access to Land Initial notifications to affected landowners were mailed during the 3 rd quarter of 2015 and were followed by subsequent letters requesting survey permission.

Sample letters are included in Appendix A.

5.2.1. Land Agent Contacts Contacts have been made with approximately 2,589 landowners living along the study corridor of the preliminary and alternate routes. This number is expected to be greatly reduced through the survey and route selection process.

5.3. Identification of Stakeholders 5.3.1. Landowners See Appendix C for a list of landowners and Appendix A for sample letters.

5.3.2. Public Officials Contacts have been made and/or briefings have been held with affected public officials beginning during the 2nd quarter of 2015.

5.3.5. Federal, State, and Local Agencies Initial contacts and meetings with affected government officials and agencies were conducted during the 2nd quarter of 2015. A Project overview was provided at the meetings. Since that time, we have remained in regular contact with these officials and agencies.

5.4. Agency Permits/Approvals A table listing the required permits and approvals and their estimated regulatory timeframes may be found in Attachment 2 of the Request for Approval of Pre-Filing Review.

6. Dissemination of Information

6.1. Website Development A targeted Project page on the Spectra Energy website was launched in February 2015, and a standalone website for the Access Northeast Project was launched in February 2015. The websites provide visitors with a toll free telephone number to obtain information and/or ask questions about the Project. This website was designed to be more interactive and to provide easy to understand information and frequent updates.

Appendix E provides a sample of the Access Northeast Project page.

6.1.1. Accessibility The Access Northeast Project website provides stakeholders with information about the lead developers of Access Northeast, as well as facts about Algonquin, the proposed Project, regulatory process, virtues of natural gas, pipeline operations, safety and maintenance, and Frequently Asked Questions. A toll free telephone contact number was established to assist stakeholders with their questions and comments.

In addition, we ensure information is disseminated by other means, as requested by stakeholders, since not all stakeholders have access to the Internet. Project letters and information have been translated into multiple languages to ensure all stakeholders have access to pertinent project information.

6.1.2. Maintenance The webmaster maintains the website and manages web-based stakeholder inquiries.

6.1.3. Interactive Capabilities The website houses a “Contact Us ” section, which includes a web/email form. This allows stakeholders to request information about the Project, and we will respond within three (3) business days.

6.2. Federal, State and Local Agency Communications Consultation letters were mailed to the identified federal, state and local permitting agencies that may be involved in the review of the Project. We maintain contact with the permitting agencies and respond to all requests for information we receive from them.

6.3. Stakeholder Notification of FERC Pre-Filing Participation All stakeholders will be notified by letter upon FERC ’s approval of Algonquin ’s request to participate in the Pre-Filing review process. These letters will be signed by the Access Northeast Project ’s team members accountable for specific stakeholder groups.

6.4. Voluntary Landowner Informational Meetings In August, September and October 2015, Algonquin conducted 22 voluntary Landowner Informational Meetings for the Access Northeast Project in locations convenient for affected landowners. Algonquin subject matter experts hosted meetings in Connecticut, Massachusetts, New York and Rhode Island. In addition to the Landowner Information Meetings, and at the request of local elected officials, Algonquin hosted an open house and panel discussion for residents of Acushnet, MA.

At the Project voluntary landowner informational meetings, information was available regarding all aspects of the Access Northeast Project, pipeline and station operations, safety and the lead developers of the project. Sign-in sheets documented the names and contact information for participants in order to allow for follow-up, as appropriate, with affected landowners and other stakeholders.

6.5. Landowner Invitations to Voluntary Landowner Informational Meeting s Letters inviting landowners to voluntary Landowner Informational Meetings were mailed prior to the meetings.

6.6. Public Access to Filings To ensure major filings are accessible and convenient, we will place electronic copies of the draft environmental resource reports in the public buildings of each community where proposed facilities are located contemporaneously with their submittal to FERC. Routine checks of the buildings will be conducted to ensure the information remains available and updated. The FERC certificate application along with final resource reports will also be filed in these public locations.

6.7. Updates of Information Updates will be approved by our Project Manager and disseminated to stakeholders in a timely manner. Methods of dissemination of information to stakeholders include U.S. mail, hand-delivery, email, Project website and/or telephone calls.

6.8. Filings with FERC The Access Northeast Project certificate application will meet all FERC requirements.

7. Anticipated Access Northeast Project Schedule
