SUBJECT: TRANSFER OF METRO CALL FOR PROJECT GRANTS WITH CRA/LA MATCHING FUNDS. Negotiate and execute agreements and documents to transfer $31,727,884 in awarded Metro Call for Projects grants to the City of Los Angeles Bureau of Engineering, Bureau of Street Services, Department of Transportation, and Department of Cultural Affairs, and to the Los Angeles County Metropolitan Transportation Authority (Metro) and negotiate and execute agreements with the City of Los Angeles and Metro to provide required CRA/LA matching funds in the aggregate amount of $13,982,434. DOWNTOWN, EASTSIDE, /CENTRAL AND SOUTH LA REGIONS (SDs 1, 2 and 3; CDs 1, 4, 8, 9, 10, 13 and 14)

RECOMMENDATION(S)

That the Governing Board, subject to Oversight Board approval, take the following actions:

1. Approve and authorize the Chief Executive Officer (CEO) or designee to negotiate and execute an assignment agreement or agreements or similar documents to effectuate the transfer of $30,337,681 in awarded Metro Call for Projects grants from the CRA/LA to the City of Los Angeles including the Bureau of Engineering, Bureau of Street Services, Department of Transportation and Department of Cultural Affairs;

2. Approve and authorize the CEO or designee to negotiate and execute agreements with the City of Los Angeles including the Bureau of Engineering, Bureau of Street Services, Department of Transportation and Department of Cultural Affairs to provide CRA/LA local match funding in the total amount of $13,547,996 for various Metro Call for Projects grants over an approximate six year period, including an estimated $1,779,870 anticipated in January 2013 subject to approval of ROPS 3; and

3. Approve and authorize the CEO or designee to negotiate and execute an assignment agreement and related documents to effectuate the transfer of a 2011 Metro Call for Projects grant award of $1,390,203 for the Stocker/Martin Luther King/Crenshaw Access to the Expo Line Light Rail Station Project to Metro for implementation and to provide CRA/LA local match funding in the amount of $434,438.

SUMMARY

The Community Redevelopment Agency of the City of Los Angeles (Former Agency) aggressively sought out transportation-related grant funds from the Los Angeles County Metropolitan Transportation Authority (Metro) and others for streetscape-related improvements and transportation demand management projects to increase the use of public transit and METRO CALL FOR PROJECTS GRANTS WITH CRA/LA MATCHING FUNDS PAGE 2 support alternative mobility methods within underserved CRA/LA Project Areas. Due to the dissolution of the Former Agency and the need to expeditiously wind down activities of the Successor Entity, CRA/LA staff proposes preserving the external resources to the City and County of Los Angeles by assigning the grants within its active portfolio to entities capable of implementing the projects.

The recommended actions will allow for the assignment of 19 Metro Call for Projects awarded grants that require CRA/LA matching funds to the City of Los Angeles including the Bureau of Engineering (BOE), Bureau of Street Services (BSS), Department of Cultural Affairs (DCA), Department of Transportation (DOT), and to Metro for implementation. Three of the projects are proposed to be assigned to the City of Los Angeles, which will contract with a local non-profit partner for project implementation. The grant-awarded projects, CRA/LA local match and proposed assignee are listed below and further described in Attachment A – Grant Project Summaries.

CRA/LA was competitively awarded approximately $31.7 million in Metro Call for Projects grants based, in part, on the commitment of matching funds, which in some cases exceeded the minimum match requirements set forth in the Call. The CRA/LA leveraged redevelopment property tax increment along with approximately $2.7 million in City of Los Angeles Proposition C funds as part of the local match commitment. By continuing to fund approximately $14.0 million in prior CRA/LA local match commitments, the taxing entities would be preserving a combined $34.4 million in Metro grant and Proposition C project resources, which represents a 2.5:1 leverage ratio.

The 19 grants include 16 streetscape projects, two bike-related projects and one transportation demand management project. The projects represent critical infrastructure investments that will support the expansion of a comprehensive multi-modal transportation network, allowing students, workers, seniors and other transit patrons to more easily navigate throughout the region. An improved transportation system will help address the regional jobs/housing imbalance, reduce congestion, and improve environmental air quality. Furthermore, through the promotion of mobility within the County of Los Angeles, property values and economic activity stand to increase over time, representing an increase in tax revenues to the affected taxing entities.

The proposed actions will allow the Successor Entity to conclude project management and grant administration responsibilities for the projects by assigning the grant awards to the City of Los Angeles departments with the capacity and expertise to implement the projects. BOE, BSS, DOT and DCA are committed to assuming and implementing, in some case in partnership with local non-profits, the subject Metro grant funded projects, as indicated in the letters included as Attachments C and D. Additionally, Metro has agreed to assume responsibilities for implementing the Stocker/MLK/Crenshaw project in conjunction with inter-modal transit improvements adjacent to the Crenshaw / Exposition Line transit hub.

DISCUSSION & BACKGROUND

CRA/LA staff has been in close communication with the grantor, Metro, while a long-term transition strategy was being identified. Metro has expressed a strong interest in seeing the projects completed and supports the City of Los Angeles assuming the grants for which the CRA/LA was previously the sponsoring entity. Assigning the grant awards to the City of Los Angeles along with the required CRA/LA matching funds will preserve critical resources for public infrastructure improvements throughout the City and County of Los Angeles.

Status of Grants

Awarded grants from the 2007, 2009, and 2011 Metro Calls for Projects are in various stages of implementation. Metro does not execute Letters of Agreement (LOAs) with grantees until the first year of funding, therefore most of the awarded projects requiring CRA/LA matching funds did not have executed grant agreements prior to June 29, 2011 when AB1x-26 became METRO CALL FOR PROJECTS GRANTS WITH CRA/LA MATCHING FUNDS PAGE 4 effective. The dissolution of the Former Agency as a result of AB1x-26, and the severe curtailment on contracting authority, including the ability to execute or amend LOAs with Metro and procure design and construction services, put many of the CRA/LA grant portfolio projects at risk. Specifically, two of the executed grant agreements require the execution of extension amendments due to lapsing funds, but Metro is waiting to execute such extensions until the approval of these actions.

It should be noted that the sponsorship of the Cesar Chavez Transit Corridor and the Downtown Cesar Chavez Median projects have previously been transferred to the City of Los Angeles BSS with approval from Metro, and the City executed LOAs with Metro in March 2010 and March 2011, respectively, for these projects. However, the assignment of these grants to the City was contingent upon CRA/LA continuing to provide the necessary matching funds. Therefore, the projects are included in these actions for affirmation of the assignment and the provision of CRA/LA match funds.

Local Match Requirements

The Metro Call for Projects is a competitive grant process that typically requires a minimum of 20% local match funds. During the 2007 and 2009 Metro Calls for Projects cycles, the City of Los Angeles allowed CRA/LA to make use of City of Los Angeles Proposition C matching funds for those CRA/LA Project Areas that did not have adequate resources. The 19 Metro Call for Projects grants recommended here for assignment to the City of Los Angeles (one to Metro) require CRA/LA resources as all or part of a local match, in addition to allocations of City of Los Angeles Proposition C funds in the amount of $2,716,724 for certain projects, as further described in Attachment A. Local match requirements are memorialized in Letters of Agreement between the CRA/LA and Metro, where executed, as well as in the final Metro Board approvals for the respective funding cycle.

Given the long time frames necessary to implement Metro Calls for Projects, it is anticipated that the need to draw down on CRA/LA matching funds would be spread over several years, as projected in Attachment B – CRA/LA Matching Funds Estimated Cashflow Needs. For example, of the $14.0 million CRA/LA match, only $1.8 million is anticipated to be needed in the ROPS 3 period covering January through June 2013, thus minimizing the impact to the taxing entities in the near-term.

Proposed Assignees

In order to serve the dual purpose of winding down the CRA/LA’s redevelopment activities and reducing administrative costs in an expeditious manner, CRA/LA staff has been actively working on transitioning CRA/LA’s active grant portfolio. In particular, staff has been working closely with the City of Los Angeles to identify City departments with the capacity and expertise to implement the various projects. The City of Los Angeles as agreed to accept and implement 18, and Metro has agreed to implement one, of the listed Metro Call for Projects grants, as indicated in the letters included as Attachment C.

Bureau of Engineering (BOE) BOE, under the management of the Board of Public Works, has indicated a willingness to accept responsibilities for the project management and implementation responsibilities for the Downtown Alameda Streets Goods Movement and Streetscape Projects, subject to the authorization of CRA/LA matching funds. BOE’s expertise and organizational structure provide it with the capacity to manage complex projects that require a public bid process for construction.

Bureau of Street Services (BSS) BSS, under the management of the Board of Public Works, has indicated a willingness to assume project management and implementation responsibilities for certain streetscape projects within the public right-of-way that can be constructed with the City forces. BSS has also agreed to take on all responsibilities related to the Safe Routes to School grants (see separate Board Memorandum related to those grants), and had previously accepted such work conditioned upon the receipt of required CRA/LA matching funds.

Department of Cultural Affairs (DCA) DCA, most likely in partnership with the County of Los Angeles Arts Commission, the County of Los Angeles Public Works Department, and the Los Angeles Tourism and Convention Bureau (formerly LA, Inc. – the Los Angeles Convention and Visitors Bureau) will assume the responsibility for grant management of the ExperienceLA’s Historic Cultural Neighborhood Connections project. The project provides for the installation of touchscreen kiosks, primarily within Metro Rail stations serving historic cultural neighborhoods, and will make use of web content provided by Metro, the ExperienceLA project, LA Tourism Bureau, and the local community.

Department of Transportation (DOT) The projects proposed to be assigned to DOT closely align with the department’s priorities and area of expertise. The streetscape projects directly serve Metro transit nodes including those in Boyle Heights and Exposition Park. The Hollywood Integrated Modal Information System project is complementary to DOT’s Express Park project in . The Figueroa Bike Station is related to DOT’s Mobility Hubs initiative and the Figueroa Corridor Proposition 1C grant which DOT has agreed to assume and implement. A recent reorganization of DOT created a new division for project delivery that will assist the department in implementing a number of CRA/LA’s awarded streetscape grants.

Metro The Stocker/MLK/Crenshaw Access to the Expo Light Rail Station grant is recommended to be undertaken by Metro as they are better situated to implement the grant than the City of Los Angeles. The assignment to Metro will allow for the improvements to be constructed in conjunction with the Crenshaw Light Rail line. There is precedent for such an arrangement, an example of which is the Lankershim Historic Train Depot at the North Hollywood Metro Station which is currently under construction. However, CRA/LA has a required match of $434,438, which would need to be committed to the project simultaneous with assignment of the grant award back to Metro.

City of Los Angeles Local Non-Profits The City of Los Angeles has agreed to serve as the lead public entity for three of the grants with the intention of contracting with a local non-profit with the expertise and capacity to implement the specific projects, including the Hollywood Pedestrian Crossroads, Phase 1 and Phase 2 and the Central Avenue Historic Corridor Streetscape.

The Hollywood Property Owners Alliance (HPOA), which provides staffing for the Hollywood Entertainment and Sunset Vine Business Improvement Districts (BIDs) has agreed to implement the Hollywood Pedestrian Crossroads projects. Specifically, the Hollywood Entertainment BID has the experience and capacity to manage and install the improvements required for Phase 1 of the project which has completed construction drawings that are ready for submittal to the City of Los Angeles for the B-Permit process. With regard to Phase 2, the Sunset Vine Business Improvement District has the experience and capacity to manage the project from design through construction. The two Hollywood BIDs are the appropriate non-profit entities for the management of these two Hollywood pedestrian improvement projects under the auspices of a City of Los Angeles department. Attachment D provides a letter from the HPOA demonstrating METRO CALL FOR PROJECTS GRANTS WITH CRA/LA MATCHING FUNDS PAGE 6 their willingness to implement the projects in partnership with the City. The City has also committed to assuming the Central Avenue Historic Corridor Streetscape project, and identifying the appropriate non-profit partner for project implementation.

Basis for Approval

The recommended actions are consistent with and authorized by provisions of Assembly Bill 1x- 26, including but not limited to the following:

Chapter 3, Section 34177(i) provides that a successor agency is required to “continue to oversee development of properties until the contracted work has been completed or the contractual obligations of the former redevelopment agency can be transferred to other parties.” The recommended actions will permit CRA/LA to effectuate the transfer of its obligations to the parties described in this Board memorandum.

Chapter 4, Section 34180(e) provides that the following successor agency actions shall first be approved by the oversight board: “(e) Continuing the acceptance of federal or state grants, or other forms of financial assistance from either public or private sources, where assistance is conditioned upon the provision of matching funds, by the successor entity as successor to the former redevelopment agency, in an amount greater than 5 percent”

Chapter 4, Section 34180(h) provides that the following successor agency actions shall first be approved by the oversight board: “(h) A request by the successor agency to enter into an agreement with the city, county or city and county that formed the redevelopment agency that it is succeeding…”

The recommended actions of assigning to other parties these grant funded projects are consistent with the objectives of winding down redevelopment activities and reducing CRA/LA administrative costs. If the recommended actions are approved, CRA/LA will have no further obligations under the grant awards except to provide the required matching funds in the amounts and as provided in this Board Memorandum.

ROPS AND ADMINISTRATIVE BUDGET IMPACT

The executed Washington Boulevard Transit Enhancements, the Hollywood Pedestrian/Transit Crossroads, Phases 1 and 2, and the Hollywood Integrated Modal Information System Call for Project grants are currently listed on ROPS (#1241, 1256, 1262 and 1261, respectively) as grant receivable line items; awarded grants pending execution are not included on the ROPS.

Executed agreements with the City of Los Angeles and Metro providing local matching funds totaling $13,982,434 will be included on the ROPS in the estimated period identified in Attachment B, subject to the approval of the ROPS for the given 6-month period.

ENVIRONMENTAL REVIEW

The proposed actions do not constitute a “project” according to the Environmental Quality Act (CEQA). Any future governmental discretionary decisions for approval of an individual proposed project would require environmental review in compliance with CEQA.
