Code § 31.3 Addressing Contracts, Arrangements and Other Similar Transactions with Affiliates September 3, 2019 SECTION I Scope of Report Pursuant to 199 IAC § 31.3 (addressing contracts, arrangements and other similar transactions with affiliates), this 2019 Report of MidAmerican Energy Company (“MidAmerican”), dated September 3, 2019, contains an executive summary of each new or revised contract, arrangement and other similar transaction entered into by MidAmerican with an affiliate during the period July 1, 2018 to June 30, 2019. Pursuant to the Iowa Utilities Board’s (“Board”) Order Terminating Docket in Docket No. SPU- 98-8,1 this Report also includes a summary of: (i) all royalty agreements, licensing agreements or other agreements and contracts entered into between MidAmerican and any affiliate for the purpose of compensating MidAmerican or the affiliate for the use of intangible assets, including but not limited to, trademarks, trade names and software systems; (ii) all operating and intercompany administrative service agreements entered into between MidAmerican and any affiliate; and (iii) all new, revised, modified or updated agreements and amendments related to the agreements and contracts, to the extent that such contracts, agreements and/or amendments were entered into during the period July 1, 2018 to June 30, 2019. Finally, on October 5, 1999, the Board issued an order in Docket No. WRU-99-36-156 granting MidAmerican waivers to annually file the information required by 199 IAC § 31.3 and the information referred to above on or before August 31 of each year. (Note: This filing is made on September 3, 2019 due to August 31 falling on a Saturday this year, and September 2 falling on a holiday.) 1 In its March 11, 1999 “Order Terminating Docket” in Docket No. SPU-98-8, the Board required this additional information to be filed with the annual report. MidAmerican Energy Company (“MidAmerican”) may enter into agreements from time to time (e.g., railroad licenses, easements and extension agreements for buildings, crossings and track maintenance equipment) with BNSF Railway Company, which is a subsidiary of the Burlington Northern Santa Fe, LLC (formerly known as Burlington Northern Santa Fe Corporation). Burlington Northern Santa Fe, LLC and BNSF Railway Company are subsidiaries of Berkshire Hathaway Inc. 2. Subject to confidentiality provisions, MidAmerican and other subsidiaries or affiliates of Berkshire Hathaway Energy Company (“BHEC”) enter into participation agreements from time to time that permit them to use products contracted for by BHEC or affiliates of MidAmerican at market prices. Affiliates or subsidiaries participating in such agreements are solely/ severally responsible and liable for payment to the vendor for the services or products provided. 3. Contract between MidAmerican Energy Company and RACOM Corporation, for upgrade of MidAmerican’s two-way radio system. Executed on November 16, 2018, and effective through December 31, 2023. Pipeline and related contracts, including amendments, between MidAmerican and Northern Natural Gas Company (not including agreements to release capacity).
