Sinclair Broadcast Group Closes on Acquisition of Barrington Stations
Contact: David Amy, EVP & CFO, Sinclair Lucy Rutishauser, VP & Treasurer, Sinclair (410) 568-1500 SINCLAIR BROADCAST GROUP CLOSES ON ACQUISITION OF BARRINGTON STATIONS BALTIMORE (November 25, 2013) -- Sinclair Broadcast Group, Inc. (Nasdaq: SBGI) (the “Company” or “Sinclair”) announced today that it closed on its previously announced acquisition of 18 television stations owned by Barrington Broadcasting Group, LLC (“Barrington”) for $370.0 million and entered into agreements to operate or provide sales services to another six stations. The 24 stations are located in 15 markets and reach 3.4% of the U.S. TV households. The acquisition was funded through cash on hand. As previously discussed, due to FCC ownership conflict rules, Sinclair sold its station in Syracuse, NY, WSYT (FOX), and assigned its local marketing agreement (“LMA”) and purchase option on WNYS (MNT) in Syracuse, NY to Bristlecone Broadcasting. The Company also sold its station in Peoria, IL, WYZZ (FOX) to Cunningham Broadcasting Corporation (“CBC”). In addition, the license assets of three stations were purchased by CBC (WBSF in Flint, MI and WGTU/WGTQ in Traverse City/Cadillac, MI) and the license assets of two stations were purchase by Howard Stirk Holdings (WEYI in Flint, MI and WWMB in Myrtle Beach, SC) to which Sinclair will provide services pursuant to shared services and joint sales agreements. Following its acquisition by Sinclair, WSTM (NBC) in Syracuse, NY, will continue to provide services to WTVH (CBS), which is owned by Granite Broadcasting, and receive services on WHOI in Peoria, IL from Granite Broadcasting. Sinclair has, however, notified Granite Broadcasting that it does not intend to renew these agreements in these two markets when they expire in March of 2017. -

Cablevision and Fox had an agreement for Cablevision to carry WNYW, WWOR, and WTXF that expired at 11:59 pm EDT on October 15, 2010. They have been negotiating to renew that agreement, but failed to reach a new agreement before the deadline. As a result, Cablevision stopped carrying WNYW, WWOR, and WTXF. This dispute affects only Cablevision subscribers who wish to view programming on WNYW, WWOR, and WTXF. It does not affect Cablevision’s other programming, except as otherwise described below. If Cablevision and Fox reach a new agreement in the future, the affected programming may be restored to Cablevision’s system. Background Cable and satellite operators carry local television broadcast stations based on contracts with the stations. When these contracts end, the parties extend or renew the contract. In almost all cases, agreement is reached and the station is carried without interruption. On some occasions, the operator and the station fail to reach an agreement, and the cable or satellite operator must drop the station until an agreement is reached. These are private agreements, though federal law requires the parties to negotiate with each other in good faith. What can I do while WNYW, WWOR, and WTXF are not available on Cablevision systems? If you wish to view WNYW, WWOR, or WTXF, you may be able to use one of the following options to continue viewing the station: 1. Subscribe to another pay service that is carrying the station. In the affected areas, other available pay services include: AT&T, DIRECTV, DISH Network, RCN (limited areas of Brooklyn), and Verizon FIOS. -

Challenging ESPN: How Fox Sports can play in ESPN’s Arena Kristopher M. Gundersen May 1, 2014 Professor Richard Linowes – Kogod School of Business University Honors Spring 2014 Gundersen 1 Abstract The purpose of this study is to explore the relationship ESPN has with the sports broadcasting industry. The study focuses on future prospects for the industry in relation to ESPN and its most prominent rival Fox Sports. It introduces significant players in the market aside from ESPN and Fox Sports and goes on to analyze the current industry conditions in the United States and abroad. To explore the future conditions for the market, the main method used was a SWOT analysis juxtaposing ESPN and Fox Sports. Ultimately, the study found that ESPN is primed to maintain its monopoly on the market for many years to come but Fox Sports is positioned well to compete with the industry behemoth down the road. In order to position itself alongside ESPN as a sports broadcasting power, Fox Sports needs to adjust its time horizon, improve its bids for broadcast rights, focus on the personalities of its shows, and partner with current popular athletes. Additionally, because Fox Sports has such a strong regional persona and presence outside of sports, it should leverage the relationship it has with those viewers to power its national network. Estimating the Value of TV Broadcast Licenses for the Upcoming FCC Incentive Auction November 23, 2015 Abstract The Federal Communications Commission was granted the power to organize a spectrum auction—the Incentive Auction—in order to repurpose a portion of the 600 MHz spectrum, currently being used by television broadcasters. Television broadcasters can participate in the Incentive Auction and potentially share a portion of the proceeds of the Incentive Auction. Television broadcasters can also choose not to participate or drop out of the process as the Auction is being conducted and risk being repacked in a lower frequency spectrum. As a result, the Incentive Auction has created certain opportunities and uncertainties for television broadcasters. The structure of the Incentive Auction does not offer a clear decision to television broadcasters and speculation about the outcome of the Incentive Auction could prove to be a useless exercise. Therefore, television broadcasters are left with two main tasks prior to the commencement of the Incentive Auction: (1) Educate themselves about the rules of the Incentive Auction, (2) Estimate a clearing price—the lowest price they are willing to accept in exchange for relinquishing their FCC license—before participating in the Incentive Auction. This white paper discusses certain important aspects of the Incentive Auction and delves into different factors impacting the value of a typical television station and its primary asset, an FCC license, in the current state of the broadcasting industry. The paper also provides guidance for television broadcasters concerning various methodologies used to value a television station and an FCC license. Ultimately, television broadcasters must be prepared to make an informed decision prior to the upcoming Incentive Auction process.
