As you know, Spectra Venue Management (formerly known as Global ) has successfully operated the Budweiser Events (BEC) since it first opened for business in 2003. Prior to the grand opening, Spectra served as the County’s pre-opening operational consultant, working with the architectural and construction teams to ensure that, when completed, the venue would meet all of the County’s goals and objectives with respect to event programming, operational efficiency, bottom-line financial performance, and overall impact on The Ranch and Larimer County economy. We are excited to respond to the County’s RFI #I19-04 Development & Partnership Opportunities at The Ranch Events Complex – Proposed Hotel, Sports, and Event Facilities, as we are extremely eager to grow our partnership and remain involved in the development of the Master Plan.

SPECTRA’S ACCOMPLISHMENTS AT THE BEC During our more than 15-year tenure as the manager of the BEC, we have become integral and highly respected members of the Larimer County community. Our performance at the BEC has been widely recognized and praised over the years, which is due to some of the following accomplishments: • We have averaged over 200 events at the BEC each year. • We have achieved an average net operating surplus of $550,000, with our best net operating surplus being $975,000 in 2014. • At the request of the County, we have expanded our scope of services. • Our original , Rick Hontz, who is now Spectra’s Regional Vice President, continues to live in and work from Larimer County. Through Rick, the BEC has enjoyed an unprecedented level of Spectra Corporate support in the areas of event booking and deal making, operational efficiencies, capital improvement programming, HR, financial controls and reporting, and marketing. • Our current General Manager, Keller Taylor, has become an integral member of the Larimer County team, and a trusted advisor to the County on all matters related to The Ranch and the BEC. • Keller and his team continue to make every possible effort to support the sales, marketing, and promotional efforts of all our BEC event promoters and tenants, with special emphasis placed on AHL prime tenant, the Eagles. • We provide world class food and beverage services through our Food Services & Hospitality division, continually driving revenue and improving quality. Last year, we added new menu items and enhanced concession stands.

FINANCIAL COMMITMENT TO THE DEVELOPMENT As we indicate later and within our response, Spectra is willing to guarantee net income associated with the key areas envisioned in the RFI and Ranch Key Master Plan. We have also provided in our Response detailed information regarding typical financial structures we enter for the County to consider. Furthermore, we are willing to contribute a significant capital contribution to the development of the Ranch, as we have done in similar development projects. Spectra’s own financial strength, along with the deep resources of our ownership structure – which consists of Atairos, Spectacor, and Comcast NBC Universal – makes Spectra the most well-capitalized firm in the business.

SpectraExperiences.com We are confident that we can be successful in providing a guarantee along with a significant investment based on our experience in the market managing the for over 15 years, as well as our intimate knowledge of this project as our General Manager, Keller Taylor, has been involved since the inception of this plan in 2016. These critical factors, along with our corporate resources and development experience, makes Spectra the ideal partner for the County to engage in this venture.

ESTABLISHED RELATIONSHIPS As described previously, Spectra is clearly the management company with the best and most established national, regional, and local relationships with sports and entertainment, convention and tradeshow, youth sports, and all other existing and potential users of the BEC, The Ranch, and the future facilities envisioned by the County. This also includes the many stakeholders that rely on Spectra to book and promote the events to maximize impact on local businesses and the entire economic community of Larimer County. Through our intimate relationships that our team has cultivated with regional and national promoters and agencies, we consistently book over 200 events that host over 350,000 guests annually at the BEC.

SALE OF COMMERCIAL RIGHTS Spectra’s Partnerships division is solely dedicated to the sale of commercial rights including sponsorships, naming and pouring rights, advertising, premium seating (suites, club seats, loge boxes, party suites, etc.), and the like. We have engaged these services at the Ranch Complex, where we implement and manage the process for all , premium seating, design, advertising/partnership, partnership evaluation, needs analysis, and overall sales for the complex. Just last year, we sold over $1.4 million in partnerships and premium seating revenue, which was 11% of the overall venue budgeted for the year. Our deep relationships we have fostered in the local and regional business community throughout our tenure, along with our national corporate contacts, provides our team with the advantage to leverage for the new facilities in the Ranch Key Master Plan.

ADDITIONAL INFORMATION Included in our Response, we have provided biographies of Spectra’s corporate leadership that will oversee and support this venture should we be successful, our comprehensive Client List, and a copy of Spectra’s 2018 Annual Report for the BEC, which clearly describes our relationship with the County and what we have recently achieved at the venue.

2 1.3. Expression of Interest: Spectra is excited about the opportunity to expand our relationship with the County and to continue our involvement on the Master Plan. Our enclosed response provides more detail on our ability, willingness, and desire to partner with the County on this project as it pertains to the entire campus, specifically the new indoor sports and recreation complex and the new expanded spectator/entertainment . We are willing to work with the County to help solicit and secure an ideal hotel partner for the complex and would also be able to provide a customized scope for hotel/expo facilities. A summary of the services we can provide, most of which we currently provide to the County, is outlined below. Keep in mind, this is a high-level summary of the scope we are interested in, and we look forward to working with the County and all other participating members of this development to prepare a comprehensive scope of services that Spectra can provide for each facility on the campus. - Equity/ownership - Development - Pre-opening/FF&E Purchasing - Event Programming/Marketing - Food and Beverage services - Management/Operations - Naming Rights/Sponsorships - Use Agreements

1.4. Type of Partnership Spectra is very open to working with Larimer County and all other relevant stakeholders in this development process to come to a mutually agreed upon partnership for our involvement in the development of The Ranch. As it pertains to operation of the sports and entertainment facilities on the campus, upon reviewing final plans and the ability to conduct thorough due diligence, we are willing to work with the County to ultimately assume bottom line risk for the operation of these facilities. We are also very interested in contributing a significant capital investment to the development as part of our partnership.

Our experience with these types of partnerships (which we have further outlined in our enclosed Response) is deep, and includes operations in Independence, MO; Trenton, NJ; Des Moines, IA; Hamilton, ; and , Ontario. In addition to these public/private partnerships, our partner company, , wholly owns the Wells Fargo Center in Philadelphia, PA, which is currently undergoing a $250 million renovation funded by Comcast and Comcast Spectacor. Spectra is supporting all aspects of this project and will be able to leverage this experience and these resources when participating in The Ranch development.

2.3 KEY PERSONNEL & PRINCIPALS JOHN PAGE President As President of Spectra Venue Management, John oversees the operations of all Spectra-managed facilities, including arenas, stadiums, convention centers, performing arts centers, and specialized venues. John also oversees Spectra’s corporate booking department, which focuses on facilitating and coordinating strategic booking efforts for all Spectra-managed facilities. With his decades of experience, John’s reputation in the industry is unparalleled, and he leverages his relationships to deliver unforgettable live experiences for guests and fans at Spectra-managed venues.

Prior to being named to his current position, John oversaw all aspects of the Wells Fargo Center and the surrounding Wells Fargo Complex, including Comcast Spectacor’s partnership interest at XFINITY Live! and four Flyers Skate Zone locations. He also was the President of Spectra Venue Management and served as Chief Operating Officer of the company.

John received his Bachelor of Science in Public Administration and a Master of Science from the University of Southern California in , CA.

RICHARD SCHNEIDER Senior Vice President and Chief Operating Officer Richard Schneider is a top performing hospitality professional credited with combining brand, operations, and marketing expertise to deliver substantial revenue growth in highly competitive business markets. In his role with Spectra, Richard enhances and streamlines the day-to-day food operations across Spectra food venues. He also designs strategic programs, initiatives, and resources to drive long-term benefits to guests and clients.

Prior to joining Spectra, Richard worked for Delaware North, where he was Chief Operating Officer of their sports and entertainment subsidiary Sportservice. In this role, he implemented operational strategies to maximize sales growth, launched successful guest experience programs, developed company-wide operating and brand standards, and cultivated partnerships that drove innovation. He was also COO of Delaware North’s airport food and retail business, and Vice President of Hospitality and Guest Services, Gaming and Entertainment. His background also includes leadership positions with Midwest Gaming and Entertainment, Caesars Entertainment, and MGM Grand Detroit. Richard earned his Associate’s degree in Hospitality Administration from Erie Community College.

TODD M. GLICKMAN Executive Vice President, Business Development and Client Relations Todd Glickman brings over 25 years of experience in sustainable business growth to his position. In his role, he oversees the development of new business and ongoing relationships with premier organizations throughout North America for Spectra Venue Management, Food Services & Hospitality, and Partnerships.

Throughout his extensive career, Todd has served in several roles for the company including Marketing and Sales Manager and Assistant Group Sales Manager. After being promoted to Director of Event Services, Todd became the Vice President of Group Sales for Spectra and the Wells Fargo Center, prior to his appointment in his current role.

Todd earned a bachelor’s degree in marketing and communications from the College of Saint Rose in Albany, NY.

PETER ZINGONI Vice President, Business Development and Client Relations With over five years of industry experience, Peter Zingoni previously served as Event Manager for Comcast Spectacor at the highly successful Wells Fargo Center in Philadelphia. Prior to transitioning into his current role to at Spectra, Peter also gained considerable experience in commercial real estate as Vice President of the Jacobs Realty Group in Wayne, PA.

In his current position, Peter is responsible for developing new business and ongoing relationships with premier venues throughout North America for Spectra Venue Management, Spectra Food Services & Hospitality, and Spectra Partnerships.

Peter currently serves as an Executive Member on the board of the Professional Hockey Players Association, and he holds a bachelor’s degree in business management from in Providence, RI. He is also a member of the International Association of Venue Managers.

BRYAN FUREY Senior Vice President, Partnerships Bryan Furey leads Spectra’s Partnerships division. In this position, he generates profitable growth for Spectra-managed venues and properties across North America through the sale of naming rights, sponsorship, advertising, pouring rights, premium seating, and other commercial rights. Bryan oversees Spectra Partnerships’ day-to-day operations. His team represents over 90 clients, and has sold 40+ naming rights deals in the past decade — generating over $75 million in gross sponsorship sales each year.

Bryan has been with Spectra for over a decade, growing through various roles with the company, including Project Manager and Regional Vice President. Prior to joining Spectra, Bryan spent time working with IMG in Philadelphia, managing events and selling ships and premium seating for a roster of entertainment properties and high-profile athletes. Following his tenure at IMG, Bryan ran Philadelphia’s only annual professional golf event, which was hosted by PGA Tour Jim Furyk and featured the world’s top golfers, including Phil Mickelson, Adam Scott, Padraig Harrington, John Daly, and more.

RICK HONTZ Regional Vice President Rick Hontz is responsible for direct oversight of numerous Spectra facilities, primarily located in the Midwest. He provides supervision and leadership to Spectra’s Venue Management General Managers at arenas, convention centers, and fairgrounds.

With over 18 years of industry experience, Rick was previously the General Manager at the Budweiser Events Center at the Ranch (BEC) in Loveland, CO. Rick handled the day-to-day operations and event bookings at the BEC, which consists of seven buildings. Additional previous positions include Director of Marketing and Assistant General Manager at Insurance Arena in Trenton, NJ and the Assistant General Manager at the Budweiser Events Center. He is a member of the IAVM, and he serves on the Board of Directors for the Loveland Chamber of Commerce.

Rick received a bachelor’s degree from Bloomsburg University in Bloomsburg, PA.

KELLER TAYLOR District General Manager Keller Taylor is responsible for the strategic planning and daily operations of the Budweiser Events Center in Loveland, CO, in addition to direct oversight of numerous other Spectra-managed facilities. He provides supervision to Spectra’s Venue Management General Managers at arenas, equine facilities, convention centers, and amphitheaters.

With over a decade of industry experience, Keller previously served as the General Manager of in Enid, OK; Facility Director for Bird Arena in Athens, OH; and the Director of Event Operations for the H-E-B Center at Cedar Park in Cedar Park, TX. He is a member of the IAVM, IAEE, and MPI. As an experienced industry-veteran, Keller provides valuable insight and guidance to General Managers.

Keller received a BBA from University of South Carolina. He also received a MBA from Ohio University and an MSA from Ohio University.

ROBERT SCHWARTZ Senior Vice President & Chief Marketing Officer Bob Schwartz is responsible for making Spectra a marketing powerhouse in the venue management industry. He oversees all advertising placement, promotions, marketing, publicity, and group sales for Spectra — creating a “one marketing department” mentality that results in a unique network that generates innovation and highly successful marketing plans.

Throughout his 24-plus year career, Bob has served as the Marketing Director for the in , the Los Angeles Coliseum and Sports Arena in California, and the London Arena in the . He was also the Vice President of Marketing for the Wells Fargo Center before entering his current role with Spectra Venue Management.

Bob holds a bachelor’s degree in sports management from the University of Massachusetts in Amherst, MA. He recently received the 2018 Harold VanderZwaag Distinguished Alumni Award from UMASS Amherst, which is an award that celebrates professional excellence, outstanding achievement in the sports industry and dedication to the McCormack Department of Sport Management.

MICHAEL AHEARN Senior Vice President, Operations Michael Ahearn uses his vast domestic and international venue management experience to elevate Spectra’s facility operations throughout North America. In his position, he oversees Facility Operations Departments at all Spectra-managed facilities, and he is directly responsible for the Wells Fargo Center Operations Department, including venue repairs and maintenance, cleaning, event operations, telecommunications, and capital improvement projects. He also heads up Spectra’s Facility Consulting Division, which offers stand-alone venue planning, operations, and procurement services.

Michael has held key positions at venues around the world, including Event Manager for the in England; Box Office Manager at the Spectrum in Philadelphia, PA; and Sport Complex Director at the Jacksonville Sport & Entertainment Complex in Jacksonville, FL.

Michael holds a bachelor’s degree from Widener University in Chester, PA.

DAVE ANDERSON Senior Vice President, Convention Centers As Senior Vice President, Dave will lead the Executive Leadership team of the SCCC and work directly with the Contract Administrator to ensure Owner and Oversight Committee satisfaction. Dave asserts a hands-on approach and a guest services commitment that is second to none in the industry. His grasp of the importance of a detailed approach to guest satisfaction makes him the best venue professional to oversee an already successful operation at the SCCC. Dave and the SCCC team are currently developing fresh ideas for guest enhancement at the SCCC as well as the WOW Factor program that is already well underway. He is also responsible for the development and implementation of Spectra’s national sales initiatives for all convention centers. He handles all day-to-day operational matters at the Palm Beach County Convention Center. Dave was on the selection committee for the new 400-room West Palm Beach convention center hotel, and he was involved in common area construction plan review between the two venues and assisted in negotiating the hotel room block agreement with the new Hilton Hotel.

With over 20 years of industry experience in convention centers, arenas, and theaters, Dave has held numerous positions within the facility management industry, which include Sales Manager, Director of Events, and General Manager. He is currently a board member of the Palm Beach County Hotel Association and the Facilities Managers Association. He also sits on the Convention Center Committee and Board of Governors for the International Association of Venue Managers.

Dave earned his bachelors degree in marketing from the University of Wisconsin in Whitewater, WI.

KENNETH WAJDA, CPA, CGMA Senior Vice President, Finance Kenneth Wajda brings to Spectra more than 24 years of experience in accounting and finance. He is a certified public accountant, and previously, he held the position of Director of Taxation for Comcast Spectacor. Prior to joining the company, he was a senior staff member at Klatzkin and Company, LLP in .

Kenneth is responsible for all financial aspects of Spectra Venue Management, as well as financial management for Spectra-managed venues and consulting clients.

Kenneth received his bachelor’s degree in accounting from The College of New Jersey. He is also a member of the American Institute of Certified Public Accountants, the New Jersey Society of Certified Public Accountants, and the International Association of Venue Managers.

DAVID LEIBOWITZ Vice President, Finance and Strategy David Leibowitz provides in-depth financial planning operations for Spectra Venue Management and Spectra Food Services & Hospitality. In his role, David provides projections and comparative analyses for Spectra Venue Management and Spectra Food Services & Hospitality. He also supports contract negotiations and renewals.

Prior to joining Spectra, David served as the Executive Director of Financial Analysis and Planning for SMG.

David acquired his Bachelor of Science in Business Administration and Finance from George University in Washington, DC.

BRIAN ROTHENBERG Executive Vice President and General Counsel Brian Rothenberg provides comprehensive legal support and oversight for Spectra Venue Management, Food Services & Hospitality, and Partnerships.

With more than 20 years of experience, Brian served as an associate at Stradley, Ronon, Stevens & Young LLP, a full-service law firm based in Philadelphia, before joining Comcast Spectacor.

Brian holds a bachelor’s degree from Rutgers University in New Brunswick, NJ and a Juris Doctorate from Emory University School of Law in , GA.

ANDREW FORSTADT Vice President, Entertainment And Events Andrew Forstradt’s primary responsibility is to develop and execute strategies that elevate Spectra’s booking capabilities. He accomplishes this by fostering ongoing relationships with the 100-plus promoters Spectra works with annually and also by concentrating routing efforts across Spectra venues. With almost three decades in the business, Andrew’s experience working in all parts of the live entertainment business—content development, booking, venue management, production, and talent management—has given him an exceptional depth of industry knowledge.

Prior to working with Spectra, Andrew was the Senior Director, Global Live Event Booking for the World Entertainment (WWE) where he oversaw the tour planning and booking activities for all WWE events. Prior to his tenure at WWE, he spent more than 12 years in a variety of business development and programming roles for The Company. He also held executive positions at a prominent talent management and production company, after beginning his career as an agent at the William Morris Agency.

BRETT REOPELL Director of Booking, Wells Fargo Center Brett handles event-booking responsibilities at the Wells Fargo Center. Brett also provides booking support to Spectra-managed venues in an effort to drive additional content to these facilities. With over 20 years of industry experience, his areas of involvement include event booking & scheduling, contract negotiation, budgeting, operations, and event services.

Prior to joining Wells Fargo Center, Brett was the Director of Arenas & Distributors for Paciolan (then Spectra Ticketing & Fan Engagement), the Director of Booking at FedExForum in Memphis, TN and the Booking Coordinator at the in Amherst, MA.

Brett acquired his bachelor degree in Sport Management from UMass Amherst and is also a graduate of the IAVM Venue Management School.

JACQUELYN HOLOWATY Vice President, Client Experiences And Ticketing Jacquelyn Holowaty’s career includes extensive box office and ticketing experience as well involvement with establishing new venue procedures. She originally joined Spectra at the Budweiser Events Center in Loveland, CO, where she was an integral part of the venue’s opening. She then moved on to positions at South Okanagan Events Centre and the , which are two Spectra-managed facilities in . She was promoted to Assistant General Manager of the Abbotsford Centre before opening the Allentown, PA PPL Center as Assistant General Manager.

In her current role, Jacquelyn leads the onboarding and transition processes for new clients. She also works closely with Spectra’s ticketing partners to integrate ticketing technology and to create new revenue-generating concepts for Spectra’s clients.

Jacquelyn received her Bachelor of Science in Natural Resources Recreation and Tourism from Colorado State University in Fort Collins, CO.

BLAIR KAHORA CARDINAL Director, Communications Blair Kahora Cardinal leads the company’s communications strategies on traditional and digital media platforms. She drives Spectra’s business objectives through media relations, digital storytelling, social media engagement, and brand management for external and internal audiences.

Blair works closely with field marketing and leadership teams to identify opportunities and to develop inclusive campaigns that showcase each venue’s breadth of expertise and exciting content. She also provides communications counsel and support to manage crisis situations.

Prior to working at Spectra, Blair was Assistant Vice President and Director of Media Relations at Buchanan Public Relations, a boutique agency where she specialized in business-to-business communications for -chip professional services clients.

Blair holds a Bachelor of Arts from the University of Delaware and an MBA in Strategic Management and Marketing from in Villanova, PA.

2.4 FINANCIAL STATEMENTS As demonstrated by Spectra’s confidential audited financial statements for the past ten years included in with Response, Spectra consistently shows strong operating performance and financial results. In addition, a majority interest in Spectra is owned by Atairos Group, an independent private company focused on supporting growth oriented businesses across a wide range of industries with excess of $5 billion of equity capital. Through our financial capacity and strength as well as the support of our corporate hierarchy, Spectra often includes financial commitments as part of our projects. At our 340+ active client properties, Spectra has invested over $56 million into capital projects. There is no issue in our ability to perform the proposed services, or, if applicable, secure a performance bond.

2.5 FACILITY DEVELOPMENT Spectra has extensive experience in the development and opening of new venues. Throughout our history, we have assisted in the opening of over 100 venues, offering critical input during the design and development phase to attract more events and to decrease operating expenses, as well as providing significant capital to be invested into the project. Spectra ensures successful openings of our clients’ properties through allocating dedicated corporate resources to these critical projects. This venture would also benefit from the on-site presence of Keller Taylor, who will serve as a key liaison for the County, and to provide daily support in the development of the envisioned Ranch Key Master Plan.

BOOKING While a successful event depends largely on strong promotions and great performances, landing that event in the first place depends on rock-solid relationships with the industry’s many players. Spectra has built a figurative “performance stage” for sports and entertainment superstars that extends across North America and around the world, and we’ve established this by developing relationships with acts, agents, and promoters at the local, regional, national, and international level.

DEDICATED CORPORATE BOOKING DEPARTMENT Recognizing the critical role a dedicated focus on booking plays in the successful event schedules of a venue, Spectra supports our on-site and regional staff with direct, hands-on access to corporate executives whose primary focus is booking events. Our corporate booking department is headed by John Page, President, with support from Andrew Forstadt, Vice President of Entertainment, and Brett Reopell, Director of Booking, Wells Fargo Center. We have included biographies for these individuals, as well as other Spectra leaders who will support the various facilities, in Section 2.5 Key Personnel and Principals.

Our corporate booking staff’s decades of intense, in-the-trenches involvement — as well as our aggressive pursuit of talent, shows, and special events — means that every venue we manage is a part of the industry’s conversations around booking and scheduling. As a result, we’re able to land potentially lucrative, high-profile acts for venues that might otherwise not have been considered. Additionally, much of our event booking leverage comes from our management and operation of the Wells Fargo Center in Philadelphia, which is one of the nation’s premier sports and entertainment markets — and a highly desirable venue for promoters and agents. RELATIONSHIPS WITH EVENT PROMOTERS AT THE BEC We don’t align ourselves exclusively with one promoter in a market, as is true in our operations at the Budweiser Events Center. Rather, we serve as the agent for Larimer County by maintaining an open venue to all qualified promoters. This policy not only generates more business for the Budweiser Events Center, but also creates higher levels of net income as well — with no conflict of interest. Further, we help develop and strengthen relationships between the venues we manage and independent promoters, giving these venues a much stronger presence and position in conversations about tour booking and scheduling. Our approach has been proven successful throughout our tenure as manager of the Budweiser Events Center, where — by working with dozens of event promoters, producers, and agencies — we hosted 200 events and 351,726 guests in 2018. EQUINE EVENT BOOKING Spectra’s resources in event booking does not stop with concerts and family shows. We possess a diverse portfolio of skills that can transcend multiple event types — including traditional equine events, competitions, and family shows — and these skills are critical to effectively booking complexes like the Budweiser Events Center, as well as the proposed new facilities envisioned within the Ranch Key Master Plan.

In addition to the BEC, our network of facilities with equine components includes the Ford Idaho Center in Nampa, ID; the Stormont Vail Events Center (formerly the Kansas Expocentre) in Topeka, KS; Richard M. Borchard Regional Fairgrounds in Robstown, TX; the Curry County Events Center in Clovis, NM; and the Heart of Oklahoma Exposition Center in Shawnee, OK. Through these facilities and experienced personnel, Spectra has the expertise and resources needed to maximize these types of event opportunities at The Ranch.

Through our experience with similar facilities, we have found the most effective way to successfully book livestock venues is to collaborate, sharing best practices, between our facilities. YOUTH HOCKEY Spectra brings to this partnership an unparalleled level of experience in managing ice facilities. Our client portfolio includes standalone community ice facilities such as the Angel of the Winds Community Ice Rink in Everett. WA; the Centerpoint Medical Center Community Ice Rink in Independence, MO; the Tribute Communities Centre Ice Rink in Oshawa, ON, Canada; the Bradford R. Boss Ice Arena in Kingston, RI; and the Mullins Center Community Ice Rink in Amherst, MA. Spectra is also in the process of opening the Centene Community Ice Center & St. Louis Blues Practice Facility in Maryland Heights, MO, which, when opened, will be a brand new 275,000 sq. ft., four-sheet ice complex. The complex will host youth hockey and other ice sports, as well as serve as the practice facility for the NHL’s St. Louis Blues.

Additionally, Comcast Spectacor is a significant minority owner of Spectra and created Flyers Skate Zone as the result of their recognition of the need for more high-quality ice facilities in the Philadelphia area. There are currently four Flyers Skate Zone locations operated by Comcast Spectacor throughout the Philadelphia area, including Virtua Center Flyers Skate Zone in Voorhees, the official training center for the Philadelphia Flyers (NHL); Virtua Health Flyers Skate Zone in Pennsauken; Flyers Skate Zone in Atlantic City; and Flyers Skate Zone in . The primary objective for the development of these facilities is to increase the opportunities for people in the Philadelphia region to participate in hockey and to skate in a fun, safe, and comfortable environment. It was also at these facilities that the Learn to Play and Learn to Skate programs were developed, which changed the way youth hockey is offered by providing the young participants with free equipment, age appropriate instruction, and certified coaching. Because we are fully entrenched in this program, we have the experience and relationships to emulate this concept at the ice facilities at The Ranch.

This operating experience and resources, which includes established relationships with organizations like USA Hockey, will allow us to lend our expertise from both corporate leadership as well as our network of ice complexes. Furthermore, as managers of the Budweiser Events Center, home of the AHL’s , we have developed local relationships with organizations such as North Colorado Youth Hockey and Colorado High School Activities Association (CHSAA), which we can leverage to utilize The Ranch’s future ice facilities. However, booking the event is only the first critical step. It all seems straightforward enough: A venue’s ultimate purpose is to bring people together, so an effective marketing plan simply means selling more tickets.

Of course, if it were really that easy, everyone would be doing it — and the truth is, no one in the industry comes close to matching the exceptional support Spectra provides for marketing, adverting, promotions, and sales. We place the highest priority on creating awareness about venues and their events, selling tickets to those events, and ensuring that we bring attendees back for more. Achieving these goals requires developing a customized, comprehensive sales and marketing plan specific to each venue’s unique needs. It means providing industry-leading solutions for integrated marketing, group sales, and new sources of revenue.

It means building a top-notch network of more than 150 marketing, sales and public relations experts around the world, all working together with a “one marketing department” mentality. And it means maintaining a relentless, company-wide focus on one primary goal: selling tickets.

TENANT OPPORTUNITIES Spectra will follow normal industry venue management and event booking practices. We will treat the Colorado Eagles as “Prime Tenants” and we will work closely with the organization to provide the dates they and their representative league requires. We will honor any written or verbal booking requirements that the team may have.

Spectra is heavily experienced in the scheduling and coordination of demands of an arena with a prime tenant team. Our operations and facility staff are trained in techniques for rapid and efficient changeover so that multiple events (e.g., hockey and basketball) are possible on the same day.

There are certain long-run shows (usually family shows) that require weekend dates throughout the basketball and hockey seasons. This is a common occurrence that is easily resolved through regular communication with our prime tenants.

As the current managers at the Budweiser Events Center in Loveland, CO, we currently coordinate bookings with the Colorado Eagles by allocating them a predetermined floating number of weekend dates. Other events are scheduled around these dates ensuring the team’s needs are accommodated. Should another event request a date supplied to the team, we work very closely with both the team and the ECHL, if necessary, to make the date available or exchange it for another date.

Additionally, because Spectra operates one of the most active arena complexes in the world (Wells Fargo Center in Philadelphia), we are confronted with and successfully manage the challenges of event booking on a daily basis. The Wells Fargo Center attracts 3 million visitors to nearly 240 events annually. Our schedule of events at the Wells Fargo Center includes two prime tenant teams, the NHL Philadelphia Flyers and NBA in addition to several other sports tenants.

We currently provide food services at 243 venues, including the entire Ranch Events Complex, inclusive of the Budweiser Events Center and the annual Larimer County Fair. Through this division, we serve over 250,000 events and 40 million guests per year. We know what it takes to make the guest experience a memorable one that keeps them coming back again and again. Our senior leaders have been responsible for managing events like the Olympics, the Super Bowl, and the World Series, and even catering for the President of the United States. Our team has the background and experience to successfully manage events of any size or complexity for venues ranging from arenas to stadiums, fairs to festivals, and casinos to convention centers.

Our team has the resources to provide food and beverage services to each of the unique venues proposed in the Ranch Key Master Plan. From concessions to catering services for special events, thanks to our history of service in the market, we understand the flavors of the region and the desires of each guest who visits the complex.

Spectra is also uniquely equipped with an in-house facility design team that will work with the project team to further develop the plans for the food and beverage program at the various facilities to ensure that they are optimized for efficiency and functionality. As the project team will be consumed with many critical tasks leading up to the grand opening, Spectra will work alongside your team, handling everything from space planning and graphics to innovative technology solutions, FF&E purchasing, and hiring. Our pre- opening team, led by Spectra’s SVP of Operations Mike Ahearn, immerses itself into pre-opening projects – ensuring that no detail is overlooked. Our Partnerships services are currently engaged at the Budweiser Events Center, where we manage all premium seating and corporate partnerships for the Budweiser Events Center and the entire Ranch Events Complex. COMMUNITY INVOLVEMENT Our team at the Budweiser Events Center, led by General Manager Keller Taylor, prides themselves on being heavily integrated in Larimer County and the entire Northern Colorado community. Last year, our team had a great time volunteering on multiple occasions with Fort Collins Habitat for Humanity, helping build homes for the community, as well as tearing down and deconstructing furniture. The team also participated in our annual Costume fundraiser, which last year raised over $1,000 for Coats & Boots and United Way. These funds went to helping young students in our community to getting much-needed winter gear. We also regularly work with the Larimer County Food Bank, the Loveland Habitat for Humanity, the American Red Cross, and the Boys and Girls Club of Larimer County.

PAST PROJECT FRAMEWORKS As the manager for over 180 venues throughout North America, we have many clients where we have guaranteed a bottom line to protect our client against operating losses. In all these cases, we have also provided our clients with a substantial cash contribution which we amortize internally on a straight- line basis over the term of our management agreement. The client’s only exposure is an industry-standard “buyout” for early contract termination. In the case of this potential venture at The Ranch, Spectra is willing to contribute a significant capital investment to help fund the project. As we have outlined earlier this Response in Section 2.5 Facility Development, Spectra has a deep history of making significant investments as part of similar development projects. Through our partner company, Comcast Spectacor, we wholly own the Wells Fargo Center in Philadelphia, PA, which is currently undergoing a $250 million renovation funded by Comcast and Comcast Spectacor, that Spectra is helping to oversee.

Furthermore, Spectra has the added advantage of operating our own food and beverage division, which often enhances our overall commitment to a client by offering a guaranteed percentage of gross F&B (concessions and catering) sales. This arrangement typically includes an additional cash contribution for the outfitting of the F&B spaces and for FF&E.

On behalf of Spectra Venue Management and the staff at the Budweiser Events Center, it is my privilege to present to you our fiscal year 2018 annual report.

Spectra Venue Management continues to be a proud partner of Larimer County’s, bringing quality entertainment to Northern Colorado. We completed the year showing a profit of $718,997 to Larimer County. Spectra hosted 200 events at Budweiser Events Center attracting 351,726 customers in the 2018 calendar year. In addition to our financial success, customers who attended events at the Budweiser Events Center provide Spectra with high marks through Customer Satisfaction Surveys, averaging 4.5 out of 5.

This year we saw many exciting developments with our primary tenants. The ECHL Colorado Eagles defended their title in June when they defeated the in Game 7 of the finals in Estero, Florida. Three months later, in September, the Eagles entered their first in the (AHL). Our Legends Football League team, the Dream, played their second season here at the Budweiser Events Center and are set to return in 2019 in April.

During the past year, we saw great success with many of our events. Disney On Ice brought with it another great year when Frozen hit the sage in March with a whopping 17,681 tickets over 7 performances. In April, we had another record year with the Toughest Monster Trucks Tour, grossing over $119,000 in sales. Cirque du Soleil returned to building in May with their exciting 360 degree stage show, CORTEO. CORTEO brought with it fans from all over Colorado, which resulted in 12,989 paid tickets for $700,000 in gross event revenue over 7 performances.

Our leadership team has continued to cultivate a great relationship with AEG Presents Rocky Mountain, which resulted in multiple events during 2018. These events included Judas Priest on their Firepower Tour and comedian Jim Gaffigan. In addition, we saw great success with other world-class entertainment; Celtic Woman, WWE, Tyler Farr at the Cattle Barons Ball, Newsboys United Tour, Mannheim Steamroller Christmas and The Oak Ridge Boys to name a few.

As we look to 2019, we will have a continued focus on providing an exceptional guest experience while providing a diversity of first class events for the entire community to enjoy all the while being fiscally responsible on behalf of Larimer County. Congratulations to the Spectra team on a successful 2018 at the Budweiser Events Center at The Ranch. The county’s relationship with Spectra brings us into the 15th year of operating the Budweiser Events Center. Spectra’s presence continues to be felt as one of the county’s most impactful partners.

This year was highlighted by strong selling marquee events such as Disney On Ice presents Frozen, Judas Priest, another record year for the Toughest Monster Truck Tour, comedian Jim Gaffigan and another consecutive sold-out New Year’s Eve Rodeo. Other events such as the , Cattle Baron’s Ball with headliner Tyler Farr, WWE, the Newsboys United Tour and Mannheim Steamroller Christmas, created a diverse mix of world-class events for Larimer County residents and visitors.

In addition, Spectra has continued to be a key asset in moving forward with The Ranch Events Complex Master Plan. This plan is instrumental in helping The Ranch, as well as the Budweiser Events Center, to make important improvements to be in line with industry standards for years to come.

The Budweiser Events Center’s impact is not just felt with concerts; the Colorado Eagles, high school tournaments, youth, company meetings and more continue to utilize this wonderful facility because of its top-notch management. Spectra continues to treat the building and the community as if were their own, and positive results can only come from this attitude. With Larimer County’s continued growth, the Budweiser Events Center stands to impact our community more through concerts, family shows, athletics, and graduations. ANNUAL REPORT 2018 06 Spectra’s Venue Management division is the industry leader across a full range of services that impact the bottom-line success of public assembly venues, including marketing and sales, corporate partnerships, event booking, ticket services and box office management, customer service, operations and engineering, and finance and administration.

Spectra is the expert in hosting and entertainment, partnering with over 300 clients at 400 global properties to create memorable experiences for millions of visitors every year. Spectra’s expertise is embodied within three divisions: Venue Management (formerly Global Spectrum), Food Services & Hospitality (formerly Ovations Services), and Ticketing & Fan Engagement (formerly Paciolan).

ANNUAL REPORT 2018 07 The Spectra Venue Management and Food Services team at Budweiser Events Center consists of 32 full-time and 170 part-time staff members. The staff not only works with the events inside the Budweiser Events Center, but all also assists with various events throughout The Ranch Events Complex.

2018 brought several changes to the Spectra Venue Management team at Budweiser Events Center. In the marketing department, Mike Boschert, who was most recently the Marketing Manager here at the Budweiser Events Center, was promoted in August to Director of Marketing and Mariah Saffa was brought on as the new Marketing Manager in November.

In the events department, Marc Horwitz, who was previously the Director of Events at the Spectra-managed Mullins Center at UMass, was brought on as the Director of Events for the arena. In September, we also brought on Jane Luneau as the Guest Experience Manager.

In the Corporate Partnerships & Premium Seating Department, Nicole Repetto, previously the Premium Services Representative at the Wells Fargo Center in Philadelphia, was hired on as the Premium Seating & Partnerships Manager in March.

In the operations department, Joseph Derkits, previously the Operations Supervisor at the Wells Fargo Center in Philadelphia, became our new Operations Manager in March and was promoted to Senior Operations Manger in September. Jeff Morgan was hired on as the Operations Supervisor in the fall of 2018.

Spectra Food Services & Hospitality hired on Lou Iaconetti as the new Executive Chef for the Budweiser Events Center and The Ranch Events Complex.

ANNUAL REPORT 2018 08 ANNUAL REPORT 2018 09 In 2018, Spectra Food Services & Hospitality added new menu items to concession stands, changed up concession stands concepts, worked with the Budweiser Events Center to offer unique drinks and menu items at various events and even added a new flair to this year’s Larimer County Fair with their food vendors.

To go along with these new concepts, new menu items were added to some of the stands. This year, street tacos were added to the Casa del Sol stand and came with chicken, pork or beef that were served in corn tortillas and filled with diced onions, cilantro and salsa. “The Kelly Cup” was added to Burger Prime and topped with spicy herbed cream cheese. Finally, a “Nacho Dog” was added to the Hot Dog Nation stands and was topped with nacho chips, nacho cheese and salsa. Fans loved these added menu items that went along with a variety of delicious offerings in each stand.

CATERING Spectra Food Services & Hospitality is the exclusive food and beverage provider of The Ranch Events Complex. Spectra is skilled at providing catering services for the small intimate gathering as well as the large-scale event. From concessions to distinct catered meetings and events, Spectra is known throughout North America for providing inspiring cuisine, grand presentations and impeccable service for each guest. Spectra's creative approach is to ensure that the food reflects the flavors, quality and authenticity of the region. The Executive Chef and catering team enjoy creating custom menus to meet the needs of each guest that visits our complex.

ANNUAL REPORT 2018 10 Spectra Venue Management specializes in sports and entertainment marketing and in the development of contractually obligated revenue for venues, teams, colleges, municipalities, sports and entertainment properties. Services extend out to managing all premium seating and corporate partnerships for the Budweiser Events Center and the entire Ranch Events Complex. Spectra implements and manages the process for all naming rights, premium seating, design, advertising/partnership, partnership evaluation, needs analysis and overall sales for the complex. With local, regional and national sponsors, Spectra has entrenched themselves in the Northern Colorado marketplace as the venue managers of the finest entertainment complex in the area.

ANNUAL REPORT 2018 11 The Budweiser Events Center Box Office received a new name at the end of 2018 through a naming rights agreement completed by our Corporate Partnerships team. Through this new naming rights partnerships, the box office now bears the name of the Orthopedic & Spine Center of the Rockies Box Office at the Budweiser Events Center or OCR Box Office for short. Through our ticketing partner, Paciolan, we are able to offer unique box office and marketing tactics such as the automatic Cart Abandonment campaigns that targets consumers who have placed tickets in their cart but have not yet purchased the tickets as a reminder about their order. Our team also utilizes Scan-In Campaigns which trigger when a patron’s ticket is scanned into the venue; through this we can push messaging to the email that is associated with the account on file. Additionally, we have the ability to push upcoming events, food and beverage specials, event specifics and other important venue information.

We volunteered with Habitat for Humanity in March and again in August.

Our team participated in our annual Halloween Costume fundraiser, this year raising $1020 for Coats & Boots and United Way. This money went to helping young students in our community to getting the real winter gear that they needed, such as winter coats and boots.

ANNUAL REPORT 2018 24 The Budweiser Events Center at The Ranch has experienced and is currently undergoing a slew of upgrades to the building that also includes some en- hancements to the fan experience. At a grand total of roughly $3.25 million, Larimer County, along with the Colorado Eagles, is proving its commitment to the citizens of Northern Colorado.

Building upgrades include: locker rooms, coaches offices, official’s locker room, green room, fitness center, an outdoor storage facility for the arena, a state-of-the-art ice system, a revolutionary LED Sport Lights system and free Wi-Fi for all patrons at the Budweiser Events Center.

As we look towards 2019, we are excited about the new opportunities that the new year brings with it and the ever-growing mix of world-class events that are already on the 2019 schedule. We kick off the year in January with Kicker Arenacross, PAW Patrol Live! and World Championship ICE Racing. Our spring schedule takes off with country star Gary Allan, the Harlem Globetrotters and rock group Shinedown who are followed by the ever-popular Disney On Ice run with seven performances full of family memories. April kicks off with the Toughest Monster Truck Tour, country super-group Old Dominion on their Make It Sweet Tour and back-to-back comedian performances with Gabriel ‘Fluffy’ Iglesias and Jeff Dunham on his Passively Aggressive tour. As the Colorado Eagles have officially made their move into the American Hockey League (AHL), we are excited to see how the rest of the season unfolds in their inaugural AHL season as the affiliate. With the continuation of exciting event promotions and in-game experiences, crowds are always ready to come back for more Eagles hockey.

We look forward to seeing more of the Master Plan elements unfold as the first full year of the sales tax continuation approaches in 2020, bringing with it building renovations not only for the Budweiser Events Center, but for the entire Ranch Events Complex. This brings with it exciting new revenue generating opportunities and a way for our team to enhance the overall guest and promoter experience at our events.
