TERMS AND CONDITIONS OF OPEN PROCEDURE FOR THE LEASE OF STATE TANGIBLE PROPERTY OF THE STATE ENTERPRISE LITHUANIAN AIRPORTS VILNIUS BRANCH

I. GENERAL PROVISIONS

1. The Terms and Conditions of Open Procedure for the Lease of State Tangible Property Managed by the State Enterprise Lithuanian Airports (hereinafter referred to as the Airport) by the Right of Trust (hereinafter referred to as the Terms and Conditions of Open Procedure) and the State Enterprise Lithuanian Airports Vilnius branch govern the procedure and the terms and conditions of open procedure for the lease of state tangible property – non-residential premises set out in Clause 5 hereof (hereinafter referred to as the property) – managed by the Airport by the right of trust (hereinafter referred to as the Open Procedure). 2. In organising the open procedure for the lease of the property, the Airport shall follow the Law on Management, Use and Disposal of State-owned and Municipal Property of the Republic of Lithuania (Official Gazette Valstybės žinios, 1998, No. 54-1492; 2002, No. 60-2412), Resolution of the Government of the Republic of Lithuania No. 1524 “On the Lease of State Tangible Property” of 14 December 2001 (Official Gazette Valstybės žinios, 2001, No. 106-3814), other legal acts of the Republic of Lithuania governing the relations of lease as well as the present Terms and Conditions of Open Procedure. 3. The Open Procedure for the Lease of Property is organised and conducted by the commission of open procedure for the lease of tangible property set up by the order of the Airport managing director (hereinafter referred to as the Commission). 4. The Terms and Conditions of Open Procedure shall be published on the Vilnius Airport FACEBOOK account and on the Airport website http://www.vno.lt/.

II. OBJECT OF THE OPEN PROCEDURE FOR THE LEASE OF PROPERTY

5. The following shall be leased together under these Terms and Conditions of Open Procedure: non-residential premises, which is located at the Passenger Terminal (hereinafter – the “Building”), the major intended purpose whereof is that of transport, Rodunios kelias 2, Vilnius, Unique number 1097-0044-5205 (exact part Rodūnios kelias 2-1, Vilnius, unique No. 4400-1477-7692:2433), the total area of which is 8,13 sq. m., a part of the area marked by index: 1-440 (the name of premises– „Office“) to the Lessee to use for the purposes of performing car rental administrative activities (hereinafter referred to as the Premises)

6. In view of international airport practice and the fact that the Premises are situated in extremely active zone, where large numbers of international flights passengers are served, Airport holds it necessary to open car rent office, managed by an operator having experience in conducting activities at car rental and able to acquire the aforementioned experience from the proprietor of the held trademark, applying high quality standards of passenger service and holding a trademark recognised by passengers. For these reasons, the Premises shall be leased exclusively to a company holding an international, registered trademark that upon being recognised as the successful in car rent services. 7. When carrying out car rent activities in the Premises, the Lessee shall use the international, registered trademark(s) corresponding to the requirements specified in Paragraphs 12.1.-12.2. of the Terms and Conditions of Open Procedure and indicated in the application for the Open procedure during the entire lease term. 8. The interested parties are entitled to see the Premises not later than 3 working days before the deadline for the submission of applications, i.e. by 9th November, 2016. They can visit the Premises on business days upon a prior coordination of the meeting time with the State Enterprise Lithuanian Airports Vilnius branch representative by phone (8~5) 273 93 354 or by email [email protected]. 9. The initial rent established in the Open Procedure for the Premises shall be EUR 1000 VAT excluded (EUR 1210 VAT included) per month. The rent offered by the successful Tenderer having entered into the lease agreement shall be recalculated in proportion to the annual change in the total number of passengers using Vilnius Airport, i.e. the Rent shall be increased by the percentage equal to the Change in percent. (for more detailed conditions on the recalculation of rent, see the draft agreement). The Lessee shall pay the Rent on a monthly basis against the invoice submitted. Payments for the previous month shall be made until the last calendar day of the month during which the invoice is submitted. If the Lessee fails to make the payments set forth in the Agreement on time, the Lessee shall pay the Lessor the default interest amounting to 0.05% (five hundredths percent) of the defaulted amount for each day of delay. 10. The property shall be leased for a period of 3 (three) years. 11. The draft agreement for the Lease of Property is published on the Airport branch website http://www.vno.lt/.

III. QUALIFICATION REQUIREMENTS FOR TENDERERS

12. In order to find out whether the Tenderer is competent, reliable and having the required capacities to meet the Terms and Conditions of Open Procedure and to execute the lease agreement, the Airport shall set the minimum qualification requirements for the Tenderers. The Tenderer wishing to participate in the Open Procedure shall meet all the minimum qualification requirements listed below and produce the evidence of the minimum qualification requirements together with the application (in case the Tenderer cannot produce the documents specified below, the Tenderer shall submit other documents as evidence of conformity to the applicable qualification requirements):

The Tenderer shall submit a copy of franchise or subfranchise contract or the copies of other documents proving the right to use the Trademark.

If the Tenderer is not the Trademark owner:

The Tenderer shall submit a copy of franchise or subfranchise contract or the copies of other documents proving the right to use the Trademark.

In case the Tenderer has not yet entered into an agreement providing the right to use the Trademark, the Tenderer may produce a guarantee (its duly certified copy) of the franchisor that upon entering into the lease agreement and before starting to carry out activities in the leased Premises the Tenderer will acquire the right to use the Trademark under the terms and conditions laid down in these Terms and Conditions of Open Procedure and the lease agreement.

In addition, if the Tenderer is not the Trademark owner, he shall provide a declaration of the Tenderer certified by the signature of the Tenderer's manager or its authorized person (along with the power of attorney) and a seal of the Tenderer (if the Tenderer has one), in which it is specified that the Trademark is actually used in the names and means of communication of at least 5 (five) car rental offices located in the countries of the European Economic Area (EEA), Middle East countries or North American countries with indication of countries and addresses of the car rental offices.

12.2 The Trademark shall be registered in the World A copy of the trademark registration (certificate), Intellectual Property Organization (WIPO) issued the World Intellectual Property Organization register and/or the European Union Intellectual (WIPO) and/or the European Union Intellectual Property Office (EUIPO) register and designated Property Office (EUIPO), certified by the signature to the group of 39 in its classification of goods of the Tenderer's manager or its authorized person and services (Nice Classification). and a seal of the Tenderer (if the Tenderer has one).

Note. Copies of the documents shall bear the signature of the Tenderer or its authorised person, the text “copy is true” and the position, the name (the initial of the name) and surname, the date and the seal (if available). All documents shall be submitted in Lithuanian. The documents translated from a foreign language shall bear a translator’s certification the Airport reserves the right to request to provide the original copies of the documents.

If a group of economic operators participate in the open procedure, it shall submit a copy of the joint venture agreement. The joint venture agreement shall specify obligations of each party to the agreement in implementing the lease agreement to be concluded with the Airport, i.e. lessor. The joint venture agreement shall provide joint and several liability of all parties to that Agreement for non-performance of duties to the Airport, i.e. lessor. In addition, the joint venture agreement shall specify the person representing the group of economic operators (with whom the Airport, i.e. lessor shall communicate on the matters arising during the tender evaluation, as well as during the execution of the lease agreement). The lease agreement will be concluded with the responsible partner indicated in the joint venture agreement. The joint venture agreement shall set a prohibition to change the composition of members of the group of economic operators before and after the conclusion of the lease agreement, and it shall also provide for the procedure of changing the responsible member of the group of economic operators without changing the composition of member of the group of economic operators. The joint venture agreement may not be changed without the prior written consent of the Airport. If a group of economic operators participates in the Open Procedure, each member of the group of economic operators shall comply with the requirement set forth in Paragraph 12 of the Terms and Conditions of Open Procedure. If a Tenderer, who is not established in the Republic of Lithuania, participates in the Open Procedure, such a Tenderer, if he is a successful tenderer, shall be entitled to set up a legal entity in the Republic of Lithuania for the purpose of executing the Lease agreement, which will carry out its activities in the leased Premises in the procedure established in these Terms and Conditions of Open Procedure and with which a lease agreement will be made. IV. PREPARATION, SUBMISSION AND MODIFICATION OF APPLICATIONS

13. The competition stages: 13.1. Registration of envelopes of the Tenderers; 13.2. Opening of envelopes submitted by the Tenderers and evaluation of financial proposals of the Tenderers; 13.3. Evaluation of qualification of the Tenderer having submitted the best financial proposal. 14. The Tenderer shall prepare the application according to forms A and B enclosed to the Terms and Conditions of Open Procedure. The Tenderer’s application shall consist of the following documents: 14.1. completed Form A of the application (Annex 1), copies of the Tenderer’s registration certificate or an extract from the State Enterprise Centre of Registers as well as Tenderer’s evidence of conformity to qualification requirements set out in Clause 12 hereof; 14.2. completed Form B of the application indicating a specific size of the rent proposed for all the leased Premises without VAT per month, the Tender’s or the authorized person amount information, the reason regarding the purpose lessee is planning to use the premises for (Annex 2). 14.3. the procedure established by power of attorney, if the contest participant shall be represented by the authorized person in the competition. 15. The Tenderer’s application shall be prepared in Lithuanian. Correspondence between the Tenderer and the Airport representatives shall also be carried on in Lithuanian. In case the evidence of the information in the application (e.g. statements, certificates, agreements, etc.) produced by the Tenderer together with the application is submitted in another language than Lithuanian, the documents shall be accompanied by an accurate certified translation of a document into Lithuanian done by a translator authorised to engage in such activities. Applications which are not in conformity to the language requirements set forth herein shall not be considered. 16. The completed application must be numbered and bound so that, without stitching could not be put in the application of new leaves, remove the leaves or to replace them, and the last page must be signed by the Tenderer or the authorized person (name, surname, duties and marked pages number). 17. The Tenderer shall place the completed forms A and B of the application with relevant annexes into one envelope. The envelope shall be sealed before submitting it to the Airport. The envelope shall bear the following information: name of the property for the lease of which the open procedure is announced, the place (address) of the property, the text “To the open procedure for the lease of property” and the tenderer’s name. 18. The Tenderers’ envelopes with applications shall not be registered if the Tenderer has not paid an initial deposit and did not submit the documents issued by a financial institution, that this contribution is paid. The envelope containing the application shall be returned to the Tenderer if the application (a part thereof) is submitted in the envelope which is not sealed. 19. The Tenderers’ envelopes with applications shall be submitted from 17th November 10:00 till 18th November 2016, 10:00 at the address Rodūnios kelias 10A, LT-02189 Vilnius, addressed to the authorized person – Office Management Specialist Rasa Cibienė (contact: (8~5) 2739068, e. [email protected]). 20. The envelopes submitted beyond deadline shall not be registered and shall be returned to the Tenderers. 21. The Airport shall have the right to clarify and revise the Terms and Conditions of Open Procedure on its own initiative at any time prior to the deadline for the submission of applications. 22. The Terms and Conditions of Open Procedure may be clarified and revised on the initiative of the Tenderers by contacting the Airport by e-mail [email protected]. The Tenderers should be active and submit their questions immediately after familiarising themselves with the Terms and Conditions of Open Procedure considering that the content of applications shall not be changed upon the expiry of the deadline for the submission of applications. 23. The Tenderer shall have the right to apply to the Airport regarding the clarification of the Terms and Conditions of Open Procedure in the procedure provided for in Clause 22 hereof no more than 2 (two) business days before the deadline for the submission of tenders, i.e. until 15th November 2016. The Airport shall reply to each inquiry of the Tenderer in writing (by the e-mail of the Tenderer having submitted the inquiry) within 2 (two) business days of receipt of the inquiry and shall make the content of the inquiry and the reply (its substance) public on the website of the Airport http://www.vno.lt/ to enable all the Tenderers to familiarise with them. The inquiries of the Tenderers received 2 (two) business days before the deadline for the submission of applications or later shall not be considered. 24. The registered Tenderer shall be entitled to withdraw its application until the expiry of the term of registr ation and to submit a new application and other documents referred to in Paragraph 12 hereof. In this cas e, the Tenderer's registration certificate shall state that the earlier application is withdrawn, and if a new e nvelope is submitted, the date or time of delivery of a new envelope is indicated. The Tenderer, having s ubmitted an envelope with new documents, shall be given a new registration number. It shall be forbidde n to submit a new application without withdrawing the previous one. The documents submitted by the Te nderer, having withdrawn the application, shall be returned after the Open Procedure or, if not a single pe rson registers for the Open Procedure, at the end of the deadline for registration of documents 25. The Tenderer before coming shall transfer the initial contribution equal to the initial 3-month size of rent, i.e. EUR 3630, into the account of the credit institution. The envelopes with applications submitted by the Tenderers who fail to transfer the initial contribution into the account of the credit institution at the established time shall not be opened and shall be returned to the Tenderer unopened no later than the next working day after receipt of the documents. 26. The details of the credit institution and the account to which the initial contribution must be paid: the Stat e Enterprise Lithuanian Airports, company code 120864074, Settlement account LT33401004250007051 3, DNB bankas AB. 27. The Tenderers may not have debts to the Airport on the day of submitting the application. Applications submitted by the Airport debtors shall not be considered.

V. OPENING OF ENVELOPES AND EVALUATION OF APPLICATIONS

28. The meeting of the Commission during which envelopes containing applications will be opened will take place on 18th November 2016 at 13:00 in the Airport administrative premises at the address: Rodūnios kel. 10A, LT-02189, Vilnius (hereinafter referred to as the Meeting of the Commission). 29. The Tenderers and/or their authorised representatives wishing to attend the Meeting of the Commission shall submit the Tenderer’s registration certificate and personal certificate(s) and the power of attorney in case the Tenderer’s authorised representative participates in the meeting; 30. The chairperson of the Commission shall enable the Tenderers and/or their representatives present in the Meeting to make sure that the seal of the box has not been violated and that the envelopes with applications have not been damaged. The envelopes will then be opened without damaging the seal. 31. The name of each Tenderer having submitted the application, the rent amount specified in the Application shall be announced to the Tenderers participating in the Open Procedure or their authorized representatives, and they shall be informed whether the application is bound, numbered, and whether the other side of the last page is certified by the signature of the Tenderer or its authorized person and whether the number of pages contained in the application is indicated. 32. Upon opening the envelopes, the Commission shall make the ranking of tenders by the highest rent proposed. 33. The Tenderers and the sizes of rent proposed by them shall be entered into the minutes. The Tenderer having proposed the highest rent shall be entered first in the ranking. 34. The results of the opening meeting shall be documented in the minutes signed by the chairperson of the Commission and the members of the Commission. The minutes shall be accompanied by the extract from the press containing the contract notice with the date of publishing and the title of publication. Each Tenderer or its representative shall be entitled to familiarise with the minutes from the date of signing of the minutes. 35. The Commission shall conduct the following procedures of examination and evaluation of applications in the absence of the Tenderers or their authorised representatives. 36. The evidence of qualification (Form A of the application and its annexes) shall only be inspected in the case of the Tenderer having proposed the highest rent. The Commission shall check the conformity of the Tenderer’s qualification data to the qualification requirements set forth in the Terms and Conditions of Open Procedure. 37. In case it is determined that the evidence of conformity to qualification requirements provided by the Tenderer having proposed the highest rent is incomplete or inaccurate or the Commission has any doubts about the accuracy of the details provided by the Tenderer or about their correspondence to the reality (e.g. The Tenderer's declaration data), the Commission shall request the Tenderer to clarify it (in case the Tenderer did not submit any evidence of qualification, the Tenderer shall not acquire the right to clarify its qualification) with fixed deadline to submit Tenderer’s answer. In case the Tenderer fails to clarify the aforementioned documents until the deadline established by the Commission due to any reasons, the evidence of conformity to qualification requirements of another Tenderer according to the ranking of tenders shall be examined. In case the Commission identifies that the documents submitted meet all qualification requirements, the relevant Tenderer shall be selected the successful Tenderer in the Open Procedure for the Lease of the Property. The Commission shall carry out all actions laid down herein within 5 (five) business days from the day of the meeting when the envelopes containing applications were opened, except for the cases where any circumstance arises due to which the aforementioned period has to be objectively longer (e.g., the Commission repeatedly requests that the Tenderer specify the provided details, a Commissioner is on vacation or on business trip and the Commission cannot adopt a decision, etc.) . The communication between the Commission and the Tenderer shall take place by the e-mail specified in the Tenderer’s application. 38. The Agreement shall be awarded to the Tenderer, who indicated the highest amount of rent in its application, having submitted all the required documents and meeting all the qualification requirements. If the same amount (highest) is proposed by several Tenderers, the successful Tenderer shall be the one, who had been registered in the Tenderers' registration certificate previously, having submitted all the required documents and meeting all the qualification requirements.

39. The Commission shall reject the Tenderer’s application if:

39.1. The Tenderer submits more than one application; 39.2. The Tenderer’s application is not in conformity to the requirements set forth in the Terms and Conditions of Open Procedure; 39.3. The Tenderer is not in conformity to the minimum qualification requirements laid down in Clause 12 hereof; 39.4. The goal of lease set forth in the Tenderer’s application fails to comply with the limitations provided for in Clause 6 hereof; 39.5. The proposed rent is lower than the minimum size of rent indicated in the contract notice and the present Terms and Conditions of Open Procedure; 39.6. The Tenderer (any member of a group of economic entities, where the application is submitted by a group of economic entities) has any debt obligations to the Airport; 39.7. to prove its conformity to the requirements of the Terms and Conditions of Open Procedure the Tenderer has provided details which fail to correspond to the reality. 40. The results of the Open Procedure for the Lease of the Property shall be documented by the minutes signed by the chairperson of the Commission and the members of the Commission. The minutes shall be accompanied by the overall communication as laid down in Clause 37 hereof between the Commission and the Tenderers (if any). Each Tenderer or its representative shall be entitled to familiarise with the minutes from the date of signing thereof. 41. In case only one Tenderer has registered for participation in the Open Procedure for the Lease of the Property who is in conformity to the qualification requirements established in the Terms and Conditions of Open Procedure and who has offered the rent which is not lower that the established initial rent, the Tenderer shall be selected the successful Tenderer. In case only one Tenderer participates in the Open Procedure, the Commission shall be entitled to examine the application of such a Tenderer and to announce the results of the Open Procedure immediately in the meeting specified in Clause 28 hereof without holding a separate meeting for the evaluation of qualification. 42. In case not a single Tenderer has registered for participation in the Open Procedure for the Lease of the Premises or there is not a single Tenderer who is in conformity to the qualification requirements, or all the Tenderers proposed a lower rent that the established initial rent and/or the applications of all Tenderers were rejected, the Open Procedure shall be considered invalid.

VI. OTHER TERMS AND CONDITIONS OF OPEN PROCEDURE

43. The successful Tenderer shall at its cost and risk obtain all the documents, including but not limited to the licences, permits, consents and arrangements, which are required in order to use the Premises for activities. 44. The lessee shall be prohibited from purchasing, subleasing the leased property as well as transfer all or part of the rights arising out of the rental agreement. 45. The Airport shall be entitled to terminate the procedures of the Open Procedure at any time before signing the rental agreement in case there are circumstances which could not be foreseen in advance. The Airport shall not cover the losses incurred by the Tenderers as a result of the preparation, submission of applications, etc. The Airport shall not cover any losses incurred by the Tenderers in case the results of the Open Procedure are disputed, repealed, recognised as invalid by any legal means on the initiative of the Tenderers or any other third parties. 46. The Tenderers are entitled to appeal against these Terms and Conditions of Open Procedure or the results of the Open Procedure in accordance with the procedure laid down by legal acts.
