Travel Smart (DEVELOPMENTAL) – PROPOSAL APPLICATION FORM (“Application Form”)

Please note the following prior to completing this form:

1. By submitting this Application Form, the Vendor agrees to the terms and conditions of the Land Transport Authority of Singapore (“LTA”) as set out in this Application Form.

2. All fields in this application are compulsory. Where information is not applicable, a “N.A.” is necessary.

3. The Vendor shall notify LTA in writing if there are any changes in their applications as stated below.

4. Upon the Authority’s approval, the Vendor shall submit:

a. the completed Application Form and/or any other supporting documentation as required by LTA to:

b. in hard and soft copies, for publicity purposes, an Electronic Direct Mailer (EDM), detailing the full package details of the approved proposal, including cost details, and any information as deemed fit by LTA.

c. a 150-word Brief Introduction (in Word Doc.) about your company, to be uploaded onto our website.

5. LTA reserves the right to reject the Application Form at its sole discretion and for any reason, including without limitation if the submission is incomplete.

6. LTA reserves the right not to provide unsuccessful applicants with details of their rejection or entertain any appeals.

7. All confidential information provided by LTA to the Vendor in connection with the Travel Smart Programme shall be treated by the Vendor on a confidential basis.

8. The Vendor intending to make any press release, public announcements or other publicity materials or disclosure of any matter relating to the Travel Smart Programme shall seek LTA’s prior written consent.

9. The Vendor grants to LTA, and agrees to procure the grant to LTA of, a perpetual, revocable, non-exclusive, royalty-free licence to reproduce, use (including without limitation publish in any media) and distribute the Vendor’s intellectual property (including without limitation the Vendor’s logos and marketing materials) to anyone for the purpose of facilitating the Vendor’s linkup with potential or actual participants in LTA’s Travel Smart programmes. 10. LTA reserves the right and absolute discretion at any time not to use or distribute any information or materials provided by the Vendor without providing any reason whatsoever, and LTA shall not be liable under any circumstances and in any way if LTA chooses not to do so.

11. The Vendor represents and warrants that no third party’s intellectual property rights have been infringed in any information or materials that the Vendor passes to LTA and that the Vendor has secured all necessary rights at the Vendor’s own costs and expense for LTA to reproduce, use and distribute such information and materials as contemplated in this Application Form. The Vendor shall be solely responsible and fully indemnifies LTA against any claims, actions, losses, damages, costs (including without limitation legal costs on a solicitor-client basis) and expenses arising under any cause of action whatsoever in connection with such infringement.

12. The Vendor further represents and warrants that it has complied with, and will continue to comply with, all applicable data protection laws including without limitation Singapore’s Personal Data Protection Act of 2012 and that all necessary consents have been procured for LTA to collect, use and disclose any personal data provided to LTA. The Vendor shall promptly inform LTA in writing of any withholding or revocation of consent by anyone for LTA to collect, use and/or disclose any personal data. The Vendor recognises that such withholding/revocation of consent may hinder the performance of some or all aspects of the Travel Smart programmes (including LTA’s facilitation of the Vendor’s linkup with potential or actual participants of the Travel Smart programmes) and shall not hold LTA liable for any circumstances or consequences arising directly or indirectly from such withholding/revocation of consent.

13. The Vendor acknowledges and agrees to comply with all applicable laws and regulations relating to the confidentiality and secrecy of information relating to LTA’s Travel Smart programmes and further to seek LTA’s prior written consent before publication of the same.

14. The Vendor acknowledges and agrees that LTA’s facilitation of the Vendor’s linkup with participants in LTA’s Travel Smart programmes does not in any way express or imply any endorsement by LTA of the Vendor’s goods or services and the Vendor remains solely responsible for the provision of its goods and services to participants in LTA’s Travel Smart programmes.

15. To the maximum extent permissible by law, LTA shall not be liable in any way to anyone if, for any reason, any aspect of the Travel Smart Programme is not executed as planned, including without limitation, by reason of infection by computer virus, network failure, bugs, tampering, unauthorised intervention, fraud, technical failures or any cause of whatsoever nature beyond the control of LTA which corrupts or affects the administration, security, fairness, integrity or proper conduct of the Travel Smart Programme. LTA may, without prior notice, at any time and in its sole discretion, cancel, terminate, modify or suspend this Travel Smart Programme, invalidate any affected submissions or terminate any selected Vendor, without being liable in any way to anyone.

16. LTA’s decision on all matters relating to the Travel Smart Programme shall be final and binding. Except as expressly specified in these terms and conditions, LTA shall not be obliged to enter into any correspondence concerning this Travel Smart Programme. 17. LTA reserves the right to amend or modify, at any time, any of these Terms & Conditions without prior notice.

3. I/We declare that there are no unsatisfied judgments outstanding against the Organisation that will materially impact the solvency of the Organisation.

4. I/We declare that neither the Organisation nor its proprietor, directors, partners or members has/have been convicted of any offence involving fraud, misrepresentation and/or dishonesty.

5. I/We declare that there have been/are no prosecutorial or civil proceedings commenced/pending against the Organisation or its, partners or members, in the last 10 years preceding the date of this declaration for fraud, misrepresentation and/or dishonesty.

6. I/We understand that only in cases where LTA’s final consent is sought can the Travel Smart logo or other intellectual property belonging to LTA be utilised.

7. I/We accept that all associated materials to the Proposal would require LTA’s final consent.

8. I/We understand that the Vendor is in no way affiliated with, authorised, maintained, sponsored or endorsed by the LTA.

9. I/We understand that the LTA will not be held responsible for any disputes or other issues that may arise from the engagement arising therewith.

10. The Vendor and/or its directors, shareholders, employees or any other person related to the aforesaid persons has/have not been given any monies, loans, rebates, discounts, refunds, liquidated damages or any other payment, whether in cash or in kind, by consultants or vendors or their directors, shareholders, employees or any other person related to the aforesaid persons, in connection with the Travel Smart programme or this application form, and in contravention of any laws; and there is no intention to give such monies, loans, rebates, discounts, refunds, liquidated damages or any other payment.
