Annual Meeting Minutes Saturday, April 6, 2013

President Patricia Gadbaw welcomed members and guests to the Annual Meeting of the League of Women Voters of Volusia County at the Holiday Inn AutoMall in Daytona Beach, Florida, April 6, 2013, at 9:00 a.m.

Gadbaw introduced the speaker, Deidre McNab, President of the League of Women Voters of Florida. McNab spoke of the history of women’s suffrage, the founding of the LWVF in 1937, the importance of League action, and the necessity for local leagues to identify and work on local issues as well.

President Gadbaw called the meeting to order at 10:00 a.m. and noted a quorum in attendance, with 37 attending. She called attention to the agenda, the rules of the meeting, and other information in the program.

President Gadbaw directed attendees to the booklets on the tables. She appointed Betty Johnson as chair of the Annual Meeting Minutes Committee, with Suzanne Ronneau and Lynda Mays serving with her. She appointed Ann Smith as Parliamentarian and reviewed the rules of the meeting in the printed booklet.

Pat Drago moved to accept the Rules of the Meeting as printed, Lynda Mays seconded the motion, and it passed. The Agenda was adopted as printed by consensus.

President Gadbaw called members’ attention to the official Annual Meeting Minutes from the April 21, 2012 meeting. These minutes had been accepted at the August 2012 Board meeting.

In the absence of Treasurer Christina Moseley, Budget Chair Dennis Clayton presented the treasurer’s report. The year-end report (July 1, 2012-June 30, 2013) will be presented to the Board of Directors at its August 2013 meeting and printed in The Voter. Clayton told of a bequest of $20,000 received during the year from the Carlyn G. Hamilton Trust. Approximately $3,000 of this was used for CPA charges and IRS fees to reinstate LWVVC’s IRS non-exempt status, and the remainder is in a savings account and CDs. He presented the proposed budget for Fiscal Year 2013-14 (printed on page 3 of the program). Lynda Mays asked if LWVVC has a formal audit and was told that each year’s accounts are reviewed by a three-person committee, not by an professional external auditor. The budget was approved as presented by the Budget Committee.

President Gadbaw referred members to the printed booklet, pages 4-6, for LWVVC’s Program which outlines positions of LWVVC on the County Charter, Government, Natural Resources, Stormwater, and Children’s Services. Proposed changes, as printed in the March/April issue of The Voter and in the program booklet, were approved as presented by the Program Committee, after a motion by Helen Scott (second not needed for a committee report).

Gadbaw described a change in the Bylaws, Article IV, Section 4, which was suggested by the Bylaws Committee. The change clarifies the duties of the LWVVC Secretary. Jody Williams moved acceptance of the change, Natalie Dix seconded it, and the Bylaws change was approved. President Gadbaw announced the slate of new officers and Board members as recommended by the Nominating Committee (Ann Harrell, Chair, with Marsha Lewis and Maritza Patterson) and printed on page 7 of the booklet: President Claudia Roth (2013-15) First Vice-President Pat Drago (2013-15) Second Vice-President Lynda Mays (2013-15) Secretary Betty Johnson (2013-14) Director Gwen Azama-Edwards (2013-15) Director Suzanne Ronneau (2013-15) Nominating Committee Maritza Patterson, Chair (2013-14) Nominating Committee Ann Harrell (2013-14) Nominating Committee Marsha Lewis (2013-14)

Gadbaw asked three times for nominations from the floor. Hearing none and hearing no objections, the Nominating Committee’s report was accepted by acclamation. [Elected officers will assume office at the start of the new fiscal year, July 1, 2013. The President and Board may also name up to five Appointed Directors with one-year terms.]

Gadbaw announced that LWVVC showed an 18% net gain in membership during the year, for a current total of 116. She asked Claudia Roth to say a few words about the Affordable Care and Patient Protection Act, and Roth suggested that attendees review her full report in the March/April 2013 issue of The Voter. Deidre McNab informed attendees that the LWVF would be issuing a position paper the following week to be used for advocacy for the expansion of Medicaid. Gadbaw thanked again those who worked on all issues for LWVVC and referred to the Committee Reports in the booklet, urging members to review these carefully. She recognized members of the Board and other LWVVC leaders and asked them to come forward for a group photograph. She directed attendees to the interest sheets on the tables and urged them to sign up to work on issues of special interest to them.

Ann Smith rose to thank President Gadbaw for her work and leadership during her time as president and presented her with a gift. The audience applauded their approval. LWVF President Deidre McNab then presented Gadbaw with a jeweled VOTE pin from LWVF in honor of her work.

The 2013 Annual Meeting was adjourned at 10:50 a.m.
