Real Estate Purchase Contract

THIS CONTRACT is made on this 7 day of April 2018 by and between Neil Leavitt (Seller), whose address is PO Box 36012, Louisville, KY 40233, and Creek Alley Properties, LLC (Buyer), whose address is 4206 Grand Ct., Crestwood, KY 40014.

WHEREAS, Seller has a contract with the current owner of record to purchase the property via Short Sale, commonly known as 1018 Greenleaf Rd., Louisville, KY 40218, and desires to resell it to Buyer.

NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS:

1. Purchase Price (For Both Properties Together):

Purchase Price: $136,000.00 dollars Deposit (Certified Check): $ 1,000.00 dollars Balance by certified check, or bank wire: $135,000.00 dollars

2. Deposit Monies. All deposit monies are considered non-refundable unless otherwise described below.

3. Time and Place of Closing. Buyer and Seller agree that closing shall take place approximately 3 business days after Seller obtains clear title. If Seller is still unable to obtain clear title by December 1st, 2011, buyer has the option to cancel contract and his deposit shall be refunded. Cancellation must be delivered to Buyer in writing. Closing shall be facilitated by Signature Title, located at 8915 Stone Green Way Suite 200, Louisville, KY 40220. Time of closing is TBD.

4. Transfer of Ownership. At the closing, the Seller will transfer ownership of the property to the Buyer via a Warranty Deed. Title insurance may be purchased by Buyer at their expense. All closing costs for Buyer shall be paid for by Buyer, and the Seller’s closing costs shall be paid for by the Seller.

5. Personal Property and Fixtures. All fixtures are included in this sale. Appliances are excluded.

6. Physical Condition of the Property. This property is being sold "AS-IS.” Seller does not make any claims or promises about the condition or value of any of the property included in this sale. Buyer makes this offer in full reliance upon his/her own independent investigation and judgment. Seller makes no representation as to the condition of the property or that the premises comply with local, county, state, or

Foundation, mold, termite, and other issues also may exist that could jeopardize the safety of the tenants or anyone entering the premises. At closing, Buyer accepts full responsibility for the property. There are no verbal agreements, which modify or affect this offer. The acceptance of a deed by Buyer shall be deemed to be the full performance of every obligation on the part of Seller.

Buyer may inspect the property prior to closing. If excessive junk remains in the property, Buyer shall notify Seller and Sell has the option to either remove the junk prior to closing, or split the cost with the Buyer 50/50. Any costs, if any, shall be agreed to by both buyer and seller in writing, and shall be paid to Buyer at closing.

7. Risk of Loss. The Seller is responsible for any additional damage to the property, except for normal wear and tear, until the closing of title. If there is substantial damage, the Seller reserves the right to cancel the contract and refund Buyer's deposit monies or to negotiate the terms of the repairs with the Buyer.

8. Property Lines. The Seller does not have a survey for the premises and makes no representation that all buildings, driveways, and other improvements on the property are within its boundary lines or that no improvements on adjoining properties extend across the boundary lines of this property.

9. Ownership. The Seller agrees to transfer and the Buyer agrees to accept ownership of the property free of all claims and right of others, except for any recorded easements. Buyer acknowledges that Seller is buying and reselling the property for a profit on the same day. Buyer acknowledges that the price negotiated is fair and is fully satisfied with the sales price.

10. Adjustments at Closing. The Buyer and Seller agree to adjust the following expenses as of the date of closing: municipal water and sewer charges, real estate taxes, and condominium dues, if applicable.

11. Possession. Possession shall be granted and keys shall be delivered to Buyer AT CLOSING.

12. Completed Agreement. This contract is the entire and only agreement between Buyer and Seller. This contract replaces and cancels any previous agreements between the Buyer and Seller. This contract can only be changed by an agreement in writing signed by both Buyer and Seller.

13. Parties Liable. This contract is binding upon Buyer and Seller and all their heirs, successors and assigns.

The notices must be delivered personally or by certified mail, return receipt requested to the other party at the address written in this contract. Service of any notices to Buyer's attorney shall be deemed as notice to Buyer.

15. Loan Qualification. Buyer is paying with certified funds and does not require a loan to purchase the properties. If Buyer is unable to finance the transaction in time for closing, Seller shall be released from the contract and may immediately resell the property to another Buyer.

16. Assignability. This agreement is not assignable by the Buyer without the Seller’s written consent.

17. Legal Representation. Buyer acknowledges that Buyer has the right to hire a separate attorney to represent Buyer's interests in this transaction.

18. Right to continue marketing property. Seller has right to continue marketing said property and accept backup offers while this contract is in effect.
