WHEREAS, in October 2010, a three-year grant of $4.2 million was awarded by the United States Department of Housing and Urban Development (“HUD”) to a consortium of local government and nonprofit organizations in Northeast Ohio through the Northeast Ohio Area- wide Coordinating Agency (“NOACA”) as formal applicant and fiscal agent; and,

WHEREAS, Whereas, an Ohio nonprofit corporation known as the Northeast Ohio Sustainable Communities Consortium, Inc. (Consortium) was organized to facilitate regional planning and create a community of practice among planners, governmental officials, nonprofit professionals and other interested citizens dedicated to making the region a better place for all of its citizens to live and work; and,

WHEREAS, The Lorain County Board of Commissioners recognizes that the success of this Sustainable Planning Program depends on the commitment of the Consortium members to devote their understanding, resources and personal participation to build the collaborative capacity of our region and develop a comprehensive strategy for our future.

NOW, THEREFORE, BE IT RESOLVED, that the Lorain County Board of Commissioners designates the County Administrator through the Lorain County Growth Partnership to act as its agent and enter into a CONSORTIUM MEMBERSHIP AGREEMENT with the NORTHEAST OHIO SUSTAINABLE COMMUNITIES CONSORTIUM, INC. to further the goals of the HUD Sustainable Communities Regional Planning Grant MOU and award.

BE IT RESOLVED by the Board of County Commissioners of the County of Lorain, in the State of Ohio:

Section 1. Findings and Determinations. This Board makes the following findings and determinations (capitalized terms in this resolution are used with the meanings given them in Section 5): (a) This Board has previously authorized the issuance of the County’s Series 1997 Bonds to assist EMH Regional Medical Center in financing costs of a project. (b) The Series 1997 Bonds are a multi-mode, variable rate issue secured by a letter of credit. EMH is now requesting the County to authorize amendments to the 1997 Bond Indenture securing those Series 1997 Bonds and the Loan Agreement for those Series 1997 Bonds, (1) to add one or more New Modes (including the Bank Direct Purchase Mode) to the 1997 Bond Indenture, (2) to provide an optional tender at the end of the Bank Direct Purchase Mode, (3) to authorize the Letter of Credit Bank to act in lieu of holders of bonds for all purposes under the 1997 Bond Indenture as long as a letter of credit is in effect, and (4) to modify the Series 1997 Bonds terms to provide for mandatory tender upon expiration of a letter of credit, rather than a mandatory redemption. (c) This Board finds and determines that all formal actions of this Board concerning the enactment of this resolution were taken in an open meeting of this Board, and all deliberations of this Board and any of its committees that resulted in those formal actions, were in meetings open to the public, in compliance with all legal requirements, including Section 121.22, Ohio Revised Code.

Section 2. Authorization of Amendments. The County authorizes (a) the amendments to the 1997 Bond Indenture to add the New Modes (including the Bank Direct Purchase Mode), to provide an optional tender at the end of the Bank Direct Purchase Mode, to permit the Letter of Credit Bank to consent in lieu of the holders for all purposes under the 1997 Bond Indenture as long as a letter of credit is in effect, and to provide for mandatory tender upon expiration of a letter of credit, (b) conforming amendments to the Loan Agreement, and (c) related documents.

The County authorizes (a) the amendments to the 1995 Bond Indenture to add the New Modes (including the Bank Direct Purchase Mode), and to provide an optional tender at the end of the Bank Direct Purchase Mode, (b) conforming amendments to the Lease, and (c) related documents.

Section 3. Signing and Delivery of Documents. (a) This Board authorizes and directs any Authorized Official to sign and deliver the following documents to effect the amendments authorized in Section 2, in substantially the form now on file with the Clerk of this Board, with such changes as are approved by the Authorized Official and which are not substantially adverse to the County and not inconsistent with this resolution: (1) The Sixth Supplemental Bond Indenture, supplementing and amending the 1995 Bond Indenture. (2) The Fifth Amendment to Lease, supplementing and amending the Lease. The Authorized Official’s act of signing and delivering those documents will constitute conclusive evidence of the Authorized Official’s approval of any changes and the Authorized Official’s determination that any changes are not substantially adverse to the County and not inconsistent with this resolution. (b) This Board authorizes and directs any Authorized Official to sign and deliver any other documents required in connection with the amendment of the 1995 Bond Indenture and any conversion of any of the Series 2008 Bonds to a New Mode. This Board further authorizes any Authorized Official to take any action required of, or permitted to, the County related to the amendment of the 1995 Bond Indenture, as the Authorized Official acting considers necessary or appropriate, without further authorization by this Board. (c) The Authorized Officials may rely on advice from bond counsel and from counsel to the County to establish that any changes to the documents from the form now on file with this Board are not substantially adverse to the County and are not inconsistent with this resolution; that any certificate, instrument, or other document is necessary or appropriate to accomplish the objectives of this Resolution; and that any action required of, or permitted to, the County related to the amendment of the 1995 Bond Indenture is necessary or appropriate.

Section 4. Federal Tax Matters. (a) Federal Tax Limitations. This Board authorizes and directs any Authorized Official to sign and deliver certificates as requested by EMH, and to take other actions, at the request and expense of EMH, as may be necessary in order to comply with the County’s and EMH’s agreements relating to the continued tax exemption of the Series 2008 Bonds, including, without limitation, those relating to arbitrage, arbitrage rebate, private business use, and federal guarantees. (b) Information Reporting. This Board authorizes and directs any Authorized Official to sign and file those documents, including any forms prescribed by the Internal Revenue Service, as are provided by EMH and as are necessary, on the advice of bond counsel, to comply with the information reporting requirements of Code Section 149(e). (c) Hedge Identification. This Board authorizes and directs any Authorized Official to sign and file documents requested by EMH in connection with integrating any hedge entered into by EMH in connection with the Series 2008 Bonds.

Section 5. Definitions: “Authorized Officials” means each member of the Board of County Commissioners, the County Administrator, the County Auditor, the Clerk of the Board of County Commissioners, the Prosecuting Attorney, and the County Treasurer.

“Bank Direct Purchase Mode” means a Mode in which the interest rate on the Series 2008 Bonds and the period of time the Mode is in effect is established by agreement between EMH and the purchaser of the Series 2008 Bonds in that Mode. The method for determining the variable interest rate and the term for that Bank Direct Purchase Mode is set forth in the supplemental bond indenture.

“Bond Trustee” means The Bank of New York Mellon Trust Company, N.A., as successor trustee under the 1995 Bond Indenture.

“Commercial Paper Mode” means a Mode in which the interest rate on the Series 2008 Bonds is established at a fixed rate for a period of at least one day but not exceeding 270 days.

“Daily Mode” means a Mode during which the interest rate on the Series 2008 Bonds is established on each business day.

“EMH” means EMH Regional Medical Center.

“Lease” means the Lease dated as of May 1, 1995, between the County and EMH, as amended by the First Amendment to Lease dated August 1, 2001, the Second Amendment to Lease dated October 1, 2005, and the Third Amendment to Lease dated July 1, 2008.

“Letter of Credit Bank” means the issuer of a letter of credit under the 1995 Bond Indenture.

“Mode” means a mode of interest rate determination provided for under the 1995 Bond Indenture.

“New Modes” means the Bank Direct Purchase Mode, the Daily Mode, and the Commercial Paper Rate Mode.

“ 1995 Bond Indenture” means the Trust Indenture dated May 1, 1995 between the County and the Bond Trustee, as amended and supplemented to date, including by the Series 2008 Supplemental Indenture.

“Series 2008 Supplemental Indenture” means the Fourth Supplemental Trust Indenture dated as of July 1, 2008 between the County and the Bond Trustee, securing the Series 2008 Bonds, which supplements the 1995 Bond Indenture.

“ Series 2008 Bonds” means the County’s $36,730,000 original principal amount Hospital Facilities Refunding Bonds, Series 2008 (EMH Regional Medical Center Project) dated as of July 1, 2008.

Lorain County 9-1-1 has need to relocate one of the Lorain County Fire System Repeaters from their southern repeater site, which is presently located on the SR 58 and Peck-Wadsworth Rd. tower site and serves the coverage area of Wellington and the surrounding communities. Whereas Verizon is providing transfer of ownership of the existing Communication Building that is currently on site at the Peck- Wadsworth tower site being used by Lorain County 9-1-1 to Lorain County 9-1-1. The said Communications Building will be moved by Lorain County 9-1-1 to the location owned by the Village of Wellington on Fairgrounds Rd. and placed in an approved area by Wellington Village in close proximity to the Tower to which Lorain County 9-1-1 will install their SW repeater. Whereas Lorain County 9-1-1 has need to relocate one of the Lorain County Fire System Repeaters from their current southern repeater site, currently located on Peck-Wadsworth Road in Wellington Township. The Village of Wellington agrees to provide ground area for the 20’x12’ communications building. Lorain County 9-1-1 will provide the foundation for the communications building according to Wellington Village building codes. The communications building will house the Lorain County 911 SW repeater, the combiner, the Wellington fire repeater, the Wellington Police repeater, the Southern Lorain Ambulance District repeater, & the Lorain County Sheriffs voter site equipment said land owned by Wellington Village on Fairgrounds Road and be placed in close proximity to AT&T tower site cle-170a_43854. Lorain County 9-1-1 will install a TXRX antenna combining system that will provide use of all of the above listed equipment on the existing 3 antennas located on the tower. Lorain County will provide space in the Communications building for the Village of Wellington’s equipment. Lorain County will provide 24/7 access to the Communication Building to Wellington Village. In return for space to house Wellington’s equipment, the Village of Wellington will provide electric to the communications building. All equipment that will be installed will have lightning protection installed on the antennas feeds and power. All the antennas, cabinets, and feed lines will be grounded. The county fire channel has a transmit frequency of 154.370 MHz and should not cause any interference issues, however, it is agreed if there is an interference issue, Lorain County 9-1-1 will correct any interference. Lorain County 9-1-1 will provide maintenance coverage on their installed equipment and insurance on the Communications Building. Wellington Village will be responsible for their equipment. Lorain County shall defend, indemnify, and save the Village of Wellington, its elected and appointed officials, employees and agents harmless from and against any and all actions, causes of actions, liability, damage, penalties, costs, expenses and judgments (including, but not limited to court costs and attorney fees) arising from injury to person or persons or property sustained by anyone in and about the premises, resulting from any acts or omissions of Lorain County, or Lorain County’s breach or default of this agreement. The Village of Wellington shall defend, indemnify, and save the Lorain County, its elected and appointed officials, employees and agents harmless from and against any and all actions, causes of actions, liability, damage, penalties, costs, expenses and judgments (including, but not limited to court costs and attorney fees) arising from injury to person or persons or property sustained by anyone in and about the premises, resulting from any acts or omissions of the Village of Wellington, or the Village’s breach or default of this agreement. This program once applied for and approved, will reimburse the Sheriff's Office fifty percent (50%) of the cost of replacing our deputy’s bulletproof vests. By contract and in accordance with the manufacturer's specifications, our bulletproof vests are required to be replaced every five (5) years. Partnership in this program should result in a reimbursement of funds to the Office of the Sheriff of around $17,000.00. I am requesting the Commissioners to pass a resolution authoring the Office of Sheriff to apply for a fifty percent (50%) reimbursement through the Office of Justice Programs Bulletproof Vest Partnership Program, and if approved to return those reimburse funds to the Sheriff’s Office equipment account. Lisa Hobart, Budget Director said the estimated revenue as of now, certified by the Budget Commission for 2011 is $42,143,107.00 for 2012 and budget packages have been received from departments in May of 2011 and certified in July when the Tax Budget is approved is $41,280,792. Commissioner Kalo said $1 million less revenue in 2012. Budget Director Hobart said in 2011 the current estimate for local government is $3.5 million and projected revenue looked as $4.2 million including all cuts, sales tax is trending at a higher rate, and current estimate is $14.4 million and in 2012 could be $14.8 million. Projected expenditures for 2011 are about $45,229,803.00 and 2012 are approximately $52,831,109.00. Commissioner Kalo said that is because the $6.8 million criminal justice fund obligation will now become general fund obligation in 2012. Commissioner Kalo said it is not that the county rose spending, Budget Director Hobart said absolutely not. She stated the estimated revenue; projected carryover vs. expenditures for 2012 is a shortfall of $6,250,317.00. Commissioner Williams said the expenditures for 2012 are $52,831,109.00 and asked how much this board has control over expenditures. Commissioner Kalo said the untouchables; Sheriff and/or Jail, $28 million with Prosecutors would be $26 million of non journal entries. Commissioner Kokoski asked if this was Board of Elections, Commissioner Kalo said they are un-touchable. Commissioner Kalo said the untouchables consist of;  Appellate Court at $197,000  Common Please $3.2 million  Domestic Relations $7 million  Probate Court $1/2 million even though there has been some cost savings of $20,000  Clerk of Courts $1.1 million based on breakdown  Muni Courts; Lorain, Elyria, Oberlin and Avon Lake (mandated) $1.1 million  Sheriff $5.2 million  Veterans Services last year budget not including increase they have requested this year at $1.1 million

These departments are ones that the board does not have the ability to change and could go up to $1/2 million more based on the request of Veterans Services which will be discussed next week. If you take the $26 million that is not ordered or funded, about 1/3 is fixed costs, can’t touch. County Administrator Cordes said the biggest line items are benefits/salaries and some fixed cost is around 30%. Commissioner Kalo said if you take 30%, 1/3 and take $9 million from $26 million equals $17 million in personnel costs that is touchable and take 1/3 to make the $6 million dollar shortfall. County Administrator Cordes said there is a smaller and smaller slide to deal with the issues if there is no ability to work within the 70-75% of the general fund expenses so clearly there is a large deficient and a very small pool. Commissioner Kokoski said Recorder, Treasurer; County Administrator Cordes said also Auditor, clerk of Courts, Prosecutors and Commissioners. Commissioner Kalo said the allocation for discretionary and cut everything there equals $564,000 to include Alliance, Transit, Office on Aging (Cordes said under ORC and the $78,000 is the salary); Glide, Team Lorain county, OSU (if not keep $86,400 and the 15% from solid waste would eliminate 4H program); Soil & Water equals around $1/2 million, so there is not a lot of discretionary spending left. There are no airport numbers which is only $50,000; County Administrator Cordes said the airport was around $600,000 several years ago but if the $50,000 is eliminated then the FAA has issues. Commissioner Kalo said the $6 million out of the $17 million can’t be touched and there is only an approximately 525 general fund employees which is down from 750 since he has taken office, so wonder where we would come up with the 1/3 of personnel . Commissioner Williams said he is ok to pass a resolution to have the hearings and let voters decide on the sales tax but would like to decrease the 5 years to 3 years. He also asked Assistant County Prosecutor Innes to speak of the case law he researched on the inside mileage. Commissioner Williams said this would take the 1.6 inside mill, property tax and then go with ½% sales tax increase and giving a break to homeowners and seniors.

44 Commissioner Kalo said this would place a hold on the 1.6 inside mileage. County Administrator Cordes said this is an interesting statue as Commissioner Williams introduced last week and previously understood that if the inside mileage was not utilized then other entities could take it and then Assistant County Prosecutor Innes researched it and it would be considered “parked” Assistant County Prosecutor Innes said this statue was not cross referenced with the sales tax it is 5705.313 and it does allow the Commissioners to reduce inside mileage with ah connections solely with the sales tax to be considered and no other entity could assume. Commissioner Kalo said do the Auditors need to submit numbers to see what the property owners would have in savings. County Administrator Cordes asked the Budget director how much is generated on the inside mileage, Budget Director Hobart wais $8.1 million. Assistant County Prosecutor Innes said this can be done in parts and can not be reduced more than the sales tax. County Administrator Cordes said since this is not cross referenced with the tax, so we are able to park the inside mileage for a future date rather than being exposed to other entities and this would shift costs around. Commissioner Kalo said it takes it from property owners and becomes a consumer tax. County Administrator Cordes said there are still folks out there that say no to any kind of tax. Assistant County Prosecutor said the board could pass a resolution at anytime relating to the inside mileage and will not be included in the sales tax resolutions. Commissioner Williams said then #16, 17 & 18 on the agenda do not have to be done today we could just hold hearings. Assistant County Prosecutor Innes said the board has to adopt something that will be considered for the hearings and notice in the paper. Commissioner Kalo asked if the Clerk had a copy of all the resolutions that were proposed last time, Clerk stated no. Commissioner Kokoski said there to have all these choices out there confuses the public looking like we are going after everything, we need to decide what we think or know we need and it will be easier for people to understand. Commissioner Kalo said the language of the ½% and coincides with the possibility of rolling back property tax. Clerk stated that the resolutions would reflect what is on the agenda except the ¼% would read ½% and number of years, etc. County Administrator Cordes said we would have to check on the mature indenture for the bonds, because some of the inside mileage is dedicated to the debt service. Budget Director said this is around $2.1 million. Commissioner Kalo said Veterans receive ½ of 1 mill in the language. County Administrator Cordes said they are eligible but there is no inside mileage directly for the Veterans, so this is an unfunded mandate. Commissioner Kalo said the resolutions before the Board are #16 (1/4% - 5 years criminal justice); #17 (1/4% - 5 years criminal and general fund) and #18 (1/4% - 5 years general fund) and add a, b and c to include ½%. Commissioner Kalo said the ½% is from Commissioner Williams based on the roll back of inside mileage Commissioner Williams said he would like to see a 3 year period and get possible additional revenues from the state and the casinos. Commissioner Kalo said ¼% at 5 years to see the economy spring back by then and if it is at ½% then 3 years and reinstate the inside mileage. Commissioner Williams said he would like to see all them at 3 years. Commissioner Kalo asked about wording, Clerk stated the resolutions that are listed on the agenda would read same except and then add three more with different years and include one with ½%. Commissioner Williams asked if we needed anything that is listed on the agenda, Clerk the Board needs to adopt something today for discussion purposes and then on July 27 would make the final decision. Clerk stated #16 is for criminal justice, #17 is criminal and general fund and #18 is general fund all at ¼% for 5 years. The Board has agreed not to do #17 criminal and general fund and #18 general fund, this sales tax resolution will only go towards criminal justice. Commissioner Williams said then have 16A for ¼% criminal justice for 3 years; 16B for ½% for 5 years and reduction of 1.6 inside mileage Commissioner Kalo said the inside mileage does not go with the sales tax resolution. Commissioner Williams said if we do not have this language his concern is people not voting for it. Assistant County Prosecutor Innes said this will not appear on the ballot, Commissioner Kokoski said the Board needs to educate the people in the hearings and newspapers, etc. Commissioner Kalo said once the sales tax resolution is approved then can the board approve a resolution stating that the passage of the ½% sales tax will rollback the1.6 inside mileage, Assistant Prosecutor Innes said yes. Commissioner Kokoski said when the Board approved the passage last time, where is the dollar figure showing the average person for the increase, clerk stated she has this information was around $.25/day, Commissioner Kokoski said would this be a wash for the homeowners and seniors. County Administrator Cordes said this will not be a wash, there will be an offset and shift some of the burden and still is a revenue enhancement but no additional revenue. Commissioner Kalo said seniors won’t spend much on taxable and would see savings. Discussion continued and the following resolution was adopted:

The Board of Commissioners of Lorain County, Ohio, met in regular session on June 22, 2011, with all members present.

Commissioner Kalo moved the following resolution:

WHEREAS, the Lorain County Commissioners have issued a Certificate of Estimated Resources for the year of 2011 to be $42,089,598 million dollars; and

WHEREAS, the carryover from 2010 was $8,386,695.50 million dollars; and

WHEREAS, without additional revenue, the Board projects a shortfall of approximately $5-6 million annually, which would require further cuts and layoffs; and

WHEREAS, even without a shortfall for 2011, there will not be sufficient funds available to operate in beginning of 2012 before revenue for 2011 is collected; and

WHEREAS, approximately 70% of the General Fund budget is attributable to the Justice System; and

WHEREAS, the sales and use tax in Lorain County is one of the lowest in the State of Ohio; and

WHEREAS, the County will become devoid of sufficient funds to operate if collection on the tax is delayed until an election may be had.

THEREFORE, the Board of Commissioners of Lorain County has determined that it is necessary for the immediate preservation of the public peace, health and safety of the citizens of the County.

David Ashenhurst, Oberlin said if the landowners pass the savings onto the seniors they could see an adjustment if they are renting. He is still in favor even at ½%.

Gerald A. Innes requested an executive session to update the board on pending litigation and real estate purchase relating to Developmental Disabilities. ______e COMMISSIONERS REPORT

Commissioner Kokoski said last week she attended the 10,000 car at the Collection Center and the rocker was given to Gayle & Ron Schneck. This place is very busy with people dropping off hazardous waste, bulbs but also e scrap was going on where the college was giving away computers for those who completed their training. This place is clean and workers do a great job Commissioner Kokoski attended the Goodwill board meeting and year to date for the Good Wheels “bus runs” is 1,390 rides. She also stated that she received the information from NOACA regards to the buses and she knows the Veterans are looking at a purchase and she is willing to work with the Veterans to get in the process of doing this. She stated that a Veterans Commissioners was in the audience and asked if he was not aware that this discussion was next week. Commissioner Kalo said Veterans are scheduled next week 9:45

Commissioner Williams said he made a call to the Governor’s office regards to the EPA issue and Solid Waste County Administrator said himself, Assistant County Prosecutor Innes, Keith Bailey, Director – Solid Waste along with Republic Waste had a meeting with EPA thanks to the Governor and the call that was made from Commissioner Williams. This meeting was intense and towards the conclusion Lorain County indicated that they are agreeable to any solution as to not costing the residents. EPA offered a remedy that would issue audit and findings against the county for reallocating funds around the plan but will not fine for any recovery and have an additional 6 months to arrange the relationship different, which puts us into the new plan and looks like an agreeable solution and should have a final document within 1-2 weeks. Assistant Prosecutor Innes said they were very supportive of the objectives by saving the program and jobs but their concern was that other entities would use the same mechanism that could be abusive and did not want to set precedence.

Commissioner Williams said Joshua Bates, Ashland University student from Lorain County is present today and would like him to give an update on the project he is working on. Joshua Bates stated that he is a resident since 1995 and senior at Ashland working on his bachelor of political science and economics and graduate in December. Earlier this year along with his prosecutor and Commissioner Williams his thesis project is to create a county government model that can be used relating to fiscal crisis. This report should be done shortly and will be given to the board at no cost.

Commissioner Kokoski said the Sheriff is requesting a COPS grant. Captain Drozdowski said he did apply for the grant for 2 more officers and this information was submitted today requested of the Clerk to see what the figures would be for the Commissioners to review for next week. ______(discussion was held on the above)
