Web Development Agreement

Web Development Agreement between

______, with office at ______in ______, ______, hereafter referred to as the CONTRACTOR. and

______, with office at ______in ______, ______, hereafter referred to as the CLIENT.

Introduction

This document defines the terms and conditions of our working relationship. Unless otherwise agreed to in writing by both the parties, the terms of this Agreement will commence on the date specified.

All services that CONTRACTOR may be contracted to produce or provide for the CLIENT will be subject to the following:

Definitions

As used herein and throughout this Agreement:

“Agreement” means the entire content of this Basic Terms and Conditions document, the Proposal document(s), Schedule(s), together with any other Supplements designated below, together with any exhibits, schedules or attachments hereto.

“Content” means all materials, information, photography, writings, audio, graphics and other creative content.

“Copyrights” means the property rights in original works of authorship, expressed in a tangible medium of expression, as defined and enforceable under International Copyright Law.

“Deliverables” means the services and work product specified in the Proposal to be delivered by the CONTRACTOR to the CLIENT, in the form and media specified in the Proposal.

“Services” means all services and the work product to be provided to CLIENT by the CONTRACTOR as described and otherwise further defined in the Proposal. “Trademarks” means trade names, words, symbols, designs, logos or other devices or designs used in the Final Deliverables.

General Terms

1. Authorization

The CLIENT authorizes the CONTRACTOR to perform the services outlined in this agreement on the CLIENTS’ behalf, which may include, but is not limited to, accessing their website dashboard and social media accounts.

2. Agreement Period

The project shall be conducted during the period of (Start Date and End Date) and will be completed when all items detailed in Schedule 1 have been signed off by the CLIENT.

3. Fee Schedule

The CLIENT agrees to pay the CONTRACTOR as outlined in "Schedule 1".

4. Confidentiality

The CONTRACTOR will not disclose to any third party or use, other than for the purposes of this agreement, any knowledge or information imparted to or obtained by it during or in connection with the fulfillment of this agreement, which is of a secret or confidential nature relating to the business, equipment, processes, products, services or business strategies offered or employed by the CLIENT.

5. Project Copyright

After acceptance of the work performed and payment of all sums due by the CLIENT, the CONTRACTOR agrees to assign perpetual and unrestricted copyright to use any and all materials produced by the CONTRACTOR as outlined in this agreement to the CLIENT.

6. Force Majeure

The CONTRACTOR shall not be deemed in breach of this Agreement if the CONTRACTOR is unable to complete the Services or any portion thereof by reason of fire, earthquake, labor dispute, act of God, death, illness or incapacity of the CONTRACTOR or any local, state, federal, national or international law, governmental order or regulation or any other event beyond The CONTRACTOR’S control (collectively, “Force Majeure Event”). Upon occurrence of any Force Majeure Event, the CONTRACTOR shall give notice to the CLIENT of its inability to perform or of delay in completing the Services and shall propose revisions to the schedule for completion of the Services.

2 7. Limitation of Liability

The services and the work product of the CONTRACTOR are sold “as is.” In all circumstances, the maximum liability of its Designers, Directors, Officers, Employees, Design Agents and Affiliates (“the CONTRACTOR parties”), to the CLIENT for damages for any and all causes whatsoever, and the CLIENT’s maximum remedy, regardless of the form of action, whether in contract, tort or otherwise, shall be limited to the net cost of this project as specified in this Agreement. In no event shall the CONTRACTOR be liable for any lost data or content, lost profits, business interruption or for any indirect, incidental, special, consequential, exemplary or punitive damages arising out of or relating to the materials or the services provided by the CONTRACTOR even if The CONTRACTOR has been advised of the possibility of such damages, and notwithstanding the failure of essential purpose of any limited remedy.

8. Errors and Omissions

It is the CONTRACTOR'S responsibility to check carefully for accuracy in all respects, ranging from spelling to technical illustrations. However the CONTRACTOR is not liable for errors or omissions. The CLIENT indemnifies the CONTRACTOR against any loss or damage arising directly or indirectly from any errors and omissions.

3 Schedule 1 – Scope of Work

1. Custom Website

Develop and provide a professionally designed 12-page website with the following:

. WordPress – The website will be developed using the WordPress content management system with required plugins.

. Writing – The website will include well researched 100% unique search engine optimized content for the website.

. Graphics – The website will include all custom graphics and images required to compliment and complete the website.

. Mobile Friendly – The website will be mobile-friendly and optimized to look great on all devices including PCs, laptops and smartphones and tablets.

. Video Sales Letter – The website will include a professional 5-6 minute video sales letter targeting small business owners.

. Accepting Payments – The website will be setup to accept the payment for the service featured in the video sales letter.

. Google – The website will be integrated and setup with Google Search Console, Google Analytics and Google Goals.

2. Email Follow-up Series

. Optin Offer – The website will feature a 2-3 page optin offer to be sent to visitors who subscribe to receive it.

. Email Follow-up Series – The email follow-up series includes a set of 3 professionally written emails to support the optin offer.

4 . Email Software – The 3 email follow-up series will be set-up and integrated with the email software (“AWeber”) and triggered when a visitor subscribes.

3. Social Media Setup

. Account Setup – The social media sites including Facebook, Twitter, Google and YouTube will be set-up in the name of the CLIENT.

. Graphics – The social media sites will include all custom graphics and images required to compliment the brand of the website.

Total: $3,000 Terms: $2,000 upon acceptance. Balance upon completion. Time to Completion: 4 weeks.

*The AWeber email marketing software at $19 a month is to be provided by the client.
