SITE – SPECIFIC CONTRACTOR RULES & REGULATIONS ADDENDUM

This Addendum is to be submitted to the Tenant Construction Coordinator before commencing construction; a copy should be kept in tenant’s file.

1 1. UNION ISSUES In an effort to establish acceptable and unified construction quality and productivity standards, the Landlord strongly recommends that all union trades, traditionally and customarily, performing construction crafts be engaged to promote project wide continuity. This shall not serve as a limitation to a Tenant's right to employ the most qualified low bidder for a construction/trade contract. However, Tenant shall take all necessary action to avoid labor disputes and difficulties on the project and shall do all things to avoid work stoppage or delay on account thereof, regardless of whether the impact is to the Tenant, Landlord or other Tenants. In an event of work stoppage, Tenant will cooperate with Landlord to remove the source of the work stoppage at Landlord's sole discretion so that the project shall be completed on schedule in a cost efficient manner as initially contemplated.

Contractor shall inform Grove City Premium Outlets whenever non-union Carpenters or other non-union trades will be used, so that the Center may prepare for any imminent picketing that may occur at the space. Should any union contact Contractor with an intent to demonstrate or picket the construction, they should be informed that they need to obtain an application for such activity from the Management office.

2. TRASH REMOVAL AND HAZARDOUS WASTE

Contactor agrees to order an “Open Top” trash container, (Center Required Trash Hauler must be used) to be placed at a location determined at the meeting. Contractor is to specifically request a container that is ‘graffiti free’

Trash may only be transported through corridors and common area during non operating hours until 8:00 am daily.

Contractor will monitor “open top” container insuring that doors are kept closed and area around container is kept free of debris at all times. The Center will not be held responsible for unauthorized dumping into the contractor’s open top container.

Contractor should never let the open top exceed 75% capacity. Contractor should have material needed (tarp, rope) to secure contents of the open top in case of inclement weather.

The General Contractor and/or the On-Site Coordinator for the General Contractor will be held responsible for all sub-contractors and vendors involved in the tenant improvement job, for the proper disposal and/or cleaning of water based materials and hazardous waste.

It is the Contractor’s responsibility to monitor the activities of all persons involved in the tenant improvement job, and to see that the following rules are abided by.

Under NO circumstances are the storm drains to be utilized for the disposal of any liquid or product.

Any hazardous waste material (including oil-based paints, enamels, chemicals, etc.) must be disposed of through legal and approved methods. Under NO circumstances are hazardous waste materials to be disposed of in any trash bin, storm drain, sewer drain or landscaped area.

Any cleaning of tools, surfaces or equipment involving a water-based or latex substance, must be done within the tenant space and all by-product of that substance, must be processed through the sewer/ plumbing system.

If the tenant space does not have water and/or plumbing facilities, arrangements for water and cleaning/ disposal as noted above, must be arranged through the Management Office.

2 Under NO circumstances are the public restrooms to be used for the above noted conditions, or any other condition associated with the improvement of the tenant space.

All materials incorporated in the tenant space shall be 100 percent free of asbestos-containing materials.

Fluorescent lamps or other lighting materials that may contain mercury may not be disposed of in trash compactors or waste receptacles at shopping center.

3. PARKING Parking will be monitored and violators will be subject to tow at owner’s expense in conjunction with posted local jurisdiction laws related to Private Property Impounds. Parking during holiday or other peak periods may occur on off site parking lots. Please check with Director of Operations for details based on your construction schedule.

Parking for construction personnel will be permitted in Landlord designated areas only. Trucks and/or trailers must not be left on the property without permission and compensation. Loading Zones will be kept open for deliveries when possible. Parking in Loading Zones is strictly PROHIBITED. Delivery vehicles must be completely unloaded at curb side and then moved out. Unattended parked vehicles in Loading Zones will be tagged or towed at the expense of the Tenant serviced by the vehicle. Parking permitted after 4 pm in service bays.

Management reserves the right to eject any sub contractor for excessive violations or aggressive behavior.

4. DELIVERIES Deliveries will be made only through entrances and routes designated by Landlord’s onsite representative. All deliveries through the public shopping area must be completed before the center is open to the public. Landlord will establish delivery routes which are subject to change. If items are too large to fit through the tenant’s rear entrance, contractor shall request and get the center’s prior permission to deliver through the main entrance. The common area corridors cannot be used as storage – they must remain clear and free of all obstructions at all time

Contractor must advise Management and Security of all deliveries 24 hours in advance.

Deliveries will take place at designated Truck Docks or designated areas and will be completed by 8:30 am.

Deliveries will never occur at entrances.

Contractor is responsible for assuring that area is left in a clean safe condition after deliveries are completed.

At no times a vehicles (truck, fork lift, boom etc.) be driven through the common area without the express permission of Management.

5. ROOF ACCESS AND STRUCTURE Tenant shall employ the Landlord’s required roofing subcontractor, Umbrella Roofing Systems, Inc., for such work as Tenant’s own agent and contractor. (See required subcontractors’ page) The work shall be performed in such a manner that the Landlord’s building schedule, Landlord’s roofing guarantee, and the work to be performed by other Tenants of the Shopping Center will not be affected adversely.

3 For items affecting structure (i.e... roof top units), Tenants are to submit preliminary design drawings ONLY and should not commence work on drawings until the design is approved by Landlord. Due to the structural engineering design of the roof system, Tenants and/or their contractors cannot attach to or construct anything on the bottom of the roof trusses unless approved by Landlord. Drilling or bolting through structural members is prohibited. Uni-struts, C-Clamps, and tension brackets are allowed for attachments to structural joist system above. If a structural engineer is needed to determine any structural calculations with Tenant drawings, Tenant is responsible for these services and costs. Roof openings, including necessary curbs and flashings to accommodate the installation of the Tenant’s work, shall be located as directed by the Landlord. All work to be coordinated in advance with the onsite management team. Contractor acknowledges that Umbrella Roofing Systems, Inc. is the REQUIRED contractor and the only contractor allowed to perform any modifications and repairs. The phone number for Umbrella Roofing Systems, Inc. can be found at the end of this document under “Required Contractors”.

Contractor is responsible for maintaining the roof in clean condition.

Contractor will give Management 24 hours in advance notice for roof access and contact security for access.

The contractor is responsible for identifying all roof top equipment with the store name and address.

Contractor is required to use specific material and methodology on Butler or other standing metal seam roofing systems as specified by site.

6. INSTALLATION OF MASTER ANTENNA AND SATELLITE DISH If Landlord grants Tenant the right to install, maintain, repair, use and operate a satellite dish antenna (the “Equipment”) in a location that is mutually agreed upon by the parties on the roof of or adjacent to the Demised Premises as agreed to by landlord. Tenant shall comply with all the requirements and provisions of the Lease. The plans and specifications for the Equipment and the design and installation therefore shall have been approved by Landlord prior to its installation. The Tenant acknowledges and agrees that such right shall be subject to renovation by Landlord in the event that at any time hereafter Landlord shall install a master satellite communications system that shall be intended for the use of the tenants of the Shopping Center.

Tenant shall be responsible for all costs and expenses associated with such installation, maintenance, repair, use, operation and removal of the Equipment. The installation and maintenance thereof shall be performed in such a manner so as not to adversely affect Landlord’s roof guaranty. Landlord shall have no liability whatsoever in connection with the Equipment, shall have no liability or responsibility for any damage, injury or loss to the Equipment, and Tenant hereby releases and discharges Landlord from any such damage, injury or loss.

The Equipment shall be screened in so that the Equipment itself will not be visible from the ground. In addition, the location of the Equipment on the roof of the Demised Premises, as screened in, will be such so as to minimize its visibility from the Common Areas of the Shopping Center.

4 Compliance with all Requirements, applicable building codes and other applicable codes and regulations. If installed on the roof, the Equipment shall be installed on rubber pads located beneath the stanchion supports, and under no circumstances shall Tenant make any penetrations or other alterations in or to the roof.

Tenant shall be responsible, at its sole cost and expense, for obtaining, securing and maintaining all applicable governmental and quasi-governmental permits, licenses, authorizations and approvals required in order to install, maintain, use and operate the Equipment and for otherwise complying with all applicable governmental and quasi- governmental rules, laws ordinances and the Declaration.

If Landlord so requests in writing, Tenant, at its sole cost and expense, shall cause the Equipment to be removed from the roof of the Demised Premises at the expiration or sooner termination of the lease. Tenant, at its sole cost and expense, shall be responsible and liable for the repair of any and all damage to the roof of the Demised Premises or to the Demised Premises itself or to the Shopping Center resulting from, caused by or as a consequence of the installation, operation, use, repair, removal or maintenance of the Equipment.

Tenant shall indemnify, defend and hold harmless Landlord from and against, and pay, any and all claims, actions, suits, losses, liabilities, costs and expenses incurred by or commenced against Landlord resulting from or relating to or in any manner arising out of the use, operation, installation, repair, removal or maintenance of the Equipment.

Tenant shall cause the installation, maintenance, repair, use, operation and removal of the Equipment itself to be covered under Tenant’s insurance policies required to be carried and maintained by Tenant under the Lease (with Landlord being an additional named insured there under) and Tenant shall provide Landlord with copies of certificates of insurance evidencing such coverage.

Satellite equipment must be light gray in color to match roof and must be in alignment with other rooftop equipment. It must be painted first on the ground and then installed on the roof by Landlord required roofer at Tenant’s expense.

7. FIRE LIFE SAFETY - THIS APPLIES TO ALL SITES: "Tenant's contractor will reimburse Grove City Premium Outlet for any false alarm charges from the Fire Department resulting from acts of failure to call in alarm, knocking a sprinkler head off, and /or other act that creates a Fire Department call out that result in false alarm charge. The false alarm cost will be deducted from any balance remaining on construction deposit and should the cost exceed the deposit; the balance will be billed to the tenant for reimbursement. "

Tenant contractors shall provide fire extinguishers within the premises as required by Public Safety Officials. All fire sprinkler system modifications must be performed by the required Sprinkler subcontractor and must be tied into Landlord’s existing fire sprinkler system, if applicable. (See required subcontractor’s page) Any changes to existing fire sprinkler system must be submitted to and approved by the Fire and Building Departments. Prior to deactivating sprinklers, Center Management must be notified.

Any time a tenant/tenant’s general or sprinkler contractor requires a fire sprinkler system shutdown, a check must be collected, payable to the center’s entity, in the amount of $250 as a fee PRIOR to providing access to the space or taking any action to permit draining the system in order to perform the requested sprinkler work. Notification of a shutdown that extends after operating hours will require a fire watch. Should the fire watch entail additional unbudgeted Security hours, the center may invoice the tenant to cover these incremental costs.

5 Center does not require fire alarm, each store if need be provide their own system to meet the needs of there business. However we do have an alarm on our sprinkler system that is monitored by Guardian Protection and serviced by Simplex Grinnell.

If the Fire Department determines that additional alarm devices are required, all Building Monitoring System modifications must be performed by the landlord required Fire Alarm contractor and tied into the Landlord’s existing monitoring system, if applicable. (See required subcontractor’s page). Prior to deactivating monitoring system, Center Management must be notified. This procedure will be similar to the sprinkler process as stated in this section.

If the tenant’s General Contractor is installing duct work, the duct detector MUST be installed by the Landlord’s required contractor and tied into the Landlord existing monitoring system.

All Building Monitoring System pull stations and horn/strobes must be clear of all obstructions. Tenant/Tenant Contractor to verify existing locations in field.

General Contractor is responsible for obtaining the Global Risk Consultant Submittal letter and submitting to the Center Management Office prior to starting sprinkler construction. The General Contractor must provide the Global Risk Consultant Approval Letter to Center Management Office as part of the Post Construction Checklist process.

A 48 hour notice is required before sprinkler drain downs can occur.

There is a charge of $75.00 for each sprinkler drain down for spaces that do not have an isolation valve(s).

In the event of a sprinkler head rupture caused by construction the contractor will be charged the drain down fee ($250.00) plus damages and cleanup cost. Additional fines may apply.

8. FOOD TENANT DESIGN REQUIREMENTS Below is the minumum design requirements that must be used by ALL Food and Food Court Tenants for all kitchen prep area’s.

This requirement is to prevent any mositure or dampness penetrating the demising wall(s) that can lead to damage to the food space and/or adjoining spaces.

Demising and/or concrete walls:  Demising walls must be moisture resistant gypsum board w/ Sporgard™ (National Gypsum) on metal studs. Other wall options acceptable by landlord would be Hardibacker prior to installing wall finishes or Ultracode drywall, by USG.  All concrete walls, rear or demising, must be furred out with the above specs, no exceptions. Install water proof membrane a minumum of 24” above floor.  FRP applied to all walls to a minumum height or 48” above wall base tile, and caulked with a silicone sealant.  Metal or PVC corner guard must be applied to all corners and caulked with a silicone sealant.

Flooring area:  Floor tile and flooring base installed must be sealed. This application should be re- applied semi-annually.  Floor drains must be installed in any food preparation area that require cleaning methods of hosing or washing walls. It is the tenant responsibility to make certain that all flooring is sloped for proper drainage to the floor drain(s).

6 Tile/Grout:  Must have Durock and /or equal applied to studs.

9. BARRICADES

1” x 4” Molding along Exterior, Finished T III Board, 4” on center top, bottom & corners Painted Sandlewood Beige (Sherwin Williams) by Tenant/GC

Existing Grade Level Surface

Barricades must be erected if there is any construction that goes beyond or on the front wall of the tenant space. These barricades must be painted with 3 coats of Sandlewood Beige paint and included graphics. Barricade graphics must be approved by Landlord prior to installation. Tenant contractor must maintain a safe environment for customers and employees during construction period. All work areas must be inaccessible or blocked off from customer/employee flow.

Barricade Construction Notes:  No openings are permitted.  All supporting must be concealed behind the barricade  Placement & design must be approved in writing by LL PRIOR to installation.  Signage: 2mm black PVC, 2’x4’ with white optima bold lettering.  4 x 2 graphic must be placed on solid surface, then adhered to barricade.

* Food Court Barricades MUST go to top of ceiling to prevent dust in food court area.

Contractor will use Required Contractor for barricade installation.

Construction barricade will have a front entrance only if there is no rear door into the space, or as required by code. It must also have dust barriers and floor protection and approved graphics package.

7 Contractor will be responsible for keeping the common area outside of the space in pristine condition. The contractor must also place a 4’ x 4’ damp carpet at the entrance way. This carpet remnant must be cleaned or changed out daily. Contractor will be held responsible for ensuring that no dust or debris is permitted in the corridors and common area.

If a barricade door is needed a 6 foot wide double door which will open inward is required. The Contractor will keep doors clean, in working condition, and must be able to lock at all times.

Marketing must approve all graphics on barricades.

Contractors are not allowed to advertise on barricade.

Contractor is responsible to maintain barricade. Any damage to barricade must be repaired within 24 hours.

If a barricade door is needed, it will be closed at all times.

Contractor shall supply Management and Security each with a set of keys to the tenant space for emergency access.

Construction barricade will not be removed until all construction is completed, store front signage is operational, store is merchandised, and store has been inspected and approved by Management.

10. TENANT SPACE ELECTRICAL/SECURITY ALARMS:  The contractor shall not enter any electrical room without the center’s permission. No security alarm boxes, horns, sirens or doorbells shall be installed on or above storefronts.

MECHANICAL SYSTEM:  Tenant’s mechanical contractor will need to provide an HVAC balance report, at the end of construction to Landlord.

SLAB:  Tenant and Tenant flooring contractors are responsible for minor floor patching in accordance with good installation practices as well as for the determination of compatibility of flooring products and/or adhesive with Landlord’s concrete slab. Landlord does not accept responsibility and will not be liable for water vapor emissions through the slab that exceed flooring manufacturer’s recommendations or are due to the effects of saw cutting.

UNDERSLAB WORK:  All work must be coordinated with and approved by the Operations Director. All slab saw cutting or penetrations require that replacement slab be installed with reinforced concrete. In some suites, saw cutting is not allowed because it will interfere with the structural integrity of the building. The Tenant/Tenant’s general contractor is responsible to ensure that there are no underground utilities/services BEFORE cutting any concrete, anywhere on the property. The Tenant will be liable for all repairs and/or lost business due to a utility or service interruption as a result of cutting the slab. WORK PRACTICES:  All work practices and personnel performing work in Tenant spaces must be compatible with the practices and personnel employed by Landlord. Upon notice that any work practices or personnel are not compatible, the Tenant shall be responsible for the immediate termination of said practices or the immediate removal of said personnel from

8 the Shopping Center property. Contractor work shall be performed in a thorough, first- class and professional manner and shall be in good and usable condition at the date of completion thereof. If, in the center’s judgment the work fails to comply with this standard, the Tenant will not be allowed to open until any discrepancies are remedied. The contractor’s employees must not curse, expectorate or otherwise act unprofessionally and must wear shirts and safety glasses as well as adhere to all other OSHA regulations on this project at all times.

DUST, DIRT, SMELLS AND NOISE:  Tracking dust and dirt into the common area is prohibited. Contractor’s employees should remove as much dirt and dust as possible before entering the common area.

 Proper care must be taken when working with glues, paints and any other materials requiring special ventilation. Such smells must not waft into the common area or other tenant spaces.

 Loud noises, particularly those created by the use of jackhammers, rivet guns and grinding equipment, shall not be used during center hours without the center’s prior permission. All radios and music must be kept at a low volume that cannot be heard outside the tenant space.

CLEAN-OUTS:  Some tenant suites may have furred out columns with access panels to an existing roof drain clean out. Access panels, whether in front or rear of space, is to remain clear of all obstructions. Floor clean-outs are also to remain clear of all obstructions.

WINDOWS  All Exterior windows/doors must be cleaned twice a week while contractor has possession of space.

WALKWAYS:  Contractors must use backdoor to the space when entering/leasing space. Doors must remain closed at all times center is open for business. No tracking foot prints in common area.

STORAGE PODS/TRAILERS:  Storage pods can be used at a plot rental fee of $1,000.00 per month. This can be arranged at the Mall Management office and by contacting William Scotsman at 1-877- 884-7065

The center also has the right to stop work in progress for violation of the above rules and regulations

Contractor should work in a manner as not to impede the business at the property. Heavy demo and other noise producing work, may only take place during the center’s non-operating hours.

Contractor’s superintendent must be on site while all work is being done in tenant space. Subcontractors cannot be left unsupervised

The Contractor will keep a copy of stamped and approved plans on site at all times.

No smoking or alcoholic beverages will be allowed in space.

Any damage to corridors, doors, store fronts, or common area must be repaired within 24 hours.

9 The Center does not loan tools to Contractors.

Gas and diesel operated equipment are prohibited from use in tenant spaces. Propane equipment must be reviewed and approved by center management prior to use.

Common area restrooms are “Off Limits” to all construction personnel.

Management will conduct at least one daily walk through of the construction site,

Management will be notified and present for all inspections.

Before space turnover to Tenant, Contractor will change out all A/C filters and “Run” all waste lines from the space to the main line to insure lines are clear and unobstructed.

11. FINES The following infractions will draw an immediate fine:

12. FEES

POD Placement $250 Per week (when applicable). Fee will not be prorated. One time Dumpster Placement $250.00 per tenant build out. Fire System Drain Down $ 75 Per Occurrence (only applies to spaces without isolation valves)

Grove City Premium Outlets/SIMON will be accessing a "turn on fee" to all of our Sign Vendors when they check onto the property at Guest Services to repair or install merchant signage at the center. The Light Turn On Fee for the sign contractor is $25.00. If lights are left turned on after the contractor leaves the property, they will be charged an additional $25.00 per hour.

Center staff will provide and apply White Out Mask at a cost of $20.00 per window panel.

A construction deposit of $2,500.00 is required prior to start date.

10 13. SECURITY PROCEDURES Visitor Name Badges  No contractor is allowed on our property without wearing a Visitor Badge. A contractor may pick up badges for his entire crew at the Information Desk located in the Food Court. These badges change colors within 24 hours, thus every day you must get new ones. Everyone working in the suite must wear a badge. If security sees an expired badge, you will be asked to obtain a new one at the office before any other work can be performed.

Contractors will not be permitted to start work until the following items have been met:

 Contractor furnishes proper evidence of required insurance coverage  The fee for the trash removal.  Contractor furnishes copy of building permit.  Contractor furnishes names and phone numbers (office and home or local) of contractor’s supervisory personnel.  Contractor furnishes names and phone numbers of prime subcontractors.  Contractor acknowledges receipt via an executed original copy of these Construction Rules.  Lease has been executed/hold harmless.  All fees are met including deposit

When construction is complete, the tenant/tenant contractor must submit a final set of “as builts”, in addition to a copy of the Certificate of Occupancy. The Landlord also requires a post-inspection of the store to ensure work was performed per Landlord approved plans.

I acknowledge that the Landlord has or will post, within the lawful required period, a notice of non-responsibility within view of the construction entrance, that shall remain in view of Contractor and subcontractor employees, indicating that the Landlord shall not be responsible for any claims whatsoever arising from the work of improvement, including demo, erection or construction within the building or for materials or labor used.
