AIESEC – CONSTITUTION

NAME

Art.1

The name of the Association shall be: ASSOCIATION INTERNATIONALE DES ESTUDIANTS SCIENCES ECONOMIQUES ET COMMERCIALES (AIESEC). The International Association of Students in Economics and Management.

IDENTITY

Art. 2

NATURE – AIESEC is an international, non-political, non-profit, student-run, independent, educational association. It is comprised of students and recent graduates of institutions of higher education who are interested in economics and management. AIESEC does not discriminate on the basis of race, colour, sex, creed, religion, national or ethnic origin.

PHILOSOPHY

Art. 3

Values – Belief in mutual respect for cultures and equality for people.

Art. 4

Vision – Peace and fulfillment of mankind’s potential.

Art. 5

Purpose – To contribute to the development of our countries and their people with an overriding commitment to international understanding and cooperation.

Art. 6

Means – Creating opportunities for exposure and interaction between young people of different cultures and nations.

Assisting people in acquiring skills and knowledge through management education and practical experience.

Offering people the opportunity to interact with their social and economic environment. MEMBERSHIP

Art. 7

The association shall consist of national associations of students and recent graduates who are interested in economics and management. Prior to being elected to full membership, any applicant shall receive the status of observer member for a trial period of at least one year followed by the status of probationary member for at least two years.

Only full members are entitled to vote at legislative meetings.

Art. 8

Applications for observer, or probationary of full membership shall be submitted to the international AIESEC secretariat (IAS).

Together with its application, the applicant shall submit a report, detailed information of the courses available in its schools or universities as well as the activities of its national association.

Admission to membership and upgrading of membership status shall be decided by a simple majority vote of the legislative meeting.

Art. 9

Any member not complying with articles and policies of the Association or not performing reasonable activities consistently forfeit its membership.

After consideration of the relevant facts, AI may propose the expulsion or removal of the membership of any country.

Expulsion or removal of the membership shall only be valid upon two-thirds majority decision of the full members at the international congress. No member shall be expelled except upon eight weeks notice from AI by registered mail specifying the ground upon which expulsion is based and after giving such member the opportunity to be heard at the meeting.

Art. 10

Any member may resign at any time by giving a four weeks notice to be delivered in writing to the IAS which shall inform the legislative meeting of members.

Art. 11

A member who resigns or is expelled shall forfeit the right to any part of the assets of the Association. THE LEGISLATIVE MEETING OF MEMBERS

Art. 12

National associations admitted to full membership shall together constitute the legislative meeting of members of AIESEC, which comes together on the occasion of the Association’s annual International Congress (IC) and the Presidents’ Meeting (PM). Additional sessions of the International Congress may be convened on request of at least two-thirds of the Association’s full members.

Art. 13

The legislative meeting of members shall have all powers for the performance and execution of the purposes of the Association.

Art. 14

Any appropriate question or business may be brought before the legislative meeting of members without prior notice thereof.

Art. 15

Legislative meetings shall validly be held if at least two-thirds of the Association’s full members are present or represented by proxy.

Art. 16

Only full members shall be entitled to vote at legislative meetings. Each full member shall have one vote.

Art. 17

A full member may be represented at the legislative meetings by another full member. No member shall hold two proxies.

Art. 18

The decisions of the legislative meetings shall be carried by a simple majority vote of all full members present or represented, except if the Constitution or Standing Orders provide otherwise.

EXECUTIVE BODY

Art. 19 The Association shall be administered by an Executive Body (EB) consisting of a President and 3-5 Directors (all physical persons).

Art. 20

Members of the EB shall be elected at the annual International Congress by a simple majority vote of the Association’s full membership. Their term of office shall be one year.

Art. 21

They can be re-elected but shall not serve for more than two consecutive terms.

Art. 22

Within the EB each member shall have one vote. A majority of the members of the EB shall constitute a quorum.

Decisions shall be taken by a simple majority vote of the EB members present.

Art. 23

That the EB shall have full power of management and administration, subject to the prerogatives of the legislative meeting.

The EB shall delegate the day-to-day management of this Association to the President.

Art. 24

The EB may rescind its delegation of the day-to-day management of the Association by the PAI should he/she not perform in its best interests.

Art. 25

All the deeds committing the Association shall, except for special proxies, be signed by two members of the EB.

THE PRESIDENT OF AIESEC INTERNATIONAL

Art. 26

The President of AIESEC International (PAI) shall be responsible for carrying out the decisions of the legislative meetings and for coordinating the work of the IAS.

THE CHAIRPERSON Art. 27

International Legislative Meetings (ILMs) shall be presided over by a Chairperson elected by the members. The Chairperson shall neither vote nor take part in the discussions of the meeting.

FINANCES

Art. 28

The revenues of the Association shall consist of members’ fees, gifts and whatever other sources the Association may decide.

Art. 29

The Association’s financial responsibility shall be limited to assets and members shall not be liable personally.

Art. 30

The use of funds and the book-keeping of AI shall be governed by the Association’s Financial Regulations. These regulations may be amended by a two-thirds majority vote at a legislative meeting.

Art. 31

The financial year of the Association shall extend from 1 August to 31st of July.

Art. 32.

Annually the EB shall submit the accounts of the closed financial year and the estimated budget for the following year for the approval of the legislative meeting.

AMENDMENTS TO THE CONSTITUTION AND DISSOLUTION

Art. 33

Any proposal regarding amendment to the Constitution or the Dissolution of the Association shall emanate from the EB or two of the Association’s full members.

The IAS shall advise the members of the Association at least four weeks in advance of the date of the legislative meeting of which deliberate on such a proposal.

Art. 34 The Association may be dissolved by a three quarters majority vote of all full members of the association.

Art. 35

An amendment to the Constitution shall be adopted if it receives a two-thirds majority vote of the full members of the Association.

GENERAL PROVISIONS

Art. 36

Anything which is not provided for by the present Constitution and in particular the publications to be made in the Belgian Officers Gazette shall be settled according to the provisions of the Belgian Law of 25th October 1919 amended 6th December 1954.

REGISTERED OFFICE

Art. 37

The registered office of the Association shall be in a municipality of the Brussles conurbation, and is at present at:

International Associations Centre Rue Washington 40 – (Box 10) B-1050 Brussels – Belgium

It may be relocated to any other address in the Brussels conurbation by a decision of the Executive Body (EB).
