HIRED CONTRACTORS ENDORSEMENT

This endorsement modifies insurance provided under the following:

COMMERCIAL GENERAL LIABILITY COVERAGE PART

A. The following is added to SECTION I – COVERAGES, COVERAGE A BODILY INJURY AND PROPERTY DAMAGE LIABILITY, Item 1. Insuring Agreement:

If you hire a “contractor” to perform work for you or on your behalf, this insurance applies to all sums the insured becomes legally obligated to pay as damages because of “bodily injury” or “property damage” resulting from that work.

B. The following is added to SECTION IV – CONDITIONS:

If you hire a “contractor” to perform work for you or on your behalf, you agree to take the following steps:

1. Require the “contractor” to maintain “adequate insurance”; 2. Require the “contractor” to name you as an additional insured on all Commercial General Liability policies issued to the “contractor”; as respects all ongoing and completed operations; 3. Obtain and maintain Certificates of Insurance from all “contractors” you hire providing evidence of insurance including Commercial General Liability, Workers’ Compensation and Employer’s Liability.

Your failure to comply with the provisions listed above will not invalidate this insurance or alter our obligation to you under the terms of this policy except with respect to Audit Premiums as set forth in Item C. below.

C. The following is added to Paragraph 5. Premium Audit under SECTION IV – CONDITIONS:

We reserve the right to audit your books and records at any time to ensure that your “contractors” have acquired and continue to maintain “adequate insurance” and that you otherwise are in compliance with the provisions listed in Item B. above.

If “contractors” have performed work for you or on your behalf without “adequate insurance”, or you otherwise have failed to comply with the above provisions, then you agree to the following:

1. Audit premium will be developed for work performed by “contractors” by multiplying the “cost” of all “contractors” work by the uninsured/underinsured contractors rate shown on the Declarations page of the policy. 2. If no uninsured/underinsured contractors rate is shown on the Declarations page, we will calculate audit premiums by multiplying the cost of the contract(s) by the appropriate premises/operations and products/completed operations rates, in accordance with our rules and rates for the work performed. 3. It is your responsibility to pay promptly any additional premium due.

ESL 452 1108 © 2008, XL America, Inc. Page 1 D. The following is added to Paragraph 4. Other Insurance, Item b. Excess Insurance, under SECTION IV – CONDITIONS:

This insurance is excess over any other insurance available to you as an additional insured from any “contractor”, whether such other insurance is primary, excess, contingent or on any other basis.

E. As used in this endorsement, the following definitions are added to SECTION V – DEFINITIONS:

“Adequate insurance” means:

Commercial General Liability Insurance which includes coverage for work performed on your behalf or on behalf of your “contractors” and which:

(a) remains in force during all work performed for you or on your behalf and which is maintained thereafter until all claims could have been made against you; and (b) provides for the following coverages and limits of liability for such work:

*If no limit of liability is stated above, then the limit of liability will be equal to the limit of liability stated on the Declarations page of this policy.

“Contractor(s)” mean contractors, subcontractors, independent contractors or any other person or entity hired to perform work for you or on your behalf.

“Cost” means the total cost for work performed for the insured by “contractors” including the cost of all labor, materials and equipment furnished, used or delivered for use in the execution of the work, whether furnished by the owner or a “contractor”, including all fees, allowances, bonuses or commissions earned, paid or due.

All other terms and conditions of this policy remain unchanged.
