1056. Board of Directors – Removal Policies and Procedures

Introduction The Forty-Niner Shops, Inc. (Company) is a non-profit public benefit corporation, which is under the control and direction of a Board of Directors (Board).

Scope of Policies and Procedures These policies and procedures apply to all Company Board members.

Policies and Procedures 1. Regular Term. A Board member shall serve a term as outlined in Company policy 1015. Board of Directors – Eligibility and Term Length Policies and Procedures. 2. Removal. 2.1. Any Board member who fails to fulfill his or her duties, fails to abide by the Company’s policies or procedures, or fails to abide by the laws and codes governing the Company, may be removed from the Board and relieved of his or her Board duties. 2.2. A 2/3 majority of all voting members at a regular or special meeting may vote to remove any Board member due to failure to fulfill his or her Board duties or due to any policy, procedure, law or code violation. 2.3. A quorum of Board members may appoint a temporary replacement Board member to replace the removed Board member until the nominating committee provides an official replacement Board member candidate for the Board to vote into office. 2.4. The official replacement Board member shall serve the remaining term of the removed Board member.
