1 EXHIBIT 1 2 3 RESOLUTION NO. 2015- 4 5 A RESOLUTION OF THE MAYOR AND CITY 6 COMMISSION OF THE CITY OF HALLANDALE BEACH, 7 FLORIDA, AUTHORIZING THE CITY ATTORNEY TO 8 SETTLE WITH DEFENDANT SIGMA CORPORATION AND 9 ITS SUBSIDIARY SIGMA PIPING PRODUCTS 10 CORPORATION (SIGMA) IN THE CASE STYLED AS IN 11 RE DUCTILE IRON PIPE FITTINGS (“DIPF”) INDIRECT 12 PURCHASER ANTITRUST LITIGATION, CASE NO.: 12- 13 169 (AET)(LHG), IN EXCHANGE FOR THE EXECUTION 14 OF A SETTLEMENT AGREEMENT AND SETTLEMENT 15 PAYMENT; AUTHORIZING THE CITY ATTORNEY TO 16 EXECUTE ANY DOCUMENTS NECESSARY TO 17 IMPLEMENT THE TERMS OF THE SETTLEMENT; AND 18 PROVIDING AN EFFECTIVE DATE. 19 20 WHEREAS, the City as an Indirect Plaintiff brought suit alleging that SIGMA and 21 other defendants participated in; (a) a conspiracy to raise, fix, maintain, or stabilize 22 prices of DIPF in violation of Section 1 of the Sherman Act and state law; and (b) a 23 conspiracy to monopolize and unreasonably restrain trade in the market for Domestic 24 DIPF in violation of Sections 1 and 2 of the Sherman Act and state law; and 25 26 WHEREAS, the City Attorney engaged the services of outside counsel to 27 represent the interest of the City as the named Indirect Plaintiff in the litigation; and 28 29 WHEREAS, the parties have engaged in extensive discovery and mediation; and 30 31 WHEREAS, the Mayor and City Commission have been fully advised of the 32 premises of the litigation, the possible defense strategies and the economic impact to 33 the city in proceeding to trial with the remaining defendants as opposed to possible 34 settlement; and 35 36 WHEREAS, the parties have determined that the resolution of their difference in 37 a manner favorable to their respective interests are best obtained through a settlement 38 of the issues as opposed to protracted trial, which require the expenditure of significant 39 funds and resources to both parties; and

NO. 2015 FILE NO 15-571 40 WHEREAS, the parties have been able to negotiate a mutually beneficial 41 settlement which was fully presented to the Mayor and City Commission during an 42 Executive Session held on Wednesday, May 20, 2015; and 43 44 WHEREAS, the City Administration and City Attorney are recommending that the 45 Mayor and City Commission approve the settlement, and authorize the City Attorney to 46 execute the settlement agreement and any necessary documents to implement the 47 terms of the settlement; and 48 49 WHEREAS, the Mayor and City Commission acknowledge that the settlement 50 will not be final until approved by the appropriate court and that the settlement proceeds 51 will be utilized to finance the litigation against the remaining defendants; and 52 53 WHEREAS, the Mayor and City Commission, being fully advised on the facts of 54 this matter, believe it is in the best interest of the City to resolve this litigation in lieu of 55 continuing to additional adversarial proceedings with Sigma and accepts the 56 recommendation of the City Attorney. 57 58 NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND THE CITY 59 COMMISSION OF THE CITY OF HALLANDALE BEACH, FLORIDA: 60 61 SECTION 1. City Attorney Authorization. The Mayor and City Commission 62 hereby authorize the City Attorney to settle with Defendant Sigma in the case of In Re: 63 Ductile Iron Pipe Fittings (“DIPF”) Indirect Purchaser Antitrust Litigation, Case No.: 12- 64 169 (AET)(LHG) pursuant to the terms set forth in the proposed settlement agreement. 65 Furthermore, the City Attorney is authorized to execute any and all necessary 66 documents to implement the terms set forth in the settlement. 67 68 SECTION 2.
