LAWN MAINTENANCE SERVICES

Scope of Work Total Landscapes, Inc. will herein be referred to as “Contractor”. Contractor will furnish all necessary materials, equipment and labor to perform the following scope of work:

Agreement Period The agreement period will be from April 01, 2013 through March 31, 2014 (a period of twelve months). The normal operating season shall be March 15th through November 1st of each year. During the normal operating season, services will be performed weekly (weather permitting), and services performed outside the normal operating season will be conducted as needed.

The Contractor shall provide the services listed below.

Mowing Contractor shall mow the grass every seven (7) days, or as weather permits, during the normal operating season, to maintain an appropriate even height for the type of grass and season to ensure a well-manicured and healthy appearance.

Edging All sidewalks and curbs, to include driveways and ground level patios, shall be edged every two weeks. All sidewalks, curbs, driveways and ground level patios shall be blown clean of all grass cuttings, dirt, and debris at each visit.

Trimming Grass around all street signs, lamp posts, fences, and any other obstructions shall be trimmed to maintain a well-manicured appearance.

Bed Maintenance The Contractor shall provide maintenance of all plant beds continuously throughout the agreement period, including front and back yard beds being kept free and clear of all weeds. Weeds will be controlled by hand-pulling, weedeater, and/or sprayed with a weed-killing chemical.

Pruning Pruning of ornamental shrubs, plants, and small trees shall be conducted no more than two (2) times per year to maintain a well-manicured appearance.

Leaf Removal Contractor shall remove leaves from every fourteen (14) days during the fall and winter until trees have dropped all foliage. Special attention shall be made to ensure leaves are also removed prior to the Thanksgiving and Christmas holidays. Leaves shall be removed from the property and discarded in an off-site landfill.

Clean-Up and Trash Removal 1. The Contractor shall ensure all sidewalks, curbs, driveways and ground level patios are blown free of clippings after each mowing. 2. The Contractor shall remove all debris associated with the lawn maintenance during each visit.

Contractor agrees to perform the Lawn Maintenance services at a rate of $ 585.00 per quarter

*This rate does not include mulch application. Hardwood Mulch is $60.00 per yard installed.

Page 2 Residential Irrigation Yearly Maintenance Options

 Option I—Spring Start-Up, Backflow Device Inspection and Winterization: This option is the best value. There is a substantially discounted labor rate should you require any service during the irrigation season. Pre-payment is required for this discounted bundle of services.

Spring Start-up  Irrigation Controller will be activated and system will be pressurized  Entire system will be reviewed for proper operation  Clogged nozzles will be cleaned and heads that are out of adjustment will be adjusted  Controller will be reset for general spring schedule unless you let us know otherwise  Any parts and/or labor for repairs needed (up to $75.00) will be completed during same visit and invoiced. We will schedule repairs for anything over this amount with you for another date.  You will be provided with a punch list of items for repair and/or suggested improvements for more effective coverage if over the $75.00 threshold.

Backflow Device Inspection  Our Certified State Inspector will test your Backflow Device as required  The inspection report will be electronically sent to the County/City on your behalf, and a copy will be sent to you.  If the device fails inspection, a failure report will be sent to the County/City, and you will be required to have the device repaired/replaced within 15 days. We will provide you with an estimate for the repairs/replacement. You will be billed for the initial inspection, however if you allow us to provide the repairs/replacement needed, the re-inspection will be free.

Winterization  Water will be removed from the system and the backflow device by blowing pressurized air through all main and lateral lines.  The blow-out valve will be left open to allow for expansion/breathing during the winter.  If any repairs are needed in order to winterize the system, they will be billed by the quarter-hour and will be completed during the same visit if time permits.  Total Landscapes, Inc. will not be held responsible for damages to your backflow device due to freezing prior to winterization.

Discounted labor rates (single technician): $70.00 per hour for the contract year. There is a one-hour minimum service fee. You will be billed in quarter-hour increments after the first hour.

Option II—Winterization and Spring Start-Up: Your services are discounted and there is a substantially discounted labor rate should you require any service during the irrigation season. Pre-payment is required for this discounted bundle of services.

Spring Start Up—See bullet points in Option I. Winterization—See bullet points in Option I. Discounted Labor Rates (single technician)--$70.00 per hour for the contract year. There is a one-hour minimum service fee. You will be billed in quarter-hour increments after the first hour.

 Option III—Start-up or Winterization:  You must contact us to schedule your service. Any repairs needed to complete the scheduled service or agreed to repairs will be billed at an $85.00 per hour labor rate. There is a one-hour minimum service fee. You will be billed in quarter-hour increments after the first hour.

Page 3 Personnel The Contractor shall designate, hire, and dismiss the personnel necessary for the care, upkeep, and maintenance and servicing of specified property. The Contractor shall provide training for each employee that will include instruction in community rules, site and equipment operation and maintenance, local health department requirements, conduct and professional problem solving techniques. The Contractor shall provide supervision of its employees and its employees shall conduct themselves in a polite and acceptable manner when on the grounds. Each employee, including supervisors, managers, equipment operators, and general laborers, shall be in uniform (i.e., hat and/or shirt with company logo) at all times.

Insurance and Licenses The Contractor shall maintain General Liability Insurance from an insurance company to cover bodily injury and/or property damage directly due to the negligence of the Contractor, his agents or his employees.

The Contractor shall maintain Workmen’s Compensation Insurance in accordance with State requirements.

The Contractor shall maintain the following:  State of Virginia Class A Contractors License  Business License  Business Pesticide License with Insurance  Virginia Registered Commercial Applicators License  Commercial Auto Insurance Policy

Additional Services and Obligations Customer agrees to promptly notify Contractor in writing of any dissatisfaction with the maintenance service to insure that maintenance is performed as agreed. Billing and Payment: Customer will be billed on the 1st of each month for that month, with payments due no later than the 10th of the month. There will be a 10- day grace period following the due date. If payment is not received within that time, a 2.5% late fee will be added. If payment is not received within 30 days from the due date, services will be terminated until payment is received. At this time, we do not accept credit cards for payment.

This Agreement shall be governed by the laws of the State of Virginia and constitutes the entire agreement between the parties regarding its subject matter.
