Dear Shareholder:

Thank you for your investment in and ongoing support of FNB Bancorp and First National Bank of Northern California. We hope you will join us for our 53nd Annual Shareholder Meeting, Wednesday, June 15, 2016, at 6:30 P.M. in the Basque Cultural Center, 599 Railroad Avenue, South San Francisco, California, 94080. 2015 saw a number of successes as well as challenges related to the post-recession economy. The Bank grew to over one billion dollars in assets and the Board of Directors increased the cash dividend from $0.12 per share to $0.15 per share. As with earlier years, the board also issued a five percent stock dividend. The bank closed on the purchase of America California Bank, formerly a one branch bank on Montgomery Street in San Francisco’s financial district. In the acquisition, the bank added approximately $92 million in loans and $90 million in deposits. Loan growth overall for 2015 was $139 million and deposit growth was just under $191 million. Nonaccrual loans were up slightly, approximately +$2.3 million, but still remained low overall at $7.9 million. We are also very happy with the addition of the ACB employees who have joined us. Our net earnings available to common shareholders for 2015 were $8.2 million, compared to $9.2 million in 2014. You may recall in 2014 we had three one-time, non-recurring events; a credit recovery of just over $1 million, a reversal in our loan loss reserve of $1 million and a breakup fee of $500,000 from the failed Valley Community Bank acquisition. Return on Average Assets for 2015 was .81% and Return on Average Equity was 8.15% compared to 1.02% and 10.16% in 2014. Diluted earnings per share for 2015 were $1.77 compared to $2.02 in 2014. The ongoing challenges we continue to face in the market place includes fierce competition for quality lending relationships. Though we did see a .25 basis point increase in the Prime Rate, margins remain wafer thin and our net interest margin continues to compress; 4.31% in 2013, 4.21% in 2014 and 4.06% in 2015. Against this backdrop we continue to monitor and control expenses, work diligently to bring in new borrowing relationships, provide products and services that our customers expect and contribute to the health of our neighborhoods through active community involvement. The credit for our successes rests with our employees; individually, they are quality people and collectively they have created a great bank.
