Role title: Darwin Technical Contract Manager Version number: 3.0 Director of Network Design Network Design Reports to: Function: Planning & Deployment (DPD) Planning & Deployment Amersham / Langley / Band/Grade: Contract position Location: Solihull Organisation structure & The Darwin Contract is a turnkey outsourced contract of 2G, 3G & 4G department profile: deployments for EE and 3G & 4G site enabling works for H3G. MBNL is responsible for the day-to day commercial and technical management of the Darwin Contract on behalf of its shareholders.

The Darwin Technical Contract Manager role is part of the MBNL DPD organisation and reports directly to the Director of DPD. This role is the counterpart to the Darwin Commercial Contract Manager and both roles will be required to operate in concert.

Role purpose: Accountable for the management of all technical aspects of the Darwin contract to time, cost and quality on behalf of the MBNL shareholders.

Responsible for the day-to-day technical management of the Darwin contract and control of all non-Darwin supplier technical activity. Working closely with the Darwin supplier to ensure that all deliverables and dependencies are clearly identified and delivered to contract requirements.

Note: MBML has no responsibility for project or programme managing the Darwin Programme (which shall be the responsibility of the Darwin supplier). The Darwin supplier is responsible for all deliverables and performance both contractual and material.

Key Responsibilities & Accountabilities: Accountable for the management of all technical aspects of the (In priority order) Darwin contract on behalf of the MBNL shareholders. Responsible for the day-to-day technical management of the Darwin contract and control of all non-Darwin supplier technical activity. Working closely with the Darwin supplier to ensure that all deliverables and dependencies are clearly identified and delivered to contract requirements.

Responsible for the implementation of contract Governance and the monitoring / management of SLA’s with the Darwin supplier. Identifying and calculating remedies due from the Darwin supplier in respect of failure to meet contracted deliverables.

Responsible for tracking, and reporting on, contracted deliverables of the Darwin supplier. Identifying and anticipating causes or instances of delay, relief event or breach. Maintaining an evidential record of meeting actions, decisions and instructions.

Tracking, analysing and immediately escalating risks and issues that may affect the TCO or benefit delivered by the Darwin programme.

Responsible for the change management administration of the Darwin contract. Impact assessing any requested changes against the TCO, scope, risk, quality and benefits delivered by the Darwin programme. Presenting assessment and recommendations the shareholders for decision (including interaction with Buy In and MIP programmes).

Responsible for managing and resolving escalations for any Darwin site co-ordination issues. Specifically to avoid activity clashes, minimise disruption and mitigate potential claims for relief events under the Darwin contract.

Establishing and operating Technical validation and acceptance forums for Darwin contracted deliverables.

Establishing and maintaining alignment and effective communication with and between all Darwin stakeholder groups. Responsible for ensuring that, with respect to the Darwin contract, MBNL meets its obligations under the Coventry, JBP, NIA and Co-operation agreements.

Key Challenges: (in priority order) . Developing an expert understanding of the structure, scope, deliverables and obligations of the Darwin contract. . Implementation of contract governance, tracking and reporting. . Ensuring that shareholder and MBNL teams understand and adhere to the obligations and turnkey methodology set out in the Darwin contract. . Managing shareholder change requirements and supplier claims for delay notifications and relief events. . Monitoring of contractual KPIs / SLAs and the proactive identification of issues, delays or breaches to the Darwin contract. . Working with key stakeholders in MBNL and Shareholder organisations to maintain alignment towards the Darwin supplier.
