Decision Info Provided: Bookseller Scholarships: Reba & Dave Foundation - $12,000 Binc - $1,000 Wanda filed application for the Binc board.

Call to order

Acknowledgement of receipt and subsequent discussion and approval as to previous monitoring.

link owners and operators - In attendance at the Advisory Meeting: Janet Geddis, Shane Gottwals, Dorothy Pittman, Janet Bollum, Erin Haire – Next task for Advisory is a Language of Local document to share with bookstores regarding Amazon.

Winter Institute – Yall buttons, 2 bookseller dinners, board meets for breakfast all mornings, board yallfest – Wed. – Jan 22; 5:30-6:30pm – Jill & Doug are willing to serve on future BAC.

GABBS – SIBA in the Springtime – March 6, start at 10 am – out at 5pm on Sunday, March 9. Author Extravanganza, field trips, ABA ; invite Advisory Members to Carver Training

Motion made to accept Board Policy 13A by Jeff. Second by Tom. So Moved.

Review Mega‐Ends with owners and operators link info. For 2014, the Board has determined to focus on author relations in addition to education and advisory committee continuation.

Motion made to maintain Cost of Governance at $44,000 for 2014 made by Jill. Second by Doug. So Moved. Wanda will provide suggestions for changes to policy 19 #2.

Motion to increase the executive director's salary to $87,084 and maintain the SEP percentage of 25%, resulting in a total compensation of $108,855 made by Jill Hendrix. Second by Jeff. So Moved. This merit increase was proposed after review and discussion of Carver monitoring reports, industry 990 IRS form comps, and discussion with other regional associations.

Motion to nominate Jamie as President of the SIBA Board of Directors made by Jeff. Second by Jill. So Moved.

Motion to approve Minutes as read made by Doug. Second by Jill. So moved.
