Child and Adult Care Food Program Food Service Agreement ($10,000 per Year or Less)

The unit prices submitted are based on the cycle menu (attached) which becomes a part of this Agreement. The meals furnished shall meet or exceed requirements as specified in 7 CFR Part 226.20 of the federal regulations (copy attached), which is a part of this Agreement, and the Food Crediting Guide. The Contractor agrees to deliver ______(unitized/bulk) meals ______(inclusive/exclusive) of milk on a daily basis to the following location(s) during the time frames indicated:

Center Address Number of Delivery Meals Time Any changes in approved sites will be made by the Institution not less than _____ days prior to the day of delivery of the meals. The Institution reserves the right to increase or decrease the number of meals ordered on a ______hour notice or less if mutually agreed upon between the parties to this Agreement. The Contractor agrees to package and deliver meals in containers that meet local health standards. The Contractor assures that it has State or local health certification at the preparation facility and assures that health and sanitation requirements will be met at all times. If requested, the Contractor agrees to provide meals for periodic inspection to determine bacteria levels or to have food service facilities and vehicles available for inspection. The Contractor shall attach a ticket with each delivery specifying the quantity of meals and the type of meal (breakfast, lunch, supper) that is provided. The Contractor shall submit an itemized invoice to the Institution ______(weekly/monthly) which specifies the quantity of meals by type delivered during the preceding ______(week/month) with a copy of each delivery ticket attached. The Contractor agrees to maintain all records (supported by invoices, Menu and Production Records, receipts, etc.) that the center or sponsoring organization needs to meet its responsibilities under program regulations. These records shall be available for inspection and audit by representatives of the sponsoring organization, the Kentucky Department of Education, the Kentucky Department of Health, the U. S. Department of Agriculture, and the U. S. Government Accounting Office at any reasonable time and place up to four (4) years from the date of receipt of final payment, or until final resolution of any audits. Payment shall not be made for any meals that: 1) do not meet the requirements of 7 CFR Part 226.20 and the Food Crediting Guide; 2) are spoiled or unwholesome at the time of delivery; 3) are delivered outside of the agreed upon delivery time; or 4) do not otherwise meet the requirements of this Agreement. The Institution reserves the right to terminate this contract if the contractor fails to comply with any of the requirements of this contract. The Institution shall notify the Contractor of specific instances of noncompliance in writing. In instances where the Contractor has been notified of noncompliance with the terms of the contract and has not taken immediate corrective action, the Institution shall have the right, upon written notice, of immediate termination of the contract and the Contractor shall be liable for any damages incurred by the Institution. The Institution shall negotiate a repurchase contract on a competitive basis to arrive at a fair and reasonable price. The Contractor may terminate this contract if the Institution fails to comply with any of the requirements of this contract, including but not limited to, terms of payment for services rendered. The rights and remedies of the Institution provided in this clause shall not be exclusive, and are in addition to any other rights and remedies provided by law or under this contract. This Agreement may be terminated by either party upon thirty (30) days written notification.
