MEMORANDUM OF UNDERSTANDING BETWEEN BUREAU OF ENERGY, THE MINISTRY OF ECONOMIC AFFAIRS OF TAIWAN AND

______CO-OPERATION WHITHIN THE FIELD OF RENEWABLE ENERGY

The Bureau of Energy, the Ministry of Economic Affairs of Taiwan and ______(hereinafter referred to as “the Parties”);

Having identified renewable energy as a common area of interest, CONSIDERING the mutual benefits and the need to strengthen the co-operation within the field of renewable energy; DESIRING to establish renewable energy cooperation between Taiwan and ______with the aim to develop and promote the areas of renewable energy; RECALLING that promoting and strengthening scientific and technical exchange and cooperation between scientists, scientific and industrial institutions in the field of renewable energy will further facilitate these goals, Have reached the following understanding:

ARTICLE I OBJECTIVE The objective of this Memorandum of Understanding is to establish the basis for a cooperative institutional relationship to encourage and promote technical bilateral cooperation on new and renewable energy issues on the basis of mutual benefit, equality, and reciprocity. ARTICLE II MODALITIES OF COOPERATION Cooperation under this Memorandum of Understanding may DRAFT take the following modalities: a) Exchange and training of scientific and technical personnel; b) Exchange of available scientific and technological information and data; c) Implementation of education and training programs in institutions related to renewable energy; d) Organization of workshops, seminars, and working groups; e) Transfer of equipment, know-how, and technology and technical standards on a non-commercial basis; f) Development of joint research or technical projects on subjects of mutual interest; g) Exchange visits by Government officials and technical experts for sharing of experiences on renewable energy practices, policies, frameworks, incentives, and technologies with financing mechanisms; h) Other modalities as may be agreed upon by the Parties. ARTICLE III SCOPE Areas or topics to address covered by this Memorandum of Understanding refer to: a) Photovoltaics; b) Offshore wind power development; c) Bio-fuels; d) Smart grid. ARTICLE IV COMPETENT AUTHORITIES The authorities responsible for implementing the agreements of this Memorandum of Understanding are the Bureau of Energy, Ministry of Economic Affairs of Taiwan and ______. ARTICLE V CONFIDENTIALITY AND USE OF INFORMATION 1. The Parties shall take all appropriate measures in accordance with their respective domestic laws and regulations to protect intellectual property rights including commercial and industrial secrets transferred between authorized persons with the jurisdiction of either Party. 2. The definition of confidential information is based on the regulations of each Party. In no case may the information DRAFT exchanged under the terms of this Memorandum of Understanding be transferred by the recipient to any third party without the prior written consent of the Parties. ARTICLE VI FUNDING The Parties agree that the development and implementation of any project under this Memorandum of Understanding shall be assumed by the Party who incurs them, unless otherwise stipulated in writing. ARTICLE VII AMENDMENT This Memorandum of Understanding can be amended by the written consent of the Parties. The method of amendment shall come into effects as decided by the Parties. ARTICLE VIII ENTRY INTO FORCE, DURATION AND TERMINATION 1. This Memorandum of Understanding will enter into force on the date of the (last) signature by the Parties and shall remain in force unless it has been terminated. 2. Either Party may terminate this Memorandum of Understanding by giving the other Party a written notice of 90 (ninety) days in advance of its termination of this Memorandum of Understanding. Termination will not affect activities initiated under this Memorandum of Understanding and already underway at the time of termination.
