Article I Name:
This organization shall be known as the “Aero Design Team of Society of Automotive Engineers” or abbreviated “ASAE”. This organization is chartered under APCS in Parks College of Engineering and Aviation of Saint Louis University.
Article II Object / Purpose:
The purpose of this society is to further the objectives of the parent organization; to provide for the advancement and dissemination of knowledge pertaining to aviation and its related fields; to provide students the opportunity to become acquainted with the activities of the SAE organization as a whole.
Article III Membership:
1. Requirements for membership are the members of this student branch shall be past or present students of Saint Louis University.
2. All members of the Student Branch must posses a valid student enrollment card of the SAE parent organization.
3. Honorary membership may be granted by an executive decision of the board members. Nomination will be an ongoing process throughout the year. The executive board will set requirements for an honorary member for that semester, so long as the appointee is compliant with “Good Standing.”
3 4. All members must be in “Good Standing” to have membership and a vote. Good Standing is defined in Article XI section 1.
5. A membership roster of all members shall be kept, this includes honorary and members not in good standing. Status shall be updated meeting by meeting. The membership roster shall be limited to those SAE members who are in good standing with the Student branch.
6. Voting members of ASAE are those who meet good standing requirements. All members of ASAE are permitted to participate, nominate, run for, and vote in the annual officer elections.
Article IV Dues:
1. Yearly National Dues are to be paid in the amount of ten ($10) dollars.
2. The Deadline for Dues to be paid on or before September 15th of that year, or by a majority vote of the executive board.
3. Members who have not paid do not have good standing until dues are paid.
4. Chapter dues (if elected to be enforced) are decided on by the executive board in both magnitude of amount, and deadline.
Article V Officers:
1. The officers of ASAE shall be: a. President b. Vice President c. Secretary d. Treasurer e. Chief Engineer f. Chief Manufacturer g. Chief Pilot
4 2. Duties Outlined for the above positions are as follows: a. President: - To preside at all meeting of ASAE, and the ASAE Executive Board. - To act as a mediary between faculty and students. - To call special session with the approval of the Board or by request of any legitimate petition. - To act in official capacity between students and the National Society.
b. Vice President: - To preside in the absence of, or at the request of the President. - To assume the previous outlined duties of the president in the event of the latter’s temporary absence or inability. - To assume and carry out the president’s duties throughout the remainder of the tenure of office in the case of the president’s permanent absence or inability. - To assist the president in the performance of his duties.
c. Secretary: - To assume the duties of the president in the event of the temporary absence of both the president and vice-president. - To keep an account of all records, minutes, happenings, actions, and decisions of the organization and the Board. - To take charge of all publication of those items of news which shall be of interest to the members. - To provide, maintain, and update the members list, website, and mailing list for all members. - To take care of all correspondence between the student and National Society in conjunction with the president. - To prepare the agenda for each meeting with the assistance of the other officers.
d. Treasurer: - To keep an account of all funds and finances of the organization. - To be responsible for the proper expenditures and receipts of the organization. - To maintain a properly balanced account of funds. - To distribute funds in accordance to the purpose of the organization.
e. Chief Engineer: - To be responsible for all design aspects of the aircraft, both domestic and for competition purposes. - To properly communicate ideas to the Chief Manufacturer all plans or specifications that the aircraft must meet. - To effectively analyze all performance qualities and characteristics of the aircraft. - To report on progress made to the President.
5 f. Chief Manufacturer: - To oversee the complete manufacturing of the aircraft and its parts. - To communicate with the Secretary any and all items needed to be purchased for construction and manufacturing. - To ensure the aircraft is completed of manufacturing by competition. - To report on progress made to the President.
g. Flight Ops Engineer: - To prepare the airplane for flight once manufacturing has been completed. - To maintain all basic working parts of the aircraft such as gear, servos, radio, control surfaces, control rods, weight box, wires, and basic engine maintenance (fuel, glow plugs, starter, ect.). - To ensure that the aircraft, once flying, performs appropriately. - To train or ensure training of any and all persons that are/will fly the aircraft. - To ensure all pilots of the aircraft have a valid and current AMA license.
3. No one person shall be eligible to hold two officer positions simultaneously.
4. In the event of the failure of the President to assume his duties within ten days after the beginning of the new term, or his withdrawal from school, or inability to perform his duties for any other reason, the Vice-President shall assume the duties of the President and a new Vice-President shall be elected from the eligible members at the next meeting.
5. In the event of permanent absence of both the President and Vice-President to carry on their duties, the Secretary shall preside interim. The position is then declared vacant, and new members shall be elected.
6. Vacancy; In the event of an absence of an officer member or a position is declared vacant, the position shall be declared vacant, and a new officer shall be elected from eligible members within the organization. This will be done at the next meeting.
7. Only the president, or agreements of all board members are allowed to declare a position vacant. The position must also not be currently occupied.
6 Article VI Elections:
1. Elections will be held yearly at a general meeting as to allow all ASAE members in good standing an opportunity to vote.
2. The date and time of election is to be chosen by the Executive Board.
3. Persons eligible for running for a position must be appointed by at least one member, and seconded by another member of ASAE. Positions to be elected are that of all officer positions, and that of the faculty advisor.
4. Persons elected must be done so by a majority vote of those present at the time of the election. An opportunity must be given to everyone for attendance at elections.
5. Provisions for online voting for officers (if elected to do so) are to be chosen by the Executive Board.
6. A faculty advisor, once nominated, must accept his/her nomination before they can be elected.
Article VII Meetings:
1. All general interest meetings, and general member meetings are to occur at the discression of the executive board.
2. All meetings are open to all members, officers, and persons who wish to further inquire about ASAE. The president presides at all meetings.
3. The Executive Board must meet at a minimum of once per month to discuss the direction of the group. All e-board meetings must have an adjenda prepared.
4. An adjenda for all meetings will be prepared in advance. It is up to the discression of the president to adhere to that adjenda.
7 Article VIII Executive Board:
1. The Executive Board, or E-Board shall consist of all ASAE Officers: a. President b. Vice President c. Secretary d. Treasurer e. Chief Engineer f. Chief Manufacturer g. Chief Pilot
2. The duties of the E-Board are to determine the purpose, goals, and direction of ASAE. Additionally, the E-Board duties include but are not limited to: a. Financial Decisions b. Design Decisions c. Report and Presentation Decisions d. Continuity e. Disciplinary Actions f. Presidential Discression
3. A pre-approved adjenda will be prepared for every e-board in accordance with Article V Section 2.c.
Article IX Committees:
1. All committees are selected and approved by the executive board.
2. The purpose of each committee is to be outlined upon proposal and approval.
3. Committees shall consist of: a. Chairman or Head, appointed by the President or Vice-President b. Members selected by the Chairman. c. Members shall change at the discression of the chairman.
4. The Chairman of each committee is required to submit an informal report monthly about the progress of their committee.
5. Once the purpose of the committee is fulfilled, a final formal report must be filed to the executive board for review, the committee is sequentially dissolved.
8 Article X
Methods for Amending Constitution & By-Laws:
1. Only an appointed committee may amend the constitution.
2. Any amendments must be submitted to committee in written form before the deadline set by the committee.
3. Any member of ASAE may propose an amendment to the constitution.
4. All changes to the constitution must be made by a majority vote by present committee members.
5. Final copy must be submitted at the next E-board meeting after deadline for approval/ disapproval by majority vote of e-board members.
Article XI Definitions:
1. Good Standing a. Dues are current & Paid (unless honorary member) b. Meets attendance guidelines c. Conforms to SAE National and SLU conduct policies d. Does not attempt to intentionally hinder our effort to complete the plane, report, (or any other aspect), or to act in a way that intentionally takes us out of contention at competition. (I.E. sabotage) NOTE: Article XI section 1.d. does not apply to the pilot as long as he does not intentionally crash the plane at or before competition
2. Disciplinary Actions a. If a member violates any of the above they will lose good standing in SLU Aero Design SAE. If Sections 3 and 4 are violated the member may be asked to come before the e-board for a hearing. Depending on the nature of the incident and the decision of the e-board the member may face any of the following. i. Reinstatement of Good Standing ii. A period of Bad Standing iii. Being asked/told to leave the organization iv. Or an appropriate decision rendered by the e-board b. To regain Good standing one must make the best attempt possible to regain good standing, while there may not be an obvious way to do this, the e-board will be willing to help you if you discuss it with them, and together a Fair and equitable solution will be reached.
