SOUTHWEST SOCCER MEMBERSHIP CRITERIA

AS OF DECEMBER, 1997

. Each Club must annually register with Southwest Soccer, in accordance with Southwest Soccer and Soccer Published Rules. The Annual Membership Fee, as approved yearly by the Membership, is due on or before the Southwest Soccer’s Annual General Meeting or, in the case of a new Club, prior to the commence of their season.

. When registering, a Club must provide the following information: a. The address, telephone number, fax number and e-mail address (if applicable) of the Club;

b. The name, address, telephone number(s), fax number (if applicable) of each member of the Club’s Board of Directors and their position in the Club;

c. A copy of the Club’s last published Constitution plus copies of any amendments approved since its’ last publication;

d. A Financial Statement (audited if available) of the Club’s last completed fiscal year; and

e. Other information, as required by the District.

. A Club shall only affiliate with the one District Association within which it has located its’ headquarters.

. A Club shall register all its outdoor and indoor players and team officials on the appropriate registration forms, or in the Ontario Soccer’s registration program.

Roll Call 1.0 Roll Call was conducted by the League Administrator. Quorum was met with the total eligible votes being 14,090.

Adoption of Minutes of the 2019 Annual General Meeting

2.0 No Errors or omissions were reported. Moved by Southwest Referees Association and seconded by Owen Sound to adopt the minutes of the 2018 Annual General Meeting. All in favour. Motion was carried.

Presidents Address  Guests announced and thanked for attending.  Thanked Dan and the staff for the work they do every year. Recognized Dan as a valuable resource at Ontario Soccer; welcomed Martha’s experience due to her involvement with soccer organizations for many years and Becky’s enthusiasm and knowledge of the game; and Nicole, who helped with the district league, currently assisting with the Futsal league as well as she is currently assisting a member club.  Through a student program, we hired Nicole Lyon who worked up well.  A year has passed since the introduction of the new branding. Good comments received.  Men’s and women’s leagues running well. Still struggling with U21 division.  Having central assignors in the district league helped with match officials’ development and took 3.0 away the pressure of assigning match officials from the clubs.  Still facing challenges with the grassroots programs, we still think “teams” vs “players”.  Ontario Soccer’s structure changed from a representative based board to a skills based board. Gone through growing pains with the District Presidents Forum which represents the 22 districts and is responsible for game related issues. Michelle Kropp was appointed to the last District President Forum meeting.  Southwest continued to host the Regional Championship but will take a 2-year break in 2020 and 2021 due to the Nationals coming to the Region.  Along with Kitchener Soccer and Waterloo Minor Soccer, Southwest Soccer will host the U15’s National Championships in October 2020. An opportunity for two of our bigger clubs to work together as well as an opportunity for players, coaches, and match officials in our district. If there is an odd number of teams, the host province gets to add another team; therefore, there might be two Ontario teams playing in the Nationals.

 OPDL Waterloo Minor Soccer and Cambridge Youth Soccer had teams in the u13 and u14 age groups this past season. For players to develop and move on, we need to recognize the clubs that support OPDL for the effort they put into developing players, not necessarily teams.  Waterloo Minor Soccer will have U21 Reserve men’s and women’s teams in League 1. Kudos to Waterloo Minor Soccer for this big step that breaks the gap between youth and senior players  CPL great start of the season for Forge FC, coming in as Champs. York 9 FC did well too.  Match Officials - Lowell and Marlene are currently working with the Club Head Referees trying to establish standards for clubs. Three Match Officials went into the RUG Program; the grad list is not released yet. Unfortunately, still we tend to lose referees due to abuse from players, parents, coaches even at the high level. The abuse from the sidelines is getting worst every year. Without a MO there isn’t a game. Quebec has a zero tolerance system.  In the future, will work on senior competitive teams and leagues to bridge the gap between youth and senior soccer.  Pilar Anderson, Laszlo Sarkany and Jim Bainbridge could not attend the meeting. Jim Bainbridge decided not to run for a position this year. Therefore, there has been a change in the Discipline Chair position, Sandy Wilson graciously offered to be our Discipline Chair. This is my third term as President and this will be likely the last year in this position with the district.

-President: The President’s Award is a new award this year and it is given to a person chosen by the President. Shayne Campbell has given relentlessly to the sport, has assisted many clubs. He truly believes and represents the player’s pathway, recommending players to OPDL clubs at the jeopardy of his club’s teams and its impact. He has worked with houseleague teams and players, making them love the sport with a passion. He also coaches at the university level and has taken the team to National Championships. Shayne Campbell is not present and Guelph Soccer’s Delegate, Sara Orrell, will receive the award on his behalf.

Questions/Comments from the floor: -South West Soccer Referees’ Association: An observation that touches on what you said about 4.0 rambunctious fans; noticed that there is a spike in the ejections. Showing a trend. -President: It is a two-fold. Behavior is not being tolerated as much. Newer match officials are being trained more on “advise, warn, remove”. We need to put an effort in this area and support especially young youth referees. -South West Soccer Referees’ Association: A request for next year, to include totals of discipline cases and results - no details, just numbers. -President: The stats are significant; no need to go into discipline and use it as a measurement stake. -South West Soccer Referees’ Association: It is a year to year trend, it can show the good or bad. -Banat: Jim’s report shows the trend going in a bad direction.

Jeff Hughes, Director at Large

Changes made in the Kick Off Cup in the regional league to avoid last year’s problems with the weather and hotel bookings. The number of venues was extended and included turf fields which increased the cost of it. Everyone agreed on keeping the same format and time of the year (pre-season). It was a great success, thanks to the teams that came out. Encouraged clubs to consider hosting this great event; it is competitive, but also it has a meet and greet aspect as well. The Southwest Soccer teams had strong showings in the league again this year. Three teams went onto the Regional Championships and one of them won the Championships, which is a great success. The competitive level is changing, it is stronger and more consistent across the board. Congratulations to all that end up having success in it.

Michelle Kropp, Director at Large

In the Strategic Plan, enjoyed meeting district clubs last year. Received good response and information (total of 106 responses) from the membership. The Strategic Plan will be released this month and posted as soon as it is approved by the Board.

In the summer, conducted screening interviews for the Match Officials mentorship program for Ontario Soccer. Heard firsthand what they go through. This Ontario Soccer program is still in the pilot stage moving into the full implementation and it is a positive thing because there will be better support for match officials, especially with the younger ones who are going to feel more comfortable with the zero tolerance policy.

In October, went to the District Presidents Forum as the Southwest Representative. Talked about academies, OSCAR, SAAS fees, changes to operational procedures, but our main focus was SportsEngine and OSCAR. There is a dispute on how we are collecting the SAAS fees. Initially, it was supposed to be collected from the registrants at the time of the registration, but this was not possible because some clubs are using other registration systems and that will lead to migrating data from those systems into OSCAR; therefore, in April 2019, the districts were asked to collect the fees from the clubs.

Because districts had to collect the SAAS fee and remit it to Ontario Soccer, some districts took the position that it is a membership fee therefore, required approval by the membership of Ontario and took

P a g e | 10 the position of refusing to pay it. To us, this could lead to some litigation aspect if some districts do not pay. At the end of October, Southwest Soccer received an invoice. Southwest had collected the fees from the membership, held the funds in trust and decided to pay, but negotiated a release from Ontario Soccer where they agreed that if there is any litigation against any of the districts, Southwest will not be sued by Ontario Soccer. This release was signed last week. Southwest decided to pay for many reasons one being the risk of not paying, was great. Districts and individual clubs might be sued and placed in not in good standing. A full day of mediation with Ontario Soccer took place on Thursday. 19 districts agreed to the mediation and 2 thought it was not necessary. The District Presidents Forum chose three Representatives and I was fortunate to be one of them and be involved in the mediation. The mediation was attended by three representatives from Ontario Soccer, the three appointed District President Forum representatives and a mediator from the Sports Disputes Resolution Centre of . Details cannot be disclosed, but reached an agreement. Today Ontario Soccer is having a board meeting where they are going to review this agreement tentatively reached and hopefully it is approved and by the District President Forum as well. Once approved it will be released to the membership.

Questions/ comments from the floor:

-Puslinch: What was your main concern about OSCAR? -Michelle: The functionality of the system and the way the fees were collected. Are you asking about anything specific? -Puslinch: No. Was it the way they were collecting? Or was it the amount being collected? -President: Partly was how the fee was collected and the fee collected based on what was delivered. It all started because it was supposed to be an end user fee when registering online, but SportsEngine was unable to do that. The contract was between SportsEngine and Ontario Soccer and because of confidentiality, we were not privileged to see it. The bill was coming from SportsEngine and if it was not paid; there was going to be likely a lawsuit against Ontario Soccer. There has been some information that was discussed at the District Presidents Forum divulged in an unofficial manner to other people outside their districts. This information should have not been released until the minutes of the meeting were approved. Some of this information was not true or has not been approved or accepted i.e. a membership fee increase. A membership fee will not come out within a cycle i.e. if Ontario Soccer decides to implement a fee increase today at the Board Meeting, it will not be effective until the summer of 2021. We collected from the clubs and paid it. Some districts, if they don’t pay, their teams could be pulled from indoor and outdoor leagues. We wanted to secure that your players were not affected. -Michelle: The main concerns were how the fee were collected and the timing. Some clubs did not have enough notice to collect this $3.10 fee from every player.

Administrator’s Report

Key Items:  Hosted over 30 events, range from coaching clinics to match official programming, Ontario Cup, Regionals. Thanks to Becky’s efforts.  Branding implemented in a lot of our equipment and products to get it out there.  Continued with the League Coordinator hiring, which is through Service Canada. Few changes to the program were made, now it is not necessarily a student program. We were able to bring Nicole in and she attended grassroots league games to observe and report based on parents’ conduct, Match Officials, competitive level of the game, etc.  David Forsyth Cup is a senior competition for multiple leagues such as KDSL, TMSL (these two league have now combined). Becky formed an idea to open it up to any senior team registered in the district so any team from U21 and up, female or male, offered to enter. It was a positive event, enjoyed by all and hoping to expand by sending the notice in advance.  Focused on forming some sponsors and partners. Nothers, we renewed with them for 3 years, The Armoury provided us with some representation at some of our festivals for medical assistance, and Sports Link, who provided some gifts in kind and services and deals that were distributed to our membership. Forge FC, a positive partnership. We had draws throughout the year for every home game.  Member engagement through our Strategic Planning surveys, we could see that people want to have more input. We issued surveys to clubs and coaches, took the information received and used that to make decisions. In the district league, we opened opportunities for people to put forth league rule changes and compare it to what we received from our membership on the surveys.

New in 2020:  National Championships will be hosted in Kitchener/Waterloo.  There are recent changes with Academies. Received a memo regarding Ontario Registered Academies will have the opportunity to play in district leagues or in the OASL this year. For outdoor 2020, you might see academies participating in our district leagues.  Futsal was put together, worked closely with a few clubs to obtain the numbers to be able to operate. U9/u10 boys’ division was formed and it has just started. We are hoping to expand for next year.  As usual, we issued two scholarship awards: Julia Woodcock from Guelph Soccer and Joe Lemiux from Cambridge Youth Soccer. This is a successful program and we received lots of applications and it is great to see that many people moving forward with soccer out of the district.  Also we have an Administration Award to recognize clubs based on their level of accuracy and commitment to their administration. This year’s award goes to: Guelph Soccer.

Questions/Comments from the floor:

-Guelph Soccer: You mentioned academies, what are the timelines on communication to clubs on what is next? -General Manager: There is a decision to be made at the league level, regarding the league rules. After the first memo, there were some corrections made. Last week, there was a conference call to clarify that information. President: Our intention is to allow Academies to play in the district league level only. The Ontario Soccer working group hasn’t made the final decision yet, but they are asking that academies play in the district league and/or in the OASL. From talking to clubs, they want them on the same playing field. District Leagues and academies are on the same level. For 2021, we are looking at potentially academies be promoted into regional leagues but not for the summer of 2020. OASL is far from better than a district league and if clubs offer a better program at club level, players are going to stay vs going to an academy that is a for profit organization.

There is criteria on clubs as far as Match Official development; this is the area that we need to focus on, perhaps look at having an additional fee for academies within their registration fees as they are not

developing match officials, final details are being worked on. Perhaps we could put a working group together to help with the integration within our district. Is better to have academies playing at the same level rather than in this perceived upper league. GSC – my question was regarding timelines regarding when will we hear something else next? President – That is what we are looking at now. Dan has reached out to most of you and the majority is in favour of having them playing in same level, one league instead of excluding them. Some Academies did not want to be part of the system or follow the rules that you have to follow, and from talking to Gary Miller (OSA), some of those academies are not going to get an ORA status. -General Manager: In 2020, ORA is being administered through the districts just like any club, they will be submitting permits, registration through us, paying same fees as you; same playing field -Puslinch – how many academies are there? -General Manager: There are two that we are aware of that are members of ORA. -President: There is another one trying to sneak in but we have not received confirmation on it yet. I don’t know how or when the approvals are done by ORA, Gary would you know the answer? -Gary Miller (OSA): It is being looked at the Board level today. -President: We will know which are the academies registered in the ORA and if it is a Board level, we can have the list and send it out to you -Cambridge Youth: What will be the district position on Academies that currently exist in other districts, but operate in this district? -President: Academies must register where their main place of business is. -Gary Miller (OSA): Yes and also, they cannot expand onto other areas. -President – Academies playing here will have to register here. A couple of weeks ago it was not available, but registration has now open up and now we can see everybody that is registered and where they are; no more multiple registrations. -General Manager: Yes, this is one of the areas in OSCAR that keeps moving forward and give us more. We used to have that access with AIMS before and now we are back to having that access and be able to do part of our registration responsibilities. Our position is the same as yours on that; that rules has been there before and it is something that has to be monitor more. -Cambridge Youth Soccer: So Ontario Soccer will not allow an academy to play in two different districts? -General Manager: Not sure on the ORA approval process on that. Hope not. -Gary Miller (OSA): Yes, that is what I said.

Match Official Report -General Manager: This is from Lowell and Marlene. Accomplishments, what they focus on and the educational sessions.

Festival Tournaments and Ontario Cup Report -General Manager: We had seven tournaments and eleven festivals in our district. Thank you to hosting clubs. Ontario Cup slight decrease in the amount of participation in it – 36 youth teams, two U21 teams and four senior teams. The teams that reached the Quarter Finals were: -Kitchener: U13B, U13G and U17B -Rockwood: U15B -Cambridge Youth: U16B; and Stratford CT Men’s

Two financial statements were presented one ending Aug 31st 2019 (12 mth) and Sept 30th (1 mth – new year end). This last month coincides with what the league does in September to finish the operations of the regular season. -South West Referees’ Association: Ontario Cup Champions Nationals Support of $2000, curious what is it for? -Treasurer: What the district does is every time there is an Ontario Cup Champion that will require funding to travel to the Nationals Championship, it is a contribution from our district. -South West Referees’ Association: That is the answer I was hoping for. I encourage to increase that. Teams only have 2-3 weeks to raise approx. 40k. -Treasurer-Yes, Nationals is a big commitment. - President: We will keep that in mind.

12.0 Ontario Soccer Address to the Membership

Gary Miller, Ontario Soccer Director-Soccer Operations, addressed Southwest Soccer membership on the following topics taking place at the provincial and national levels that affect you:  Provincial Strategic Plan – Focus on three main areas on the technical side: - New grassroots standards for U8 to U12 being developed by Canada Soccer. Similar to OS’s Matrix, but with some modifications/changes. Working on the final draft for 2020 and it will be finalized in 2021. - Futsal (only recognized FIFA indoor game) – Our job across the province is to help develop: o Futsal coaching through Canada Soccer. There will be new courses in 2020. o Match Official development is already happening in Ontario Soccer; and o Competition development, that means Futsal leagues for youth and senior, male and female. There is already a men’s team that competes in the National Futsal Championships; a provincial women’s team is needed as well. Long Term Officials Development (LTOD) – Focusing on the development of officials across the province. The key area is developing younger officials in the clubs, moving them to higher levels (provincial and national). Negative element is the abuse against young match officials, which removes them from the game. We need practices in place to stop this from happening and this is done through education within the clubs to technical leaders, match official leaders, and parents. We are losing far too many young officials from the game.  Canada Soccer making changes in the coaching development area - Children’s License U8 – U12 came out in 2019 and in 2020, Youth License U13-U17. Previous B and A Licenses will be targeted for senior players.  Canada Soccer Club Licensing as of 2019 – 4 levels based on Canada Soccer standards: - National Youth Club License – For OPDL organizations: CYSC and WMSC - Provincial Level 2 - Provincial Level 1 - Quality Soccer Provider

-Gary Miller (OSA): Each year Ontario Soccer hosts the soccer summit. In 2020, it will be in Hamilton on the third weekend in February. It attracts the top technical people and administrators of the world. It is a great opportunity for coaches, match officials, administrators to network and obtain information. -General Manager: Regarding the summit, the district drew 25 discount codes (75% off) for the 2020 Ontario Soccer Summit for coaches and match officials. Winners have 7 days to register, if not we will re-draw. It has been posted and winners notified. -South West Soccer Association: The communication was sent through email. -General Manager: Yes

President’s Report 2020 Ian Morrell, President

Well this has certainly proven to be a different season or “no season” as some have said. The 2020 season will be one that will be remembered for a long time and let’s hope the end is in site and we never have a repeat of this.

I would like to thank the staff and board for their time and efforts over the last season.

Dan continues to lead a strong team and is a pillar in our operation and is used a valuable resource for Ontario Soccer. Martha Astesiano and Rebecca (Becky) Sanzsole contribute their parts as well to make the office run. Marlene and Lowell have been valuable assets in our Match Official department and have kept the Match Officials busy over this long break of non- activity.

Covid 19 sure had an impact on us all, from shutting down the back part of our indoor season, cancelling our entire outdoor season, rescheduling the summer season I think no less than 3 times. We saw some clubs try and continue training as the return to play allowed for more contact. We saw some clubs shut down all together early and cancel their entire season.

With the government programs we were able to participate in, we are surviving and up to now have been able to keep staff employed waiting for the return to play to open up and be ready at a moment’s notice.

Our hosting of the U15 Canadian Nationals was cancelled and we have re-submitted to host in 2023. I have offered to chair that committee.

In April we also lost Michelle Kropp to the Sport Law and Strategy Group to pursue her professional career, a great move for Michelle for sure but a hard loss to our District. After our last AGM we did gain two great volunteers in Michelle Quin and Kerry Marin that stepped up as non-voting board members. Pat Bandura once again offered up his time as our Treasurer which is an appointed position. Pilar Anderson, Laszlo Sarkany, Jeff Hughes continued on the board as elected officials and deserve our appreciation also. Pilar has decided that she will not be running for the next term and we wish her all the best and thank her for her six years of service.

Ontario Soccer

Ontario Soccer was extremely hard hit with C19 and many staff have been laid off. Ontario Soccer was initially looking at a revised membership fee with a goal of making the indoor and outdoor season as one fee. There was a committee made up of financial people, clubs and Ontario Soccer staff to develop something that would work for all concerned. The one fee was deemed not feasible and instead a fee increase has been proposed for the first time since 2012. Not to worry this fee increase would not come into play until the season 2022. There is an SGM scheduled for the same day as our AGM to decide the outcome of this.

OSCAR Ontario Soccer has entered into a two-year partnership extension with SportsEngine Inc to allow Ontario Soccer to go through an RFP process for the Member Management Eco System.

OPDL OPDL would have ran for the 3rd season in South West, with Cambridge and Waterloo being Southwest Soccer’s only OPDL clubs.

League One Ontario League one would have run with two L1O reserve teams running out of Waterloo

CPL CPL debuted in Canada last summer. Congratulations to the Hamilton Forge FC for being crowned champs both in the inaugural year of the league and at this year’s Island Tournament. The Forge are in the CONCACAF Champions league in the quarter finals as of this print date

Match Officials MO Dept; Marlene Ford and Lowell Williamson are our Training and Development officers. We continue to focus on this area as we grow the game we also need to grow our match officials. Match Official development should come side by side player development. If we don’t have good Match Officials, we can’t have good games

The Future We will continue work with the senior competitive teams and leagues to bridge the gap between youth and senior and increase the number of higher level match officials within our district.

After 3 terms and 6 years as President and two years on the board before that, I am stepping aside so I wish you all the best in the seasons to come.

District League Director’s Report Pilar Anderson, Director

The Southwest District Soccer League had, like all soccer youth leagues in Ontario, to suspend the 2020 season due to COVID-19. This happened in March 2020. The district league serves U8 through U21 divisions and through much discussion with SWDSL working group, and following Ontario Soccer’s Return to Play guidelines, a 2020 Outdoor season was not possible.

On August 1st, 2020, the Southwest Soccer Board of Directors made the decision to shut down the Outdoor 2020 District League due to Phase 3 of Ontario Soccer’s Return to Play not being reached prior to the proposed kick-off date of August 24, 2020. All entry fees that were collected were refunded in full to clubs and academies.

There is much hope for a regular Outdoor season to commence in the spring of 2021. Discussions are being held with clubs to determine how best to accommodate players so they can enjoy soccer in a safe and fun environment.

2020 was certainly an unprecedented year in all aspects and as it played out we adjusted to the updates.

Somewhat early in the Covid-19 pandemic the WRSL Board discussed options and decided on a date to cancel the season if competition was not yet allowed by the health advisors and Ontario Soccer. July 15th came and went. There were plans to assist with facilitating games for teams that wanted to play even after the official season was cancelled, but the lifting of restrictions came, justifiably, slowly.

All registration fees were refunded. WRSL was still financially sound enough to still offer the player bursaries, something we felt was more needed now than ever.

The league is in good position to start play when permitted to do so. Placements by promotion and relegation going into 2020 will be rolled into 2021.

We will all be watching the progression and guidelines for return to play through coming months.

Director At Large Report Laszlo Sarkany, Director

It has been my deepest honour and pleasure serving our membership during 2020! It is an absolute understatement to suggest that it has been one of the most challenging in our lifetime – on and off the soccer field! We began our year with plans ‘as usual’, a very vibrant Soccer Summit in Hamilton, and hopes of hosting a national championship in October. All that was ‘not meant to be’. What we were required to do – and this has been my greatest pleasure this year – is to work together as a board to continue to serve our members in these incredibly volatile times.

This year it has been my honour to help the board, our staff, and members adapt to making decisions with very short time horizons, and under very unpredictable circumstances. It was also great to see how much everyone continued to adapt and try to enjoy the beautiful game with safety precautions in place and holding events virtually. I had the pleasure of attending a number of virtual match official sessions organized by our own Technical Officers, and at times, together with other districts as well. The quality of these sessions was very high! We were able to connect with officials not only across our district, our province, our nation, but globally as well. We connected with notable international match officials, Canadian national officials, we struck up a friendship with an official from the Netherlands, and hosted a talk by a match official from Spain who officiates in La Liga.

In sum, one of my greatest pleasures this year has been to see and participate in events and activities which brought people together. We proved to be very resilient, and we ensured that our members are served to the best of our ability. It is with this perspective and necessary attitude that I am looking forward to the next year and next season. Next year and next season will be successful as we will continue to work together and adapt to the circumstances we will be facing.

I thank you for your confidence in me, and I am looking forward to serve our members and our community in the coming year.

Administrators Report Daniel Rowe, General Manager

The 2019-20 year started off in a positive direction with a successful indoor season that was unfortunately cut short in March by the shutdown. As we have all experienced, Covid-19 has led to significant change in how we plan and operate. From mid-March until August the CORE facility inclusive of our office was closed. All staff worked solely from home during this time period with staff and board meeting virtually. Upon re-opening staff has returned to working in office on a rotating basis to limit contact due to proximity.

Although processing was limited with additional procedures in place we maintained solid turn- around times accounting for ID card development, travel permits, and exhibition game requests with an average of 0.31 days.

Southwest Soccer Hosted / Co-hosted Events:

Planning for many events and sessions occurred during the indoor season but did not come to fruition including additional coaching clinics, discipline certification, Ontario Cup, and the National Championships. We were able to complete some coaching clinics prior to March and continued on with virtual Match Official development.  Coaching Clinics x 4 o Learn to Train o Soccer for Life o MED x 2  Match Official Education Sessions x 15  Elite Match Official Group x 6

District League

2019-20 marked the first year of operating a futsal league. Registrations permitted a boys U9 and U10 division to run from November to March. We look forward to offering this opportunity once again when possible to expanded age divisions.

The district league conducted pre-season planning, registration, and scheduling prior to shut down. Upon shut down a small working group was formed to guide the leagues plan heading into the summer. The committee reconvened ‘mid-season’ to identify a final end date to commence league play and potential options to address a return to play in September or October.

Throughout the spring and summer staff worked to upkeep scheduling changes and maintain club communications addressing withdrawals. Registrations were refunded in full in August.

Return to Play permitted inter-club competition with restrictions in September. The league in coordination with participating clubs arranged a schedule of games for late September and October.

Throughout the 2020 year we have made use of all available subsidies to our organization inclusive of the Canada Emergency Bank Account (CEBA) and Canada Emergency Wage Subsidy (CEWS). We will continue to make use of these programs while available to us with the addition of the Canada Emergency Rent Subsidy (CERS).

I would like to take this opportunity to thank Martha and Becky for their hard work, flexibility and dedication to Southwest Soccer’s operations during 2019-20. In addition, thank you to our member Club/League administrators and volunteers for your ongoing commitment.

SOUTHWEST SOCCER CONSTITUTION As at January 8, 1996 Amended November 24, 2018

The By-Laws and Rules and Regulations deal with matters specific to the South-West Regional Soccer Association. Where there is a discrepancy between policies within and those of higher bodies, the policies of the governing body shall take precedence except where it is specifically noted that changes have been made to accommodate local concerns.

It is the right of the President/Chair of SWRSA to invoke the use of Roberts Rules of Order at his/her discretion during any meeting. (See 10.1)

ARTICLE 1: NAME

1.1 The name of the organization shall be the South-West Regional Soccer Association, hereinafter referred to as the District Association.

1.1.1 The District Association shall be a Member of the Ontario Soccer Association and shall follow the published rules of The OSA. The District Association is subject to the published rules in declining order of authority of the following governing organizations:

1. Canadian Soccer Association; 2. Ontario Soccer Association; and 3. The District Association.

ARTICLE 2: OBJECTIVES

2.1 The District Association shall have the following objectives:

 To promote, develop and administer the game of soccer, both indoor and outdoor, in the District.  To represent and act on behalf of The Ontario Soccer Association, hereinafter referred to as The OSA, in the administration of OSA programs within the District.  To represent and act on behalf of its Member organizations and assist them develop and effectively administer soccer programs that promote the development of the mental, physical, social, and leadership skills of their Members.

ARTICLE 3: HEAD OFFICES

3.1 The Head Office of the District Association shall be within the District boundaries of Waterloo, Wellington, Dufferin, Perth, and Grey Counties in the Province of Ontario.

ARTICLE 4: SEAL

4.1 The Seal, an impression of which is stamped in the By-Laws, shall be the Seal of the District Association. The Secretary / Administrator of the District Association shall have custody of the Seal.

ARTICLE 5: ORGANIZATION

5.1 The District Association shall be composed of members as hereinafter set out, and it shall be managed by a Board of Directors as stated in these By-Laws.

ARTICLE 6: MEMBERSHIPS

6.1 The District Association shall be composed of the following categories of Members:

6.1.1 Active Membership shall be open to Clubs that meet the following criteria:

 are properly constituted soccer clubs  have their headquarters in the District  operate within defined boundaries as set out by the OSA or in the Rules & Regulations

All Clubs shall have a Constitution that meets the minimum requirements regarding a Club Constitution in accordance with the OSA published Model Constitution.

A Club which meets the OSA definition of:

 professional club which operates professional team(s) only  club which operates both professional and amateur teams  social club  service club  club operated by a municipality  club operated by a facility  club running a senior recreational league  for-profit club can apply in writing for an exemption from any minimum requirement for a Club Constitution, subject to the approval of the Board of Directors of the both the District Association and The OSA.

6.1.2 Associate Membership

Associate Membership which shall be open to such organizations as District Leagues, school, college and university leagues, and referee, coach and trainer Associations, and other soccer oriented bodies.

6.1.3 Life Membership.

The Board of Directors may confer a Life Membership upon a person.  Life Members are afforded all rights of Membership and shall have a voice but no vote at a general meeting of the District Association.  Life Membership cannot be conferred on an active member

ARTICLE 7: MEMBERSHIP FEES

7.1 Annual membership fees for each category of membership shall be established by a majority of votes present at a General Meeting of the District Association.

Except where mandated by The OSA published rules, the annual Membership fees shall be set by the Board of Directors and ratified by the Membership at a general meeting of the District Association.

ARTICLE 8: ANNUAL GENERAL MEETING

8.1.1 The Annual General Meeting of the District Association shall be held on or before December 31st of each year. All members shall receive sixty (60) days clear notice of the meeting date and fourteen (14) days clear notice of the time and location of the meeting

8.1.2 All proposed amendments to the By-Laws shall be forwarded in writing to the District Association no later than thirty (30) days prior to the Annual General Meeting.

8.1.3 Copies of the proposed amendments to the By-Laws shall be sent to all members not less than fourteen (14) days prior to the Annual General Meeting at which they will be considered.

8.1.4 Amendments to the By-Laws will require a two-thirds (2/3) majority of votes present at the Annual General Meeting, unless otherwise required by Corporation Laws.

8.1.5 The order of business at an Annual General Meeting shall be:

1. Roll Call 2. Minutes of the Previous AGM 3. Presidents Address 4. Committee Reports 5. Registrar’s Report 6. Treasurer’s Report and Financial Statements 7. Amendments to the Constitution 8. Auditor’s Report 9. Appointment of Auditors 10. Unfinished Business 11. Roll Call 12. Election of Board of Directors 13. New Business 14. Adjournment

ARTICLE 9: SPECIAL GENERAL MEETING

9.1 A Special General Meeting may be called by the Board of Directors by its own motion.

9.2 A Special General Meeting shall be called within thirty (30) days following the receipt of a written request by members representing not less than one-third (1/3) of the eligible votes.

9.3 All Members shall receive seven (7) days clear notice of the date, time and location of any Special General Meeting.

9.4 Only the business for which the Special General Meeting has been called will be dealt with.

ARTICLE 10: RULES OF ORDER

10.1 All meetings of the District Association shall be conducted in accordance with Robert’s Rules of Order insofar as they may apply.

ARTICLE 11: PRESIDING OFFICER

11.1 The President or his appointed Delegate shall preside at all General Meetings of the District Association, and in his absence the Vice-President shall take the chair. The absence of both of these officers shall require the selection by the Board of Directors of a pro tem Presiding Officer.

ARTICLE 12: QUORUMS

12.1 A majority in terms of eligible votes of the Membership shall form a quorum at all General Meetings.

ARTICLE 13: VOTING

13.1 Those who shall be qualified to vote and take part at General Meetings of the District Association shall be the accredited delegates of organizations in SWRSA’s membership.

13.1.1 The number of accredited delegates and the number of votes (14.1-3) allowed to active members shall be specified within the By-Laws.

13.2 Each active or associate member shall attend the annual general meeting as set out in the Bylaws as a single delegate or as a group of delegates. The names of the active member’s Representative and all delegates or alternates must be designated before or at registration on attendance at the annual general meeting and any meeting by written letter to SWRSA. For convenience, this form will be available.

13.2.1 Each active member or associate shall:

1. By written form or letter, accredit one delegate to stand as their Representative at the Annual General Meeting. 2. Be entitled to have all of its votes cast by this Representative, but not by any other member organization. 3. Understand that only the accredited Representative may speak for a Club. 4. Understand that voting entitlement cannot be passed from one active member to another active member except by proxy as set out in the Bylaws. 5. Member proxy from one active member to another member must be recorded at the District Office at least four days prior to any annual general meeting. A SWRSA Proxy Form must be used.

13.2.2 In the event the active or associate member’s representative must leave the Annual General Meeting, the representative may assign his/her voting privilege to a member-designated alternate from the member’s organization. This shall be done using the available form at the Recording Secretary’s desk.

13.3 At all meetings of the District Association, voting shall be BY SECRET BALLOT.

13.3.1 Decisions shall be reached by a simple majority (50% of the eligible votes + 1), unless otherwise required by the By-Laws of the District Association.

13.4 An appointed scrutinizer shall total the votes and report same to the Presiding Officer, who shall announce the results to the Assembly for record.

13.5 The President shall have a deciding vote only where there is a tie vote.

13.6 Members of the Board of Directors shall have a voice but shall not vote at any General Meeting.

13.7 Members of the Board of Directors may not sit as a voting delegate at any General Meeting.

ARTICLE 14: DELEGATES TO GENERAL MEETINGS

14.1 An Active Member of the Association shall be entitled to one (1) vote for each Forty dollars ($40), or part thereof, of registration fees retained by the District Association.

14.2 An Associate Member shall be entitled to one vote on any matter.

14.3 Each Life Member shall have no vote but may introduce and debate any matter deemed relevant to the business of the District Association.

ARTICLE 15: THE BOARD OF DIRECTORS

15.1 The business of the District Association shall be conducted by a Board of Directors comprised of: President, Vice- President and five Directors at Large.

15.2 The election of the Board of Directors shall be by SECRET BALLOT at the District Association’s Annual General Meeting. The position of Treasurer and Administrator shall be appointed by the Board of Directors.

15.3 No person shall be ACCLAIMED to any position. The nominee must obtain a simple majority of the votes.

ARTICLE 16: MEETINGS OF THE BOARD OF DIRECTORS

16.1 The Board of Directors shall meet not less than monthly at the call of the President. A majority of members shall form a quorum at all meetings.

ARTICLE 17: MEMBERS OF THE BOARD OF DIRECTORS

Executive Committee:

The Executive Committee will consist of the President, Vice President and an appointed Director. In order to be nominated for the position of President or Vice President, the nominee must have served one year on the Board within the previous two years. Should there be no individual meeting these criteria to fill the position of President or Vice President the current Board may make a recommendation to the membership.

17.1 The following shall be elected for a two (2) year term at the Annual General Meeting held in even-numbered years: President and three (3) Directors at Large.

17.2 The following shall be elected for a two (2) year term at the Annual General Meeting held in odd-numbered years: Vice-President and two (2) Directors at Large.

17.2.1 Nominations shall be forwarded, with the nominees signed consent, on a provided form to the District Association no later than thirty (30) days prior to the Annual General Meeting.

17.2.2 Received nominations shall be posted on the District website not less than fourteen (14) days prior to the Annual General Meeting.

17.2.3 Nominations from the floor will only be accepted under the following circumstances:

1. No valid nominations were received by the District Association.

2. All received valid nominations are withdrawn.

3. All received valid nominations were defeated by secret ballot vote at the AGM.

4. A received nomination is re-nominated for a subsequent position after having been defeated for the position for which they were nominated.

17.3 The President shall preside at all meetings of the District Association and he/she shall have a deciding vote only.

17.3.1 The President of the District Association shall be District Representative to The OSA unless the President declines the position or is removed from the position by a majority vote of the Board of Directors.

17.3.2 In the event the President declines, or is removed from, the District Representative position, the Board of Directors, by majority vote, shall elect one of its Board Members to the position. The term of office of the District Representative will be in accordance with the published rules of the OSA.

17.4 The Vice-President shall be the senior officer next to the President, and he/she shall preside at all meetings in the Presidents absence. He/she shall have such other duties as prescribed.

17.5 The Administrator shall be responsible for the duties as described in the job description and other duties as prescribed.

17.6 The Treasurer shall be responsible for the fiscal affairs of the District Association. He/she shall be bonded in an amount set by the Board of Directors and shall be a non-voting Board of Directors member.

17.7 The Administrator shall be responsible for all aspects of player registration and transfers, trial permits and shall be a non-voting Board of Directors member.

17.8 The Board of Directors Member shall vacate his/her seat temporarily when matters pertaining to, or appear to pertain to, his/her area of club affiliation are being discussed.

17.9 The Board of Directors Members shall have such duties as prescribed by the President.

17.10 The President and Vice-President must not be affiliated with any Club in Membership.

Proposed Addition: Article 17.11

17.11 To be a Director-at-Large, an individual must:

1. Be eighteen (18) years of age or older;

2. Not have been found incapable of managing property under the Substitute Decisions Act, 1992 or under the Mental Health Act;

3. Have the power under law to contract.

4. Have not been declared incapable by a court in Canada or in another country;

5. Not have the status of bankrupt;

6. Complete and pass a vulnerable sector check if required;

7. Complete and pass a criminal record check;

8. Not be a paid employee of Southwest Soccer, Ontario Soccer, any of its Members, or any affiliated league, club, academy or Canada Soccer;

9. Not be a consultant or contractor for Southwest Soccer, Ontario Soccer, any of its Members, or any affiliated league, club, academy or Canada Soccer;

10. Not be a member of a Judicial Body of Southwest Soccer, Ontario Soccer, any of its Members, or any affiliated league, club, academy, or Canada Soccer;

11. Not hold a position as a Director or Officer of a Member, or any affiliated league, club, academy or Canada Soccer if an existing Southwest Soccer Director is also a Director or Officer for the same member organization.

12. Comply with the above sub-sections 8 – 11 within sixty (60) days after assuming a position as a Director

ARTICLE 18: Power of the Board of Directors

18.1 The Board of Directors of SWRSA is hereby authorized from time to time:

1. To borrow money upon the credit SWRSA in such amounts and on such terms as may be deemed expedient by obtaining loans or advances or by way of overdraft or otherwise;

2. To issue debentures or other securities of SWRSA;

3. To pledge or sell such debentures or other securities for such sums and at such prices as may be deemed expedient;

4. To mortgage, hypothecate, charge or pledge or give security in any manner whatever upon, all or any of the property, real and personal, immovable and moveable, undertaking and rights of SWRSA, present and future, to secure any debentures or other securities of the liability of SWRSA, present or future;

5. To delegate to such Officer(s) or staff of SWRSA as the Directors may determine and approve all or any of the foregoing powers to such extent and in such manner as the Directors may determine.

6. If the board in one fiscal year would like to spend over $750,000 on one single purchase, the Board must call an SGM.

ARTICLE 19: VACANCIES / REMOVAL of Board of Directors’ Members

19.1 The Office of a Member of the Board of Directors shall be vacated upon:

19.1.1 Resignation in writing.

19.1.2 If he/she becomes incapable of performing the business of the District Association.

19.1.3 If he/she absents himself/herself from three (3) meetings of the District Association without notice in writing to the Meeting Secretary or for cause being: soccer-related business, job-related business or family-related business.

19.1.4 If he/she be removed by resolution of the District Association for good and sufficient cause.

19.2 Should a vacancy occur on the Board of Directors; the Board of Directors may appoint a person to fill the vacancy until the next Annual General Meeting.

ARTICLE 20: AUDITORS

20.1 The accounts of the District Association shall be audited annually, following the end of the fiscal year on September 30.

20.2 The Auditors shall be appointed by the delegates at the Annual General Meeting.

ARTICLE 21: STANDING COMMITTEES

21.1 The District Association may constitute such Committees as it deems necessary to ensure the efficient administration of its affairs, including;

21.1.1 Standing Committee on Soccer Development.

It shall be the duty of this Committee to be responsible for the development of players, coaches and referees at all levels of competition.

21.1.2 Standing Committee on Competition.

It shall be the duty of this committee to regulate all matters dealing with the establishing and maintaining of all cup competitions and tournaments coming under the jurisdiction of this Association.

21.1.3 Standing Committee on Appeal and Discipline.

It shall be the duty of this Committee to investigate the validity of all appeals made to this Association, and to hear all valid appeals and render a decision. The Committee shall investigate any complaints made respecting any member of the District Association who is alleged to be guilty of any misconduct. They shall render a decision after such investigation.

ARTICLE 22: OTHER REGULATIONS

22.1 The District Association may make such miscellaneous Rules and Regulations as may be deemed necessary to promote, develop and govern the game of soccer.

22.2 The District Association may impose such other regulatory measures as it deems necessary for the efficient administration of the playing structure of the game within its jurisdiction.

22.3 No such regulation may violate the individual’s rights and freedom, except as may be required to protect the rights and freedom of any other individual and ensure the stability of the basic structure of the game.

RULE 1. MEMBERSHIP

1.1 Active and Associate Membership

To remain in good standing, each active and associate Member shall:

1.1.1 Comply with the Constitution and By-Laws of the Association.

1.1.2 Remit all outstanding monies to this Association.

1.1.3 Notify the District Association of your Club's Annual General Meeting fourteen (14) days prior to its date.

1.1.4 File on a SWRSA form any change of its officers or of any change of address with the District Association, in writing, within fourteen (14) days of the change or after its Annual General Meeting whichever comes first.

1.1.5 File a copy of its financial statement with the Association, within fourteen (14) days after its Annual General Meeting subject to the following size test based on financial statements of the previous year:

Audited, as defined by the Canadian Institute of Chartered Accountants (CICA), by a public accountant if the Club’s annual gross revenue is greater than or equal to $150,000 or the Club has greater than or equal to 1000 registered players; or

Reviewed by Public Accountant, Certified General Accountant or a Certified Management Accountant through a Financial Review Engagement, as defined by CICA, if the Club’s annual gross revenue is less than $150,000 but greater than or equal to $100,000, or the Club has less than 1000 but greater than or equal to 500 registered players; or

Signed with a Notice to Reader prepared by a Public Accountant, Certified General Accountant or a Certified Management Accountant less than $100,000 but greater than or equal to $10,000.00.

Completed by the Treasurer or designate, if the Club’s annual gross revenue is less than $10,000.

NOTE: Clubs are still required to follow applicable legislation related to filing income tax returns. Incorporated Clubs are still required to follow audit guidelines in accordance with the legislation as outlined in the Corporations Act of Ontario which currently requires any Incorporated Club with income over $100,000 to perform an audit.

1.1.6 Apply for membership annually on a form provided by the District Association and received when registering indoor players or, if not registering indoor players, by the annual general meeting. A Late Penalty may be charged for any membership payment received late, that being after the annual general meeting. The club membership terminates on December 31 if the organization fails to submit its form for membership renewal or fails to provide the required membership renewal criteria. See Appendix B.

1.1.7 The application for membership must be accompanied by the required membership fee, together with a copy of the applicant’s constitution and a list of its current officers. The SWRSA membership year is September 01 to August 31.

1.1.8 Membership that is terminated due to failure to renew membership in accordance with this Policy by the date stipulated may be reinstated with the approval of the SWRSA Board of Directors after all membership renewal criteria is met.

1.2 Life Membership

1.2.1 Life Members shall be admitted from time to time at the discretion of the Association.

1.2.2 The admission of a Life Member shall require the affirmative vote of at least two-thirds (2/3) of the votes present at the Annual General Meeting of the District Association. No incumbent Officer of the District Association shall be eligible for nomination to Life Membership.

1.2.3 All Life Membership nominations shall be submitted in writing thirty (30) days prior to the Annual General Meeting. Nominations may be submitted by an Executive Board Member, or by an Active or Associate Member.

RULE 2. LEAGUE

2.1 Definition

A League is an organization operating with a Board of Directors.

2.2 Affiliation

Leagues shall affiliate with the District Association and be subject to the Constitution and By-Laws of the governing organization.

2.3 Requirements

All Leagues must register annually with SWRSA, in accordance with SWRSA and OSA Published Rules. The Annual Membership Fee, as approved yearly by the Membership, is due on or before the SWRSA Annual General Meeting or, in the case of a new League, prior to the commencement of their season. Any membership fee paid after December 31 of the current year may include an administrative fee. See Appendix B.

A League must establish its Membership Year in its By-Laws or Policies, that year being: 1. when its fiscal year begins and ends; 2. on which date(s) that all membership renewal must be completed (noting that a League may run two seasons and a club might not participate in both seasons); and 3. when league dues are due.

When registering annually, a League must provide the following information:

1. The address, telephone and fax numbers and e-mail address of the League; 2. The name, address, telephone number(s), fax number(s) and e-mail address of each member of the League’s Board of Directors and their position in the League; 3. A dated copy of the League’s last published Constitution plus copies of any amendments approved since its last publication; and 4. Other information as required by the District Association.

Notwithstanding Rule 2, final approval of a League will be based on the decision of the SWRSA Executive Committee, based on the provisions of Rule 2.3.

2.4 LEAGUE REGISTRATION LEVELS

L1-4 (on the Pyramid of Play) is governed by Provincial regulations (i.e. WOYSL, OYSL, OWSL, OSL).

Level 1 District League (playing at L5 on the Pyramid of Play). A Level 1 (L5) District league operates under the jurisdiction of the District Association, to provide League competition for officially registered Competitive Teams.

2.4.1 To maintain its affiliation in good standing, a league shall:

2.4.1.1 Hold its Annual Meeting on or before December 31 of each year.

2.4.1.2 File a copy of its Constitution and a list of its Elected and Appointed Officers with the District Association within fourteen (14) days of its Annual General Meeting.

2.4.1.3 File a copy of its financial statement with the Association within fourteen (14) days after its Annual General Meeting.

Statement Gross Revenue Criteria: Pick the financial situation that reflects your League situation:

Audited, as defined by the Canadian Institute of Chartered Accountants (CICA), by a public accountant if the Club’s annual gross revenue is greater than or equal to $150,000 or the Club has greater than or equal to 1000 registered players; or

2.4.1.4 A Level 1 (L5) District League shall not govern an area, but will control, for League purposes only, its member teams.

2.4.1.5 All players in a Level 1 (L5) District League must be registered as Competitive players on forms supplied by the District Association, except as hereinafter provided.

2.5 Level 2 (L6, L7) District League

A Level 2 (L6, L7) District League operates under the jurisdiction of the District Association to provide competition for officially registered Recreational Teams.

2.5.1 A Level 2 (L6, L7) District League shall register with the District Association, and shall be subject to the Constitution of the District Association.

2.5.2 To maintain its affiliation in good standing, a League shall:

2.5.2.1 Hold its Annual General Meeting on or before December 31 of each year.

2.5.2.4 A Level 2 District League shall not govern an area, but will control, for League operation purposes only, its member teams.

2.5.2.5 All players in a Level 2 District League must be registered as Recreational players on forms supplied by the District Association.

2.6 Membership in District League

2.6.1 Leagues participating in seasonal soccer may accept, pending SWRSA approval, an application to play in its league from a new club or a club from another District but cannot schedule their teams for play until SWRSA has approved the new club's membership and/or approved playing in application for an out of District club's team.

2.6.2 Leagues must advise SWRSA of any new club or out of District club application to play in its league within seven (7) days of receipt of the league application to allow for the SWRSA review process. SWRSA will review and make its decision within fourteen (14) days of receiving appropriate SWRSA applications and League approval. An administrative fine of $100 will be levied if no advance notice is received.

2.6.3 Leagues participating in seasonal soccer may accept, pending SWRSA approval, new teams of returning clubs, including those teams proposing team name changes but cannot schedule those team for play without SWRSA approval of the new teams or the team name change. Leagues must advise SWRSA of any new club team or team name change within seven (7) days of receipt of the application to allow for the SWRSA review process. SWRSA will review new team status or name changes and make its decision within fourteen (14) days of receiving appropriate SWRSA applications. An administrative fine of $100 will be levied if no advance notice is received.

2.6.4 Leagues must advise SWRSA of any teams from a different District applying to play into the league. Teams from out of district can not be accepted into the league until Playing In Approval has by processed by SWRSA.

2.6.5 In future, SWRSA may cap / control the number of new senior clubs it accepts into membership, as it caps youth clubs memberships. Moving toward multi-team clubs would be beneficial to the administration of the District, reduce financial losses (unpaid Discipline fines) and enhance the District-League relationship as they work together to develop soccer activity.

RULE 3. CLUB

3.1 Definition

A Youth Club is an organization operating four (4) or more teams under a common Board of Directors.

3.1.1 There shall be only one (1) Youth Club per community (i.e. Town, Village, City,) within the South-West Regional Soccer Association, with the exception of one Regional Youth Club.

Should a second Youth Club wish to operate in an area where an existing Youth Club operates, they have the right to Appeal to the general membership of the South-West Regional Soccer Association.

3.1.2 In any one season, a Mini or Youth Player registered to Club “A” may not deregister from Club “A” and register to Club “B” after April 1.

3.1.3 However, a player wishing to leave one club and play for another club after April 1 may request a TRANSFER. Fees payable include TRANSFER FEE AND REGISTRATION FEE. See Appendix B.

A Senior Club is an organization that may have multiple teams and has a Board of Directors.

3.1.4 SWRSA membership: a senior club must have an approved membership to play its team(s) in one or more SWRSA leagues where there is an appropriate level of play for the senior team.

3.1.5 A Senior club administers its teams through the club Registrar and one alternate contact. Teams cannot act as independent organizations and are registered and regulated through their club.

3.1.6 In any one season, all player registration is done through the Club Registrar and his/her alternate using a maximum of four registration appointments. Registration appointments required after the maximum limit will be charged a fee. See Appendix B.

3.2 Affiliation

Each Club shall affiliate with the District Association.

3.3 Requirements

Each Club must annually register with SWRSA, in accordance with SWRSA and OSA Published Rules. The Annual Membership Fee, as approved yearly by the Membership, is due on or before the SWRSA Annual General Meeting or, in the case of a new Club, prior to the commencement of their season. See Appendix B.

A Club must establish its Membership Year in its By-Laws or Policies, that year being:

1. when its fiscal year begins and ends; 2. on which date(s) that all membership renewal must be completed (noting that a League may run two seasons and a club might not participate in both seasons); and 3. when dues are due.

When registering, a Club must provide the following information:

1. The address, telephone, fax numbers and e-mail address of the Club; 2. The name, address, telephone number(s), fax number(s) and e-mail address of each member of the Club’s Board of Directors and their position in the Club; 3. A copy of the Club’s last published Constitution plus copies of any amendments approved since its last publication; and 4. Other information as required by the District Association.

Notwithstanding Rule 3, final approval of a Club’s membership application will be based on the decision of the Executive Committee, based on the provisions of Rule 3.3. Any approval will be reported to the appropriate League within forty-eight (48) hours of approval.

3.3.1 All teams shall register the minimum number of players as per OSA Rules and Regulations.

3.3.2 A Senior Club shall register all its outdoor and indoor players and team officials on current, appropriate SWRSA registration forms and forward to SWRSA for registration in the OSA computer registration system in accordance with SWRSA timelines. A Youth Club shall register all its outdoor and indoor players and team officials on current, appropriate Youth Club registration forms that may or may not be revised to appropriately cover club criteria or by on line registration and ensure that all registration is inputted into the OSA computer registration system in accordance with SWRSA timelines. In all case, please adhere to the posted registration deadlines.

RULE 4. TEAM REGISTRATION CATEGORIES

4.1 Development (Competitive) Teams

Development Teams shall be composed entirely for Development (Competitively) Registered Players, except as provided for in current Ontario Soccer Association Rules and Regulations (Trial Games).

4.1.1 Development Teams may not participate in competitions conducted outside the jurisdictional area of the Association, except as permitted by the Association. Such permission, when requested in writing and seven (7) days in advance of the competition, shall not be unreasonably withheld.

4.1.2 The District Development Competitive U12 Team shall hold player tryouts by invitation. Youth club head coaches shall recommend those players that indicate through their tactical and technical skills to be above average players. The District Head Coach and his/her team will make all final decisions regarding player ability. There may be a player fee to play for this development team. Due to OSA implementation of L.T.P.D the U12 Development Program may be changed for the upcoming season.

4.2 Recreational Teams

Recreational teams shall be composed entirely of Recreational registered Players, except as provided for in current Ontario Soccer Association Rules and Regulations.

4.2.1 Recreational Registered Teams may not participate in competitions conducted outside the jurisdictional area of the Association (SWRSA), except as permitted by the Association. This permission/application is accessed through the OSA online data base as an official travel permit application and requires seven (7) days advance notice of the competition. Permission shall not be unreasonably withheld of all criteria is met.

4.2.2 Clubs are integral to SWRSA's strategic plan for developing District soccer, building and supporting District leagues and generally providing growth to SWRSA. Clubs contribute significantly by their participation in the District.

4.2.3 All youth clubs will host a vigorous house league from where it may develop youth recreational and competitive teams for appropriate leagues.

4.2.4 All recreational and competitive senior teams will register in SWRSA Leagues where a level of competition and appropriate division is available.

4.2.5 SWRSA will support tournament teams for only those senior clubs participating in a District league.

RULE 5. PLAYER/TEAM OFFICIAL REGISTRATION

5.1 General

Except as hereinafter provided, the Association shall administer player/team official registration, transfer and movement in accordance with current Ontario Soccer Association Rules and Regulations.

5.1.1 Any fees payable to the Ontario Soccer Association may be subject to an additional administrative charge, as determined by the SWRSA Board.

5.1.2 The Association may run Cup Competitions, which shall take precedence over all other competitions in the jurisdiction of the Association, except those arranged by the Ontario Soccer Association, or the Canadian Soccer Association.

5.1.3 In the case of a player being declared surplus by his/her Club a fee may be applied if the player is re- registered within fourteen (14) days of being declared surplus.

5.1.4 A Team Official may not register with another member Club as a Team Official for the same age division, or the next older age division, as they were last registered with in their previous club.

At the discretion of the District, the following exceptions may apply:

a) The Team Official has not been registered as a team official in the defined birth year for a period of two (2) consecutive years; b) The Team Official has moved his/her primary residence, to a location deeming registration with the original club unmanageable, within the preceding twelve-month period. c) The Team Official choosing to move obtains an official release duly signed by an authorized Club representative to coach the same or next older age division at a different club during the following season. d) The Club chose to release the Team Official. The releasing club must advise SWRSA of this fact in writing.

If such individual(s) wishes to appeal to the District Association on the basis of extraordinary circumstances, the appeal must be submitted in writing for consideration.

5.2 Registration Deadlines

5.2.1 Clubs with either: Mini, Youth, or Senior recreational players participating in a league involving other Clubs must register their teams with the minimum number of players, as per OSA Rule, seven (7) days prior to their first League game.

5.2.1.1 Schedule of Deadlines for L3-4, L5, L6, and L7 will be posted by the Leagues.

5.2.2 Clubs with either Mini or Youth Recreational players participating in a League not involving other Clubs must register their teams with the minimum number of players, as per OSA Rules, within (30) days from the commencement of their Leagues.

5.2.3 Clubs with either Mini, or Youth or Senior Competitive teams must register their teams with the minimum number of players, as per OSA Rule, seven (7) days prior to their first (1st) League game.

5.2.4 Teams participating in Indoor Soccer must register their players with the minimum number of players, as per OSA Rule, seven (7) days prior to their first (1st) League game.

5.2.5 Notwithstanding 5.2.1 and 5.2.4., in accordance with 22.2 of SWRSA's Constitution, SWRSA sets outdoor and indoor season minimum standards and deadline dates for registration criteria to facilitate administrative operating procedures as determined by the Board of Directors and circulated in the President's seasonal start up letter and as published on the SWRSA website.

RULE 6. COMPETITIONS

6.1 The South-West Regional Soccer Association shall actively support various forms of competitions as they are developed and played in SWRSA, and shall cause to be established and maintained, a set of SWRSA Operational Procedures to provide a stable structure for these types of competitions consistent with OSA standards.

6.1.2 An exhibition game is a game arranged between two teams of registered players with a registered Match Official, which is not a scheduled league game, play-off game, cup game, tournament game or festival game.

6.1.3 An exhibition game host must obtain district approval for the game to be deemed sanctioned.

6.1.4 Validated player registrations are required for all exhibition games.

6.1.5 To participate in competition hosted outside of district boundaries a district approved application to travel (ATF) is required.

6.1.6 To host a Tournament or Festival a Tournament Application Form (TAF) or Festival Application Form (FAF) must be submitted to the district and approved by the relative governing body.

RULE 7. DUTIES OF THE SWRSA BOARD of DIRECTORS

7.1 President

The President is responsible for all phases of the District Association’s business, and is accountable to the Membership and Executive Board.

 Preside at all meetings of the District Association.  Preside at all meetings of the SWRSA Board.  Act as spokesman for the District Association at all times, unless he/she otherwise delegates the responsibility.  Signing Officer.

7.2 Vice-President

The Vice-President shall assume the Presidential powers, either in the absence of, or under the instruction of the President.

 Undertake other duties as assigned by the President, or the SWRSA Board.  Signing Officer.

7.3 Administrator

 The Administrator shall give notice of all meetings to all parties.  Record accurately all business conducted at SWRSA Board, Annual and Special Meetings and produce minutes of same.  Generate and receive the correspondence of the District Association.  Undertake other duties as per his/her job description or as assigned by the SWRSA Board.  The SWRSA Board may appoint a Secretarial Assistant who will type and mail reports, the minutes of Board, General and Special Meetings and any further pertinent correspondence, on demand and within an allotted time span. The Secretarial Assistant may receive financial remuneration for his/her services. The remuneration for the Secretarial Assistant will be contained in future budgets.

7.3.1 Secretary/Administrator

 The Secretary/Administrator shall be responsible for ensuring that all valid amendments to the Constitution and By-Laws are included and put into print. The updated Constitution and By-Laws are to be distributed to all Clubs prior to the commencement of the outdoor playing season.

7.3.2 Registrar

 The Administrator may administer player registration, transfers, permits and other related OSA documentation as required.

7.4 Treasurer

The Treasurer is appointed by the current SWRSA Board of Directors. It is a non-voting position. The Treasurer shall record accurately the financial transactions of the Association. The Treasurer shall report as requested at Board, Annual General and Special Meetings.

In consultation with the SWRSA Board, the Treasurer will prepare an annual budget and present necessary information to the Auditors.

7.5 SWRSA Board of Directors

SWRSA Directors shall perform such duties as may be prescribed by the Board.

7.5.1 Honorariums for any Position or any Executive Director shall be decided at the Annual General Meeting of the District Association.

7.5.2 Any Paid Positions will be publically advertised and all applications reviewed by the Board of Directors before being filled. Level of certification is not the only criteria valued or applied in the selection process.

RULE 8. APPEALS

8.1 As per OSA Rules and Regulations.

RULE 9. AMENDMENTS TO THE CONSTITUION and/or BY LAWS (RULES AND REGULATIONS)

9.1 The SWRSA Constitution may ONLY be changed at the SWRSA AGM or by a majority request at a Special Meeting.

9.2 The Rules and Regulations may be changed at any time as deemed appropriate for the administration of SWRSA by the Board of Directors.

RULE 10. EXPENSE ALLOWANCE GUIDE

10.1 Members of the Board shall be entitled to a refund of all expenses incurred during the performance of Board duties.

10.2 Committee Chairmen and Committee members shall be entitled to a refund of all expenses incurred as Members of a Committee when those expenses have been incurred directly as a result of Committee work.

10.3 Before any major purchases over $1000 are approved, the Director must submit three (3) detailed quotes to the Treasurer.

10.4 Receipts must be provided to support all claims excepting:  Travel: 40¢/km and  SWRSA cell phone service reimbursement (flat rate): $25/month.  Any expenses for food will be paid at the current rate and must include receipts to be claimed. Breakfast $10.00; Lunch $12.00; Dinner $23.00. Note: the daily total must not exceed $45.00

RULE 11. DISCIPLINE

11.1 All discipline of players, clubs or team officials, and game officials reported for misconduct shall be under the control of the District Association, except as otherwise stipulated, with right of appeal to the Ontario Soccer Association.

11.1.1 All Discipline will be conducted where possible by Discipline by Review (DBR). Some cases, such as those involving physical assault of a game official, shall be handled as per the Rules and Regulations of the OSA.

11.1.2 Persons charged have the right to request a Discipline by Hearing (fees may be involved). These requests must be received in writing and cases will be heard according to communication received by the Discipline Coordinator. Those charged are entitled to one postponement of the scheduled hearing date. Fees are involved in Hearing proceedings. (See Appendix B)

11.2 Tournament Discipline Policy – All Discipline shall be subject to the OSA Discipline By Review (DBR) and heard by the Tournament Discipline Committee (TDC) provided by SWRSA.

11.3 OSA Policy 14.4.1 – Any registrant failing to pay a fine, fee or bond imposed by a Discipline Hearing / Review Panel shall be subject to an additional monetary penalty of $200.00 if the original fine, fee or bond is not received within 60 days. If still unpaid, shall be subject to suspension and shall remain under suspension until imposed penalty (plus the original fee, fine, bond) is paid. *

11.4 Tournament Discipline Policy – All Discipline shall be subject to the OSA Discipline By Review (DBR) and heard by the Tournament Discipline Committee (TDC) provided by SWRSA.

1. A player accumulating a 2nd Caution in a game (red card) or a team official ordered from the field of play shall be subject to the DBR system. The player or team official shall receive a suspension from the team’s next scheduled game. 2. A player receiving two yellow cards during the Tournament will be suspended from the next game. 3. A player red carded by the referee or a coach ejected will be suspended from the next game. The Tournament Discipline Committee will review the referee report and the appropriate suspension will be rendered in accordance with Discipline Section 9 – Tables 2-9 and Policy 14.0 (Standard Fees, Fines, Bonds and Penalties) from the Ontario Soccer Association’s Published Rules. 4. A player receiving two red cards during the tournament will be suspended from the tournament. 5. In the case of Referee Assault, the accused is immediately suspended from all soccer until the case is heard by the appropriate District Association. 6. If a team official or player is ejected from the final game, the discipline report will be sent to their District Association for processing. 7. Tournament Discipline is done by Decision By review (DBR).

8. A Decision By Review (DBR) decision can be appealed, in writing, under the following 4 appeals criteria, within 45 minutes after a Decision has been rendered, and accompanied by $100.00 cash fee. The fee is refunded if the appeal is successful.

Appeals Criteria:

 New Facts (that did not exist when Hearing was convened or could not be found via due diligence);  Procedural Errors (exact errors with reference to the Published Rules);  Incorrect Interpretation of the Published Rules (which rules and rationale); and / or Excessive Fine, Fee, Bond or Penalty (state why excessive). *

11.5 Discipline Summaries – All clubs or leagues must submit to the district a completed Discipline Summary, on a form provided by SWRSA, within 14 days of the preceding months end.

11.5.1 SWRSA may request additional discipline information at any time to which clubs or leagues must provide to SWRSA within 7 days.

RULE 12: MONIES OWING

12.1 Clubs/Leagues: All monies owing to SWRSA shall be due and payable upon receipt of invoicing unless otherwise stipulated. Penalties for payment after 30 days shall be 2% per month or an amount established by the Board of Directors. Invoices aged more than 30 days will deem the Club/League to be a member not in good standing and all penalties shall apply including suspending club/league participation in all Soccer.

12.2 Players: All monies owing to SWRSA shall be due and payable upon receipt of notification of the Discipline Coordinator and/or by invoicing unless otherwise stipulated by written agreement of payment schedule by both parties. Penalties for payment after 30 days shall be 2% per month or an amount established by the Board of Directors. Default of payment or non- payment of invoices aged more than 30 days will deem the Player to be a member not in good standing and all penalties shall apply including suspending the Player’s participation in all Soccer.

RULE 13. Playing In and Out of District

13.1 Any club wishing to have a team play out to another district must submit a completed Playing Out Request Form to the SWRSA office for consideration. A late fee will be applied to applications received beyond the posted submission deadlines.

13.1.1 Clubs may apply to SWRSA for approval to play-out of district under one of the following two circumstances:

1. There is no SWRSA league for the team to play in; or 2. A Senior Team that has been granted playing out permission by SWRSA in any prior year.

13.1.2 A Club’s team will not be granted playing out permission unless deemed a suitable representative of the district based on, but not limited to, the following criteria:

1. The team has a satisfactory discipline record. 2. The team has not acted in any way that would serve to bring the District into disrepute while competing at out of district events.

3. The club and team have proven to meet financial obligations in a timely manner. 4. The club and team have a proven record of honoring commitments as shown through defaulted games, completion of league and cup competitions, and attendance at entered events.

13.1.3 Applications to play out into a neighbouring districts Local League shall not be subject to an application fee. A late fee will be applied to applications received beyond the posted submission deadlines.

13.2 A team from a neighbouring district may apply to play into SWRSA provided: 1. The club and team has registered with their own District Association; 2. The clubs District provides a validated playing out approval to SWRSA 3. The team agrees to abide by all SWRSA Rules and Procedures.

RULE 14. COMMUNICATIONS

14.1 Club and League Start-Up Meetings All Youth Clubs and Leagues must advise SWRSA of their general meetings at least 30 days prior to the meeting. A minimum of one SWRSA Director shall, to the best of the Board’s ability, attend each start up meeting.

RULE 15. MATTERS NOT INCLUDED

15.1 All matters not included shall be judged in accordance with the Constitution of the Ontario Soccer Association.

15.2 The District Association will establish a penalty for cheques that are not honored. This penalty shall be paid to the District Association. The amount of the penalty is assigned in Appendix B and shall be in effect for the current year.

L7 Mini/Youth Leagues within SWRSA

1. SWRSA L7 multi-club house leagues are established for the enjoyment of youth clubs that do not have a player constituency to support their own vigorous house league.

2. SWRSA L7 multi-club house leagues must operate under a Constitution and Board of Directors in consideration of their approved membership application and membership fee establishing the League.

3. An L7 house league must report its outdoor league membership to SWRSA by April 15 so that SWRSA can advise each club of requirements re team roster and any playing in documents/fees required by April 15. A fee for late filing may be applied after April 15. See Appendix B.

4. SWRSA L7 leagues may only host mini and/or youth house league teams.

5. An L7 house league must renew its SWRSA membership annually per the standing criteria of all leagues by SWRSA’s Constitution.

L7 League: Member Clubs with Teams Participating in the League

1. A league member club must register its L7 team(s) with the L7 league by April 15.

2. The team’s initial 11 players must be OSA registered and the team’s roster received by SWRSA by April 30 or the league startup date, whichever comes first. In all cases, the team must be OSA registered before it plays its 1st game. Further registration can take place until the league deadline. A fee for late filing may be applied after April 15. See Appendix B.

NOTE: Where any club has insufficient players to form a house league, (where an insufficient number/ minimum number of players are registered to form an L7 league), pending approval by all clubs participating, players may register to another club or these clubs may ask SWRSA to establish a District L7 league in which all clubs may play.

2020 SOUTHWEST SOCCER SCHOLARSHIP WINNERS

Lukas Bena started as a player at age 7 at Cambridge Youth SC and then moved on to Guelph SC at age 15 where he has been a captain of his team for the past 2 years. Since age 13, Lukas has been officiating at all levels of soccer, including Futsal. He also became a coach at age 14 and is currently coaching tiny tots and Futsal. Lukas has been an honor roll student at Preston High School and a member of the Athletic Council every year. Lukas has volunteered in the school and his local community at various youth programs and sports events and taught English to kids in the Czech Republic. Recently, Lukas has been admitted to the University of Guelph in the Mechanical Engineer program. Southwest Soccer congratulates Lukas and wishes success in his studies and future endeavors.

Nikolina Lesic has been playing soccer for Kitchener SC since she was 4 years old and captain of her team for the past 6 years. Throughout her school years, Nikolina has been involved in different sports becoming part of the varsity soccer, badminton, and volleyball teams in the past 3 years. She has been in the honor roll in all four years of high school and a recipient of several academic and sports awards and also has volunteered in her local community at sport and church events. Now that she has enrolled in the Wilfrid Laurier University to study Business Administration, she has also joined the Laurier Women’s soccer team. Southwest Soccer congratulates Nikolina and wishes success in her studies and future endeavors.
