SOCIETE GENERALE VISA TERMS AND CONDITIONS

The Terms and Conditions form the contract between the Cardholder and (herein after referred to as 'the ’) in respect of the use of the Cardholder’s Visa Debit Card. The Cardholder shall be deemed to have unconditionally agreed to and accepted the Terms and Conditions by signing the Visa Debit Card Application form, The Account Opening form, acknowledging receipt of the Visa Debit Card in writing, by signing on the reverse of the Visa Debit Card, by performing a transaction with the Visa Debit Card, by requesting activation of the Visa Debit Card from the Bank’s Call Centre or Branch or after 10 days have elapsed since the Visa Debit Card was dispatched to the Cardholder’s address on record. By accepting and/or using the Visa Debit Card, the Cardholder unconditionally accepts all the following terms and conditions and accepts the onus and liability for ensuring compliance with the relevant foreign exchange laws, and generally the laws of Ghana as applicable.

The Terms and Conditions will be in addition to and not in derogation of the General Account Terms and Conditions relating to any Account of the Cardholder. The Visa Debit Card is only available to persons over the age of eighteen(18) years and who are of full legal capacity in all other respects. The Bank will issue a Visa Debit Card only if the Cardholder has completed an application form, which form has been accepted by the Bank, or if the Bank at its discretion is replacing or renewing a Visa Debit Card. The Cardholder attests that the information provided to the Bank is correct. The Cardholder hereby authorizes the Bank to verify information provided from whatever sources the Bank may consider appropriate for its own purposes. The Visa Debit Card is nontransferable by the Cardholder under any circumstances.

The Bank may decline a Cardholder’s application for a Visa Debit Card without assigning any reasons.

If more than one person and/or entity signs the Bank’s Visa Debit Card application forms and agrees to be bound by these terms and conditions, the obligation and liabilities of such persons hereunder will be joint and several and, as the context may require, words herein denoting the singular only will be deemed to include the plural. Any notice hereunder to any one such person and/or entity will be deemed effective notification to all such persons and/or entities.

1. THE VISA DEBIT CARD

The Visa Debit Card belongs solely to the Bank. The Bank or any authorized officer, servant, employee, associate or agent of the Bank may retain the Visa Debit Card, require the Cardholder to return the Visa Debit Card or suspend the use of the Visa Debit Card at any time in its absolute discretion and the Bank shall not be liable for any loss suffered by the Cardholder as a result thereof.

The Visa Debit Card has a validity period and an expiry date and is valid until the last day of the month shown on it and must not be used outside that period or if the Bank has required by notice in writing to the Cardholder that it be returned to the Bank. When the period of validity of a Visa Debit Card expires it must be destroyed by cutting it in half through the magnetic strip.

The Bank reserves the right to automatically renew the expired Visa Debit Card based on the activity of the account and use of the Visa Debit Card.

The Cardholder will sign the Visa Debit Card in ink as soon as it is received and not use an unsigned Visa Debit Card. The Cardholder must take all reasonable precautions to prevent unauthorized use of the Visa Debit Card, including, not allowing anyone else to use the Visa Debit Card. If the Visa Debit Card is lost or stolen the Cardholder shall immediately notify the Bank by telephoning the call center number indicated at the back of the Visa Debit Card or contact the nearest branch and confirm communication in writing within 7 days of a telephone call. The Cardholder will be responsible for all transactions effected by use of the Visa Debit Card until such notification is received by the Bank. The Bank will debit the Cardholder’s Account with any cost incurred in issuing a replacement Debit Visa Debit Card. If the Visa Debit Card is found after the Bank has been given notice of its loss or theft the Cardholder must not continue its usage. The Visa Debit Card must be cut in half through the magnetic strip and returned to the Bank immediately. A replacement Visa Debit Card may be issued to the Cardholder at cost to the Cardholder.

2. The PIN

The Bank will allocate a Personal Identification Number (PIN) to the Cardholder. The Cardholder may change the allocated PIN to any 4 digit number at the Bank’s Automated Teller Machines (herein after referred to as 'ATM’) if the Cardholder prefers. In instances when the PIN is forgotten, the Cardholder must request a new PIN at any Societe Generale Ghana Branch subject to fulfilling all Know Your Customer (KYC) requirements.

If the Cardholder chooses his/her own PIN, he/she should not select a PIN that is easily identified or identifiable with him/her, e.g. birth date, car registration number, or repeated numbers etc. The Cardholder should not write or indicate the PIN on the Visa Debit Card or on any other item the Cardholder carries or stores.

The security of the PIN is very important. Under no circumstances should the Cardholder disclose the PIN to anybody, including family members, business colleagues, staff of the Bank etc. The Bank will not accept any liability should the PIN be disclosed to anyone. If the Cardholder fails to observe any of the security requirements, the Cardholder shall incur all liability(ies) for unauthorized use. The Bank shall not be held liable.

3. TRANSACTIONS The Cardholder may use the Visa Debit Card in conjunction with the PIN to withdraw money or undertake a transaction from automated teller machines (ATM) which accept the Visa Debit Card when they are operating. The amount of money so withdrawn shall be debited to the Cardholder’s Account.

The Cardholder may use the Visa Debit Card in conjunction with the PIN to pay for goods and services by using a Visa Debit Card operated machine or point of sale at retailers or suppliers worldwide who offer this facility. The Bank will debit to the Account the amount of any Transaction authorized in this way.

The Cardholder may use the Visa Debit Card in conjunction with the Password or without (subject to the merchant’s requirements) to pay for goods and services online via an E-commerce functionality at retailers or suppliers worldwide who offer this facility. The Bank will debit to the Account the amount of any Transaction authorized in this way.

All fees, charges related to transactions done by the Cardholder at these devices, as determined by us from time to time will be recovered by a debit to the Cardholder’s account. The Cardholder understands and agrees that such networks may provide different functionality, service offerings and different charges for different services and/or locations.

The Cardholder accepts full responsibility for all transactions processed by the use of the Visa Debit Card whether on Automated Teller Machine (ATM), Point of Sale (POS) Terminal, E-commerce or any other device available or otherwise. Any instruction given by means of the Visa Debit Card shall be irrevocable. The Cardholder shall, in all circumstances, accept full responsibility for the use of the Visa Debit Card, whether or not processed with the Cardholder’s knowledge or his authority, expressed or implied. The Cardholder hereby authorizes the Bank to debit the Cardholder’s account(s) with the amount(s) of any withdrawal or transfer or carry out any such instructions that may be received by the use of the Visa Debit Card in accordance with the Bank’s record of transactions.

The Cardholder’s obligations with respect to the accounts hereunder are payable solely at the Bank at the branch at which the account was opened by the Cardholder and are subject to the local laws (including, without limitation, any governmental acts, orders, decrees and regulations, including fiscal and exchange control regulations). The Bank shall not be liable for no availability of funds credited to the accounts due to restrictions on convertibility or transferability, requisitions, involuntary transfers, acts of war or civil strife or other similar or other causes beyond the Bank’s control, in which circumstance no other branch, subsidiary or affiliate of the Bank shall be responsible therefore.

The Bank, shall, at its sole discretion, at any time, without notice to the Cardholder, be entitled to withdraw, discontinue, cancel, suspend or terminate the facility to use the Visa Debit Card and/or services related to it, at an ATM/other devices within and/or outside Ghana and shall not be liable to the Cardholder for any loss or damage suffered by the Cardholder resulting in any way from such suspension or termination, etc.

If the Bank is asked to authorize a Transaction, the Bank may take into consideration any other Transactions which have been authorized but which have not been debited to the Account (and any other transactional activities upon the Account) the limits and if the Bank determines that there are or will be insufficient available funds in the Account to pay the amount that would be due in respect of such transaction, the Bank may in its own absolute discretion refuse to authorize such transaction, in which event such transaction will not be debited to the Account. The Bank shall not be liable for any loss resulting from any such refusal to authorize any transaction. In the event that there are insufficient funds available on the Account to pay any transaction or other amount payable from the Account, including any interest, fees, charges or other payments due to the Bank, the Bank reserves the right to set off overdrawn amounts against any credit lying in any of the Cardholder’s other accounts held jointly or singly, without giving any notice. Nothing in these terms and conditions shall affect the Bank’s right to setoff, transfer and apply monies at law or pursuant to any other agreement from time to time subsisting between the Bank and the Visa Debit Cardholder.

The Cardholder shall notify the Bank if the Cardholder’s address is changed, as soon as possible.

A transaction cannot be cancelled by the Cardholder after it has been completed. If the Visa Debit Card is to be issued to a corporate entity the Bank reserves the right to vary and/or add to these terms and conditions as it may in its discretion consider appropriate.

The Bank shall have the absolute discretion to amend or supplement any of the terms, features and benefits offered on the Visa Debit Card including, without limitation, changes which affect interest charges or rates and methods of calculation at any time. The Cardholder shall be liable for all charges incurred and all other obligations under these revised Terms until all the amounts under the Visa Debit Card are repaid in full. The Bank may communicate the amended Terms in any manner as decided by the Bank.

The Cardholder will be solely liable for all unauthorized acts and transactions. The Visa Debit Card may not be used as payment for an illegal purchase.

The Bank and its authorized agents reserve the right to ask for proof of identity if the Societe Generale Ghana VISA Debit Card is presented at a transaction point. This measure may be followed from time to time in order for the Bank to protect its esteemed customers against possible fraud.

The Bank shall not in any way be responsible for merchandise, merchandise warranty or services purchased, or availed of by the Cardholder from Merchant Establishments, including on account of delay in delivery, non-delivery, non-receipt of goods or receipt of defective goods by the Cardholder. The Visa Debit Card is purely a facility to the Cardholder to purchase goods and/or avail of services, the Bank holds out no warranty or makes no representation about quality, delivery or otherwise of the merchandise. Any dispute or claim regarding the merchandise must be resolved by the Cardholder with the Merchant Establishment. The existence of the claim or dispute shall not relieve the Cardholder of his/her obligation to pay all the Charges due to the Bank and the Cardholder agrees to pay promptly such charges. The Cardholder shall be responsible for regularly reviewing these Terms and Conditions including amendments thereto as may be advised from time to time and shall be deemed to have accepted any amended terms by continuing to use the Visa Debit Card.

The Bank shall not be responsible for any failure, malfunction or delay of any POST,ATM or its supporting or sharing network resulting from circumstances beyond the Bank’s control nor shall the Bank be liable for any damages, loss or expense which the Cardholder may suffer as a result thereof.

4. FEES AND CHARGES

In addition to the amount of all Transactions, certain charges will be debited to the Account as provided for herein. The Bank shall charge issuance, replacement, renewal, lost/stolen card and pin, uncollected cards, quarterly/annual/monthly fees and any other fee so determined to each Cardholder in accordance with the Bank’s schedule of fees from time to time in force. The fees for the Visa Debit Card will be debited to the Account linked with the Visa Debit Card at the Bank’s prevailing rate. The fees are not refundable.

The Bank reserves the right to charge an Optional Issuer Fee as a flat rate, a percentage of the transaction amount or both for all foreign transactions undertaken with the Bank’s Visa Debit Card. The fee is non-refundable and may change from time to time in line with the Bank’s policy.

There will be separate service charges levied for such facilities as may be announced by the Bank from time to time and deducted from the Cardholder’s Account.

In the case of transactions entered into by the Cardholder through the Visa Debit Card, the equivalent in the currency in which the Cardholder’s Account is held, along with processing charges, conversion charges, fees if any and other service charges for such transactions shall be debited to the Cardholder’s Account held at the Bank. The Cardholder authorizes the Bank to recover all charges related to the Visa Debit Card as determined by the Bank from time to time by debiting the Cardholder’s Account(s).

The Bank accepts no responsibility for any surcharge levied by any ATM Service or Merchant Establishment and debited to the Account linked with the Visa Debit Card with the Transaction amount. Any charge or other payment requisition received from a Merchant Establishment by the Bank for payment shall be conclusive proof that the charge recorded on such requisition was properly incurred at the Merchant Establishment for the amount and by the Cardholder using the Visa Debit Card referred to in that charge or other requisition, except where the Visa Debit Card has been lost, stolen or fraudulently misused, the burden of proof for which shall be on the Visa Debit Cardholder.

Any government charges, duty or debits, or tax payable as a result of the use of the Visa Debit Card shall be the Cardholder’s responsibility and if imposed upon the Bank (either directly or indirectly), the Bank shall debit such charges, duty or tax against the Cardholder’s Account. In addition, operators of Shared Networks may impose an additional charge for each use of their ATM/ POS Terminal/other device, and any such charge along with other applicable fees/charges will be deducted from the Cardholder’s Account.

Where the Account does not have sufficient funds to deduct such fees, the Bank reserves the right to deny any further Transactions. In case of Accounts classified as overdrawn Accounts, the Cardholder will have to rectify the Account balance position immediately. In every such situation where the Account becomes overdrawn, a flat charge could be levied in addition to the interest to be charged on the debit balance in the Account. This charge will be determined by the Bank and will be announced from time to time. In the event of an Account being overdrawn due to the Cardholder’s Visa Debit Card Transactions, the Bank reserves the right to setoff this amount against any credit lying from any of the Cardholder’s other Accounts held jointly or singularly without giving any notice.

The Bank reserves the right to deduct from the Cardholder’s Account a reasonable service charge and any expenses it incurs, including without limitation reasonable legal fees, due to legal action involving the Cardholder’s Visa Debit Card and dispatch fees related to transporting the Visa Debit Card and PIN to a location different from the Bank’s branches.

The Cardholder commits to accept the Bank's receipt of withdrawals and transactions as conclusive.

Nothing in the Terms shall affect the Bank’s right of setoff, transfer and application of monies at law or pursuant to any other agreement from time to time subsisting between the Bank and Visa Debit Cardholder. The Cardholder also authorizes the Bank to deduct from his Account, and indemnifies the Bank against any expenses it may incur in collecting money owed to it by the Cardholder in connection with the Visa Debit Card. (including without limitation reasonable legal fees).

The Bank may, at its discretion levy penal charges for non-maintenance of the minimum balance. In addition to the minimum balance stipulation the Bank may levy service and other charges for use of the Visa Debit Card, which will be notified to the Cardholder from time to time.

All Fees are subject to change without notice.

5. FOREIGN EXCHANGE REGULATIONS AND TRANSACTIONS

The Cardholder confirms that he will use the International Debit Visa Debit Cards only for permissible current account transactions and adhere to the terms of the Bank of Ghana Foreign Exchange Regulation and Directives and other applicable laws as amended from time to time.

The Cardholder shall be solely and completely liable and responsible for any noncompliance with those laws, regulations and/or notifications. The onus of ensuring compliance with the aforementioned provisions rests solely with the Visa Debit Cardholder. The Cardholder accepts full responsibility for wrongful use and use in contravention of these Rules and Regulations and undertakes to indemnify the Bank against any loss, damage, interest, conversion, any other financial charges that the Bank may incur and/or suffer on account thereof.

In the case of transactions entered into by the Cardholder through the Visa Debit Card, the equivalent in the currency in which the Cardholder’s Account is held, along with processing charges, conversion charges, fees if any and other service charges for such transactions shall be debited to the Cardholder’s Account held at the Bank. The Cardholder authorizes the Bank to recover all charges related to the Visa Debit Card as determined by the Bank from time to time by debiting the Cardholder’s Account(s).

The use of the Bank’s Visa Debit Card is subject to the Bank of Ghana’s Foreign Exchange Regulation limit. The Cardholder agrees to use the Visa Debit Card for transactions or withdraw cash not exceeding Bank of Ghana’s Foreign Exchange Regulation limit each time the Visa Debit Card is used outside Ghana. The Bank of Ghana Foreign Exchange Regulation limit is currently US$10,000 (Ten thousand United States dollars) per trip and Bank of Ghana may review it from time to time. The Cardholder will inform the Bank anytime he undertakes a trip abroad to enable the Bank facilitate the use of the Visa Debit Card in both Ghana and abroad. Failure to do so may result in these penalties: • Blocking of Visa Debit Card • Withdrawal of international functionality • Complete withdrawal of Visa Debit Card For transactions executed abroad, the exchange rate applicable shall be equivalent to the rate on the date of settlement provided by VISA and not the date the Visa Debit Card was used or the transaction date. All Visa Debit Card transactions in a different currency from the Visa Debit Card will be converted to Ghana Cedi (GHS) and a further conversion undertaken to the Visa Debit Card currency. A separate conversion to reflect the Bank’s advertised Visa Debit Card rates will be applied subsequently. The Cardholder will bear all such differences in prices resulting from the conversion.

6. DISPUTES AND ARBITRATION

The Cardholder should notify the Bank’s branches in writing or on a form provided by the Bank of any transaction in the Cardholder’s statement that was invalid or unauthorized by the Cardholder within fifteen days (15) days of the transaction indicated on the statement failing which it will be considered that all transactions shown on the statement are correct.

When the Cardholder reports an invalid or unauthorized transaction, the Bank will carry out verification requirements within 45 days of receipt of the notification.

The Bank may prior to concluding an investigation provide the Cardholder with a temporary refund. The Bank reserves the right to reverse the temporarily refunded amount to the Cardholder’s account and re-impose the finance charges on the disputed amount over the whole period, including the investigation period. Any dispute both internal and with other Acquirers will be arbitrated as per VISA Chargeback Rules and Regulation. The Dispute Arbitration Fee will be debited to the Cardholder’s account in respect of an investigation if incurred.

The Bank accepts no responsibility for refusal by any ATM Acquirer or Merchant to accept and/or honor the Visa Debit Card. In a case of dispute pertaining to a transaction with a Merchant, a charge/sales slip with the signature of the Cardholder together with the Visa Debit Card number noted or PIN Verified or Password Verified (E-commerce) thereon shall be conclusive evidence as between the Bank and the Cardholder as to the extent of liability incurred by the Cardholder. The Bank shall not be required to ensure that the Cardholder has duly received the goods purchased or has duly received the service availed to the Cardholder’s satisfaction. In a case of dispute pertaining to a transaction in regards of an ATM transaction, the provision of a valid ATM log shall be conclusive evidence of the receipt of funds by the Cardholder.

The Bank does not accept responsibility for any dealings the Cardholder may have with other . Should the Cardholder have any complaints concerning any other Bank’s ATM, POS or E-commerce service, the matter should be resolved by the Cardholder with the other Bank and failure to do so will not relieve him/her from any obligations to the Bank. However, the Cardholder should notify the Bank of the complaint immediately.

If an Acquirer or Merchant makes a refund by means of a transaction the Bank will credit the Account when it receives the Acquirer or Merchant’s proper instructions and the funds in respect of such refund, provided that the Bank will not be responsible for any loss resulting from any delay in receiving such instructions and funds.

7. TERMINATION

The Cardholder may discontinue/ terminate the use of the Visa Debit Card anytime by a written notice to the Bank accompanied by the return of the Visa Debit Card cut into two pieces diagonally. The Cardholder shall be liable for all charges incurred, up to the receipt of the written notice duly acknowledged by the Bank and any outstanding charges owed to Merchants via un-cancelled direct debits and such issues.

The Bank may at any time, with or without notice, as to the circumstances in the Bank’s absolute discretion require, terminate the Visa Debit Card. The agreement comprised in these terms and conditions, shall be deemed to remain in full force and effect if and in so far as any transaction is completed but not debited to the Account prior to termination thereof. Termination of the agreement comprised in these terms and conditions shall not prejudice any liability in respect of things done or omitted to be done prior to termination thereof.

8. GOVERNING LAW AND JURISDICTION

The Bank reserves the right to vary these terms and conditions at its discretion. A general notice of the changes would be issued. Any such changes will be effective from the date of the notice or such later date as may be specified therein. Utilizing the service after the notification of such modification of the terms and conditions herein shall be considered a declaration by the Cardholder approving the modification and the Cardholder will subsequently have no right to object or contest same.

These Terms Conditions shall be governed by and construed in accordance with the laws of Ghana and the Cardholder irrevocably agrees to submit to the exclusive jurisdiction of the courts of Ghana in connection herewith.

TERMS AND CONDITIONS OF SOCIETE GENERALE GHANA VERIFIED BY VISA SERVICE

1. ACCEPTANCE OF TERMS

Welcome and thank you for choosing to use the Verified by Visa service ("Verified by Visa") from Societe Generale Ghana. Verified by Visa is a service that gives you added security and reduces the chances of fraud when you make E-commerce purchases.

Societe Generale Ghana Verified by Visa provides its service to you, subject to the following Terms and Conditions and our Cardholder Agreement with you governing the Visa Debit Card transactions for which Verified by Visa is used. The Terms and Conditions may be updated by us from time to time without notice to you. We reserve the right at any time and from time to time to modify or discontinue, temporarily or permanently, Verified by Visa (or any part thereof) with or without notice. Unless explicitly stated otherwise, any new features that augment, enhance or otherwise change Verified by Visa shall be subject to this Terms and Conditions.

You can review the most current version of the Terms and Conditions at any time on our web site. In addition, when using Verified by Visa, you shall be subject to any posted guidelines or rules applicable to Verified by Visa that may be posted from time to time. Postings may be on the Bank’s Website, by Text, Email, in branch or any other recognized communication.

You agree that your use of Verified by Visa, will represent your acceptance of this Terms and Conditions and that continued use of Verified by Visa after you have been advised of revisions to this Terms and Conditions shall constitute your agreement to such revised terms and any applicable posted guidelines or rules.

By proceeding to register for Verified by Visa, you are indicating that you have read these Terms and Conditions and accepted them. You agree that continued use of Verified by Visa, after you have been advised of revisions to this Terms and Conditions shall constitute your agreement to such revised terms and any applicable posted guidelines or rules.

For your own benefit and protection you should read them carefully before accepting them. If you do not understand any point please contact us for further information. When you use Verified by Visa, both these and your account conditions will apply. We would advise you print a copy of these Terms and Conditions and to retain the copy for your own records.

2. DEFINITIONS

"Verified by Visa" means the secure service that provides online authentication when you purchase goods or services from Verified by Visa registered retailers over the Internet.

"Account" means your Societe Generale Ghana Visa debit Visa Debit Card account.

"Personal Information" means the information you provide us with when registering to use Verified by Visa, allowing us to confirm you are the Visa Debit Cardholder.

"One Time Password (OTP)" means the password provided to you via text message and Email to identify yourself when using Verified by Visa. The OTP is valid for 10 minutes.

"We", "Us", and "Our" mean Societe Generale Ghana Limited.

"You", "your", and "yours" mean the person who has entered into this agreement with us.

3. ABOUT VERIFIED BY VISA

Verified by Visa is a way of enhancing security in online transactions by providing added protection against unauthorized use of your Visa Debit Card.

4. AUTHENTICATION When engaging in an online transaction or other transaction for which Verified by Visa is used, you may be asked for your Verified by Visa (One Time Password) OTP before the merchant accepts your Visa Visa Debit Card in payment for the transaction. If you are unable to provide your Verified by Visa OTP, or if the authentication through Verified by Visa otherwise fails, the merchant may not accept your Visa Visa Debit Card in payment for that transaction. By using Verified by Visa, you assent to the use of Verified by Visa as evidence of your identity, including for purposes of authorization of transactions recurring at regular intervals.

On completing requested payment details such as your Visa Debit Visa Debit Card Number, Visa Debit Visa Debit Card expiry date and Visa Debit Visa Debit Card Visa Debit Card Verification Value( CVV), you will be required to provide your Verified by Visa Password. This password will be a One Time Password (OTP) sent to you via Text message and Email. The password will be valid for only 10 minutes and may no longer be used after 10 minutes.

When you correctly enter the required Password, you will be confirmed as the authorized Cardholder and your purchase will be completed. Without your Password, the purchase cannot take place at participating online retailers. If the incorrect Password is entered more than three times, you will not be able to proceed with the purchase. If your Password provided to you is not used in 10 minutes, the Password will expire. You may request a new Password to be sent to you by clicking the Resend Password icon on the page. This will send a new Password to the dedicated contact number and email address.

5. YOUR VERIFIED BY VISA OBLIGATIONS

By signing up for Verified by Visa, you authorize us to retain certain information about you, and your Visa Debit Cards. You authorize us to obtain from certain third parties selected by us, including consumer credit bureaus and other consumer reporting agencies, information about you, and your Visa Debit Cards, to use in connection with Verified by Visa. You authorize us to use and retain this information in accordance with the Data Protection Act, Act 843 of 2012 Your information will be associated with a unique identifier for you (your Visa Debit Card and your name).

Upon processing your transaction through Verified by Visa service, you will be asked to read and accept the Terms of Service. Once you accept these Terms and Conditions, you will be allowed to complete your online purchase. In order to use Verified by Visa, you must have the ability to access the World Wide Web and must pay any service fees associated with such access. In addition, you must have the equipment necessary to make such a connection to the World Wide Web, including a computer and modem or other access device.

6. VERIFIED BY VISA TERMS OF SERVICE Unless explicitly stated otherwise, any new features that augment, enhance or otherwise change Verified by Visa shall be subject to this Terms and Conditions We reserve the right at any time and from time to time to modify or discontinue, temporarily or permanently, Verified by Visa (or any part thereof) with or without notice. Upon our request, you agree to sign a non-electronic version of this Terms and Conditions

7. YOUR CONDUCT You agree not to: i. impersonate any person or entity using Verified by Visa; ii. upload, post, e-mail or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment used by Verified by Visa; iii. spam or flood the Verified by Visa Website or service; iv. modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble any portion of the Verified by Visa Website or service or the software used in connection with Verified by Visa; v. remove any copyright, trademark, or other proprietary rights notices contained in Verified by Visa; vi. "frame" or "mirror" any part of the Verified by Visa Website or service without Visa's prior written authorization; vii. use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, "data mine," or in any way reproduce or circumvent the navigational structure or presentation of the Verified by Visa Website or service or its contents; viii. otherwise interfere with, or disrupt, Verified by Visa or servers or networks connected to Verified by Visa, or violate this Terms and Conditions or any requirements, procedures, policies or regulations of Verified by Visa or of any networks connected to Verified by Visa; or ix. Intentionally or unintentionally violate any applicable local, state, national or international statute, regulation, regulatory guideline or judicial or administrative interpretation, or any rule or requirement established by Visa (all of which shall constitute "Applicable Law") in connection with your use of Verified by Visa.

8. THE USE OF YOUR INFORMATION

Where the law allows, we may provide the Regulator, Security Agencies or any prosecuting authority any information obtained in connection with Verified by Visa in order to allow them to investigate any suspected use of your Visa Debit Card.

We will only pass your Personal Information onto any party which assists us in providing the Verified by Visa service. We may transfer this information to a country that is outside Ghana and the European Economic Area for the purposes of managing and administering Verified by Visa and we will ensure that the security of your information is maintained. We will only use your Personal Information in accordance with the Data Protection Act, Act 843 of 2012. We will not disclose your Personal Information to any online retailer.

9. TERMINATION

We may temporarily or permanently deactivate your ability to use Verified by Visa and terminate your relationship with us at any time, with or without cause. We may suspend or terminate your use of the Verified by Visa service immediately if we suspect that: a) Somebody else is using or attempting to use your Password; b) Someone else knows your Password; c) Your Password is being used illegally; d) You have breached these terms or your Account terms.

We may terminate your use with immediate effect if we are required to do so by any party which assists us in providing the Verified by Visa service, by any law or by any other requirement affecting us.

We may terminate your use of the Verified by Visa service in writing. We will normally provide you with 30 days' written notice; however, in exceptional circumstances we may end your access immediately and notify you as soon as possible.

10. LIABILITY

The terms and conditions applicable to your debit Visa Debit Card with us continue to apply whether or not you decide to participate in Verified by Visa. You will be liable for all use of your Verified by Visa Password. We shall not be liable for any failures of the Verified by Visa service caused by any events that are beyond our control, such as natural causes, machines failing to work or industrial disputes.

You agree that the Societe Generale Ghana shall not be liable to you or to any third party for any modification, suspension or discontinuance of Verified by Visa. Under no circumstances will we be liable for consequential, incidental, special or indirect losses or other damages, such as any damage to your computer or telephone service resulting from your use of Verified by Visa. Societe Generale Ghana assumes no responsibility for, and will not be liable for, any damages to, or any viruses which may affect, your computer equipment or other property on account of your access to, use of, or downloading from, this Web site. You are solely responsible for maintaining the confidentiality of your One Time Password (OTP), and other verification information established by you with Verified by Visa, and all activities that occur using your OTP, verification information supplied to or established by you with Verified by Visa. You agree not to transfer or sell your use of, or access to, Verified by Visa to any third party. You agree to immediately notify us by contacting us as we require in our Cardholder agreement with you for a lost or stolen Visa Debit Card or any unauthorized use of your OTP or other verification information, or any other breach of security. You acknowledge and agree that, except as otherwise provided by Applicable Law or in our Cardholder agreement with you, we shall not be liable for any loss or damage arising from your failure to comply with this Terms and Conditions You must notify us immediately by calling the Bank’s Contact Center on 00233(0)302214314 if you believe that any unauthorized transactions have been carried out using your Password.

11. DEALINGS WITH MERCHANTS Your correspondence or business dealings with, or participation in promotions of, online retail or other merchants on or through Verified by Visa, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such merchant. You agree that, except as otherwise provided by Applicable Law or in our Cardholder agreement with you, Societe Generale Ghana shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. You understand that use of Verified by Visa does not, in any way, indicate that we recommend or endorse any merchant, regardless of whether the merchant participates in Verified by Visa. For example, Verified by Visa does not verify the identity of the merchant or the quality of the merchant's goods or services.

12. DISCLAIMER OF WARRANTIES You expressly understand and agree that any software obtained through the use of Verified by Visa is downloaded and used at your own discretion and risk and that except as otherwise provided in this Terms and Conditions Agreement, you will be solely responsible for any damage to your computer system or loss of data that results from the download or use of any such software or other materials through Verified by Visa. EXCEPT AS OTHERWISE REQUIRED BY ANY APPLICABLE LAW, Societe Generale Ghana MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT VERIFIED BY VISA OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES AS TO MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 13. AGE AND RESPONSIBILITY You represent that you are of sufficient legal age to use Verified by Visa and to create binding legal obligations for any liability you may incur as a result of the use of Verified by Visa. Except as otherwise provided by Applicable Law or in our Cardholder agreement with you, you understand that you are financially responsible for all uses of Verified by Visa by you and those authorized by you to use your password or other verification information.

14. CHANGING THE TERMS AND CONDITIONS

We may change these terms by sending a written notice of the change to any address that you have given to us, or if the change is of a general nature by publishing them on the website. We may make changes with immediate effect to update or improve our Verified by Visa service or to reflect any requirements imposed on us by any party which assists us in providing it. We may make changes with immediate effect if required to do so by any law or other regulatory requirement affecting us.

We will give you 30 days' notice of any changes.

The Verified by Visa service may be amended or discontinued, temporarily or permanently, without notice where the amendment or discontinuation is required by Visa International Services Association who run the payment systems for the Visa Debit Cards used with your accounts. Governing law

These conditions are governed by Ghanaian law. Any disputes arising from these conditions will be dealt with by the Ghanaian courts.
