Intel to Acquire DataKinetics Ltd. Submitted by: Gray Associates Friday, 11 August 2000

- Acquisition Adds SS7 Expertise to 's Converged Network Focus - SANTA CLARA, California August 10, 2000-Intel Corporation today announced it has entered into a definitive agreement to acquire privately held DataKinetics Ltd. in a cash transaction. Specific financial terms of the agreement were not disclosed. The acquisition provides Intel with key products, technologies and industry expertise that will extend its capabilities as a provider of next generation network equipment and solutions. This will provide Intel and networking customers with an expanded ability to create new voice-based and e-Commerce applications and services based on DataKinetics products. DataKinetics is a supplier of a complete family of Signalling System 7 (SS7) hardware and products. SS7 protocols serve as the basis for controlling networks and are used to provide advanced functions such as Internet capability and the ability to link Internet Protocol (IP) and telephone networks, as well as other features like caller ID, automatic recall and call forwarding. SS7 technology is the most broadly deployed signalling technology in voice and wireless cellular networks. DataKinetics' SS7 technology works with products from Intel's Dialogic subsidiary to enable converged voice and data network functions. Such functions include IP capabilities that allow phone calls over the Internet, the creation of voice portals (for accessing Web sites using voice commands) and Internet-based unified messaging platforms that bring voice, fax, e-mail and other capabilities to a single client device. "DataKinetics' comprehensive SS7 product line and outstanding engineering team will help our customers quickly and cost-effectively deploy next generation communications services," said Howard Bubb, president, Dialogic Corporation, and vice president, Intel Communications Products Group. "These services will combine voice and data communications in areas such as network-based customer contact centres, Internet-based unified messaging, voice portals and voice-enabled e-Commerce. "Our recently announced acquisition of Trillium Digital Systems will provide Intel with highly-reliable, high-performance communications software. Today's acquisition adds new software and hardware to our line-up of advanced products for the converged communications network. These building block products from both acquisitions are designed to help reduce development costs and time-to-market for our customers." In addition to leading edge products from DataKinetics, the acquisition provides Intel with a world-class engineering organisation and additional core communications technology. Intel will use DataKinetics' SS7 capabilities combined with next generation signalling protocols such as the Media Gateway Control Protocol (MCGP), Megaco, Simple Internet Protocol (SIP) and H.323 to form the heart of next generation converged voice and data networks.

The acquisition of DataKinetics marks the continuation of a long-term relationship between the company and Dialogic -- historically the largest reseller of DataKinetics hardware and software products. The acquisition is contingent on customary closing conditions and is expected to be finalised in the third quarter of this year. When the purchase is completed, DataKinetics will become part of Intel's Communications Products Group (CPG).
