George Huang founded GCH Systems, Inc. as its Chairman and CEO to develop communications devices and ASIC (Application Specific Integrated Circuits) for PC systems. Dr. Huang completed the acquisition of Award Software International by GCH Systems in 1993. Award Software went public in 1996 [NASDAQ:AWRD] which yielded over 100 times return on investment. In 1998, Award Software merged with Phoenix Technologies, Ltd. [NASDAQ:PTEC] where Dr. Huang served as a board member and the Vice-Chairman until March 2006. In his tenure at Phoenix, he also helped take a subsidiary, InSilicon [NASDAQ:INSN] public. At FutureDial, where he now serves as the Chairman and CEO, he has developed mobile system software licensed to wireless operators and cell phone OEMs. He was selected by Venrock, a Rockefeller VC fund, as one of the 40 successful entrepreneurs in its 40 year celebration in 2009. MOUNTAIN VIEW, Calif.--(BUSINESS WIRE)--June 3, 1997--Award Software International(R) Inc. (NASDAQ:AWRD), the world's No. 1 x86-based desktop and server BIOS provider, today announced it has established Award Japan KK, a majority-owned subsidiary that will increase the company's marketing and support efforts in the growing Japanese PC market.

The Yokohama-based subsidiary will be headed by Reza Afghan, who has been a vice president of Award Software since 1994. As president and CEO of Award Japan KK, Afghan will report to George Huang, chairman and CEO of Award Software.

San Jose-- Phoenix Technologies Ltd. (San Jose) and Award Software International, Inc. (Mountain View, Calif.) announced the completion of a definitive merger agreement.

The companies serve complementary segments of the rapidly growing global markets for system software and peripheral interconnect technologies for PCs, servers, mobile computers, information appliances, and embedded systems. Phoenix and Award anticipate that the combined company will provide major benefits, such as faster time-to-market, accelerated innovation, and improved economies of scale for manufacturers of PCs, peripherals, information appliances, and embedded systems.

Under the terms of the agreement, shareholders of Award will receive 1.225 shares of Phoenix common stock for each share of Award common stock. The companies anticipate closing the merger by June 30, 1998, subject to shareholder and regulatory approvals. Phoenix Technologies Ltd. will be the surviving corporate entity. Combined, the companies had 1997 revenue of more than $100 million and currently employ approximately 800 employees. Based on today's stock prices, the new company will have a market capitalization of approximately $300 million.

Jack Kay will continue as the president and CEO of Phoenix Technologies Ltd.
