POLICIES AND ORGANIZATION

101 GENERAL

A. This chapter establishes the policy for organization and management responsibilities.

B. Personnel assigned to the respective areas of responsibility will perform their duties in a professional and businesslike manner and in accordance \vith established safety practices.

102 DUTIES AND RESPONSIBILITIES

A. President: The President is responsible for the safe and efficient operation of the entire company. He may delegate duties and responsibilities to other staff members, but retains responsibility for adherence to Aviation Regulations, operations specifications, this operations manual and company policies.

His responsibilities include but are not limited to:

1. The appointment and supervision of appropriately placed subordinate management personnel necessary to meet current operating requirements.

2. Attention to the extent ro which the service provided by Harris Aircraft Services, Inc. fulfill the requirement of its users and service requirements imposed by economic authority under which Harris Aircraft Services, Inc. is authorized to provide service.

3. Maintain knowledge of the financial posture of the Company.

4. Responsible for ensuring that the highest level of safety is maintained in all operations conducted by Harris Aircraft Services, Inc.

5. Responsible for maintaining close coordination between the Company and State as well as Federal government agencies in matters concerning operation5 conducted by Harris Aircraft Services, Inc.

B. Director of Operations: The Director of Operations (DO) is responsible to the President. This position supervises the overall air taxi operations with the exception of maintenance and finance. The individual must be highly knowledgeable of the company operations manual. FM regulations, operations specifications and flight manuals for all aircraft operated by Harris Aircraft Services, Inc. The Director of Operations must be qualified in accordance with 14 CFR 119.7l(b).

The responsibilities of this management position include facilities as well as adequacy of equipment and personnel pertaining to the operation. The individual may delegate duties and responsibilities to personnel under direct supervision, but maintains responsibility for seeing that all duties so delegated are completed in accordance with current company policies and applicable regulations. Specific duties are:

1. Oversight responsibility for the training and testing of flight and operations personnel.

2. Obtain necessary diplomatic clearances for any operations into or over any foreign countries listed in the operations specification.

3. Distribute the company operations manual and revisions as required.

4. Insure distribution and posting of all information in relation to any changes in operating procedures or company policy to include route information, flight planning publications and any flight information applicable to flights contemplated by the company...... 5 . Review all operations records and reports to ensure prompt recording, filing and follow-up.

6. Maintaining a list of all aircraft.

7. Implementing and monitoring the Hazardous Material program as prescribed in 14 CFR 135 and 49 CPR 175.

8. Notifying the FM and/or NTSB as appropriate if there is any mishap or incident involving a Harris Aircraft Services, Inc. aircraft.

9. Evaluation of aU operations personnel to include pilots in relation to hiring and firing. That specific function, hiring and firing, is the sole responsibility of the President.

10. Ensures compliance of all records required by 14 CFR 135.63.

11. Establishes and monitors a quality assurance program for flight operations.

12. Perform other duties as assigned by the President.

13. The Director of Operations is responsible for formulating training programs for all aspects of Harris Aircraft Services, Inc. operations which include but are not limited to: flight operations, maintenance, ground operations and hazardous materials. Lesson plans will also be maintained by the Director of Operations.

14. The Director of Operations is responsible for maintaining the training files for all aspects of training. C. Chief Pilot; The Chief Pilot is responsible to the Director of Operations and will supervise the assignmentsy scheduling and training of all flight crew members. The Chief Pilot must meet the management requirements of14 CFR 119.7l{d).

All assignments and scheduling will be in accordance with applicable regulations and policies of the FAA and the Company. The Chief Pilot will maintain all records and fonnsregarding flight crew members and will continuously detennine the qualifications and duty time limitations, of personnel to serve in their assigned duties. Dutjes and responsibilities may be delegated to other personnel, however the Chief Pilot retains the over all responsibility of all duties so designated Specific duties are:

1. Reviews all check ride forms for completeness and accuracy.

2. Maintain pilot certificate and training files as well as load manifests in accordance with 14 CFR1:35.63.

3. Maintain qualification and currency as a pilot in at least one aircraft operated by Harris Aircraft Services, Inc.

4. Ensures that aircraft and equipment are available for training and directs training as well as testing for all flight crew members.

5. Coordinates the availability of aircraft with the Director of Maintenance for training flights.

6. Assists the Director of Operations in formulating policy.

7. Supervises all Check Airmen and Instructors.

8. Reviews load manifests no lc:>s than quarterly for accuracy.

9. Ensures that company checkJists and minimum equipment lists (when applicable) are accurate and in accordance with the appropriate regulation.

10. Ensures that pilots adhere to standard procedures as prescribed in the applicable regulations and company policies by frequent enroute inspections and check rides as required by the FAA and company.

11. Responsible for ensuring that airmen are properly notified in a timely marmer of pending check rides, medical certificates, training, etc.

12. Establishes and supervises approved company ground and flight training programs to include approval of individuals as instructors.

13. It is the responsibility of the Chief Pilot to provide a clear and organized step•by-step procerlure for the qualification of new pilots employed by Harris Aircraft Servi~ Inc.

I 4. Other duties as assigned by the Director of Operations.

D. Director of Maintenance. This individual is responsible to the President and must be qualified in accordance with 14 CFR 119.71 (e).

The DOM is responsible for the operations of the maintenance department. line maintenance. overhaul functions and associated technical support activities. In this capacity the individual is responsible for maintaining aircraft, ground equipment and facmties as needed to meet airworthiness standards, operating schedules, appearance standards, and cost objectives.

Specific duties are:

I. Directs the maintenance. repair. overhaul and modification of aircraft and components and related equipment.

2. Reviews maintenance performance against established procedures and standards.

3. Recommends projects to improve performance of equipment and enable better performance by maintenance.

4. Schedules aircraft maintenance considering such factors as work flow, location of equipment and facilities, tools, supplies, and job requirements.

5. Maintains close liaison with the Director of Operations to provide current status of aircraft and forecast downtime.

6. Responsible for selecting competent, properly qualified and certified maintenance personnel.

7. Ensures that all individuals in the maintenance department are qualified to perform their duties.

8. Ensures that only calibrated tools are used by maintenance personnel.

9. Reviews aircraft/engine condition, trend monitoring data and takes appropriate action when trend data indicates a possible problem.

10. Submits required FAA Mechanical Interruption reports.

11. Responsible for negotiating contracts with repair agencies. Ensures that vendor quality, techniques and workmanship meets required FAA and company standards. Maintaining liaison with repair agencies.

12. Monitors and coordinates the forecasting of parts and the purchasing of parts, materia] and equipment

13. Responsible for ensuring that sufficient stocks of parts, material and supplies are on hand so that scheduled replacements can be made with appropriate time limitations.

14. In the case of any extended absence, the DOM will appoint a competent individual to assume these duties who also meets the requirements of 14 CFR 135.39(c).

IS. Ensures that Operations Specifications are accurate and revised as necessary.

E. Flight Coordinator. This individual is responsible to the Director of Operations and must be qualified in accordance with 14 CFR 119.69(d). 1. Qualifications~ a. Appropriate previous experience and ability to serve the public. b. Ability to correctly use all required company fonns. and follow company procedures. c. Ability to schedule aircraft and evaluate factor~ affecting scheduHng. d. Ability to secure and evaluate weather reports. e. Mu3t have received training and be knowledgeable of Harris Aircraft Services Operation Specifications. f. Complete required initial and recurrent training 'vith flight crews as provided in the training program. g. Attend a Medallion Foundation Flight Risk Management Course. 2. Specific duties are a. Aircraft and flight crew scheduling. b. Monitor pilot flight and duty time records ro insure that flight and duty times are not exceeded. c. Aircraft flight folJowing as described in this manual. d. Recogni2e hazardous materials shipments and comply with the procedures in the operations manual covering these shipm-ents. e. Assist the pilot-in-command as necessary t.o ensure that aU items required for flight preparation in this manual are accomplished prior to each flight. f. Notify thr; Director of Operations of any aircraft emergencies or accidents. and comply with the emergency procedures chapter of the operations manual. g. Perform all duties in compliance with the operations manual and all applicable regulations.

3. Responsibilities

Flight Coordinators will schedule flights and assist pilots in flight preparation by gathering and disseminating pertinent information for all8tations regarding wealher, or water conditions and any information deemed necessary for the safety of flight. The pilot in command shall become familiar with all appropriate weather information and enroute conditions applicable to the flight. Current weather and weather information forecasts shall be obtained from an approved weather-reporting source if available. An approved weather­ reporting source would be a FAA Flight Service Station or a source whose data comes from the National Weather Service. If an approved source is not available, the pilot in command may use weather information based on that pilot's own observations or on those of other persons competent to supply appropriate observations. All weather reports will be initialed by the pilot after they are read and will be attached to the dispatch sheet and flight following log at the end of each day for auditing purposes.

4 Use of flight Coordinators in Flight Operations Decisions

When more than one Flight Coordinator is on duty at a time the person with the most company seniority, determined by hours worked, will be the Flight Coordinator in charge and is responsible for the dispatching of all aircraft and documenting operations as they occur.

STraining

Flight Coordinators are required to complete Initial and Recurrent Training with Harris Aircraft Services pilots. This training usually occurs in the spring and will cover the General Operations Manual, Operations Specifications, weather, Notams and flight risk assessments. Applicant was formed as an Alaska corporation on September 22, 1998 by R. Scott Harris and

Laura Lynn Kronsperger and originally conducted business as an aircraft maintenance facility. It purchased its first aircraft, a Cessna float-plane, in 1999 and commenced Part 135 intra-Alaska on­ demand air taxi operations in Southeast Alaska. In support of growing demand, the company in 2000 added its second aircraft, another float-plane. In 2003, the applicant added a third aircraft, an IFR­ equipped twin-engined Piper Chieftain to focus on the needs of Southeast Alaska residents and regularly­ scheduled, direct flights between points in Southeast Alaska with this 9-pax aircraft.

With its current fleet of four ( 4) float-plane and wheeled aircraft, Applicant currently operates air taxi and intra-state scheduled service to numerous locations in Southeast Alaska. Applicant's FAR 135

Ops Specs authorizes scheduled services between the and sea-plane bases of Sitka, Juneau,

Haines, Hoonah, Angoon, Pelican, Tennekee, Kake, Petersburg, Wrangell, Port Alexander, Skagway, and

I-YEAR PROJECTED P&L The following Revenue Forecast and Income Statement is based on actual sales. The forecast shows an increase in activity based on our current schedule and aircraft usage. The existing 9 passenger seat, IFR twin engine aircraft effectively support the current schedule between Sitka, Kake, Klawock, Hoonah, Haines, Petersburg, Wrangell and Juneau. There is sufficient historic data to show that our involvement with Southeast Alaska Regional Health Consortium ("the Consortium") for routine patient and staff travel has resulted in a customer base of hundreds of employees and patients requiring routine transportation services to the Consortium's main hospital in Sitka, Alaska.

In addition to runway service, Harris Aircraft Services, Inc. currently supports several water access only locations, such as, Angoon, Port Alexander and Pelican on a limited schedule.

FINANCIAL FITNESS TEST ANALYSIS Financial Fitness Analysis

There are no certification, pre-operating or start-up costs and the twelve months expenses associated with operations is $2,231,437 million. Using the Department's financial formula, three months of normal operations expenses during the first year are therefore estimated to be

$557,859 ($2,231,437/4). Based on this formula, it is asserted that Harris Air will need access to approximately $557,859. To support Harris Air's ability to meet the Department's traditional financial fitness test, the company has available to it a bank credit facility of $600,000. Accident Plan

Introduction Reference: 49 U.S.C Section 41113

This section of the Harris Aircraft Services, Inc. Family Assistance Plan (FAP) is dedicated to specifically addressing an aircraft accident. The Director of Safety is responsible for executing the Accident Plan. The Director of Safety may designate a surrogate to carry out the elements of the Accident Plan.

Elements of the Accident Plan Reference: 49 U.S.C Section 41113(b)

Harris Aircraft Services, Inc. is responsible to work and coordinate rescue and recovery activities with any organization designated to assist the accident. The following items will be carried out after a fatal accident. (Note: a fatality of ground personnel or a fatality caused by an aircraft not necessarily a passenger is included in this list)

1. The Director of Safety will post a toll-free number on the Harris Aircraft Services, Inc. website for relatives and interested parties to call for information related to the accident 2. The Director of Safety has a roster of associates to assist in handling phone calls. This list of names and responsibilities is on form 912. 3. Passenger (revenue and nonrevenue) names are not to be given to the press or posted on any public website until notification of relatives are complete. The Director of Safety will prepare a list of passenger fatalities and then proceed to contact family members once the passenger fatality is confirmed. Harris Aircraft Services, Inc. will inform family member inquiry as to whether or not a passenger name was on the preliminary manifest. a. Passenger confirmation process begins with the passenger manifest. Then confirmation of the fatality by the local official. There must be two sources of information__ confirming the passenger was on board and that passenger is a fatality. b. Once passenger names have been verified and a family member has been contacted by the company Family Assist person will be posted on the company website

4. The Director of Safety will coordinate with the local officials as to the disposition of passengers and their personal effects. This information will be made available to family members of victims. (Note: Personal items will be returned to passengers unless the artifact is needed for accident investigation.) 5. The Director of Safety will maintain control of unclaimed possessions for 18 months. At the end of the 18 month period the Director of Safety will coordinate with the FAA and NTSB officials as to the disposition of the items. 6. The Director of Safety will coordinate efforts to assist the family of a passenger in traveling to the location of the accident and provide hotel accommodations. 7. If damage is made to a structure the On-Site Coordinator will: a. Provide written notice to the owner to contact the insurer of the structure and not to rely on unofficial information. b. Provide photographic evidence of the property and damage.

Public Hearing In the case of an accident in which the National Transportation Safety Board conducts a public hearing or comparable proceeding at a location greater than 80 miles from the accident, Harris Aircraft Services, Inc. will ensure that the proceeding is made available simultaneously by electronic means at a location open to the public at both the origin city and the destination city of the air carrier's flight if that city is located in the United States

Monument If a monument is to be constructed regarding the accident each (immediate) family member of a passenger will be consulted about construction by the air carrier of any monument to the passengers, including any inscription on the monument.

The following Emergency Response Plan is incorporated into and is an integral part of the Fam ily Assistance Plan.

Effective October 1, 1998, U.S. law requires all U.S. and foreign air carriers transporting any U.S. citizens on flight to or from the United States ("covered flight segment") to collect the following information and identify passengers on their flight manifests by the passenger's FIRST NAME, MIDDLE INITIAL, LAST NAME. Passengers who elect not to provide this information SHALL BE DENIED BOARDING.

Since Harris Air is an intra-state carrier and intends to continue its operations as an intra-state carrier, Harris Air hereby confirms that it does not intend to operate any covered fight segments in the foreseeable future and Harris Air also confirms that it will not operate any covered flight segment unless and until it has filed the summary required by 14 C.P.R. §243.13.
