SPECIFY IF ANY OTHERS Evaluation of Technical Bid – Qualification Criteria In order to be qualified for the tender, the bidder must demonstrate that it possesses capability as per the following ceriteria. 1. General Terms for E Auctioning and E Tendering:

1. Online Registration at www.advisionamc.com is mandatory to participate in E- Tender cum eAuction. 2. While registering for the eAuctioning providing Mobile Number and Email ID are mandatory as all the communication shall be made to Registered Mobile Number and Registered Email ID (as username) in the form of SMS’ and Emails. In case E- Tenderer will be responsible to change or update the communication Email or Mobile Number details to Advision well in advance. 3. E-Tender cum eAuctioning system is driven by set time limits for each stages and it must be followed strictly to participate in Real Time Bidding. 4. Bidder has to update payment in eWallet first so that EMD can be paid through eWallet balance. Earnest Money Deposit (EMD) have to be paid in stipulated time period to avail the participation rights to Real Time Bidding in E Wallet. From E Wallet E-Tenderer can Use the Fund for EMD. Late payments shall not grant access to the eAuctioning. Following are the payment options to update payment in E Wallet at www.advisionamc.com website. Receipts of Balance Update in eWallets through Credit/Debit Cards, Net Banking or NEFT/RTGS shall be mailed to the Email ID of the E-Tenderer. E Challan can be downloaded for Bank Transfers through NEFT/RTGS from preferred banks. Once payment received Receipt will be sent to Email ID of the E-Tenderer. 5. Financial Offers must be updated to the Advision AMC website in stipulated time period set for the E-Tender cum eAuction. 6. E-Tenderer will be disqualified if he/she fails to pay the EMD Wallet Amount and use the wallet balance for EMD payment. Such e-Tenders shall not be considered to provide rights to Real Time Bidding. 7. Online Valid E-Tenderers can participate in Real Time Bidding (eAuction) 8. Real Time Bidding (eAuction) will be finished until no bidding instance in last 5 minutes of closure time of the e-Auction end time. Bidding Initiation, Bid Crossing and Increment related information shall be provided during the time of Real Time Bidding though Email and SMS. Bidder has to enter the bid value in the multiple of minimum Increment Value or higher. Real Time Bidding will be extended by 5 minutes if Bidding Instances occur in last 5 minutes of the Bidding Expire Time. Bidding will be declared completed with no Bidding Instance in last 5 minutes of the Bid Expiration Time. Page refresh prior to bidding is recommended. Authority’s decision shall be final if any query will be arise of last minute bidding. 9. During the Real Time Bidding, Bidder identity will be encrypted and will not be displayed, only bidder himself/herself can see the Highest Bidding Value in his/her login dashboard. 10. Real Time Bidding (eAuction) Highest Value approval would be processed by Departmental Authorities for the sanctioning of the E-Tender. 11. Highest and Second Highest Bidder shall submit the uploaded hard documents in self-attested manner with Name, Sign and Stamp in AMTS Asstt. City Engineer (Traffic Maintenance Department) After Completion of the Bidding to the instructed address within 3 working days of the completion of the Bidding. If Highest Bidder fails to submit the hard copies within 3 working days, he will be declared disqualified and Second Highest will be awarded the Tender considering he/she submit the documents in stipulated time period. The EMD of the disqualified bidder will be forfeited & bidder will be blacklisted.

12. With instance of No Real Time Bidding Participation, the Highest Offered Price will be considered Winner of the E-Tender cum eAuction process. 13. Highest bidder shall have to pay security deposit amount (if applicable) within 15 days of eAuction result. If Highest Bidder fails to pay security deposit within 15 days of auction results or withdraws from accepting license, he will be declared disqualified and debarred/blacklisted. In such case H2 shall be given chance to match H1 offer to grant license. The EMD of the disqualified bidder will be forfeited. 14. AMTS have the final authorization for any queries or issues raised of the E-Tender cum eAuctioning. 15. Advision AMC is not responsible for any Mobile Network relation issues due to which SMS of Email do not delivered because of the mobile or Internet services. Bidder has to ensure seamless access to internet for participation in eAuctioning. Prior to bidding instance page refreshment is recommended & last-minute biding is not advisable. 16. Incomplete information uploaded by the tenderer will cause him to disqualify for eAuctioning. 17. In the instance of "Single Offer", AMTS’s decision will be final. 18. Subject to Ahmedabad Jurisdiction. 19. AMTS reserves right for to cancel the whole procedure and in any dispute Chairman AMTS’s decision will be final and binding. 20. Special Note
1. It is necessary for having Minimum Yearly Turnover of Rs. Five
Corers for last three years.
2. Offerer has to provide Copy of Balance Sheet and Copy of Income-
tax Return of last three years duly signed by chartered accountant.
3. The Offerer has to provide the details of the Returns of last three
Years with the Registered Number of GST duly signed by
Chartered accountant.
4. The Offerer who has done work with the Government, Municipal
Corporation, Semi Government institution with the basis of B.O.T. and
experienced may be given priority. Should attach these types of
Experience Certificates.

Chapter-1
Necessary Instructions to Offerers
Note:-
A. Before giving rates in Tender Offerer should do complete study of
Tender and should read and understood all the terms/details of this
Tender Form, should look and check the location of the Shelters and
it is important to get information going at the place about the
possibilities of publishing the advertisement, areas-limit/boundaries,
passing vehicles and visits of passengers, obstructions, situation of
place and limitations. It will be believed that the Offerer has got all
the information about the locations of Bus Shelter and after proper
understanding has given offer.
B. The person, firm cannot participate in offer that the A.M.C. or
A.M.T.S. or any Government or Semi Government has put in black-
list. The party who has filled the Tender and is presently license
Holder of advertisement in A.M.T.S./ A.M.C and if license Holder has
any type of due amount outstanding and has not deposited in
A.M.T.S. the offer of such types of tenderer will not be taken into
consideration.
C. The Offer will only be given as per terms & condition of A.M.T.S.
D. The desiring person/firm/institution should have to give offer
unconditional in the name of Transport Manager, A.M.T.S. inclusive
of complete details without any type of pre condition inclusive of seal
and signature and without giving any type of terms, objection,
instruction, and clarification. Offerer has to comply with the terms of
the Tender. Incomplete, contradictory, not clear and with any
objection offer is liable to be rejected.

E. The liability of paying all the Government tax/levies/GST applicable
on the License fee will be remained on License Holder. AMTS will
raise the invoice of License fee & GST as applicable. License Holder
has to pay amount of License fee & GST separately. GST amount will
be paid to GST authority through AMTS & credit of the same will be
issued to License Holder. If such type of tax/levies/GST are not paid
in time in this office and due to the same in future if any question will
arisen than all the liability will remained on the License Holder.
1.01 Before the Offer has been granted or thereafter in any circumstances
it will not be transferred in the name of other party. And the rights of
the advertisement could not be transferred to any other party.
1.02 In the following circumstances the amount of Earnest Money is liable
to be forfeited, and offer will be considered terminated.
(1) Conditional offer will not be considered.
(2) If Tenderer demands transfer the rights of advertisement to
other party.
(3) If the Tenderer wants to take back the offer by citing any
reason.
1.03 If the amount of security deposit and the license fee has not been
deposited within 30 days time-limit as mentioned in the
Acceptance Letter and regarding the same believing that the
License Holder is not interested in the said Tender and will be
considered as terminated and following conditions will be followed.
1 Earnest Money Deposit will be forfeited.
2 Disqualified bidder have to pay 1% Amount of License fee as
Offered in the tender as Administrative charges within seven days
as demanded by AMTS.

3 AMTS will call second & third highest bidder for negotiation & if
there is difference up to 10% as compared to offer of first highest
bidder then in that case Transport Manager can take final decision
for allotment of offer or tender may be terminated.
4 If it is not possible to negotiate the offer with second & third
highest bidder and AMTS is forced to go for re-tender then in
those circumstances highest disqualified bidder will have to
deposit 10% Amount of highest offer as revenue loss to AMTS.
5 In case disqualified bidder has not deposited Administrative
charges as per clause (1.03-2) & penalty for revenue loss as per
clause (1.03-4) then AMTS will be entitled to recover the above
said amount (Administrative charges & penalty for revenue loss)
from deposited amount of any other running tenders of Hoarding
with AMTS/AMC/BRTS/RIVER FRONT with 18% interest & bidder
will be black listed.
1.04 (A) In the Tender it is necessary to give GST Number, GST Tax Return
filed in last three years, Income Tax Number of the Offerer or Firm
and it is also necessary to have the copy of Income-tax Clearance
Certificate, Registration of Firm. Should have to provide all the
documents and information demanded by the A.M.T.S. If the
required information has not been provided and regarding the
same any type of question will be arisen than responsibility of the
same will be remained on the License Holder. It is necessary to
produce the copy of the Firm Agreement.
(B) On the basis of written authority of all the partners of the firm or
Power of Attorney any partner, administrator could give offer. And
it will be binding to all the partners of the firm. It will be considered

necessary to enclose the copy of written authority or Power of
Attorney along with the Tender Form. If required the original
Power of Attorney will be required to be shown.
(C) Regarding due amounts against the Firm, against the partners of
the firm on the basis individual or jointly on their expenses by
taking legal actions the due amounts will be recovered.
(D) If not given information to this office about the change in address
or telephone number of the firm than in such circumstances the
papers sent by this office not received by the License Holder and
regarding the same if any type of question might arise than all
the responsibilities of the same will be remained on the License
Holder.
1.05 Before granting the offer the old business relation of the Offerer
with the A.M.T.S. will be taken into consideration.
1.06 Offered has to give details of the experience of business of last
three years and the details of current business making separate
Register, it is necessary to give it with the offer if informed by the
A.M.T.S. Necessary information regarding yearly fee for the
business of advertisement. What is yearly Turnover? Etc. details
should be given. Regarding the same the Offerer should have to
provide certificates obtaining from whichever institution.
1.07 The A.M.T.S. keeps its rights reserved for granting or non-
granting any or all the offers without showing any reason.
1.08 (A) The offerer has to give his offer after proper understanding of all
the terms mentioned in the Tender.

(B) Making false interpretation/meaning of terms/instructions
informed in the Tender or make unnecessary correspondence
than the AMTS can take one-sided decision to terminate the
License offer.
1.09 More Understanding regarding the Tender or other information

1.10 If Government or Semi Government Institution will demand the
details of License Holder than as demanded all the details of
License Holder will be provided to concerned institution and
regarding the same the License Holder could not take any
objection.
1.11 If any dispute is in the court regarding the current license
Holder and the judgments might come after the completion of
license period at that time if the license holder institution is not
in existence however the owners or partners of firm are binding
to comply with the order of the court.
1.12 The License period will be considered commenced from the
date as mentioned in the Acceptance Letter. Regarding the
same in any circumstances the Grace Period will not be
considered valid.
1.13 Shelter is for the convenience of the passengers. Due to the
reason of A.M.C. Government, Police or other institution in any
circumstances for few times if they put boards of advertisement
or notice or put Kiosk, or make any other arrangement for
public information and due to the same if the Board on the

Shelter may not be visible than against the same the License
Holder cannot take any objection.
1.14 The roads outside of the limit of A.M.C. are not in the
ownership of A.M.C. Hence on those road regarding the rights
of the advertisement on the Bus Shelters on existence or new,
regarding the board of advertisement, Auda, Panchayats,
National Highway Authority or other Authority or Local
Institutions may take objection or regarding tax or levies may
make any demand than all the responsibilities of the same will
be remained on the License Holder. Whatever legal permission
if required will be obtained by the License Holder by its own
expenses.
1.15 If any type of permission (like getting power connection, Tree
Trimming, Road opening for electric cabling, fixing of Bus
Shelter, or any other necessary requirement) is required at
inside/outside City limit of Corporation like on National Highway
or on the Bus Shelters regarding to enjoy the rights of the
advertisement the License Holder would have to obtain
permission from concerned authority. And if such type of
permission is not granted than responsibility of the same will
not remain on A.M.T.S. And in such type of case if the License
Holder asks for any compensation for revenue loss, benefit
than it would not be accepted. But to obtain permission from
concerned authority the License Holder will request to A.M.T.S.
in writing. Than the A.M.T.S. remaining in its limitation may
provide request letters (N.O.C.etc.) to the concerned
authorities. But will not be responsible for obtaining the

permission through AMTS.License Holder cannot raise any
issue regarding revenue loss due to tree branches obstruction
& road opening permission. License Holder will be solely
responsible for obtaining NOC from concerned authorities.
1.16 During the entire or in the middle of contract period license
holder cannot claim any interest of any amount which AMTS
has to refund due to any reason or after settlement at the end
of tender period.

Chapter-2
The Terms regarding for enjoying the rights of publishing advertisement on all the Shelters (Decorative)
2.01 Due to development works like Metro Project, Bullet train project,
Widening of road, construction of over & under bridge, existing bus
shelters are to be re-located, re-fitted and completely removed and
due to above reasons the License Holder cannot claim any sort of
revenue loss or any compensation The shelters which are forced to
remove from the existing location then License Holder can suggest
new locations & with mutual written consent from AMTS the said bus
shelters can be erected including light connection at the risk & cost of
License Holder. License Holder cannot claim for any compensation
for revenue loss for the time laps of shifting or time laps in finding the
proper relocation of bus shelters.
2.02 Due to any circumstances if there is no possibility for erection of
removed bus shelters then following conditions will be binding to
License Holder.
(A) In the First Year of License period with written permission from
AMTS to remove any decorative shelter from any location then
License Holder has to remove the same within time period as
mentioned in letter and for this no compensation will be entertained.
The removed bus shelter has to be carted to AMTS Ritz Hotel
compound. For first year of license period up to 40(forty) shelters if
totally removed then no compensation will be entertained. If in the
first year of license period more than 40(forty) bus shelters have been
removed then for each bus shelter removed beyond 40(Forty) shelters

compensation of Rs 60,000 (Sixty Thousand) per shelter will be refunded or credited in the invoice of second year. No compensation will be entertained for opening, shifting to new location inclusive of
Electricity Service connection, rising of footpath level & lying of new footpath for any number of bus shelters in first year of license period.
(B) In the second Year of License period with written permission from
AMTS to remove any decorative shelter from any location then
License Holder has to remove the same within time period as mentioned in letter and for this no compensation will be entertained.
The removed bus shelter has to be carted to AMTS Ritz Hotel compound. For second year of license period up to 30(Thirty) shelters if totally removed then no compensation will be entertained. If in the second year license period more than 30(Thirty) bus shelters have been removed then for each bus shelter removed beyond 30(Thirty) shelters compensation of Rs 60,000 (Sixty Thousand) per shelter will be refunded or credited in the invoice of Third year. No compensation will be entertained for opening, shifting to new location inclusive of
Electricity Service connection, rising of footpath level & lying of new footpath for any number of bus shelters in second year of license period.
(C) In the Third Year of License period with written permission from
AMTS to remove any decorative shelter from any location then
License Holder has to remove the same within time period as mentioned in letter and for this no compensation will be entertained.
The removed bus shelter has to be carted to AMTS Ritz Hotel compound. For third year of license period up to 30(Thirty) shelters if totally removed then no compensation will be entertained. If in the

third year of license period more than 30(Thirty) bus shelters have
been removed then for each bus shelter removed beyond 30(Thirty)
shelters compensation of Rs 60,000 (Sixty Thousand) per shelter will
be refunded or credited after the completion of Tender. No
compensation will be entertained for opening, shifting to new location
Inclusive of Electricity Service connection, rising of footpath level &
lying of new footpath for any number of bus shelters in third year of
license period.
2.03 As AMTS may expand its bus services to new developing areas as
per demand & in these circumstances decorative bus shelters can be
fitted. License Holder or AMTS can suggest locations & with joint visit
with AMTS officers said location will be sanctioned. AMTS will
provide the removed bus shelters which are to be carted from Ritz
Hotel Compound. These shelters has to be repaired, re-painted &
erected at the sanctioned location at the cost & risk of License Holder
within 20 days of AMTS letter. For all bus shelters which are newly
erected by License Holder as provided by AMTS or erected by
change in location or refitted to its original location from time to time
as directed by AMTS, the license period for these bus shelters also
will remain up to 31/8/2024. No grace period will be entertained for
the above reasons.
2.04 Regarding spare bus shelters as mentioned in bus shelter list
(Annexure 7) the License Holder can display advertisement. But if it
directed by AMTS to remove or refit any or all bus shelters as
mentioned in spare list then in that case License Holder cannot claim
any compensation. If any shelter or all shelters are removed

per mentally then these will not be counted removed as per clause
2.02 (A), (B), (C).
2.05 The offerer has to go through & understand thoroughly existing
situation of all the Decorative bus Shelters. In the existing shelters
the repairing works like broken advertisement board, Acrylic Sheets
of Panels, broken wiring, lights, route plates (inclusive of writing),
writings of name plates, etc. will be responsibility of License Holder.
Making survey of the existing location of Decorative Shelters,
visibility of Advertisement board, obstruction due to tree or branch of
tree or any structure. After obtaining information and understanding
the whole situation of existing bus shelters the offerer should give
offer. No request will be entertained for shifting of bus shelter for
citing above reason or any compensation & revenue loss.
2.06 During the work done for opening-shifting Shelters whichever time
may pass and during this time the License Holder could not publish
the advertisement than against the same License Holder cannot
demand for any type of compensation or revenue loss.
2.07 In each Shelter the recent present License Holder had deposited the
required deposit in Torrent Power Ltd. for power supply. After
completion of the present License Holder, if such type of power might
be closed than the allotted License Holder should have to obtain the
power supply by making application in the Torrent Power Ltd. In these
circumstances if there is delay for displaying of advertisement
because of getting late power supply then any type of demand for the
compensation revenue loss will not be accepted.

2.08 For shifting/removing/opening the Shelters the entire work of the
removing/opening-shifting-refitting of the Shelters would be done
within maximum of fifteen days from the date of information given by
phone or letter from this office. In these circumstances if the License
Holder could not complete such type of work within prescribed time
than on the expenses and risk of the License Holder the work will be
done by AMTS. And for this License Holder cannot take any
objection. And the expenses occurred for this type of work by AMTS
will be recovered from security deposit.
2.09 As per the law the advertisement of Improper, Obscene or any other
type of objectionable Drinks or any advertisement which is found
objectionable by the department then same advertisement will have to
be removed by the License Holder immediately. And if same
advertisement is not removed then Transport Manager will have right
to remove the same at cost & expense of the License Holder.
Advertisements of Smoking, Gutkha, Tobacco products will not be
allowed as standards will be maintained as declared by the
Government and A.M.C. If the advertisements contain improper
language, picture, and photographs & if there is any objection from
AMTS or from Government Authority than such types of
advertisements would be removed immediately by License Holder
without any objection. Any written argument for compensation or
revenue loss because of above reason will not be considered.
2.10 If any person from public damages the bus shelter or affix posters
which may damage the existing structure or may cause/give
harm/loss by any other manner than no responsibility of the same will
be remained on A.M.T.S. The responsibility of repairing of bus shelter

or removing of posters will have to be done by License Holder at his
own expense.
2.11 License Holder has to obtain Electric Power from Torrent Power or
GEB to illuminate bus shelter at his own expenses. The Electricity
Consumption Bill for all bus shelter will have to be paid by the
License Holder. If the Electric connection received late or permission
for the Electric connection may not be received due to RO (Road
opening) permission then the responsibility will not be remained on
A.M.T.S.
2.12 With written permission from AMTS for proposed Decorative Bus
Shelter will be fitted at the old existing place of Bus Stop or on the
place of Donation Type or Simple Bus Shelters. If due to any
circumstances the decorative bus shelter is not fitted at proposed
places than it could be fitted in the nearer or at surrounding other
places where there is no any obstruction-objection of anyone by
giving written application to this office only as shown the place by this
office and after permission from AMTS the shelter could be fitted.
2.13 After completion of the License period all Decorative bus Shelters
should be repaired if necessary and give it to the A.M.T.S. in good
condition. After completion of License Period ownership of all bus
shelters will be of AMTS along with Advertisement Board. If tender of
present license Holder might be cancelled or stopped in between due
to any reason in those circumstances also the A.M.T.S. will have the
ownership, rights of the bus shelters.
2.14 License Holder will be responsible for all types of repairing work,
Routine Maintenance, Footpath/floor repairs of the shelters. License

Holder will have to repaint all decorative bus shelters once in a year.
License Holder will have to inform & submit list of shelters to AMTS
after painting for cross checking. If same is not followed by License
Holder then AMTS will repaint & expenses will be recovered from
License Holder deposit & for this License Holder cannot raise any
objection.
2.15 At the time of shifting of any bus shelter, if Foundation work of the
Decorative Shelters is completed, and due to any reason it is not
possible to erect the shelter or required to be canceled than the
License Holder cannot claim any type of foundation or erection
expense which has been occurred.
2.16 License Holder has to submit the list of bus Shelters which have
been shifted or removed inclusive of name of the place, Date of
shifting, Route Number, towards direction to this office without fail on
quarterly basis.
2.17 The License Holder could not make any change in the location of
shelter or design like length of shelter or width or in area of
Advertisement without getting prior permission.
2.18 At the time of completion of tender period, or intimation given by
department to terminate the contract during License period or due to
the other reasons on completion of the license period all the
advertisements published on the shelters has to be removed. And
regarding the removal of advertisement from the shelter it should be
informed to this office in writing. Otherwise believing that the
advertisement is not removed and AMTS will remove the

Advertisement flex & charge for the same will be deducted from
deposit.
2.19 Due to the reasons of the Natural Calamities and due to the
agitations, riots and due to the court order or injunction order and due
to objection of the nearer shop holder, due to the obstructions of the
property holder, due to the instruction of Government or police or
other Government, Semi Government or any other citizen, due to
public complaint, due to the any traffic problem or due to the
decision of management if the shelters are to be shifted, temporarily
or per mentally and due to this reason if electric supply connection is
delayed and advertisement could not been published and License
Holder has suffered any revenue loss. No compensation will be
entertained in any manner. In these circumstances all the expenses
of Shelter shifting will be responsibility of License Holder.
2.20 (A) At the time of erection of bus Shelters or at the time of doing its
repairing, colour work and due to any reason any part or whole
shelter may fall down, and due to this reason any type of
damage/loss of life/injury may cause to any public, passengers,
employees of License Holder or to any person or animal, than
responsibility will be wholly on the License Holder.
(B) At any time if it is found that some part of shelter has been
damaged and same is in dangerous position and likely to cause any
accident that may cause loss of life/harm to the passenger, public or
any person. After getting given instruction from this office in writing or
through phone than immediately work should be attended. If work is
not attended than without giving any information to the License

Holder A.M.T.S. will attend & repair or remove the same immediately
at the expenses and risk of the License Holder & expenses will be
recovered from deposit.
2.21 (A) Under any circumstances if AMTS terminates the tender/Contract
before tenure period & in that case notice with three month notice
period will be issued through AMTS and License Holder has to follow
the notice without any dispute or legal matter. The license fee will be
calculated up to notice period and remaining amount (after deduction
of any due interest amount or any other due) will be refunded to
License Holder.
(B) During the tender period if there is breach of the terms of the
tender from License Holder then AMTS has a right to terminate the
tender & whole license fee & Security deposit will be forfeited & party
will be black listed.
2.22 During the tender period if License Holder wants to terminate the
tender before the tender period then following condition will apply as
mentioned below:-
(A) Before getting tender terminated License Holder has to
compulsorily submit application to Transport Manager before three
months. (From the date application received at this office the three
months will be calculated). E.g. The License Holder desires to get
terminated the tender on Dt.1/4/2018 he should have to give
application before Dt.1/1/18 and should have to pay the entire license
fee from Dt.1/1/2018 to Dt.31/3/2018 and should have to pay the
entire due and outstanding amount totally. If the due and outstanding

amount not paid than termination application will not be taken into
consideration.
(B) If termination of tender is accepted by AMTS then License Holder
has to pull down all advertisement (Flex) from all boards before the
date of termination.
(C) The security deposit of License Holder will be forfeited & present
License Holder will not be allowed to participate in next bid (Bus
Shelter Tender).
2.23 The Terms regarding Lighting the Board/s of Shelter:-
(1) License Holder has to obtain power supply connection from
Torrent/GEB from his own expenses and risk. Regarding the same
the License Holder should have to make prior application and
providing required maps and details of A.M.C. to obtain power
connection. Regarding the same, expenses, amounts of deposit, Light
Bill from time to time and penalty, tax, interest-loss etc. would have to
be paid by the License Holder. Regarding getting Electricity
connection the required permission of the concerned department
would be done by the License Holder with its own expenses and risk.
Monthly light consumption bill has to be paid by the License Holder.
(2) After getting the Acceptance Letter License Holder would have to give
a letter in writing to A.M.T.S. mentioning details of power required by
him and procedure for getting new electricity connection like required
seal & sign will be done through A.M.T.S. But all required procedure
of getting new electricity connection including depositing estimated
amount to Torrent Power Ltd. /G.E.B. will be responsibility of License
Holder. Electric connection will be in the name of AMTS only. License

Holder has to mention his company address for receiving monthly
electric consumption bill.
(3) To obtain electricity power/disconnect/shifting of meter & use of
power related rules & regulations of Torrent Power Ltd. /G.E.B if
there is any penalty or damage liability that will be responsibility of
License Holder.
(4) If there is any delaying while obtaining Electricity Supply, & if electric
supply remains stop for any period, due to this reason if there is any
revenue loss than A.M.T.S. is not liable for the same.
(5) While obtaining Electric supply from Electricity company and works to
be carried for the same if any accident occurred to the public,
passenger, any employee of the license holder or animal during the
work than all the responsibilities will be remained on the License
Holder.
(6) After completion of License period License Holder should have to
obtain no due certificate with service number from the Torrent Power
Ltd. /G.E.B. and same to be provided to AMTS. Thereafter security
deposit amount of the License Holder will be released.
(7) The procedure of obtaining the Electricity Connection will be done by
the License Holder with his own expenses. If there is any delay in
obtaining electricity connection or no electric connection is permitted
then no Grace Period will be given to the License Holder.
(8) After completion of the License period the Lighting Board or with
reference to any other electricity connection the reading of the
Electric Energy Meter would be taken by the License Holder in the

presence of the responsible person from AMTS. And thereafter in the
matter of Meter reading A.M.T.S. will not be responsible for any
dispute or complaint.
(9) The deposited amount which has been deposited in Torrent Power
Ltd. /G.E.B. for obtaining Electric Service after completion of the
License period would be refunded as per law, rules and regulations of
Torrent Power Ltd. /G.E.B. after deducting the amounts liable for
deductions the License Holder will be liable to get the balance
amount.
2.24 Due to the reasons of the Natural Calamities and due to the agitations,
riots or fire or flood there is damage to bus shelters or totally
damaged then License Holder cannot claim for time limit extension or
any compensation for revenue loss. License holder has to repair the
damaged bus shelter in all respects with repaint. Those shelters
which are totally damaged License holder has to re-fabricate & erect
at its original place at his own cost.

Chapter-3
General Terms
3.01 (A) The Tenure of the License for enjoying the rights of this
Advertisement will be remained from Dt.1/9/2021 to 31/8/2024.
(B) AMTS will issue LOI and License Holder has to deposit Security
Deposit in the form of Bank Guarantee of Ahmedabad branch as per
Annexure 7 within the time limit as mentioned in LOI. In case of late
submission of Security deposit License Holder has to pay 4% interest
for the amount to be deposited. License Holder will have to sign
License agreement within the time limit as mentioned in LOI.
(C) After LOI AMTS will issue work order to License Holder and
License fee for the First Year has to be deposited in advance within
the time-limit as mentioned in the Work Order. In case of late
submission of license fee then License Holder has to pay 12%
(Twelve) interest for the amount to be deposited.
(D) From the date as shown in work order, 30 days will be given to
License for mounting of new advisement on the Shelter & getting light
connection. If the present License Holder is allotted new Tender then
he will not be given this exemption/liberty of 30 days.
3.02 The License Holder should have to sign legal License Agreement in
time-limit as informed in the LOI Letter with the expenses of License
Holder and on required Stamp paper. A.M.T.S. will provide the Draft
of “Agreement”. The responsibility of stamp duty will be remained on
License Holder.

Security Deposit
3.03 (1) The 50% amount of the first year License fee offered in tender
should be deposited in AMTS through Bank Guarantee of
Nationalized/ Scheduled Bank Ahmedabad branch as per Annexure 7
as a Security Deposit in the time-limit as informed in the Acceptance
Letter/LOI.
(2) The amount of Security Deposit as mentioned in (1) will remain
deposited in A.M.T.S. for tenure of license period + three months.
Regarding the same any interest, compensation, benefit, loss will not
be given.
(3) On paying total due amounts to AMTS (if there is no any breach
of term) after successful completion of tenure the amount of security
deposit & additional deposit will be refunded.
3.04 In the below mentioned circumstances the amount of Security Deposit
will be forfeited and Transport Manager could Terminate
Tender/contract.
(A) As informed in the Acceptance Letter/As per the terms of Tender if
the amount of premium has not been paid within time-limit.
(B) If License Holder failed to comply with the terms of Tender
(Agreement), than Transport Manager will deduct the amount from
security deposit which deem fit and proper.
1 (C) If the amount of License fee is not deposited within 30 days
from due date during second year or in third year of License period
than the amount of Security Deposit is liable to be forfeited/ And
Transport Manager can terminate the tender without giving final

notice. The License Holder will be black-listed. License Holder have
to pay 1% Amount of License fee as offered in the tender as
Administrative charges within seven days as demanded by AMTS.
In these circumstances after forfeited the amount of Security Deposit
the recovery of due amounts Transport Manager will be forced to take
legal action or can recover from deposit of any other running tender
of Advertisement with AMTS/AMC/BRTS/RIVER FRONT.
3.05 For city Development G.D.C.R. Regulations have been granted.
License Holder is bound to follow the latest G.D.C.R. Regulations. If
there is any violation of G.D.C.R. Regulations then in those
circumstances Transport Manager Decision will be final & bidding to
License Holder & has a right to terminate the tender. In short License
Holder has to comply with the prevailing, latest regulations of
G.D.C.R and any change in G.D.C.R during the tenure of tender. No
refund of paid license fee or termination of tender will be entertained
if G.D.C.R. Regulations will force us to reduce advertisement area.
3.06 If license fee has not been received within one months from due
Date and in those circumstances Transport Manager can
terminate entire tender.
3.07 (A) From Management & Security point of view License Holder
And its staff, working employees at site has to follow any
Instructions of Transport Manager/any authorized person
From AMTS from time to time & strictly obey the same.
(B) Should have to provide the figures and information etc.
Immediately which have been demanded by Transport?
Manager/any authorized person from AMTS.

3.08 Due any circumstances any person other than License Holder affix
the board of advertisement over the bus shelter illegally and may
cause any damages to existing shelter & in that case whole
responsibility will be of License Holder. The same poster of
advertisement will have been removed & required repairs to bus
shelter by License Holder.
3.09 If the Notice & any Letter has been sent to the employee it will be
considered that it has been received by the License Holder.
3.10 For any legal matter jurisdiction will be considered as Ahmedabad.
3.11 At the time of doing work for erection of bus shelter, repair work,
shifting of bus shelter or any type of excavation care has to be taken
not to cause any loss/damage to the Electric pole, underground
infrastructure like Telephone Cables, Light Cables, Water & Drainage
lines & CNG/PNG line etc. and the responsibility of such types of
loss/damages will be remained on the License Holder.
3.12 License Holder as per terms of the Tender the license fee has to pay
regularly as per AMTS Invoice letter within time limit. However from
the side of License Holder if in the prescribed time-limit such due
amounts of license fee have not been paid then interest @18% per
year with GST will be charged for delay period of License fee. Delay
period will be up to three months only and after that tender will be
terminated, security deposit will be fore-fitted & party will be black
listed.
3.13 Before giving offer the Offerer should have to see, check total number
of bus shelters, compare/get the numbers of shelters, and it is
necessary to understand the size of the board of advertisement which

is to be affix on the shelter. Regarding the total numbers of Shelters
as per attached list there may be some variation but offerer have to
give offer as per his own survey of bus shelter. After opening of offer
no submissions regarding number of shelters will be entertained. It
will be understood that offerer has given offer as per own survey of
bus shelter.
3.14 The period between publishing of tender & completion of tender
process if any bus shelters are removed or shifted then offerer will
not raise any objection regarding number of bus shelters.
3.15 As per the attached list of bus shelters from AMTS point of view all
bus shelters are treated as prime location & after allotment of tender
no consideration will be entertained regarding location of bus
shelters. License Holder has to shift any bus shelter from any location
to any other location as per written permission of AMTS without any
charges, objection & compensation for revenue loss.
3.16 Due to any reason if bus shelter is to be removed or to be shifted
than regarding the same AMTS will inform to License Holder through
written letter or through telephone depends on urgency. But in some
circumstances if License Holder is not informed through letter
regarding execution of above work then License Holder will not take
any objection afterwards. If License Holder is not able to remove or
shift bus shelter as per demand then AMTS will be forced to execute
the work at the risk & cost of License Holder.
3.17 A.M.T.S. could erect Decorative/ lighting bus shelter through donation
from any person/institution in that case name of donor & any logo or
any information will be kept permanently. Regarding the same the

License could not take any objection. On such types of shelters the
License Holder could enjoy the rights of advertisement. The donation
panel size should be (6 Mt x .23 Mt) & should be fixed below roof of
bus shelter. License fee for these bus shelters will be calculated from
the date of erection as per pro rata of License fee.
3.18 If required amount of GST or any other Government Tax, has been
received late by AMTS then interest or penalty for the same will be
responsibility of License Holder for paying the same.
3.19 Due to frequent visit of Foreign Honorable President/Prime Minister or
any dignitaries of our country to Ahmedabad city or any state/center
Government sponsor program it becomes mandatory as per
instruction of State Government/AMC to fix flex over our bus shelters
as per given design. In these circumstances License Holder has to
remove the present flex immediately & fix designed flex on his own
risk & cost. For each visit of dignitaries/any state/center Government
sponsor program maximum of 100 shelters for the period of five days
should be kept vacant. If License Holder is not able to obey the above
instruction then AMTS will design & fix flex out of his own then
charges for the work will be recovered from deposit. License Holder
will not raise any objection. License Holder will have to paint the bus
shelter coming in the route of dignitaries visit as directed by AMTS. In
any case no compromise will be entertained regarding expense or
revenue loss from License Holder. The visit of dignitaries or any
state/center Government sponsor program will be number of times
during the tenure of Tender & for that License Holder cannot raise
objection for repetition of Programs & revenue loss.

3.20 License Holder will be responsible for removing of any illegal
encroachment on bus shelter.
3.21 In case of any differences/dispute related to tender, AMTS will appoint
an arbitrator. Both parties (AMTS & License Holder) should be bound
to arbitrator decision for amicable solution.
3.22 License Holder has to make sure to install all safety measures to
prevent any electric shock at all bus shelters. In case of any accident
or death to any passenger, person, employee of License Holder or
any person passing through the bus shelter due to electric shock
then whole responsibility of paying compensation & any legal
compensation or any legal matter will be binding to License Holder.
AMTS has no any responsibility in the above said matter.
3.23 If any bus shelter is totally damaged due to accident on road or any
other reason than in that case License Holder has to repair the same
out of own expenses. If damaged bus shelter cannot be repaired then
License Holder has to re-fabricate the same & refit the same at that
location out of own expenses. License Holder cannot claim any
compensation or any revenue loss due to said reason.

Chapter-4
4.01 (1) The structure of Advertisement Board should be sound in strength
& stability. The structural stability certificate of advertisement board & bus
shelter should be provided by approved structural Engineer. If any damage
occurs to any bus shelter structure then License Holder will be solely
responsible.
4.02 A.M.T.S. Will not be responsible by any manner for revenue loss
to license holder due to reasons as mentioned below:-
(A) Loss in the Business (Due to any reason).
(B) Any type of loss or accident occurs to the board due to any reason.
(C) Due to the Curfew, Riots, Strikes, Elections, Accidents and natural
calamities, any type of loss occur.
(D) Due to any reason business could not be done or regarding the non
availability advertisement clients.
(E) After getting work order, License Holder is not able to start working
for display of advisement.
(F) If the Tree or branches of trees or other structure are coming as
obstruction to Advertisement board.
(G) The License Holder should have to obtain the licenses/permission of
State Government or from the other institutions with their own
expenses and if due to this delay occurred in obtaining the
permission.
(H) Due to breach of Term, due to the opinion of Transport Manager.

(I) Due to viding of road or due to other reason shelters are removed or
delay caused in re-fitting. Regarding the above mentioned matters the
decision of Transport Manager will be considered final & binding to
License Holder.
4.03 The Transport Manager has the right to change the design of Bus
Shelters as per necessity. Transport Manager decision would be
binding to License Holder. No any legal dispute will be entertained if
AMTS changes the design of the bus shelter.
4.04 For public information it is compulsory to provide two numbers of
name plate & one number of route plate as per design & should be
maintained constantly. If at any place there is missing of route or
name plate it should be refitted immediately & all route & name plates
should be repainted once in a year compulsory.
4.05 The License Holder cannot demand for shifting of Shelter from its
existing place due to reason of tree or branches of trees or any other
structure obstructing the visibility of Advertisement board.
4.06 To comply with the labor laws, provisions of contract act and all other
laws and get it complied with is the responsibility of the License
Holder.
4.07 Advertisement/s will be published on only one side of the Board of
Shelter.
4.08 On the day of completion of tenure period of tender License Holder
has to remove all advertisement flex from bus shelter and have to
vacate the sight for the new License Holder. License Holder has to
give in writing to AMTS regarding date removal of all advertisement

flexes & it should not be more than seven days from completion of
tenure period. If all advertisement flexes are not removed within
seven days then AMTS will remove the same with the expenses and
risk of the License Holder. All removed advertisement flexes would be
taken into custody of A.M.T.S. And License Holder has to pay
stipulated damages charges to A.M.T.S. within seven days. Otherwise
after seven days the material which is with the custody of AMTS will
be sold in auction. Regarding the same the License Holder could not
take any objection.
4.09 The present running routes of A.M.T.S. might be closed in future due
to some reasons than regarding the same the A.M.T.S. will not be
held responsible. And in these circumstances the License Holder
could not ask any relief or compensation.

Chapter-5
Information and Responsibility of
The Firm
Note: It will be understood that Firm means Firm, Company, Association, Agency and the institution in which there is more than one partners.
5.01 From the Firm or its partners of any one or his/its concerned firm or
partners;
(1) If there is any due amount to be paid to A.M.C. or A.M.T.S. or
any one has been black-listed by the A.M.C. or A.M.T.S. than
Transport Manager could reject the Tender.
5.02 All the partners have seen the Tender Form. All the details in tender
have read understood and with their consent the offer have been
given offer.
5.03 AMTS can recover Due amounts like License fee, interest loss, &
other expenses from the Firm and their partners (Individual or jointly)
through legal action at the risk & cost of firm & partners.
5.04 The copy of Partnership Deed of the firm has been enclosed with this
Offer Form. And on receipt of the Acceptance Letter the firm or
partners have to show original deed of Partnership .And whenever
informed by AMTS will produce the Deed of Partnership.
5.05 (A) If there may be any change in partners, Directors, Managing
Directors of the firm of the License Holder than from the side of the

firm the information regarding their name, age, address, telephone
number would be provided to the A.M.T.S. If the address of the firm is
changed than same information is necessary is to be intimated to
AMTS.
(B) To comply with the Terms of the Agreement Old and the New
Partners are responsible for all circumstances.
(C) The copy of the Deed of Partnership of the partners is
Necessary to enclose with the Tender.
5.06 If the Firm or its partners have done any business with the A.M.C. or
A.M.T.S. in last five years than information regarding the same is
necessary to be provided in separate sheet/paper.

Force Majeure
In this Clause [ ], "Event of Force Majeure" means an event beyond the control of the
Authority and the Advertisement Agency (“Agency”), which prevents a Party from complying with any of its obligations under this Contract, including but not limited to:
1.1.1 Act of God (such as, but not limited to, fires, explosions, epidemics, pandemics, earthquakes, drought, tidal waves and floods);
1.1.2 War, hostilities (whether war be declared or not), invasion, act of foreign enemies, mobilisation, requisition, or embargo;
1.1.3 Rebellion, revolution, insurrection, or military or usurped power, or civil war;
1.1.4 Contamination by radio-activity from any nuclear fuel, or from any nuclear waste from the combustion of nuclear fuel, radio-active toxic explosive, or other hazardous properties of any explosive nuclear assembly or nuclear component of such assembly;
1.1.5 Acts or threats of terrorism.
1.2 Consequences of Force Majeure Event
1.2.1 Neither the Authority nor the Agency shall be considered in breach of this Contract to the extent that performance of their respective obligations (excluding payment obligations) is prevented by an Event of Force Majeure that arises after the effective Date.
1.2.2 The Party (the “Affected Party”) prevented from carrying out its obligations hereunder shall give notice to the other Party of an Event of Force Majeure upon it being foreseen by, or becoming known to, the Affected Party.
1.2.3 If and to the extent that the Agency is prevented from exercising its rights and executing the Services by the Event of Force Majeure, while the Agency is so prevented the
Agency shall be relieved from payment for the advertisement rights provided to it under the
Agreement provided however that such prevention needs to be proven and the Agency

should have endeavoured to continue to perform its obligations under the Agreement so far as reasonably practicable [and in accordance with Good Industry Practices], [PROVIDED that if and to the extent that the Agency incurs any additional Cost in so doing, the Agency shall not be entitled to the amount of such Cost ]
1.2.4 If an Event of Force Majeure results in a loss or damage to the Facility for advertisement, then Agency shall rectify such loss or damage to the extent required by the
Authority, provided that any Cost of rectification (less any insurance proceeds received by the Agency for the loss or damage) is borne by the Authority (the Agency having taken reasonable steps to mitigate the Cost).
1.2.7 In the event the Agency is prevented from exercising its right of display of advertisements for any period due to Force Majeure, the Agreement Period shall be extended by a period of time equal to the period of interruption caused by an Event of Force
Majeure.
1.3 Optional Termination, Payment and Release
Irrespective of any extension of time, if an Event of Force Majeure occurs and its effect continues for a period of [180] days, either the Authority or the Agency may give to the other a notice of termination. Which shall take effect [28] days after the giving of the notice. If, at the end of the [28]-day period, the effect of the Force Majeure continues, the Contract shall terminate without any requirement to pay any termination payments by either party to each other.

Special note for Annexure 9
1:- There are 11 bus shelters on CG Road from Stadium Circle to Parimal Garden.
2: The design of these bus shelters is different then as compared to list in Annexure 8.
3: Presently there is no any Advertisement board mounted on these shelters.
4: Tenderer has to get design approved through AMTS for Advertisement board.
5: Tenderer has to appoint structural Engineer and after producing structural stability
Certificate fabrication work can be done at the cost of tenderer.

6: The tenderer can design board of size 20 ft x 6 ft depending on structural stability.
7: If the proposed design is not approved by AMTS due to administrative reasons and in that
case tenderer will not be allowed to display any Advertisement on above bus shelters as
in Annexure 9 9. License fee for the above bus shelters will be released in propionate as
Quoted for whole tender.
8: If design is approved by AMTS then tenderer will be allotted two months as grace period
for approving design, for fabrication and getting light connection & license fee for grace
period will be adjusted in invoice of first year License fee.
9: Tenderer has no right to ask for cancelation reasons of Advertisement on above bus
shelters as in Annexure 9.
10: The cost involved in fabrication of Advertisement board & getting structural design will be
sole responsibility of Tenderer.
