TERMS AND CONDITIONS OPUS+ : Public transit membership program

PART I. DEFINITIONS In this public transit membership contract, unless otherwise specified, the terms below will have the following meanings: “AMT”: The Agence métropolitaine de transport; “AMT monthly TRAIN pass”: The holder of a TRAIN pass is entitled to unlimited use of commuter train services offered by the AMT within the zones programmed on the medium on which the said pass is issued, and within any zone bearing a lower number. A monthly TRAIN pass is valid only during the month programmed on the valid OPUS card; “AMT monthly TRAM pass”: The holder of a TRAM pass is entitled, unless otherwise stipulated in the applicable regulations, to unlimited use of commuter train, and subway transportation services offered by the AMT and the PTOAs, within the zones programmed on the medium on which the said pass is issued, and within any zone bearing a lower number. A monthly TRAM pass is valid only during the month programmed on the valid OPUS card; “Applicable regulations”: The Act respecting the Agence métropolitaine de transport (R.S.Q., c. A-7.02) and regulations of the AMT and of PTOAs offering their transit passes as part of the OPUS+ program which are in force and which relate to transit passes/tickets or standards of behaviour. This Act and these regulations are available for consultation on the AMT website (amt.qc.ca) or via hyperlink to the websites of the other PTOAs, if applicable; “CITCRC”: Conseil intermunicipal de transport de Chambly-Richelieu-Carignan (Chambly-Richelieu-Carignan intermunicipal transit board); “CITCRC monthly pass”: The holder of a CITCRC monthly pass is entitled to unlimited use of local bus services offered by the CITCRC within the zones programmed on the OPUS card. A CITCRC monthly pass is valid only during the month programmed on the valid OPUS card; “CITL”: Conseil intermunicipal de transport Laurentides (Laurentides intermunicipal transit board); “CITL monthly pass”: The holder of a CITL monthly pass is entitled to unlimited use of local bus services offered by the CITL within the zones programmed on the OPUS card. A CITL monthly pass is valid only during the month programmed on the valid OPUS card; “CIT Le Richelain”: Conseil intermunicipal de transport Le Richelain (Le Richelain intermunicipal transit board); “CIT Le Richelain monthly pass”: The holder of a CIT Le Richelain monthly pass is entitled to unlimited use of local bus services offered by the CIT Le Richelain within the zones programmed on the OPUS card. A CIT Le Richelain monthly pass is valid only during the month programmed on the valid OPUS card; “CIT Roussillon”: Conseil intermunicipal de transport Roussillon (Roussillon intermunicipal transit board); “CIT Roussillon monthly pass”: The holder of a CIT Roussillon monthly pass is entitled to unlimited use of local bus services offered by the CIT Roussillon within the zones programmed on the OPUS card. A CIT Roussillon monthly pass is valid only during the month programmed on the valid OPUS card; “CITSO”: Conseil intermunicipal de transport Sud-Ouest (Sud-Ouest intermunicipal transit board); “CITSO monthly pass”: The holder of a CITSO monthly pass is entitled to unlimited use of local bus services offered by the CITSO within the zones programmed on the OPUS card. A CITSO monthly pass is valid only during the month programmed on the valid OPUS card; “CITSV”: Conseil intermunicipal de transport Sorel-Varennes (Sorel-Varennes intermunicipal transit board); “CITSV monthly pass”: The holder of a CITSV monthly pass is entitled to unlimited use of local bus services offered by the CITSV within the zones programmed on the OPUS card. A CITSV monthly pass is valid only during the month programmed on the valid OPUS card; “Client”: The person who registers for the OPUS public transit card, pays for the membership and is the cardholder, or the person who registers another person for the OPUS public transit card (the holder) and pays for that person’s membership; “Client’s address”: The mailing address or the e-mail address indicated on the membership form or subsequently notified to the AMT; “Fare”: Regular, reduced, student or intermediate fare, as defined in the applicable regulations, or other fare applicable, from time to time, to the various transit pass or ticket types; “Holder”: The person who uses or wishes to use the monthly transit pass covered by the membership and who has been or will be (subject to the fulfillment of certain obligations stated herein) issued the OPUS card whose chip is or will be loaded with such pass; “Membership”: OPUS+ membership program; “Metropolitan ticket office”: AMT’s ticket counter located in the geographical area where the holder resides; “MRC de L’Assomption”: Municipalité régionale de comté de L’Assomption (L’Assomption regional county municipality); “MRC de L’Assomption monthly pass”: The holder of an MRC de L’Assomption monthly pass is entitled to unlimited use of local bus services offered by the MRC de L’Assomption. An MRC de L’Assomption monthly pass is valid only during the month programmed on the valid OPUS card; “MRC Les Moulins”: Municipalité régionale de comté Les Moulins (Les Moulins regional county municipality); “URBIS monthly pass”: The holder of an URBIS monthly pass is entitled to unlimited use of local bus services offered by the URBIS Transport urbain Les Moulins on the MRC Les Moulins territory. An URBIS monthly pass is valid only during the month programmed on the valid OPUS card; “OPUS card”: Public transit chip card that can contain one or more transit passes and/or tickets recognized as valid pursuant to the applicable regulations; “Prior written notice”: A notice sent by mail, by fax or by e-mail, on the designated AMT form, as applicable; “PTOA”: A public transit operating authority, within the meaning of section 19 of the Act respecting the Agence métropolitaine de transport (R.S.Q., c. A-7.02), namely the Société de transport de Montréal, the Société de transport de Laval, the Réseau de transport de Longueuil, an intermunicipal board of transport or

Client number a regional board within the meaning of the Act respecting intermunicipal boards of transport in the area of Montréal (R.S.Q., c. C-60.1), or a municipality coordinating public transit services on the AMT’s territory; “RTL”: Réseau de transport de Longueuil; “RTL monthly pass”: The holder of an RTL monthly pass is entitled to unlimited use of local bus services offered by the RTL. An RTL monthly pass is valid only during the month programmed on the valid OPUS card; “STL”: Société de transport de Laval; “STL monthly pass”: The holder of an STL monthly pass is entitled to unlimited use of local bus services offered by the STL. An STL monthly pass is valid only during the month programmed on the valid OPUS card; “Ville de Sainte-Julie”: Ville de Sainte-Julie (Town of Sainte-Julie); “Ville de Sainte-Julie monthly pass”: The holder of a Ville de Sainte-Julie monthly pass is entitled to unlimited use of local bus services offered by the Ville de Sainte-Julie. A Ville de Sainte-Julie monthly pass is valid only during the month programmed on the valid OPUS card.

PART II. TERMS COMMON TO ALL FARE CATEGORIES 1. Transit passes offered as part of the membership – Regular, reduced and student fare AMT monthly TRAM and TRAIN passes, regular, reduced and student fare RTL monthly passes, regular, reduced and student fare STL monthly passes, regular and reduced fare CIT Le Richelain monthly passes, regular and reduced fare CIT Rousillon monthly passes, regular and reduced fare CITCRC monthly passes, regular, reduced and Passe-Atout fare CITL monthly passes, regular and reduced fare URBIS Transport Les Moulins monthly passes, regular, reduced and intermediate fare CITSV monthly passes, regular and reduced fare CITSO monthly passes, regular and reduced fare MRC de L’Assomption monthly passes and regular and reduced fare Ville de Sainte-Julie monthly passes are offered as part of the membership program. However, it is understood that only individuals eligible for privileged (student, reduced or intermediate) fares, according to the applicable regulations, may use the corresponding passes. 2. Length of membership – The client may purchase a membership at any time. However, if the membership application and supporting documents, as applicable, are received by the AMT between the 11th day of the preceding month and the 10th day of the month (inclusively), the membership shall begin, unless the client or holder fails to meet his/her obligations under this contract, on the 1st day of the following month. Example: In order for a membership to begin on September 1, 2011, the client must ensure that his/her membership application and supporting documents, as applicable, are duly completed and received by the AMT between July 11 and August 10, 2011 (inclusively), that the first payment is successfully withdrawn and, where applicable, that all other pre-membership obligations are met before September 1, 2011. The membership is valid for an undetermined length of time. It shall end upon its cancellation by one of the parties in accordance with the terms of this contract. The AMT reserves the right to reject a membership application, for valid reasons or for failure by the client and/or holder to fulfill the pre-membership obligations. 3. Cancellation of membership – The client may cancel his/her membership on prior notice to the AMT Membership Department, in writing or by telephone. However, a cancellation request received between the 11th day of the preceding month and the 10th day of the month (inclusively) shall take effect on the last day of the month (e.g., to cancel a membership effective December 31, 2011, the AMT must have received the cancellation request between November 11 and December 10, 2011 (inclusively); if the request is received on December 11, 2011, the membership shall end on January 31, 2012). The AMT reserves the right to cancel any membership at its sole discretion. In such case, the AMT shall send the client a written notice at least 60 days prior to the cancellation date. In all cases of cancellation of a membership, the AMT shall remotely deactivate the membership, taking into account that the OPUS cardholder may with the pass covered by the membership until the last day of the month paid for. 4. Free month – Except in cases where the holder or client fails to respect his/her obligations, the client shall automatically receive the 12th month free with the purchase of 11 consecutive monthly passes under his/her membership. The holder or client shall not receive the free month if the client sends a notice of cancellation of the membership, for any reason whatsoever, before such time as the holder or client is entitled to the free pass. 5. Payment methods – Payments shall be charged to the credit card or debited from the bank account indicated on this form between the 11th and the 15th days of each month preceding a membership month. However, except in cases where the holder or client fails to respect his/her obligations under this contract, the client shall be granted a one-month payment holiday (one free month) after each membership period of 11 consecutive months. The client certifies that all information provided is accurate and that the bank account or credit card provided in this form is valid. The AMT must receive a prior written notice of any change to the bank account or credit card provided in this form. The client must ensure that such prior notice is received by the AMT on or before the 10th day of the month preceding the month in which the change is to take effect. If the funds required for the monthly payment are not available at the time of any Personal Pre-Authorized Debit, for any reason whatsoever, the AMT reserves the right to cancel the membership, and not send the OPUS card or not remotely renew the monthly transit pass covered by the membership (on the OPUS card) for the 1st day of the following month. The amount covered by the monthly withdrawal made by the AMT, its representatives or any individual designated by it, represents the value of the monthly pass purchased, subject, where applicable, to promotions and fare changes. The monthly fare may be changed by the AMT during the membership period. In the event of such a change, the AMT shall send, to the mailing address or the electronic address indicated on the membership form or subsequently notified to the AMT, a written notice informing the client of such change at least 30 days prior to the effective date of the change. This notice shall inform the client that he/she may refuse this change and may cancel the membership, free of charge or penalty, by notifying the AMT in writing. If the AMT receives the cancellation request on or before the 10th day of the month preceding the effective date of the change, cancellation shall take effect immediately. If the AMT receives the cancellation request after the 10th day of the month preceding the effective date of the change, cancellation shall take effect only at the end of the following month. In the absence of an effective cancellation, the amount charged to the credit card or debited from the bank account shall be increased or decreased by an amount equal to the change, for each of the membership months following the effective date of the change. 7 CONTRACT OPUS+: Public transit membership program

Client number

All fees for the issuance of an OPUS card may be paid in cash, by debit card or by credit card (VISA or MasterCard). Notwithstanding the foregoing, cash payments are not accepted at the AMT head office. The client has certain recourse rights if any debit does not comply with this agreement. For example, the client has the right to receive reimbursement for any debit that is not authorized or is not consistent with the Pre-Authorized Debit (PAD) Agreement. To obtain more information on these recourse rights, the client may contact his/her financial institution or visitwww.cdnpay.ca . 6. Change in fare categories – The client must give the AMT prior written notice if he/she wishes to change fare categories during a membership period. This prior notice must contain the OPUS card number (number starting with 02) and be received by the AMT on or before the 10th day of the month preceding the month in which the change is to take effect. Switch from reduced fare to student or intermediate fare – The actions required of the OPUS cardholder are the same as those required to prove eligibility for a privileged fare. Change of address – The client is responsible for sending the AMT prior written notice of any change in his/her address. He/she must ensure that the AMT receives this prior notice on or before the 10th day of the month preceding the month in which the change is to take effect. 8. Liability – The AMT shall not be liable for any injury, damage or loss that the client or holder may sustain should said injury, damage or loss result from an event of force majeure, the holder’s state of health or the fault of the client or holder. Moreover, the AMT shall not be liable for any lost documents, cash or other valuables, nor for any other effects left under the holder’s supervision. In the course of any promotions or other special offers jointly organized from time to time by the AMT and its partners, the AMT may address its clients to promote benefits or discounts on its partners’ goods or services. The acquisition by the client of goods or services from the AMT’s partners through such promotions or offers does not, at any time, make the AMT liable, including in regard to the entering into or performance of any contract between the AMT’s client and its partner. 9. Regulations – The OPUS card and the transit pass covered by the membership must be used in compliance with the regulations and applicable fares, as well as with the instructions printed or loaded on the card. 10. Defective, lost, stolen or damaged card – In the event an OPUS card is defective, lost, stolen or damaged, its holder (accompanied by his/her parent, guardian or representative, as applicable) must go to a metropolitan ticket counter, with the membership number and a piece of photo ID on hand. The old card will be cancelled, rendering it invalid. The holder will be required to answer the authentication question. Except in the case of a defective card, he/she will be required to pay the fees for a new OPUS card (with or without photo). He/she will then be issued a new card loaded with the valid passes and/or tickets that were on his/her old card at the time it was reported defective, lost, stolen or damaged. 11. Exchange/Refund – Unless otherwise stipulated herein, OPUS cards and transit passes are non-exchangeable and non-refundable. 12. Non-transferability – This membership contract and the rights and obligations resulting therefrom may not be assigned, transferred or resold in any manner whatsoever. 13. Changes to the contract – The AMT may amend the terms and conditions of the contract, the rates and fees as well as the transit passes offered, on 30 days’ written prior notice. The notice will contain only the clauses of the contract that are new or amended, along with the previous version and the date on which the change will take effect, and will inform the client that he/she may refuse the change and cancel the membership, free of charge or penalty, by sending a written notice to the AMT. If the AMT receives the cancellation request on or before the 10th of the month preceding the effective date of the change, cancellation shall take effect immediately. If the AMT receives the cancellation request after the 10th day of the month preceding the effective date of the change, cancellation shall take effect only at the end of the following month. 14. Integrity of the OPUS card – Because of the chip and the antenna it contains, the OPUS card may not be perforated or otherwise damaged.

Discount on Communauto subscription – If this membership contract is entered into before December 31, 2011, the OPUS cardholder will be entitled to a one-year subscription to the Communauto automobile-sharing service (Package “C”) with the following special pricing: monthly rate of $8 (not including taxes), exemption from the $500 refundable membership fee and the non-refundable annual dues of $37 (not including taxes), access to the Late Night Return option corresponding to an exemption from the hourly rate normally applicable between 11:00 p.m. and 7:00 a.m. (not including charges per kilometre). All other fees and charges remain the same. See all the details at www.communauto.com/amt. 16. Personal information – (Information under the Act respecting Access to documents held by public bodies and the Protection of personal information, R.S.Q., c. A-2.1) a) The personal information collected for the purpose of issuing a registered OPUS card is required either to verify, grant or renew the status of individuals eligible to obtain and use a registered OPUS card entitling access to a privileged fare on transit passes or tickets, or to renew, change, replace, reactivate or cancel a registered OPUS card, as applicable; b) This personal information is collected by the AMT on its own behalf, for the Société de transport de Montréal (STM), which operates the computerized integrated system of public transit ticket sales and revenue collection (“Integrated System”), and for public transit operating authorities and public transit organizations participating in the Integrated System; c) Public transit operating authorities and public transit organizations participating in the Integrated System that are likely to exchange personal information for the purpose of implementing this system and, for e-mail addresses only, for the purpose of sending information and promotional offers related to active or public transportation in the Greater Montréal area include: Société de transport de Montréal, Société de transport de Laval, Réseau de transport de Longueuil, Réseau de transport de la Capitale, Société de transport de Lévis, Agence métropolitaine de transport, Conseil intermunicipal de transport Le Richelain, Conseil intermunicipal de transport Laurentides, Conseil intermunicipal de transport de Chambly-Richelieu-Carignan, Conseil intermunicipal de transport Haut-Saint- Laurent, Conseil intermunicipal de transport de la Vallée du Richelieu, Conseil intermunicipal de transport La Presqu’Île, Conseil intermunicipal de transport Sorel- Varennes, Conseil intermunicipal de transport Roussillon, Conseil régional de transport de Lanaudière and Ville de Sainte-Julie. Other public transit operating authorities and public transit organizations may join the Integrated System and, where applicable, the identities of these new organizations will be reported to public transit users through press releases or the websites of the STM, the public transit operating authorities and the public transit organizations participating in the Integrated System; d) The personal information in question will be collected for the following purposes: d.1) issuing, renewing, modifying, replacing, reactivating or cancelling a registered OPUS card by the public transit organizations participating in the Integrated System; d.2) selling public transit tickets and collecting public transit revenue, as well as the distribution of some of this revenue; d.3) refunding or returning passes or tickets; d.4) managing the Integrated System; d.5) preventing, detecting or curbing fraud; d.6) planning public transit (de-identified form); d.7) sending information and promotional offers related to active or public transportation in the Greater Montréal area (e-mail addresses only). e) The categories of individuals who may have access to this personal information in performing their duties at the public transit operating authorities and the public transit organizations participating in the Integrated System are as follows: client service agents, employees of the communications and marketing department (e-mail addresses only), inspectors, public transit ticket sales agents as well as employees and consultants of these transit organizations who require this information in order to carry out their duties related to the sending of information and promotional offers related to active or public transportation in the Greater Montréal area, the sale of passes and tickets, the collection or distribution of public transit revenue and the management of the Integrated System; f) The personal information in question will be collected on a voluntary basis. Public transit users may opt to purchase public transit passes and tickets on anonymous cards that do not require the collection of personal information and for which no fare reduction privileges are conferred; g) A user who refuses to provide the personal information required to issue a registered OPUS card or who refuses to state his/her identity for the purpose of changing, replacing, reactivating or cancelling a registered OPUS card, or obtaining a refund or return of a pass or ticket, may be refused the service or privilege requested; h) Any person who provided personal information for the purpose of obtaining a registered OPUS card or to have one renewed, changed, replaced, reactivated or cancelled is entitled to consult his/her personal information, obtain a copy thereof or request a change to any inaccurate, incomplete or ambiguous information, or information collected in violation of the law, by sending a written request (with proof of identification) to the access to information officer at the STM. Exclusive use – Commuters are recommended not to reload or allow someone to simultaneously reload transit passes on an OPUS card other than the one they are assigned. The AMT may in no way be held liable for client errors due to commuters reloading or allowing someone else to reload transit passes on an OPUS card other than the one they are assigned.

PART III. REGULAR FARES TERMS SPECIFIC TO ALL PERSONS APPLYING FOR AN OPUS CARD WHO ARE NOT ELIGIBLE FOR A PRIVILEGED FARE a) Membership application – The client must send his/her membership application (this form) to the AMT. b) Payment methods – A charge for an OPUS card without photo ID will be added to the amount of the first monthly pre-authorized payment. c) Delivery of the OPUS card – Before the start of the membership, the AMT undertakes to send by regular mail (Canada Post), to the client’s address, an OPUS card loaded with the monthly transit pass covered by the membership, which will be automatically renewed every month for a period of one year, unless this membership is cancelled.

9 CONTRACT OPUS+: Public transit membership program

Before the start of the second year of the membership and before the start of each subsequent membership year, the AMT undertakes to send by regular mail (Canada Post), to the mailing address indicated on the membership form or to any other mailing address subsequently notified to the AMT, an OPUS card loaded with the monthly transit pass covered by the membership, which will be automatically renewed every month for a period of one year, unless this membership is cancelled. d) Lifespan of the OPUS card – An OPUS card issued to a person belonging to this fare category has a lifespan of one (1) year. e) Change in transit pass type – The client must give the AMT prior written notice if he/she wishes to change transit pass types during a membership. The pass type chosen must be among the pass types offered under the OPUS+ program. This prior notice must contain the OPUS card number (number starting with 02) and be received by the AMT on or before the 10th day of the month preceding the month in which the change is to take effect. Before the 1st day of the month in which the change is to take effect, the AMT shall send by regular mail (Canada Post), to the mailing address indicated on the membership form or subsequently notified to the AMT, a new OPUS card loaded with the monthly transit pass now covered by the membership, which will be automatically renewed every month for a period of one year, unless the membership is cancelled. PART IV. PRIVILEGED FARES TERMS SPECIFIC TO ALL PERSONS APPLYING FOR AN OPUS CARD WITH PHOTO ID WHO ARE ELIGIBLE FOR A PRIVILEGED FARE BASED ON THE HOLDER’S AGE

IV.I Persons between the ages of 6 and 15*. CORRESPONDING FARE CATEGORY: Reduced fare *Persons between the ages of 6 and 15 (inclusively) as at October 31 of the current school year. Commuter trains are free for children between the ages of 6 and 11 when accompanied by an adult with a valid transit pass or ticket. a) Membership application and remittance of the first OPUS card loaded with the pass covered by the membership In the event the holder does not have an OPUS card with photo or if there is no space left on the existing card, the client must send the AMT the duly completed membership application (this form). Around the 20th day of the month preceding the first month of the membership, the AMT shall send theOPUS card-loading permit to the client’s address. The holder (accompanied by a parent or guardian, if applicable) must, before the 1st day of the first month of membership, go to a metropolitan ticket counter with the original Application for Photo ID OPUS Card form duly completed, the OPUS card-loading permit and a valid ID card (with date of birth). A holder who has no free space on his/her OPUS card does not need to fill out and submit the Application for Photo ID OPUS Card form to the metropolitan ticket counter. The cardholder must, before the 1st day of the month in which the change is to take effect, go to a metropolitan ticket counter with the OPUS card-loading permit in hand. A ticket counter clerk will make the change to the card. In the event the holder does not have the change made within the prescribed timeframe, the monthly transit pass covered by the membership will not be automatically renewed on the OPUS card as of the 1st day of the following month. The holder may start travelling with the pass covered by the membership only once he/she has taken the necessary steps to load it onto the OPUS card. e) Terms applicable following the change – The client will be subject to the version of the membership contract in effect on the date on which the new pass takes effect. A copy of the updated membership contract will be sent to the client by the AMT.
